It, 101 AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A UTILITY RELOCATION AGREEMENT WITH AMEREN MISSOURI AND TO ACCEPT A GRANT FROM THE PARKS FOUNDATION IN CONJUNCTION WITH THE BICENTENNIAL BRIDGE PROJECT. BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and City Clerk are hereby authorized to execute a Utility Relocation Agreement with Ameren Missouri. Section 2. The agreement shall be substantially the same in form and content as that agreement attached hereto as Exhibit A. Section 3. The grant from the Parks Foundation as indicated in the Memorandum attached hereto as Exhibit B is accepted. Section 4. This Ordinance shall be in full force and effect from and after the date of its passage and approval. Passed: ('W-lAtt Presi ing Officer ATTEST: W W-1 0=277". -F/Galfll I., Wr � N/ City el�rk I Approved: - 5 2D V l Mayor Carrie Tergin APPROVED AS TO FORM: CITY OF JEFFERSON UTILITY RELOCATION AGREEMENT THIS UTILITY RELOCATION AGREEMENT ("Agreement") is entered into by the City of Jefferson (hereinafter "City") and Union Electric Company d/b/a Ameren Missouri (hereinafter "Utility"). CITY IMPROVEMENT PROJECT: This Agreement covers the relocations necessary for the project entitled Bicentennial Bridge, Project Number 97621. This project will include the construction of a bicycle and pedestrian bridge from the Capitol grounds near the Veteran's Memorial to the area known as Adrian's Island (the "Improvement Project". WHEREAS, in order to complete said improvements in accordance with said plans, it will be necessary to adjust certain facilities now located on/in private and public easement(s) within the area of the proposed City Improvement Project. It is agreed that this will be the only Agreement executed to cover reimbursement of the Utility's costs to relocate, or adjust, their facilities as required by the City's Improvement Project (hereafter the "Utility Relocation"). This Agreement will remain in full force until both parties agree, in writing, that amendments are needed, or unless the Agreement is terminated by either party. THEREFORE, the parties agree as follows: 1. Information: The City agrees to furnish all necessary information to Ameren on the improvements in order to allow Ameren to properly carry out the Utility Relocation. 2. Relocation Plan: The Utility will furnish a plan of adjustment marked as Attachment A and a document marked as Attachment B indicating the City's financial obligations directly related to the Utility Relocation. 3. Payment: Upon final execution of this agreement the City agrees to pay to the Utility within 30 days the sum of $154,828.23 for the Utility Relocation. 4. Change Order: If any substantial change is made in the plan of adjustment and extent of the work (a "Change Order"), the Utility will be paid by the City for the work performed in accordance with the Change Order in accordance with a written supplemental agreement or change order approved by the City and agreed to by the Utility prior to the performance of the work. 5. Commencement and Completion of Work: After approval of the detail plan and estimate of cost and upon notification by the City and receipt of payment by the Utility from City, the Utility will commence with the Utility Relocation, as soon as practicable, but not prior to January 1, 2021. The Utility will actively pursue completion of the Utility Relocation so as to minimize interference with the City's Improvement Project. 6. Utility's Responsibility for Subcontractors: If the Utility utilizes subcontractors to perform any of the Utility Relocation, Utility shall be fully responsible for acts and omissions of its subcontractors, and of persons either directly or indirectly employed by them, as the Utility is for acts and omissions of persons it directly employs. The Utility shall cause appropriate provisions to be inserted in any subcontracts relating to this work, to bind all subcontractors to the Utility by all terms herein set forth, insofar as applicable to the work of subcontractors and to give the Utility the same power regarding termination of any subcontract as the City may exercise over the Utility under any provisions of this Agreement. Nothing contained in this Agreement shall create any contractual relations between any subcontractor and the City. 7. Coordination with the Railroad: The Utility and its subcontractors shall meet all the terms and conditions set forth by Union Pacific Railroad associated with crossing and operating within railroad right of way in performing the Utility Relocation. 8. Utility shall Defend: The Utility shall defend, indemnify and save harmless the City, its officers, agents, employees and servants against all loss, damage or expense that it or they may sustain as a result of any suits, actions or claims of any character brought on account of property damage, injury to or death of any person or persons, including all persons performing any work on the Utility Relocation, which is due to the acts or omissions of the Utility or any contractor it may hire pursuant to this Agreement. The Utility shall not be obligated to defend, indemnify and save harmless the City from liability for damage, injury or death proximately caused by the negligence of an employee, agent or servant of the City, or any other third party not contracted by or acting on behalf of Utility. 9. Inspection: Each party shall be responsible for providing their own inspections as required to insure all construction is in accordance with the Plan of Adjustment, Attachment A. 10. Condition of Adjoining Property- After completion of the Utility Relocation, all leftover material and debris directly related to the Utility Relocation work shall be removed by the Utility from the area of the Utility Relocation and the adjoining property to the Utility Relocation. After completion of the Utility Relocation, Utility shall leave the area for the Utility Relocation and the adjoining property in a neat, workmanlike condition, free of holes, mounds of dirt, or other debris or construction material. 11. Jurisdiction: This Agreement shall be construed according to the laws of the State of Missouri. The Utility shall comply with all local, state and federal laws and regulations relating to the Utility Relocation related to this Agreement. Two (2) self-supporting tangent steel structures will be removed and three (3) new self-supporting tangent steel structures will be installed to provide adequate clearance from the 69kV line to the elevated walkway. Project Engineer: Ryan Jacobs (POWER Engineers, Inc.) Scott Vilbig (Ameren) Project Location: The project starts at structure 2547716 located approximately 350' northeast of Jefferson City Plant Substation. The line runs 1,715' southeast to structure 2547720 where the project ends. This section of the line travels along railroad.
