This Agreement, entered into this 2,6) day of
1977, by and between the Cooperative Dispatch
Center of South Palm Beach County, an administrative agency, here-
inafter referred to as "CDC" and the Town of Gulf Stream, a
Florida Municipal Corporation, located in the County of Palm Beach
hereinafter referred to as the Town.
W i t n e s.s e t h:
WHEREAS, the Cities of Boca Raton, Delray Beach and
Boynton Beach, all Florida Municipal Corporations located in the
County of Palm Beach, all maintain police departments with police
radio communications services and dispatch operations; and,
WHEREAS, it was deemed mutually advantageous for said
Cities to enter into an Agreement for the express purpose of
cooperating in the provision of police communications services and
dispatch operations without regard to territorial boundaries; and,
WHEREAS, the said Cities of Boca Raton, Delray- Beach and
Boynton Beach did enter into an Agreement on March 10, 1977, to
provide for the establishment and operation of a cooperative polic
radio communication center for the mutual advantage of said Cities
and thereby created an administrative agency entitled the Coopera-
tive Dispatch Center of South Palm Beach County, referred to as
"CDC "; and,
WHEREAS, the Town of Gulf Stream is now desirous of enter-
ing into an Agreement with the Cooperative Dispatch Center of Sout
Palm Beach County in order to cooperate and participate in the
provision of police dispatching and communication services to the
Town as well as the Cities heretofore named,
NOW, THEREFORE, the CDC and the Town, in consideration of
the mutual promises and benefits hereinafter set forth, the re-
ceipt of which is hereby acknowledged, do hereby agree as follows:
Section 1. This Agreement is to become effective as of
October 1, 1977, even though it is not known precisely when the
CDC will become fully operational.

Section 2
September 30th.
The fiscal year shall be October 1st through
Section 3. The Town will be provided with the same police
dispatching and communication services and on the same basis as
other participating Cities in CDC.
Section 4. The Town shall pay Five Thousand ($5,000.00)
Dollars to CDC for the period of October 1, 1977, through Septem-
ber 30, 1978. There will be no additional assessments or reim-
bursements for this period.
Section 5. If secured with grant funds, police car
communications equipment will be provided the Town on the same
basis as it is provided Boca Raton, Delray Beach and Boynton
Beach.
Section 6. Beginning with the 1978 -79 budget and there-
after, after having had a year's experience and history of opera-
tions upon which to judge the equity of same, a formula for alloca-
ting equitable costs to the Town will be used for budgeting pur-
poses.
Section 7. Neither CDC nor any Cities participating in
CDC, nor any City or Town contracting with CDC for police dis-
patching and communication services, nor any of their respective
employees, shall be deemed to assume any liability for acts,
omissions_, or negligence of any other City or Town or its employees
and the Town shall hold the other Cities and Towns harmless from
and shall defend them against any claims for damages resulting
from its acts, omissions or negligence or the acts, omissions or
negligence of its employees. All liability for injury to per-
sonnel and for loss or damage of equipment incurred in connection
with said Agreement of March 10, 1977, and this Agreement, or in
the performance of services or functions pursuant thereto, shall
be borne by the CDC or the City or Town employing such personnel
or owning such equipment, and as well as the other Cities and
Towns, and CDC shall carry sufficient insurance to cover all such
liabilities.

ection 8. The Town may terminate this Agreement at any
time following sixty (60) days written notice to the CDC. After
the effective date of such notice, both parties will be relieved
of any further obligations under this Agreement, except that
nothing herein shall be construed to impair the obligation of any
contract then in effect in which the Town and /or CDC is a party
or to relieve the Town or CDC of any liability for its negligence
or the negligence of their respective employees occuring while
this Agreement is in effect as provided in Section 7 above. If
the Town should terminate this Agreement as herein provided and
prior to September 30, 1978, the Five Thousand ($5,000.00) Dollar
payment referred to in Section 4 shall be refunded on a pro -rata
basis.
Section 9. If the Town of Highland Beach enters into an
Agreement with CDC with provisions substantially similar to those
herein set forth, then the Towns of Gulfstream and Highland Beach,
acting jointly and beginning with the 1978 -79 budget and there-
after, may select an individual of their choosing to sit with the
CDC Board of Directors for the purpose of casting a vote on the
allocation of costs to the municipalities and the adoption of the
budget. However, the provisions of this Section 9 are subject to
an amendment of the said Agreement of MarcK.10, 1977, permitting
such selected individual to sit with the CDC Board of Directors
for the purposes herein designated.
IN WITNESS WHEREOF, the parties have caused these presents
to be signed by their duly authorized officers on this 2-0 day
