Title:
Citizens Telecommunications Company of Idaho ("Citizens") agrees to provide City of McCall
("Customer") and Customer agrees to rent, for the period of thirty-six (36) months, from Citizens,
Business Telephone Equipment ("Equipment") as described in the attached Equipment Schedule, at the
rates specified in Schedule A to this Business Equipment Rental Agreement ("Rental Agreement"), and at
the terms and conditions specified in this Rental Agreement.

Customer acknowledges that they have read and accept the terms and conditions of this Rental
Agreement. Each of the parties hereto has caused this Rental Agreement to be executed on its behalf by

Terms and Conditions
Business Equipment Rental Agreement
1. Recurring Rental Charges
Rental charges for Equipment will be billed on a monthly basis to Customer at $390.60 per month, as specified in
Schedule A to this Rental Agreement. The monthly rate will remain in effect for the term of this Rental Agreement.

2. Non-Recurring Installation Charges
Installation of Equipment will be charged to Customer at dollars ($ ) per hour, for
Schedule B to this Rental Agreement. The non-recurring charges will be paid as follows:

3. Maintenance

Citizens will be responsible for the repair and replacement of the Equipment as listed in this Rental Agreement.
Under this Rental Agreement, Citizens is not responsible for the maintenance and repair of the business access
lines.
4. Additions and Charges
The relocation of the Equipment, installation of new equipment, and/or addition of telephone services at the location
listed above, will be provided as an amendment to the Rental Agreement. The rental location and installation fees
and charges will be set at the prevailing rental rate in effect at the time of the relocation, installation and/or addition.

5. Access To Customer's Premises
Customer will provide Citizens with all easement and access necessary for the installation and maintenance of the
Equipment.
6. Term
The term of this Rental Agreement will be for thirty-six (36) months beginning on

7. Termination Charges
If Customer cancels in whole or in part the rental of the Equipment under this Rental Agreement, regardless of
reason for said cancellation, or if this Rental Agreement is terminated for cause by Citizens prior to the expiration of
the term, Customer agrees to pay a termination fee as calculated by using the following formula:
Termination Charges = Monthly Equipment Rate X Number of months remaining in term
8. Assignment
Customer may not assign any of its rights or obligations under this Rental Agreement without the express prior
written consent of Citizens. Such agreement will not be unreasonably withheld. In the event Customer assigns its
rights and obligations without written consent of Citizens, Citizens will have sole option to terminate this Rental
Agreement. In such event, Customer agrees to pay the termination charges under Section 7 above, immediately
upon demand.
9. Warranty
The Equipment rented under this Rental Agreement is subject to the equipment manufacturer's warranty.

This Equipment Schedule is attached to and made a part of the Business Equipment Rental Agreement
by and between Citizens Telecommunications Company of Idaho ("Citizens") and City of McCall
("Customer"), dated ,1999.
