RESOLUTION NO. 89 -2892
A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF TEMPLE CITY APPROVING THE TRANSFER AND
ASSIGNMENT OF CABLE TELEVISION FRANCHISE FROM
FALCON COMMUNICATIONS TO CENCOM CABLE TELEVI-
SION, INC.
WHEREAS, the City Council of the City of Temple City, by
Resolution No. 80 -1911 dated June 17, 1980, granted a cable
television franchise (the "Franchise ") to Falcon Communications;
and
WHEREAS, the City Council of the City of Temple City, is
aware of no default on the part of Falcon Communications with
respect to the Franchise and agrees to grant its consent to the
transfer and assignment of the Franchise to Cencom Cable Televi-
sion, Inc., a wholly -owned subsidiary of Cencom Cable Associates,
Inc. ( "Cencom "); and
WHEREAS, Cencom Cable Associates, Inc. anticipates a possi-
ble investment in Cencom Cable Television, Inc. by Gaylord Broad-
casting Company, which investment would require the consent of
the City pursuant to the terms of Franchise, and the City does
not object to any such investment by Gaylord Broadcasting Com-
pany.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF TEMPLE CITY
DOES HEREBY RESOLVE AS FOLLOWS:
SECTION 1. The City Council of the City of Temple City does
hereby consent to the assignment of the Franchise to Cencom Cable
Television, Inc., provided that the assignee assumes all of the
applicable conditions and obligations outlined in the Franchise.
SECTION 2. The City Council of the City of Temple City does
hereby further consent that, upon consummation of the assignment
of the Franchise to Cencom Cable Television, Inc., Falcon Commu-
nications shall be released from all subsequent obligations and
liabilities arising under the Franchise.
SECTION 3. The City Council of the City of Temple City does
hereby further consent to the proposed investment, if it should
occur, in Cencom Cable Television, Inc. by Gaylord Broadcasting
Company, provided that Cencom Cable Associates, Inc. retains
management and operational control of the Franchise cable opera-
tions after consummation of such investment.
SECTION 4. The City Council of the City of Temple City does
hereby declare that it does not object to nor dces the above
referenced Franchise prohibit the assignment, mortgage or pledge
of the cable television system assets, including the franchise,

by Cencom Cable Television, Inc. for financing purposes, so long
as any such assignment, mortgage or pledge shall be subject to
the rights of the City under the Franchise.
SECTION 5. This Resolution shall be in full force and
effect from the after its passage, as provided by law.
APPROVED AND ADOPTED this 1st day of August, 1989.
I, hereby certify that the foregoing Resolution, Resolution
No. 89 -2892 was duly adopted by the City Council of the City of
Temple City at a regular meeting held on the 1st day of August,
1989 by the following vote:
