RESOLUTION APPROVING APPRAISAL REPORT AND AUTHORIZING
CONDEMNATION NEGOTIATIONS PURSUANT TO THE LOCAL
REDEVELOPMENT AND HOUSING LAW, N.J.S.A. 40A:12A-l et seq.
AND EMINENT DOMAIN LAW, N.J.S.A. 20:3-1 etseq.

WHEREAS, pursuant to Ordinance No. 04-31 ("Ordinance"), the Borough of Carteret
authorized the acquisition and/or condemnation of real property comprising the Carteret
Landfill Reclamation Improvement District (the "District");

WHEREAS, pursuant to said Ordinance, the Borough's special redevelopment còunsel,
namely the firm of Win de Is Marx Lane & Mittendorf, LLP ("WMLM"), or any attorney
associated with such firm, and/or the Borough Attorney were authorized and directed to
perform or carry out or cause to be perfonned or eanied out, studies, surveys, tests,
soundings, borings, appraisals. title searches and title report reviews as reasonable
necessary to determine the value of any of the properties, the location and qua1ity of any
of the properties and any environmental matters associated with any of the properties
and to undertake any action necessary or appropriate to acquire the real properties
identified in the Ordinance;

WHEREAS, in connection therewith, and pursuant to Resolution No. 04-341, several
reports were commissioned by various professionals including an appraisal report
prepared by Appraisal Consultants Corp. for property known as 33-37 Salt Meadow
Road, Block 11.01, Lots 20 (part 01),23.01,23.02,31.01,40,41,42,43,50,52,58 &
60 ("Subject Property") which report is dated April 27, 2005 (the "Appraisal Report").
WHEREAS, WMLM and the Borough Attorney have reviewed and analyzed the
Appraisal Report.
NOW, THEREFORE, BE IT RESOLVED, the Borough Council hereby approves the
Appraisal Report and accepts the value of the property appraised therein as of Apri121,
2005 as being $2,381,000.
BE IT FURTHER RESOLVED, that, in connection with the Ordinance and pursuant
to the Eminent Domain Law and the Local Redevelopment anò Housing Law, the
Borough hereby authorizes WMLM, or any attorney associated with WMLM, and/or
the Borough Attorney to make an offer to purchase the Subject Property to thè owner of
the Subject Property in the amount of $2,381 ,000.
BE IT FURTHER RESOLVED, that pursuant to the Ordinance, WMLM, or any
attorney associated with such finn and/or the Borough Attorney are further authorized
to file and pursue any condemnation action, as necessary to acquire the Subject
Property.
BE IT FURTHER RESOLVED, that the Mayor and Borough Clerk and such other
officers as may be necessary are hereby authorized execute and deliver any paper, form,
or document necessary or appropriate to acquire the Subject Property.
BE IT FURTHER RESOLVED, that a duly executed copy of this resolution shall be
filed in the office of the Borough Clerk, and transmitted to the Borough Attorney and to
WMLM.
