GWYNN Deputy Town Clerk BARBARA GWYNN Chief of Police JAMES GREER EMERGENCY MEDICAL SERVICES AGREEMENT THIS AGREEMENT entered into on this day of Uhe 1983 by and between the CITY OF DELRAY BEACH, FLORIDA, a Florida municipal corporation, and the TOWN OF GULFSTREAM, FLORIDA, a Florida municipal corporation. W I T N E S S E T H: WHEREAS, the Town of Gulfstream presently does not maintain a fire department with firefighting and emergency medical equipment and personnel; and, WHEREAS, the City of Delray Beach does presently maintain such a fire department with such firefighting and emergency medical equipment and personnel; and, WHEREAS, in order to protect the health, safety and welfare of all residents of the Town of Gulfstream and the City of Delray Beach who may be in the jurisdictional boundaries of the Town of Gulfstream, it is deemed mutually advantageous to enter into this Agreement, providing for emergency medical services for medical treatment in times of life - threatening situations by the City of Delray Beach within the municipal boundaries of the Town of Gulfstream; and, WHEREAS, Florida Statutes 5163.01 authorizes execution of interlocal agreements to provide for such aid and assistance. NOW, THEREFORE, it is hereby agreed by and between the parties hereto as follows: 1. In the event the City of Delray Beach is notified by the appropriate officials of the Town of Gulfstream or through the Central Dispatch Center (CDC) of the existence of an emergency medical or life- threatening situation within the municipal boundaries of the Town of Gulfstream which requires the dispatch of emergency medical equipment and personnel, then the City of Delray Beach shall supply such emergency medical equipment and personnel as are then reasonably available to the City of Delray Beach. 2. That the final and ultimate determination as to whether a certain notification gives rise to such a life- threatening or emergency medical 1 U situation shall solely be the policy determination by the personnel of the City of Delray Beach. 3. That should the City of Delray Beach personnel wrongfully or negligently determine that a particular notification does not constitute a triggering emergency medical situation or life- threatening situation, then the Town of Gulfstream agrees that the City of Delray Beach shall not be liable for their failure to completely or to timely respond to such a request for such emergency medical services, and the Town of Gulfstream shall, to the extent allowed by law, hold harmless, indemnify and defend the City of Delray Beach against any and all claims made against the City of Delray Beach, its officers, agents and employees for the failure to timely or completely respond to such a request. 4. That the Town of Gulfstream, to the extent authorized by law, hereby agrees to hold harmless, indemnify and defend the City of Delray Beach, its officers, employees and agents against any and all claims made against the City of Delray Beach, its officers, employees and agents for any alleged damages to persons or property as a result of the services rendered by the City of Delray Beach personnel under the requirements of this Agree- ment. Furthermore, the Town of Gulfstream agrees to add the City of Delray Beach, its officers, employees and agents specifically as an additional insured under any of their comprehensive or property damage policies to protect the City of Delray Beach against any claims made against the City of Delray Beach, or for injuries or damages done to the City of Delray Beach's per- sonnel or equipment; and that any certificates of insurance indicating that the City of Delray Beach has been so added as the additional insured shall con- tain the terms and conditions of the policy and shall show that the City of Delrav Beach shall be specifically notified of any cancellation or modification of those policies thirty (30) days prior to the effective date of such cancella- tion or modifications. 5. That this Agreement shall not be construed to impose any obligation or duty whatsoever on the City of Delray Beach to provide any specific types, kinds or numbers of emergency medical personnel at any station, including the beach station, of the City of Delray Beach. However, should a notification be received from the Town of Gulfstream of the need for 2 such emergency medical services, the City of Delray Beach shall put forth its reasonable efforts to dispatch units from any other station within the City of Delrav Beach which the City of Delray Beach determines is in closest prox- imity or would be in the best interests of emergency medical status of the City of Delray Beach Fire Department. 6. That for each and every occasion in which the City of Delray Beach dispatches emergency medical equipment and personnel within the municipal limits of the Town of Gulfstream pursuant to a notification request- ing same, whether or not the injury is found in fact to be of a life- threatening nature, and whether or not the victims are transported to a hospital or treated at the scene, the Town of Gulfstream hereby agrees to pay to the City of Delray Beach the sum of One Hundred Seventy -five Dollars ($175.00) per occasion. These sums shall be billed to the Town of Gulfstream on a periodic basis from the City of Delray Beach. Commensurate with such bill, the City of Delray Beach agrees to supply to the Town of Gulfstream copies of all relevant "run" reports indicating the number of runs within that period of time and the nature of such dispatch, but such reports shall not contain any items of a personal or medical nature. 7. That the Town of Gulfstream agrees to reimburse the City of Delray Beach for any and all damage caused to the City of Delray Beach's equipment and /or vehicles, except if such damage be caused by the negli- gence of the City of Delray Beach's personnel. 8. That the term of this Agreement shall be for ten (10) years beginning June 14, 1983 and extending through midnight on June 13, 1993, with options to renew for additional periods of five (5) years each upon the mutual agreement of both parties hereto in writing. 9. That the effective date of this Agreement shall be June 14, 1983. 10. That all notifications of claims shall be provided in writing to the respective Town Manager and City Manager of the parties hereto. This does not apply to notifications of necessity for the supplying of emergency medical services which are the subject of this Agreement. 11. The Town of Gulfstream hereby acknowledges that the dispatch by the City of Delray Beach of such emergency medical equipment and per- 3 sonnel shall only be for "rescue units ", and that no firefighting equipment, nor engine responses shall be provided. 12. That this Agreement represents the entire and integrated agreement between the parties and supersedes all prior negotiations, representations, or agreements, either written or oral. This Agreement may only be amended or modified by a writing executed by all parties to this Agreement. 13. That either party to this Agreement may terminate same upon six (6) months' prior written notification of such intent to terminate, which termination may be without cause.
