The meeting was called to order at 9:00 A.M., and roll call was JAMES GREER
taken.
1. Roll Call

2. Mr. Gwynn stated that the purpose of the meeting as advertised
is to accept the audit report of the Town of Gulf Stream for the
year ending September 30, 1983, and also approve a resolution
adopting a bond issue for the Town of Gulf Stream.
3. Audit Report - Ernst & Whinney.
Mr. Hunter stated that two representatives from the accounting firm
of Ernst & Whinney were present. They had audited the Town's accounts
for the last fiscal year.
Mt. Paul Bremmer of said firm stated that this year they had lifted
their qualification as to their opinion regarding fixed assets. Last
year they were unable to render an opinion, but by working with the
Town's administrative staff the records are in fine shape and they
were able to audit them and have an opinion on the financial statements.
Also, the pension funds have been added into the Financial Statements.
Mr. riunter spoke about timing of the report, and requested that it be
received earlier. :,.r. Bremmer explained the reason for the delay,
whidh they had considered of suffient importance, and are aware of
the needs of the Commission and will in the future hopefully have it
on time. Mr. Dixson stated that it an obviously clean report, and
reflects favorably on the activities of the 'Town.

4. Bond Issue Resolution
Mr. Randolph explained the resolution authorizing the issuance of
ueneral Obligation Bonds, which has been previously discussed. The
election is to be held March 13, 1984 on the question of whether or
not to issue the bonds. The purpose of this meeting is to adopt the
resolution so that it will be advertisied at least five weeks prior
to the election. ne read the title to the Resolution:
This is a resolution authorizing the issuance of general
obligation bonds of the Town of Gulf Stream, Florida, to
finance the cost of construction and equipping of Adminis-
trative Complex projects, consisting of an Administrative
Complex and re- payment of an existing loan on the property
where the Administrative Complex will be located; construction,
equipping and /or improvement of Public Works projects consisting
of road improvements, drainage and paving; water system projects
consisting of the repayment of an existing loan upon the Gulf
Stream water system, and construction, equipping and /or improve-
ment of the lown water system; and of canal projects consisting,
of maintenance and improvement of the Town's canals.
Providing for and calling for bond referenda of the qualified
electors residing in the Town to be held on Marcn 13, 1964,
on the question of the issuance of General Obligation bonds
for each of such purposes.
Providing for public notice of such referenda and providing for
an effective date.
Mr. Randolph went into detail explaining the Resolution,
Mr. Pfeifler questioned whether the first item -- construction and
equipping administrative complex and repayment of existing loan --
could be split into two items. There was lengthy discussion, and
Mr. Dixson stated that it will be necessary for the Commission members
and members of the Civic Association to educate the voters as to the
necessity of voting for this complex. Mr. Armour stated that the
main question was which would be the more saleable way to handle it,
as there has been some question among the property owners as to
whether or not another Town Hall is needed. It is agreed that the
purchase of the land is excellent. Mr. Dixson stated that the
original purpose of the acquisition of the land would be defeated
if the matter were divided, and the referendum approved the liquida-
tion of the loan but did not approve the administrative complex,
since the land would then have to be disposed of.
Mr. Boucher, Civic Association, stated that this matter had been
previously discussed at a group meeting, and the decision was that
if it were turned down, then continue to finance it on a demand
basis. The interest would go into the tax bill to be paid by the

taxpayers, and ultimately the loan would have to be paid off
by another bond issue or through substantial increases in the
tax bills. He stated that it was necessary for the Town to have
a place for the trash, parking trucks, and to keep and maintain
the equipment.
There was lengthy discussion as to whether or not this matter had
been fully discussed at previous meetings.
Mr. Randolph read from a letter he had addressed to Bond Counsel
dated December 12, 1983, stating that this was a matter that the
Commission had concern with before, but that he and Bond Counsel
thought that they had the direction of the Commission to combine
the loans with the items to which they were related. He stated
that it is not necessary to rescind any previous action, but that
it is necessary for the Commission.to give consideration to the
Resolution that is before them now whether or not they want to pass
it in the form that it is, or whether it is to be broken down.
Mr. Armour suggested that they continue, rather than discuss item
by item.
Mr. Randolph continued, stating that Item B, Section 2 relates
to the Public Works bond to finance the Public Works Projects,
which are construction, equipping, and /or improvement of Public
Works Projects, consisting of road improvement, drainagenand�- paving.
Item C. Section 2 deals with the Water System bonds and sets forth
principle not exceeding $305,000 to finance the following projects:
repayment of existing loan upon the Gulf Stream Water System,
construction, equipping and /or improvement of the Town Water System.
He stated that the term of the bonds shall be for a period of
not longer than thirty years from the date of issuance, and that
the interest shall be at a rate not exceeding the maximum rate
permitted by law at the time of sale of the bonds.
Item D, Section 2 - Canal Project Bonds. Authorizing the issuance of
bonds not exceeding an amount of $180,000 to finance the maintenance
and improvement of the Town's canals.
Section 3. Deals withthe referenda which will be called in regard
to each issue.
A. Administrative Complex. There was discussion by Mr. Hunter and
Mr. Dixson regarding wording. It was explained that the distinction
will come from the actual proceeds of the sale of the bonds. There
will be a tracing of the funds for each project. Mr. Dixson stated
that the wording was ambiguous, so that it does not sound as if there
are four different bond issues. Mr. Randolph will talk to Bond Counsel
regarding the wording to see if it shows it is stated definitely.

Mr. Randolph continued explaining the form of the ballot, absentee
voting, printing of the ballots, referendum procedure, and results,
notice of bond referenda, setting forth the advertising requirements,
severability clause, and repealing clause.
Mr. Boucher requested that one of the questions onthe ballot be
read for their general information, which was done by Mr. Randolph.
In regard t, the costs of the dredging project, after discussion,
Mr. Dixson suggested a change in the language. After discussion
with pond Cougsel, Mr. xandolph suggested:
"which represents approximately 30% of the approximate total
cost of the dredging project, the balance of 70% to be paid
by the adjacent property owners directly benefitting thereby"
Mr. Pfeifler stated that in reference to the Item of combining
the purchase of the property and the administrative Complex, of
which he had previously spoken, based onthe fact that it is stated
that it will not exceed the amount, he has no objection to it being
presented as one package. -rhe Commission will still have the ability
to designate the amount.
Discussion followed regarding manner of listing the projects. Mr.
Randolph stated that the only other alternative, ana the way that
the matter was initially prepared by Bond Couusel, was _hat Lhe four
questions have to ue presented. It was done in unto form because it
was felt t..at Lhe p oject, would have a better cuance of paseing, if

Mr. hunter stated that they would now discuss who will issue the
bonds, how they are to be sold, interest rates, etc.
Mr. Severio, Wm. R. huff & Co., explained that assuming all the --
projects are approved, the Town Commission goes to the validation
procedure. Subsequent to the validation, which takes about s xty
days, the Town Commission authorizes the issuance of ponds. one

can make a determination to wait out the market. ihat is a busi..ess
decision. The proceeds from the bonds after the sale wiil be
invested in term investments to coincide with Lhe anticipated

lie discussed the sale of the bonds. xe stated that the provisions
of the contract with the Town provide specifically that as of the
date of the sale they mLll'submit a purchase proposal and will
produce evidence that the terms being proposed are fair or better
than what is being done in the market as of that day.
Mr. Randolph listed the schedule:
Fir.t, the resolution must be prepared. Ihey anticipate the issue
sometime the early part of July, lh;n they m,st advertise Lhe
second a.ad fifth, week prior to the election. The election will be
March 13, 1984- Subsequent td the election, they must go to
validation and give at least 20 days, and probably be between
30 and 40 days before they get a hearing on validation. So,
subsequent to March 13th -- the beginning of May -- in the
Fifteenth Judicial Circuit Court, assuming the bonds are validated
at the beginning of May, and an Order is signed, they must allow
a 30 -day period of appeal for anyone who wants to appeal the
validation. Assuming that there will be no appeal, it will be
the middle of June before they get a final opinion on the bond,
and subsequent to receipt of that, it is up to the Financial
Consultant as to when they are going to close on the bonds. It
is assumed that they could close within 45 days after that. Mr.
Severio stated they could close within two weeks. Discussion and
questions of Mr. Severio continued.
The Commission then resumed the consideration of the Resolution.
Mr. Randolph stated that the four questions with the amounts will
now be set forth inthe resolution. However, the actual costs are
taken out of context. He went into further detail regarding setting
forth the amounts on the ballot, and whether the Commission were to
go ahead with all four projects. Discussion continued.
Motion was made and seconded that the Resolution be passed with a
proportionate share for each project. Motion was tabled.
Before it was decided to table the Motion, Mr. Pfeifler explained
that if three projects pass, then the Commission will figure how
to obtain the additional money or the project is cut. Mr. Severio
stated that it may be that the Commission will ultimately decide,
if only three of the projects pass, that the bonds should not be
issued.
Mr. Dixson stated that all of these projects should be approved by
the voters of the community. They represent very thoughtful -
conclusions of many people, including the Civic Association and
the Commission, and he hoped that there was no thought of failure
of the preparation of any of the items. It is largely dependent on
the manner in which it is presented, and they will pass, if handled
properly.

Mr. Severio recommended that the Commission consider adopting a
Resolution setting a maximum issue size of the aggregate of all
the projects, listing the projects, and whatever projects are
approved will determine how many bonds are actually issued. The
remaining dollar amount they will cancel the authorization.
Discussion continued. It was stated that the voters will only vote
on the total dollar amount and on the projects.
At this time Mr. Severio conferred with his office, and stated that
the amount have to be listed for each individual project in the
resolution and ballot. He went into further detail.
Mr. Armour withdrew the second to the previous Motion, and mr.
Pfeifler withdrew the Motion.
Motion was made and seconded to approve the Resolution as presented
and as amended, relating to the canal projects, amending the costs
not to exceed $97,500, and further amending the Notice of Bond
Referendum relating to the canal projects not to exceed $97,500,
in regard to that item which amount represents approximately 30%
of the costs of the project, the remainder of which shall be paid
by property owners directly abutting the canals to be improved.
Motion passed unanimously.

2. Mr. Gwynn stated that the purpose of the meeting as advertised is to

Mr. Randolph explained the resolution authorizing the issuance of
General Obligation Bonds, which has been previously discussed. The

Mr. Randolph also presented a time schedule of events for the bond issue.
First, the resolution moist be prepared. They anticipate the issue
so etim the early part of July. Then they moist advertise the second
and fifth week prior to the election. The election will be March 13, 1984.
Subsequent to the election, they mist go to validation and give at least
20 days, and probably be between 30 and 40 days before they get a
hearing on validation. So, subsequent to March 13th, the beginning of
May, in the Fifteenth Judicial Circuit Court, assuming the bonds are
validated at the beginning of May, and an Order is signed, they must
allow a 30 day period of appeal for anyone who wants to appeal the

After considerable discussion by the Commission, a motion was made and
seconded to approve the Resolution as presented and as amended, relating
to the canal projects, amending the costs not to exceed $97,500, and
further amending the Notice of Bond Referendum relating to the canal
projects not to exceed $97,500 in regard to that item which amount
represents approximately 30% of the costs of the project, the remainder
of which shall be paid by property owners directly abutting the canals
to be improved. Notion passed unanimously.
Motion was made and seconded that the First Public Hearing is to be
held at the Gulf Stream School on Friday, February 10, 1984, at 4:00 PM
and the Second Public Hearing is to be held at the Town Hall on Friday,
March 2, 1984 at 9:00 A.M. Notion passed.
In regard to the Dredging Project, Mr. Armour stated that they will
open bids on February 11, 1984.
There being no further business, the meeting was adjourned at 12:00 P.M.

INTER - GOVERNMENTAL AGREEMENT PROVIDING FOR
INSPECTION OF STRUCTURES WITHIN THE MUNICIPAL
LIMITS OF THE TOWN OF GULF STREAM, FLORIDA, BY THE
PALM BEACH COUNTY PLANNING, ZONING AND BUILDING
DEPARTMENT.
THIS AGREEMENT, entered into this day of
1983, by and between
PALM BEACH COUNTY, FLORIDA, a
Political subdivision of the State
of Florida, hereinafter referred
to as "COUNTY ";
and
THE TOWN OF GULF STREAM, a municipal
corporation organized and existing
under the laws of the State
of Florida, whose permanent address is
246 Sea Road, Gulf Stream, Florida
33444 hereinafter referred to as
"TOWN ".
W I T N E S S E T H:
WHEREAS, the health, safety and welfare of the residents of
both TOWN and COUNTY will best be served by the COUNTY inspecting
certain structures lying within the TOWN'S limits; and
WHEREAS, the COUNTY is authorized to enter into this
Agreement pursuant Florida Statutes s.125.01(p); and
WHEREAS, the TOWN and the COUNTY are authorized to enter
into this Agreement pursuant to Florida Statutes s. 165.09,
S-165.196; and
WHEREAS, this Agreement evidences the intentions of the
respective parties to cooperate with each other in the
furtherance of the public's interest;
N 0 W T H E R E F O R E:
SECTION 1. Definitions
Codes: When used herein the term "Codes" shall mean the
current editions including Palm Beach County Amendments where
appropriate, of the following codes as adopted by Palm Beach
County under Chapter 74 -565, Laws of Florida, Special Acts of
1974, as amended by Chapters 75 -467, 77 -623, 79 -543, 80- 565, and
81 -957, Laws of Florida.
STANDARD BUILDING CODE, as amended by Palm
Beach County Ordinance.
STANDARD'PLUMBING CODE, as amended by Palm
Beach County Ordinance.
STANDARD MECHANICAL CODE, as amended by Palm
Beach County Ordinance.
STANDARD GAS CODE
NATIONAL ELECTRICAL CODE, as amended by Palm Beach
County Ordinance.
PALM BEACH COUNTY MOBILE HOME TIE -DOWN CODE
PALM BEACH COUNTY SWIMMING POOL CODE
Department: Where used herein the term "Department" shall
mean the Palm Beach County Planning, Zoning and Building
Department.
Building Official: Where used herein the term "Building
Official" shall mean the director of the Palm Beach County
Building Division.
Fee(s): When used herein the term "fee" or "fees" shall
mean the fee(s) charged as a condition for a building,
electrical, or plumbing permit and /or the inspection fee charged
for inspection of work; both made a part hereof.
Inspector: When used herein the term "inspector" shall mean
any Building Construction Inspector in the employ of the Palm
Beach County Building Division.
Permit: When used herein the term "permit" shall mean
permit issued by the TOWN for any construction work described by
the codes and ordinances enumerated under codes.
Permitee: When used herein the term "permittee" shall mean
any individual, corporation or other business entity applying for
and /or holding a valid permit.
Structures: When used herein the term "structures" shall
mean any and all above - ground, in ground, and /or under ground
structures, and any and all construction, electrical and /or
Plumbing work for which a permit must be obtained.
Section 2. The COUNTY and TOWN, in consideration of the
mutual promises and benefits hereinafter set forth, receipt of
which is hereby acknowledged, do hereby agree as follows:
A. The exclusive purpose of this Inter - governmental
Agreement is to provide the TOWN with the expertise and
assistance of COUNTY'S Planning, Zoning and Building Department
for the inspection of certain construction projects within the
TOWN'S limits.
B. The method by which this purpose will be accomplished is
as follows;
(1) The TOWN shall adopt an ordinance which:
a. incorporates by reference the provisions
of the Codes as presently in force and
effect in Palm Beach County, Florida,
and adopted by COUNTY, and implemented
by the Department;
b. vests the responsibility for reviewing
plans for compliance with applicable
construction codes, issuing permits, and
inspecting structures with the TOWN in
the COUNTY'S Building Official or his
agent; and
C. provides for penalties for violators of said
Codes.
d. upon adoption by the COUNTY of any amendments
to said Codes the TOWN shall immediately, upon
notice by Palm Beach County, amend its
ordinance to accurately reflect such changes.
(2) a. Plans for construction shall be submitted to
the TOWN in triplicate by the applicant and
and shall be reviewed by TOWN for compliance
with TOWN'S Zoning Code and other
non - construction code compliance the
three (3) plans shall be stamped
and submitted to COUNTY by contractor or
owner with the attendant permit
application and fees.
b. COUNTY'S Planning, Zoning and Building
Department shall review and process
all plans, submitted in triplicate
checking the same for compliance with
the Codes; and determine the subsidiary
permits necessary and the amount of fees.
For processing and the inspection
service COUNTY shall receive one hundred
percent (1008) of the permit fee.
Said fees shall be collected by COUNTY.
After reviewing and processing said
construction plans, COUNTY shall
forward two sets of said plans to
TOWN for distribution. COUNTY shall not
forward any plans to TOWN without the
attendant permit.
(3) Applications for all permits shall be submitted to
COUNTY on COUNTY approved forms. The COUNTY shall process and
prepare all permits for construction within the TOWN and forward
said permits to the TOWN for issuance. Any authorized individual
may request the Department to inspect a project on a given time
and date. The permit inspection card and plans shall be on the
constuction site at all times and the inspector, upon the
Coordinator shall not be unreasonably withheld.
Section 3. Duration
This Agreement shall be of a continuing nature unless
cancelled by either party for any reason and without penalty, on
not less than sixty (60) days written notice. Any fees paid to
COUNTY where inspection services are not completed shall be
prorated in accordance with the percentage of inspection
completed and any excess shall be refunded to TOWN.
IN WITNESS WHEREOF, PALM BEACH COUNTY, FLORIDA, has caused
this Inter - governmental Agreement to be executed by the Chairman
of its Board of County Commissioners and the seal of said Board
to be affixed to and attested to by the Clerk of said Board,
pursuant to authority granted by said Board; and the TOWN OF GULF
STREAM, Florida has caused this Inter - governmental Agreement to
be executed in its corporate name by its Mayor and its corporate
seal to be affixed hereto, attested by the TOWN'S Clerk, the date
and year first above written.

OF SUCH PURPOSES; PROVIDING FOR PROPER NOTICE OF
SUCH REFERENDA; AND PROVIDING AN EFFECTIVE DATE.
BE IT RESOLVED BY THE TOWN COMMISSION OF THE TOWN OF
GULFSTREAM, FLORIDA:
Section 1. Authority for this Resolution. This Resolution is adopted pur-
suant to Chapter 166, Part III, Florida Statutes, Sections 100.201 through 100.351, Florida
Statutes, and other applicable provisions of law (hereinafter collectively referred to as
the "Act ").
Section 2. Authorization of Bonds. (a) Administrative Complex Bonds.
Subject and pursuant to the provisions hereof, General Obligation Bonds ( "Bonds ") of the
Town of Gulfstream, Florida, are authorized to be issued in the aggregate principal
amount of not exceeding Nine Hundred Five Thousand Dollars ($905,000) to finance the
following projects (the "Administrative Complex Projects "): construction and equipping of
projects consisting of an administrative complex and repayment of an existing loan upon
the property where the administrative complex will be located, a more particular
description of which is on file in the office of the Town Clerk. The moneys received and
interest earned from the issuance of the Bonds will be used for such purpose. The Bonds
shall be secured by the full faith, credit, and taxing power of the Town. None of the
Bonds shall be issued for a longer term than thirty (30) years from their date of issuance,
and the Bonds shall bear interest at a rate not exceeding the maximum rate permitted by
law at the time of the sale of the Bonds. Both principal of and interest on the Bonds, and
redemption premiums, if any, shall be payable at the office of the paying agent to be
named by the Town prior to the sale of the Bonds.

and the Act, but only after approval at the bond referendum hereinafter called and
subsequent enactment of an authorizing resolution or ordinance by the Town Commission.

from the issuance of the Bonds will be used for such purpose. The Bonds shall be secured
by the full faith, credit, and taxing power of the Town. None of the Bonds shall be issued
for a longer term than thirty (30) years from their date of issuance, and the Bonds shall
bear interest at a rate not exceeding the maximum rate permitted by law at the time of
the sale of the Bonds. Both principal of and interest on the Bonds, and redemption
premiums, if any, shall be payable at the office of the paying agent to be named by the
Town prior to the sale of the Bonds.

interest earned from the issuance of the Bonds will be used for such purpose. The Bonds
shall be secured by the full faith, credit, and taxing power of the Town. None of the
Bonds shall be issued for a longer term than thirty (30) years from their date of issuance,
and the Bonds shall bear interest at a rate not exceeding the maximum rate permitted by
law at the time of the sale of the Bonds. Both principal of and interest on the Bonds, and
redemption premiums, if any, shall be payable at the office of the paying agent to be
named by the Town prior to the sale of the Bonds.

Hundred Dollars ($97,500) to finance the following projects (the "Canal Projects "):
maintenance and improvement of the Town's canals, a more particular description of
which is on file in the office of the Town Clerk. Such amount represents approximately
30% of the cost of the project, the remainder of which shall be paid by property owners
directly abutting the canals to be improved. The moneys received and interest earned
from the issuance of the Bonds will be used for such purpose. The Bonds shall be secured
by the full faith, credit, and taxing power of the Town. None of the Bonds shall be issued
for a longer term than thirty (30) years from their date of issuance, and the Bonds shall
bear interest at a rate not exceeding the maximum rate permitted by law at the time of
the sale of the Bonds. Both principal of and interest on the Bonds, and redemption
premiums, if any, shall be payable at the office of the paying agent to be named by the
Town prior to the sale of the Bonds.

Beach County, and by applicable State law. The polls will be open at the voting places
from 7:00 o'clock A.M. until 7:00 P.M. o'clock on the same day.

cost of the Public Works Projects.
All qualified electors residing in the Town shall be entitled and permitted to

bond referendum shall be designated as provided by the Supervisor of Elections of Palm
Beach County, and by applicable State law. The polls will be open at the voting places
from 7:00 o'clock A.M. until 7:00 P.M. o'clock on the same day.

The voting system shall be so arranged that the voter may vote "For Bonds" or
"Against Bonds" in each referendum separately.
Section 5. Absentee Voting. The form of ballot to be used in each
referendum for absentee voters shall be in substantially the forms provided in Section 4
above.
Section 6. Printing of Ballots. The Town Clerk is authorized and directed
to cause to be printed on plain white paper a sufficient number of the aforesaid ballots for
use of absentee electors entitled to cast such ballots in each referendum, and shall also
cause to be printed sample ballots and deliver them to the Inspectors and Clerks on or
before the date and time for the opening of the polls for each bond referendum for the
voting places at which the voting system is used; and further is authorized and directed to
cause to be printed on plain white paper and delivered in accordance with law the official
ballots for use in such voting system, and to make all appropriate arrangements for the
conducting of each bond referendum.
Section 7. Referendum Procedure. Each bond referendum shall be held
and conducted in the manner prescribed by law for holding general elections, except as
herein provided. The Inspectors and Clerks at each polling place and the Supervisor of
Elections shall canvass the vote and make due returns of same without delay to the Town
Clerk. Such returns shall show the number of qualified electors who voted at each bond
referendum separately and the number of votes cast respectively for and against approval
of each issue of Bonds separately. The return of the Inspectors and Clerks shall, within

twenty -four (24) hours after the close of the polls, be canvassed by the Town Commission,
which shall declare and certify the results of each bond referendum.
Section 8. Referendum Results. If a majority of the votes cast at either
referendum shall be "For Bonds ", the Bonds described in such referendum shall be
approved, and then such Bonds, the issuance of which shall be thereby approved, shall be
issued as shall be provided by the Town Commission. If less than a majority of the votes
cast at either referendum shall be "For Bonds ", the Bonds described in such referendum
shall be defeated, and no Bonds for the purposes described in such referendum shall be
issued, but the defeat of either Bond issue shall not prevent the issuance of Bonds for the
purposes described in the referendum which is approved.
Section 9. Notice of Bond Referendum. At least 30 days, notice of each
bond referendum shall be published in a daily newspaper of general circulation in the Town
of Gulf Stream, Florida, at least twice, once in the fifth week and once in the third week
prior to the week in which the referendum is held, in the form attached hereto as Exhibit
A and in the manner provided in Section 100.342, Florida Statutes.
Section 10. Severability. In the event that any word, clause, phrase,
sentence, or paragraph hereof shall be held invalid by any court of competent jurisdiction,
such holding shall not affect any other word, clause, phrase, sentence, or paragraph
hereof.
Section 11. Repealing Clause. All resolutions or other actions taken by the
Town Commission in conflict or inconsistent herewith hereby are repealed insofar as there
is conflict or inconsistency.
Section 12. Effective Date. This Resolution shall take effect immediately
upon its adoption, this 27th day of January
