HomeMy Public PortalAboutORD16152BILL NO. 2021-028 SPONSORED BY Councilmember Fitzwater ORDINANCE NO. j 15Z AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE A PROFESSIONAL SERVICES AGREEMENT WITH MIDWEST ATC SERVICE, INC., FOR THE PURPOSE OF PROVIDING AIR TRAFFIC CONTROL SERVICES AT THE JEFFERSON CITY MEMORIAL AIRPORT FOR THE PERIOD JULY 1, 2020, THROUGH DECEMBER 31, 2020 BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and Clerk are hereby authorized to execute a Professional Services Agreement with Midwest ATC Service, Inc., for Air Traffic Control Services at the Jefferson City Memorial Airport for the period July 1, 2020, through December 31, 2020. Section 2. This agreement shall be substantially the same in form and content as Exhibit A attached hereto. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage and approval. Passed: Presiding Officer ATTEST: Approved. (913) 782-7082, Fax. (913) 897-9300 Midwest Air Traffic Control recently received a contract modification impacting your cost share agreement for July 1, 2020 through December 31, 2020. This modification is to accommodate contractually indicated annual wage increases for employees. We apologize for the delayed update. Enclosed is a Cost Share agreement reflecting your monthly share based on the newly approved rates. We will send a reconciling invoice or credit to you later this month. In addition, once we receive approval from the FAA for pricing beginning January 1 of 2021, we will send you an updated agreement and any reconciling invoice or credit needed. Sincerely, DeAnna Dresel Executive Vice President EXHIBIT A Agreement THIS AGREEMENT made this 1 st dgy of July, 2020, by and between Jefferson City Memorial Airport (JEF) (hereinafter referred to as "Airport") and Midwest ATC Service, Inc., a corporation with its principal place of business in Kansas and authorized to conduct business in the State of Missouri (hereinafter referred to as "Company"). WHEREAS, Company will operate the control tower at the Jefferson City Memorial Airport under contract with the Federal Aviation Administration (FAA); and WHEREAS, Airport, in carrying out its agreement with the FAA to fund a portion of the air traffic control services under the FAA's Cost Share Program, desires to enter into an agreement with Company to ensure full funding of operations of the control tower at the Jefferson City Memorial Airport; and WHEREAS, Company is willing to enter into such an agreement; NOW, Therefore, in the consideration of the terms, conditions and covenants set forth herein, it is mutually agreed as follows: 1. Term: The term of this agreement is pursuant to the contract number below and commences July 1, 2020. This agreement expires either on December 31, 2020 or when replaced by a new agreement, whichever is sooner. 2. Services: Company shall provide air traffic control services at Jefferson City Memorial Airport as specified in its agreement with the FAA. 3. Payment: In accordance with its cost-sharing agreement with the FAA, Airport shall pay Company $7,708.00 per month. (This figure is based upon the airport's portion of our FAA Contract DTFAWA-I5-C-00019 monthly price of $42,822.00. The airport's portion has been based upon the most recent Benefit Cost information for the airport of .82, making the airport's obligation 18%). This amount may be adjusted from time to time, as approved by the FAA, to cover increases or decreases in Company's approved operating costs including, but not limited to, its labor costs. The FCT Contract contains a 1.0% wage escalation of the base year rate annually, or a revised Wage Determination, whichever is the greater of the two. In addition, collective bargaining unit agreements may be executed and may drive a change in cost. Company shall endeavor to provide to the Airport as much advance notice as possible when adjustments to costs are expected. Company shall invoice Airport on a monthly basis. Invoices shall be payable to Company within 30 days of receipt. Failure to pay any portion of any invoice may result in an immediate termination of services.
