JOINT FACILITIES OPERATING COMMITTEE MEETING

The meeting was called to order by Mike LaPorte at 6:00pm.
Approval of December 19, 2002 meeting minutes. Bob Wolf motioned and Joel Brownson
seconded the motion to approve. Motion carried 7-0.
Partial Pay Application No. 8. The Committee had questions about the stored materials at the
construction site. There was significant discussion with Rob Anderson of MWE regarding
change orders and costs of engineering mistakes being passed onto the customer. The
Committee wants to see more detailed explanation and specific language in any further change
orders submitted. The Committee also asked that Ray Pribble and John T. Jones attend the next
meeting to give the Committee an update. With no further discussion, Rob Anderson of MWE
recommended approval of Partial Pay App #8 for $294,270.64. Joel Brownson motioned and
Ron Anderson seconded the motion to approve. Motion carried 7-0.
Old Business:
Joint Deed of Conveyance. Bob Wolf advised that attorney Dave Bailey received title work last
week and that Grand County No. 1 would be discussing the matter at their next Board meeting.
Bob advised that he was hopeful that the deed would be ready by the next JFOC meeting. Stan
Cazier noted that the deed will still need to be reviewed and approved by Winter Park West and
Fraser Sanitation District. Chairman La Porte appointed a committee of Bruce Hutchins and
Robin Wirsing to follow up and shepherd the process of finalizing the deed.
Vince Turner noted concerns about the existing basin leaking, asked about responsibility for
repairs, and asked what the useful life of a basin is. Jon Westerlund also expressed concerns of
groundwater contamination. Rob Anderson of MWE advised that the basin's useful life is about
50 years, that the construction of the basin as it is was intentional, and assured the Committee
that this was normal for operation. Rob also noted that there were no concerns about the basin
meeting today's standards.
Well Permit Application Update. Rob Anderson advised that McLaughlin has made more calls
and now there is some concern that the State will not approve a commercial exempt permit. He
advised that McLaughlin's thought is to go for a 0 Consumptive Use permit. If that doesn't
work, to deal with augmentation. Stan Cazier recommended that the permits be filed as soon as
possible as the permit fees will be increasing significantly very soon. Once the permits are filed,
the details can be worked out. Stan also noted that he supports the action being taken, that we
need to legalize what we have. He also noted that he felt that the plan was something that would
work out, but to work through the process until it gets where it needs be. Rob Anderson advised
that they will get the permits submitted before the next JFOC meeting.
New Business: Rob Anderson advised the Committee that he has researched the costs for
addition of VFD's for the Submerged Turbine Mixers for the additional change order previously
discussed. The costs are at $62,000 without any markups which exceeds the previous estimate of
$50,000. It would now be closer to 8 years before there would be any payback and asked the
Committee for their thoughts and if they wanted to proceed.
The Committee asked about options available and had questions about contractual matters if the
costs were to be backed out for the VFD's and direct purchase by the Joint Facilities. JFOC
Attorney, Stan Cazier, cautioned that the warranty period needed to be considered. The
Committee also discussed issues with Mountain Parks Electric concerning Soft Starts and
harmonics. After lengthy discussion, the Committee decided that they would not approve
moving forward to purchase the VFD's; construction would continue as designed; and that
additional conduit would be included in the floor before concrete is poured so as to allow for
future upgrades. Rob Anderson said that he agreed with the decision and advised that he would
ask for a credit for the Soft Starts. With no further discussion, Vince Turner motioned and Joel
Brownson seconded the motion to add conduit before concrete is poured and not to move
forward with the purchase of VFD's. Motion carried 7-0.
Manager Report:
Ron Anderson advised the Committee that as Manager, Fraser Sanitation District approved the
change orders #2 and #3 at their January 7, 2003 Board meeting. Ron noted that he did not
attend that meeting and expressed his feelings about the matters discussed earlier, noting that if
he was there, he may not have voted to approve the change orders.
Joe Fuqua updated the Committee on the progress of construction.
Attorney Report. Stan noted that the initial inspection report was recently completed by the
State. It was a clean report and that the Districts should review it if they have not already.
Board Choice: None presented.
Motion to adjourn was made by Vince Turner and seconded by Joel Brownson. Motion carried
7-0. Meeting was adjourned at 7:30pm
The next meeting of the JFOC is scheduled for February 20th.
Kirk Klancke asked the Committee if the construction update meetings could be moved back to
5:00 pm as it is now staying light longer and the time was more accommodating. The
Committee was in agreement.
