Minutes On motion duly made and seconded the Minutes of the October 20, 1988 meeting were approved. 3. Financial Report Mr. Gwynn gave the October report then spoke on the State Comprehensive Plan noting a meeting on the Plan will be part of the Town Commission December 9, 1988 meeting. Mayor Koch said the meeting will be advertised and posted. The Commissioners will receive the Audit Report a week prior to the December meeting. The Financial Report was approved by the ConmLission on motion duly made and seconded. 4. Police Report Mayor Koch congratulated the Police Department and all Town Employees for the Town Commission Meeting November 18, 1988 Minutes Page Two 4. Police Report (continued) good work during the visit of President -Elect George Bush. Commissioner Cross also comTended the Police for their hard work. Chief Greer gave the October report noting the month was "crime free" and further noting he and his department received special commndation from the President -Elect and from the Secret Service that not one incident occured in the Town of Gulf Stream during Mr. Bush's visit here. Chief Greer relayed Mr. Bush's thanks to all Gulf Stream residents saying he "Had a good rest and had enjoyed himself ". Commissioner Armour asked the Police Department letter contain a request to residents to re- establish communication with the Departmrent on their alarm systems. Chief Greer noted Place Au Soleil request to put in speed stripes is an internal matter and not a police matter. 5. Planning & Zoning Report Mr. Mayer noted the September 9, 1988 two- variance request by Mr. Thomas Walsh and the Commission decision to defer action on the second request until the concerned parties reached agreement. Mr. Boyer, attorney for Mr. Walsh, stated an arrangement has been worked out with Mr. Oren. Mr Boyer submitted a fax copy of a Stipulation signed by himself and Mr. Williams, attorney,for Mr. Oren, to the Town Manager. The original Stipulation will be filed with the Commission in a few days, Mr. Boyer said. On motion duly made and seconded the Commission accepted the recommendation of the Planning and Zoning Board to approve the second variance request subject to the terms set down in the Stipulation and as approved by Mr. Randolph. 6. Status Report on F.I.N.D. Mayor Koch gave a recent background of this matter noting he and Mr. Dittman met recently with Seacrest Properties who want to purchase the F.I.N.D property for development. Mr. Dittman, using a map, explained the problems surrounding said property. Mr. Nowlin presented Seacrest's interests. Mayor Koch said the Town of Gulf Stream will have access to this property and that it will remain residential no matter who owns said property. The Mayor said residents of the Town of Gulf Stream should be informed of the Seacrest Properties proposal and that the Comnission needs resident's comments. Therefore, a Special Public Hearing will be held after the Regular Meeting on December 9, 1988. Town Commission Meeting November 18, 1988 Minutes Page Three 6. Status Report on F.I.N.D. (continued) Discussion ensued on the location of the Town of Gulf Stream access to F.I.N.D. property. No action was taken. 7. Mrs. Gezelschap read a letter commending Commissioner Cross and Chief Greer for their excellent protection of Vice - President and Mrs. Bush and of the Town of Gulf Stream during the recent visit of Mr. and Mrs. Bush. 8. Convassion Convents Mayor Koch spoke on the operation of Town government. Noting the growth of said government and attendant problems, the Mayor said the Town has begun to tighten operations by spelling out department responsibilities and initiating job descriptions as the first stage of this operation. The Mayor had received an up-to -date Table of Organization for the Town; copy is attached hereto and made a part of these Minutes. 9. Public Comments Mr. Henry Wright spoke on the need for a sewer system and the possibility of Bond Issue financing. Mr. Charles Winston spoke in support of Mr. Wright's proposal. Discussion ensued on an extrapolation of millage costs for said Bond Issue. Mayor Koch said the Engineer's Sewer Report and the cost study will be provided to interested parties and to the Gulf Stream Civic Association. Ms. Valerie Shields requested Burt Reynolds Productions be permitted use of certain areas of the Town for a movie production. Commissioner Armour suggested Ms. Shields discuss the matter with the Town Manager. No action was taken. Koch, Jr. Mayor Town of Gulf Stream 100 Sea Road Gulf Stream, FL 33483 I RE: Seacrest Commercial Properties Ltd. Dear Mayor Koch: J.W. NOWLIN (1903 -1984) Sometime back we wrote to'you concerning our possible acquisition of the 11 acre tract owned by F.I.N.D. within the town limits of Gulf Stream. We are presently scheduled to appear before the Town Council on November 18, 1988 to discuss this matter further, and I have been requested to put in writing what our anticipated clans are and what we would request from the Town of Gulf Stream. Seacrest Commercial Properties Ltd. is a Florida limited partnership in which Lois Kelly and James W. Nowlin, Jr. are the general partners, which is the developer of a project in the City of Delray Beach known as "Marina Cay ". You are, of course, aware that at one time we approached the Town of Gulf Stream about incorporating the F.I.N.D. property into the Marina Cay project as a commercial development. In view of the Town's objection to commercial development, this project was dropped insofar as the Town of Gulf Stream is concerned, but is continuing as a smaller project within the city limits of Delray Beach. The partnership would be very interested in pursuing an exchange of other Droperties with F.I.N.D. to acquire F.I.N.D.'s 11 acre tract for the development of a residential development similar to the P.lace Au Soleil which lies to the North of the F.I.N.D. tract. In connection with the adquisition of this tract, we would agree that the development would remain residential in character and would remain within the town limits of Gulf Stream. We would also agree to supply an easement for ingress and egress over the Marina Cay project, free and clear of encumbrances, and in connection with that, I enclose a copy of a letter from our mortgagee, advising that they would be willing to release an easement to the subject property. Honorable William F. Koch, Jr. Mayor Page 2 November 14, 1988 In developing the project, we would request the City of Delray Beach to supply sewer and water through Marina Cay. We would also adopt a Declaration of Restrictions and create a mandatory homeowners' association for enforcement of the deed restrictions which would be Dlaced on the land. What we would request of the Town of Gulf Stream, would be that the Town would: 1. Write a letter of support to the City of Delray Beach, evidencing that the Town of Gulf Stream does not object to the Marina Cay project within the City of Delray Beach. 2. Grant zoning on the property which would allow residential lots essentially equivalent in size to the lots within Place Au Soleil. 3. Agree that.the Land Use Plan for the F.I.N.D. tract is now and will be at all times of a residential nature. 4. Agree that the zoning for the F.I.N.D. tract is now, and will be at all times, residential. 5. SuDDort Seacrest Commercial Properties Limited in its negotiations with F.I.N.D. to work out an acceptable swap of real property so that Seacrest Commercial Properties Limited may acquire title to the F.I.N.D. parcel. As long time neighbors of the Town of Gulf Stream, we are, of course, very familiar with the traditions of the Town, and we wish to create a development that conforms with the Town's aims and characteristics. In developing the project, we would request the City of Delray Beach to provide sewer and water through Marina Cay. NOWLIN (1903.1964) I had a conversation yesterday with ,Rob Dittman of Place Au Soleil concerning my letter to you of November 14, 1988. Mr. Dittman and I expressed our mutual concerns which I could summari--e as follows: 1. The Town is concerned that in supporting our project on the F.I.N.D. property, it is possible that F.I.N.D, may not go along with this concept which would leave the property without an access and would expose it to potential future owners attempting to withdraw the property from the Town of Gulf Stream. 2. Our concern is that if we go to the trouble and expense of giving an access to the F.I.N.D. property over our existing property. which will be maintained at our expense, that F.I.N.D. may not go along with our suggestion exchange, and we in, effect, would be supplying a free access for some other developer. Rob and I discussed this at some length, and we feel that we have arrived at- a ,fair and equitable solution for both the Town and Seacrest Commercial Properties Ltd. What our suggestion is is that we will now agree to'give an easement for ingress and egress over our property, which may be moved from time to time to the Town of Gulf Stream, or its assigns, with a restriction that should the Town of Gulf Stream ever assign the rights to any other owner, user, or the public, that the person or persons acquiring the F.I.N.D. tract would be obligated to pay to Seacrest Commercial Properties Ltd. the fair market value of the easement and right of access given to the property. Financial Report Mr. Gwynn gave the October report then spoke on the State Comprehensive Plan noting a meeting on the Plan will be part of the Town Commission December 9, 1988 meeting. Mayor Koch said the meeting will be advertised and posted. The Commissioners will receive the Audit Report a week prior to the December meeting. The Financial Report was approved by the Commission on motion duly made and seconded. 4. Police Report Mayor Koch congratulated the Police Department and all Town Employees for the Town Commission Meeting November 18, 1988 Minutes Page Two 4. Police Report (continued) good work during the visit of President -Elect George Bush. Commissioner Cross also commended the Police for their hard work. Chief Greer gave the October report noting the month was "crime free" and further noting he and his department received special commendation from the President -Elect and from the Secret Service that not one incident occured in the Town of Gulf Stream during Mr. Bush's visit here. Chief Greer relayed Mr. Bush's thanks to all Gulf Stream residents saying he "Had a good rest and had enjoyed himself ". Commissioner Armour asked the Police Department letter contain a request to residents to re- establish communication with the Department on their alarm systems. Chief Greer noted Place Au Soleil request to put in speed stripes is an internal matter and not a police matter. 5. Planning & Zoning Report Mr. Mayer noted the September 9, 1988 two- variance request by Mr. Thomas Walsh and the Commission decision to defer action on the second request until the concerned parties reached agreement. Mr. Boyer, attorney for Mr. Walsh, stated an arrangement has been worked out with Mr. Oren. Mr Boyer submitted a fax copy of a Stipulation signed by himself and Mr. Williams, attorney for Mr. Oren, to the Town Manager. The original Stipulation will be filed with the Commission in a few days, Mr. Boyer said. On motion duly made and seconded the Commission accepted the recommendation of the Planning and Zoning Board to approve the second variance request subject to the terms set down in the Stipulation and as approved by Mr. Randolph. 6. Status Report on F.I.N.D. Mayor Koch gave a recent background of this matter noting he and Mr. Dittman met recently with Seacrest Properties who want to purchase the F_I.N.D property for development. Mr. Dittman, using a nap, explained the problems surrounding said property. Mr. Nowlin presented Seacrest's interests. Mayor Koch said the Town of Gulf Stream will have access to this property and that it will remain residential no matter who owns said property. The Mayor said residents of the Town of Gulf Stream should be informed of the Seacrest Properties proposal and that the Commission needs resident's comments. Therefore, a Special Public Hearing will be held after the Regular Meeting on December 9, 1988. Town Commission Meeting` November 18, 1988 Minutes Page Three 6. Status Report on F.I.N.D. (continued) Discussion ensued on the location of the Town of Gulf Stream access to F.I.N.D. property. No action was taken. 7. Mrs. Gezelschap read a letter conmending Commissioner Cross and Chief Greer for their excellent protection of Vice - President and Mrs. Bush and of the Town of Gulf Stream during the recent visit of Mr. and Mrs. Bush. B. Conudssion Comments Mayor Koch spoke on the operation of Town government. Noting the growth of said government and attendant problems, the Mayor said the Town has begun to tighten operations by spelling out department responsibilities and initiating job descriptions as the first stage of this operation. The Mayor had received an up-to -date Table of Organization for the Town; copy is attached hereto and made a part of these Minutes. 9. Public Comments Mr. Henry Wright spoke on the need for a sewer system and the possibility of Bond Issue financing. Mr. Charles Winston spoke in support of Mr. Wright's proposal. Discussion ensued on an extrapolation of millage costs for said Bond Issue. Mayor Koch said the Engineer's Sewer Report and the cost study will be provided to interested parties and to the Gulf Stream Civic Association. Ms. Valerie Shields requested Burt Reynolds Productions be permitted use of certain areas of the Town for a movie production. Commissioner Armour suggested Ms. Shields discuss the matter with the Town Manager. No action was taken. Skelly, Jr. and Brian Cottrell of the Florida League of Cities, Inc., you requested that I review the Town of Gulf Stream's insurance program to evaluate the adequacy of the present insurance. At that time I resppnded that I wanted to consult with John Randolph prior to conducting such an analysis. John Randolph and I have discussed your request that I evaluate the Town's present liability insurance coverage. An analysis such as you have proposed would likely encompass a comparison of your present insurance coverage with that of other municipalities in this state which have similar demographics. Such information is not maintained by this office and would be costly to assemble. Nevertheless, such a comparison would likely be useful in a determination of how your municipality compares with others. For the -reasons stated, John Randolph and I therefore do not believe it would be appropriate for this law firm to conduct the analysis that you requested. However, as counsel for the Town of Gulf Stream, we recommend that if such an analysis is desired, that it be conducted by an independent company that specializes in making the type of analysis you outlined to me. Marsh & McLennan, while I am not necessarily recommending this firm, would possibly be a suitable company for conducting such an analysis. (I believe Marsh & McLennan prepared the prior study that you referred to in our meeting.) I firmly believe that J-, , . If the proposed assign•* of the easement and SEACRZST are unable to agree as to the contributory value of the easement to the P,I.N.D, parcel, each party shall within 30 days of notice of intended assignment of easement, appoint an appraiser who is a member of- the American Institute of Real &state Appraisers to determine the num to be•paid to SEACRtST.
