For Seacrest Properties Architect for Mr. Walsh Ernst & Whinny On motion duly made and seconded the Minutes of the November 18, 1988 meeting were approved. 3. Financial Report Mr. Gwynn gave the November report noting tax revenues and the investment thereof. On motion duly made and seconded the Comnission accepted the Financial Report. Mr. Gwynn spoke on the Audit Report as submitted by Ernst & Whinny noting his compliance with State law by letter of rebuttal to the Auditor's exceptions, sent to the Auditor General of the State of Florida. Financial Report (continued) Mr. Brenner of Ernst & Whinny spoke on the Audit noting it was all "good news" and reminding the Town that the Financial Statements are the responsibility of the Town and the report on the fairness of said statements is the responsibility of the auditing firm. On motion duly made and seconded the Commission accepted the Auditor's Report as approved. 4. Police Report Chief Greer gave the Police Report for November. Commissioner Cross spoke on creating a "No Parking" zone. Mr. Randolph advised input from the State Department of Transportation prior to enacting a Town Ordinance. On motion duly made and seconded the Commission accepted the Police Report- 4 a) Mr. Gwynn said two reports have been added to the Agenda namely: 1. Report from the Code Enforcement Officer on Construction in progress. 2. Report from the Department of Public Works giving general information. 5. Planning and Zoning Board Report a) Revised Site Plan Review. Mr. D. Walsh, 915 Orchid Lane. Mr. Mayer gave a general history of the Walsh renovation. Messrs. Dittman, Armour, Cousin and Mrs. Walsh spoke to the matter. On recommendation of the Town Attorney motion was made and seconded that the architect's proposed plan be approved subject to the elimination of the door in question and replacement of said door with a window; subject also to Mr. Walsh entering into a "Kitchen Removal Agreement" in recordable form, said Agreement will require the kitchen be removed in the event said kitchen is not in continued use by a member of the family. On motion duly made and seconded the motion was passed. b) Preliminary Site Plan Review. Gulf Stream Bath & Tennis Club Mr. Mayer informed the Commission that said Club requires the approval of the Department of Natural Resources to build a swimming pool. Said Club requests the Town Commission write to DNR stating the Town has no objection to the Club constructing said pool in conformance with previously presented plans. The Commission agreed to write said letter. Mayor Koch announced Items 6 and 7 of the Agenda will be held over until after this meeting. Town Commission Meeting December 9, 1988 Minutes Page Three 8. Commission Comments Town Manager Mr. Gwynn requested Commission approval of the final adjusted Pay Scale adopted for Town Employees as required by the Auditors. On motion duly made and seconded the Commission approved the Pay Scale. Mr. Gwynn spoke on a Police Department request for additional payment to Captain Buchan for time he expended during the visit of President - Elect Mr. Bush. Inasmich as Captain Buchan is considered management payment was initially refused. Recognizing this as an unusual instance, the Commission approved payment of straight time in the amount of $650 for Captain Buchan on motion duly made and seconded. Commissioner Armour suggested a Policy Review of police working hours. Mr. Gwynn spoke on a Police Department request for payments for three sergeants. This matter was tabled and no action taken. Mr. Gwynn read a letter addressed to the Town Commission setting forth the resignations of himself and Mrs. Gwynn. The original letter is attached hereto. Mayor Koch spoke on the excellent service Mr. and Mrs. Gwynn gave the Town for many years; that they had faced difficult problems before but would have a hard time getting over this one. The Mayor suggested the Commission and the Town Attorney review the recommendations and proposals in Mr. Gwynn's letter for future action. Commissioner Armour moved, with deep regret, to accept the resignations and to consider Mr. Gwynn's recommendations. Motion was seconded and approved. Mayor Koch announced the Town had been served by the Public Employees Relations Committee with a Notice that a group within the Police Department decided to organize for the purpose of collective bargaining. Mr. Randolph said no action need be taken until the Town has an opportunity to study the matter. The meeting was recessed by Mayor Koch at 10:10 a.m. The meeting was resumed at 10:20 a.m. 6. Update Regarding F.I.N.D. Property -Robert Dittman, Esq. Mr. Dittman sketched the two -year history of this property and the Town of Gulf Stream's continuing concern, diligence and persistence in pursuit of the protection of the Town's interests. Discussion ensued on options available to the Town i.e. an access easement to this property and that the property remain forever in the Town of Gulf Stream . Mr. Dittman noted that an Agreement had been drawn up between Mr. Randolph Town Commission Meeting December 9, 1988 Minutes Page Four 6. Update on F.I.N.D. Property (continued) and Mr. Nowlin on items of specific understanding reached at a Place Au Soleil meeting. on the inquiry by Mayor Koch, Mr. Randolph said he had a Draft Agreement on the matter with several questions for discussion. It was noted that a meeting is set down for Tuesday, December 13, 1988 with the City of Delray Beach. Mayor Koch pursued the question of the width of the road easement so the property can be developed residential whomever buys it. Mr. Brautigan, Architect for Seacrest Properties, exhibited a map of the area under discussion and described the location of the easement in question, the location of proposed facilities and buffer zones. Mayor Koch noted the Town of Gulf Stream could put in a road on the strength of the easement and further noting a fifty -foot easement on the north side would satisfy the needs of the Town. Mayor Koch said ... when we agreed to to along with this, if we do, we immediately require a Deeded, clear of all encumbrance, right -of -way into that property. Commissioner Stahl requested the easement be clearly defined. Mr. Randolph responded... the Town of Gulf Stream has the easement but it does not so state that the Town can build a road. He further stated all control over the easement will be in the previously noted Agreement or by the Plan as approved by the City of Delray Beach. Mayor Koch asked for clarification ... the Town should have the right, if it is not improved, to improve it ourselves at our expense... this belongs in the Agreement. Several persons responded to the Mayor's call for comments from the audience. on a comment regarding land clearing inconvenience to residents it was stated clearing and building will be done on a lot -by -lot basis. The welfare of the community will be considered, Mayor Koch said, and the developer must bring in plans before any work can be done. On request of Mr. Armour, Mr. Randolph summarized and explained changes in the proposed Agreement with Commissioners following on their copies. Mayor Koch noted all changes have been agreed to by Counsel. Commissioner Armour proposed a motion stating the Commission accepts the Agreement as amended here today and authorizes the Mayor to sign said Agreement on behalf of the Town. On motion duly made and seconded the motion was approved. Mayor Koch thanked Bob Dittman for his work on this matter. First State - Mandated Public Hearing on the Entire Draft Plan. The meeting was called to order by the Hon. William F. Koch, Mayor, at 11:15 a.m. Roll Call Present: William F. Koch, Jr. Alan I. Stahl Also present: William Gwynn Barbara G17YM Mayor Vice -Mayor Commissioner Commissioner Commissioner Town Manager Town Clerk Noting a quorum present Mr. Gwynn introduced Terry A. Clark, Director of Planning, Resource Engineering and Planning, Inc. Mr. Clark noted this as the first of two required advertised Public Meetings before transmittal to the State of the Comprehensive Plan. The purpose of this meeting, Mr. Clark stated, is to review the plan and get comments from the Commission and the public. on January 13, 1989 Mr. Clark will attend the Town Commission meeting with hopes the Commission will recommend transmittal of the Plan to the State by February 1, 1989. Mr. Clark noted he had designated the F.I.N.D. property as single - family residental. Discussion ensued about the possibility of the Town annexing other F.I.N.D properties. Mayor Koch requested clarification of the right of the Town to annex adjacent property. The Commission critiqued Mr. Clark's presentation paragraph by paragraph with their copies noting additions, omissions, corrections and changes as needed. The meeting was adjourned at 12 noon. GWYNN Assistant Town Manager -Town Clerk BARBARA GWYNN Chief of Police JAMES GREER On February 1, 1974, the Town Commission hired Barbara and me to direct the Town administration as Town Clerk and Town Manager and Treasurer. The Town Clerk was to administer all the departments and to perform the daily duties that were required. The Town Manager was to oversee the operation of the Town and the duties of the Town Clerk. As Treasurer, he was responsible for all phases of budget and finance. He was not to be on duty in the Town Hall �— on a daily basis. After fifteen years, this perception has been stretched and changed so much it is impossible for us to continue in these positions. The inability of the Police Department to operate in this framework has required more time of the Town Manager than I am able to give. Had the Police Department been willing to cooperate and work through the Town Clerk, this employment relationship could have continued for years to come. However, since my very busy accounting practice needs me and Barbara has served the Town with dedication and loyalty for fifteen years and now needs to direct her life in other pursuits, we both submit our resignations to you for your consideration. We would hope that asmooth transition can be accomplished by January 31, 1989. We both will prepare written procedures and recommendations during this time. However, we both agree that the first recommendation is to abolish the titles and positions of finance commissioner, police commissioner, and public works commissioner. In a Town manager form of government, they can be counterproductive to the stable and efficient operation of the entire Town government. �. Barbara C. Gwynn William E. I am now reviewing our entire banking setup to see what can be done to maximize the total return of our funds with the least amount of expense and time. I have notified the insurance agent that we are increasing our coverage on the police department building to its replacement value. A complete review of all the insurance is now in the process of being reviewed by the Town with the insurance agent. The exceptions listed in their review of the Annual Financial Report of Units of Local Government have been noted and will be implemented in the next annual report. WEG:csg Yours truly, William E. These financial statements are the responsibility of the Town's management. Our responsibility is to express an opinion on these financial statements based on our audit. Control by or dependence on the Town was determined on the basis of budget adoption, taxing authority, outstanding debt secured by revenue or general obligations of the Town, obligation of the Town to finance any deficits that may occur or receipt of significant subsidies from the Town. Based on the foregoing criteria, there are no organizations which should be included in the Town's financial statements. NOTE B-- SIGNIFICANT ACCOUNTING POLICIES Basis of Presentation: The financial activities of the Town are recorded in separate funds and account groups, categorized and described as follows: Governmental Funds General Fund - -This fund is used to account for all financial trans- actions not accounted for in another fund. Revenue is derived pri- marily from property taxes, intergovernmental revenue, charges for services and franchise fees. Debt Service Fund - -This fund is used to account for the accumulation of resources for the payment of general long -term debt principal and interest. Proprietary Fund Enterprise Fund- -This fund reports operations that provide services which are financed primarily by user charges or activities where periodic measurement of net income is appropriate for capital main- tenance, public policy, management control or other purposes. The Enterprise Fund includes the Town's municipal Water Fund. Fiduciary Funds Pension Trust Fund- -This fund is used to account for assets held in trust for employee pension benefits. Deferred Compensation Agency Fund - -This fund is used to account for assets held in trust for employees under the Town's deferred compen- sation plan. -8- NOTES TO FINANCIAL STATEMENTS -- CONTINUED TOWN OF GULF STREAM, FLORIDA NOTE B-- SIGNIFICANT ACCOUNTING POLICIES -- CONTINUED Account Groups General Fixed Assets Account Group - -This account group presents the fixed assets of the Town utilized in its general operations. General Long -Term Debt Account Group - -This account group presents the general obligation long -term debt of the Town. Basis of Accounting: The accrual basis of accounting is followed for the Enterprise Fund and the Pension Trust Fund. The modified accrual basis of accounting is followed for all other funds. The modified accrual basis of accounting is defined as "the basis of accounting under which expenditures are recorded at the time liabilities are incurred and revenue is recorded when measurable and available." Budget: An appropriate budget is legally required for the General Fund and is prepared on the cash basis of accounting. The budget represents depart- mental appropriations as authorized by ordinance and revisions authorized by the Town commission during the fiscal year. Unexpended appropriations lapse at year end. Inventory: Inventory is stated at cost on the first -in, first -out basis and is accounted for using the purchase method. Prepaid Expenses: Expenditures for insurance premiums and other administra- tive expenses extending over more than one accounting period are accounted for as prepaid expenses and allocated between accounting periods. Fixed Assets: General Fixed Assets Fixed assets acquired or constructed for general governmental serv- ices are recorded as expenditures in the fund making the expenditure and capitalized at cost in the General Fixed Assets Account Group. In the event that actual cost cannot be determined, estimated cost at the time of acquisition is used. The Town includes infrastruc- ture assets in the financial statements of the General Fixed Assets Account Group. No depreciation is taken on the general fixed assets. Net interest costs on funds borrowed to finance the con- struction or acquisition of fixed assets is capitalized. -9- NOTES TO FINANCIAL STATEMENTS -- CONTINUED TOWN OF GULF STREAM, FLORIDA NOTE B-- SIGNIFICANT ACCOUNTING POLICIES -- CONTINUED Property and Equipment (Proprietary Fund) These assets are stated at cost or, if donated, fair market value at the date of donation. Expenditures which materially extend the use- ful life of existing properties are capitalized. The cost of prop- erty sold or retired, together with the related accumulated depre- ciation, is removed from the appropriate accounts and any resulting gain or loss is included in net income. Depreciation on property and equipment is computed using the straight -line method over the estimated useful lives of the related assets which are: Equipment 20 years Water distribution system 40 -50 years Compensated Absences: Town employees may accumulate up to 20 days of vaca- tion leave and 60 days of sick leave. Accumulated vacation and sick leave is payable to employees upon termination or retirement at the rate of pay on that date. Accumulated vacation and sick leave benefits at September 30, 1988 have been accrued in the accompanying financial statements. Revenue Recognition: Ad valorem taxes are assessed on property valuations as of January 1 and levied the following October. They are due March 31 and become delinquent April 1. These taxes are collected by Palm Beach County and remitted to the Town. Revenue is recognized upon receipt from Palm Beach County at which time the revenue is both measurable and available. Interfund Transactions: The basic type of interfund transactions made dur- ing the year were operating transfers which are legally authorized trans- fers from a fund receiving revenue to the fund through which the revenue is to be expended. Fund Balance Reserves: Fund balance reserves signify that a portion of the fund balance is not to be considered as available for subsequent expenditure other than for the specific purpose for which the reserve was established. The following is a list of all reserves used by the Town and a description of each: Reserved for Inventory- -An account used to segregate a portion of fund balance to indicate that inventory does not represent availa- ble, spendable resources even though it is a component of assets. In a defined contribution plan, benefits depend solely on amounts contributed to the plan plus investment earnings. Employees are eligible to participate after reaching the age of 21 and completing 1 year of service. The plan requires that the Town contribute an amount equal to 7% of the employee's base salary each month. Employees may make voluntary contributions. The Town's contribution for each employee (and interest allocated to the employee's account) vest at a rate of 10% per year. Town contributions and interest forfeited by employees who leave employment before satisfying the vesting requirements are used to reduce the Town's current period contribu- tion requirement. The Town's total payroll in fiscal year 1988 was approximately $440,000. The Town's contributions were calculated using the base salary amount of approximately $345,000. The Town made a 7% contribution amounting to approximately $20,000. Employees made voluntary contributions of $9,655. Investments with insurance company are reported at cost and consist of Pen- sion Trust Fund assets invested by IDS Financial Corporation in group annuity contracts. The investments are uninsured and uncollateralized. NOTE I -- DEFERRED COMPENSATION PLAN The Town offers its employees a deferred compensation plan created in accordance with Internal Revenue Code Section 457. The plan, available to all Town employees, permits them to defer a portion of their salary until future years. The deferred compensation is not available to employees until termination, retirement, death or an unforeseeable emergency. Assets of the plan are invested in insurance contracts reported at market value at September 30, 1988. -14- V r NOTES TO FINANCIAL STATEMENTS -- CONTINUED TOWN OF GULF STREAM, FLORIDA NOTE I -- DEFERRED COMPENSATION PLAN -- CONTINUED All amounts of compensation deferred under the plan, all property and rights purchased with those amounts and all income attributable to these amounts, property or rights are (until paid or made available to the employee or other beneficiary) solely the property and rights of the Town (without being restricted to the provision of benefits under the plan), subject only to the claims of the Town's general creditors. Participants' rights under the plan are equal to those of general creditors of the Town in an amount equal to the fair market value of the deferred account for each participant. It is the Town's opinion that they have no liability for losses under the plan but do have the duty of due care that would be required of an ordinary prudent investor. The Town believes that it is unlikely that it will use the assets to satisfy the claims of general creditors in the future. Cash and Money Market Accounts The Town's operating bank account is a noninterest— bearing demand account which had an average monthly balance of up to $60,000 throughout the year. Consideration should be given to the use of interest — bearing accounts to enhance investment return. In addition, we noted that the Town had over $200,000 in money market accounts at year end. We believe the Town could improve its yield on invested funds by using certificates of deposit, U. S. Treasury obligations or the State Board of Administration investment pool. Insurance Coverage The police department's building is currently insured for $100,000 through the Town's commercial property insurance policy. It is our understanding that the replacement cost of this building is substantially higher than $100,000. We recommend that the Town review its insurance coverages with —21— its insurance agent to be sure that all assets are properly insured. Furthermore, policy coverages should be reviewed periodically with the Town's insurance agent to be sure that coverages are updated for changes. With regard to the management letter dated October 28, 1987 relating to the year ended September 30, 1987, we noted that all recommendations have been implemented as of September 30, 1988. As part of our audit, we reviewed the Annual Financial Report of Units of Local Government filed by the Town with the Florida Department of Banking and Finance for the year ended September 30, 1987. The Annual Financial Report was in agreement with the audited general purpose financial state- ments for the year ended September 30, 1987, except for the following: (1) a $6,023 deposit was included in General Fund assets instead of in the Water Fund and (2) the Deferred Compensation Agency Fund was combined with the Pension Trust Fund and was included under the Pension Fund column instead of being shown as an Other Trust and Agency Fund. The Town Clerk was to administer all the departments and to perform the daily duties that were required. The Town Manager was to oversee the operation of the Town and the duties of the Town Clerk. As Treasurer, he was responsible for all phases r of budget and finance. He was not to be on duty in the Town Hall on a daily basis. After fifteen years, this perception has been stretched and changed so much it is impossible for us to continue in these positions. The inability of the Police Department to operate in this framework has required more time of the Town Manager than I am able to give. Had the Police Department been willing to cooperate and work through the Town Clerk, this employment relationship could have continued for years to come. However, since my very busy accounting practice needs me and Barbara has served the Town with dedication and loyalty for fifteen years and now needs to direct her life in other pursuits, we both submit our resignations to you for your consideration. We would hope that asmooth transition can be accomplished by January 31, 1989. We both will prepare written procedures and recommendations during this time. HoweVer,,we both agree that the first recommendation is to abolish the titles and positions of finance commissioner, police commissioner, and public works commissioner.
