OVERTON, as Deputy City Clerk of the City of McCall, Valley County, Idaho (the "City"), does hereby certify: 1. Such of the foregoing as were required to take or file oaths of office, or to give bonds or undertakings, have duly taken or filed such oaths of office and have duly filed such bonds or undertakings in the form and manner required by law, and each is the duly qualified and acting officer as aforesaid. 3. The City is, and at all times pertinent hereto has been, a municipal corporation duly organized and existing under the laws of the State of Idaho. 4. Included in this transcript as Document No. 2 is a true and correct copy of Resolution No. 00-22, adopted by the City Council on October 24, 2000, making findings and declarations with respect to the financing of domestic water system facilities. 5. Included herein as Document No. 3 are true and correct copies of the Memorandum of Findings of Fact and Conclusions of Law, and Judgment, entered on March 23, 2001, in Case No. SPO1-19C of the District Court of the Fourth Judicial District of the State of Idaho, in and for the County of Valley. 6. Included herein as Document No. 4 is a true and correct copy of the Loan Offer, Acceptance and Contract for Drinking Water Treatment Design and Construction (the "Loan Agreement") between the State of Idaho, Department of Environmental Quality, as lender, and the City, as borrower, dated April 32, 2002. Said Loan Agreement has been duly authorized by motion of the City Council and is in full force and effect. 7. Included herein as Document No. 7 is a true and correct copy of Resolution No. 04-03, adopted by the City Council of the City at a regular meeting duly held and conducted on April 8, 2004, authorizing and providing for the issuance of a promissory note to the State of Idaho in accordance with the terms of Resolution No. 04-03. Resolution No. 04-03 has not been subsequently amended or repealed, in whole or in part, and is in full force and effect as of the date of this Certificate. 8.
