The City of McCall will maintain the golf courses and buildings. 1.1 Operation and management of course shall include, but not be limited to the following: 1.1.1 Managing daily play to include collecting fees; regulating play; enforcing rules and regulations, and tournament administration. 1.1.2 Provide lessons by PGA Certified Teaching Professionals. 1.1.3 Operate, manage, and supervise the use of the driving range and putting practice greens, including providing equipment required to properly operate a driving range. 1.1.4 Advertise and promote public play at the golf courses(s) and the sale of merchandise and services. 1.1.5 Operate, manage, and maintain golf shop in a professional, up-to-date manner to include, but not be limited to, sales, rental, and repair of golf equipment, clothing, and accessories. 1.1.6 Work with volunteers, Golf Course Advisory Committee, Men's and Women's Clubs, the Jr. Golf Program, and promote youth and senior golf opportunities to enhance golf programs and customer service offerings. 1.1.7 Operate a restaurant, bar and food concession business, serving food, alcoholic and nonalcoholic beverages to all patrons of said golf course as well as the general public. This Agreement is contingent on Contractor obtaining a City of McCall business license and liquor license and complying with all applicable federal, state and city laws, ordinances and regulations. Contractor shall have the right to conduct additional services after the required hours of golf course operations. Evening meals (dinners), wedding receptions, organizational meetings, banquets, and private parties may be conducted providing however, that any event or activity does not interfere with normal golf course operations and providing the concession services to the golfing public. 2 PROPOSAL RECEIPT AND OPENING For consideration, proposals must be received and time -stamped in the McCall City Hall Building no later than C.O.B. (Close of Business) Wednesday, February 6, 2002. Proposals shall be mailed to: City of McCall 216 East Park Street McCall, ID 83638 or if hand delivered to: 2.1 Late proposals shall not be considered. City Hall 216 East Park Street McCall, ID 83638 City of McCall RFP Golf Professional Services Page 4 of 22 2.2 Proposals shall be formally opened and acknowledged at 9:00 a.m., Thursday, February 7th, 2002. 2.3 Proposal response envelopes/packages shall be clearly marked with the company name, number and title of proposal, and date and time of proposal opening. 2.4 Telephone, facsimile or telegraph proposals, or modifications thereto, shall not be accepted. 2.5 The City of McCall assumes no responsibility for errant delivery of proposals relegated to a courier agent who fails to deliver in accordance with the specified receiving point and time herein stated. 3 QUESTIONS Questions regarding this Request for Proposal shall be directed to the City of McCall Golf Department, Attn: Dan Pillard, C,G.C,S., 216 East Park Street, by phone to (208) 634-7160, or by fax to (208) 634-3038, no later than seven (7) calendar days prior to the Request for Proposal receipt date. 4 MANDATORY PRE -PROPOSAL & SITE INSPECTION The City of McCall will hold a mandatory pre -proposal and site inspection conference at 10:00 a.m. on Monday, January 21, 2001, at the McCall Golf Course, 1001 Reedy Lane, McCall, ID, in the clubhouse. 4.1 The purpose of these pre -proposal and site inspection conferences shall be to familiarize all prospective proposers with the golf courses, and to clarify any questions regarding this Request for Proposal. 4.2 No proposal will be considered unless proposer was in attendance or represented at the pre - proposal and site inspection conferences, unless other arrangements are made that are satisfactory to the City of McCall Golf Department. 5 PROPOSAL SURETY Response to this Request for Proposal shall include a proposal surety in the amount of fifteen hundred dollars ($1,500.00). 5.1 Surety shall consist of a bond or a cashier's check, drawn in favor of the City of McCall, a political subdivision of the State of Idaho. City of McCall RFP Golf Professional Services Page 5 of 22 5.2 The City of McCall shall retain the successful proposer's surety until successful proposer executes and delivers the resulting agreement. If successful proposer refuses or fails to perform any of the above, he shall forfeit the proposal surety. 5.3 The forfeiture of the proposal surety is intended by the City of McCall as a penalty. Should this occur, in addition to forfeiting the proposal surety, the City of McCall reserves the right to seek any damages resulting from successful proposer's refusal or failure to perform. 5.4 Surety of the unsuccessful proposers shall be returned within thirty (30) days of award by the City of McCall. 6. ADMINISTRATIVE GUIDANCE The information provided herein is intended to assist participants in the preparation of their proposal. This RFP is designed to provide interested applicants with sufficient basic information to submit their qualifications, but is not intended to limit a proposal's content or to exclude any relevant or essential data there from. Applicants are at liberty and encouraged to expand upon their qualifications to evidence their capabilities, however excessive sales literature is discouraged outside that necessary to demonstrate qualifications. 7 MCCALL AREA FACTS McCall, is a city of approximately 2,084 residents. Located 105 miles north of Boise the McCall Area is a picturesque community offering an abundance of parks and recreational facilities, with progressive city and county governments, and a wide variety of recreational, educational, and cultural programs. The McCall Area also has many beautiful surrounding lakes and mountains. In addition to the area's spectacular beauty, the McCall Area is considered one of the top areas in the nation for winter sports activities, with six feet of snowfall annually. During the summer months many visitors come to enjoy many recreational activities on beautiful Payette Lake, a 4,800-acre lake nestled in the surrounding mountains. It's no wonder the McCall Area welcomed nearly 3 million visitors to our area last year. 8 GOLF COURSE FACTS McCall Golf Course: Built in 1928, the original 18-hole golf course is Area's oldest. Nestled close to the surrounding mountains, it provides golfers opportunity to get in a challenging round of golf while enjoying beautiful views. Most of the course is tree lined with many varieties of large evergreens. In 1997, an additional 9-holes was opened. The additional 9-holes is routed through a combination of wetlands and forest. The full facilities include 27-holes, a driving range, putting green, full service grill and snack bar, group and private lessons from PGA professionals, and a fully stocked pro shop. Annually, the McCall Golf Course hosts the McCall Amateur. Originated in 1932, the McCall Amateur is one of the largest amateur match play tournaments in the country. Voted Readers' Choice "One of the Best Public Golf Course Destinations in Idaho". City of McCall RFP Golf Professional Services Page 6 of 22 From Boise: Take highway 55 north into McCall. Turn right on Park Street, go up the hill then turn left on Davis, turn right on Reedy Lane, then go straight into the Clubhouse parking lot. 9 DURATION OF AGREEMENT The City of McCall reserves the right to engage the successful proposer(s) for an initial period of three (3) years, approximately 3-1-2002 through 12-31-2004, with the City of McCall retaining an option to renew for an additional period of two (2) years. The current Clubhouse contract expires on March 31, 2002 but the ending date could be revised to coincide with the new contract. 9.1 The City of McCall also retains the option of providing these services in-house in the event of cancellation or expiration of the Agreement resulting from this Request for Proposal. 10 PROPOSAL, AGREEMENT AND DISPOSITION The contents of the proposal and any clarifications thereto submitted by the successful proposer(s) and accepted by the city of McCall shall become part of the contractual obligation and incorporated by reference into the ensuing Agreement. The final Agreement shall incorporate the Request for Proposal and appendices thereto, proposer's response, and any negotiated points of agreement between the parties. 10.1 All proposals shall become the property of the City of McCall and shall not be returned to the proposer. 10.2 All proposals shall become public record under the laws of the State of Idaho, and the public shall be given access thereto. 11 INSURANCE REQUIREMENTS The City of McCall has established specific indemnification, insurance, and safety requirements for service contracts to help ensure that reasonable insurance coverage is purchased and safe working conditions are maintained. Indemnification and hold harmless clauses are intended to ensure that the successful proposer accepts and shall be able to pay for the loss or liability related to its activities. 11.1. It is highly recommended that proposers confer with their respective insurance carriers or brokers to determine, in advance of bid submission, the availability of insurance certificates and endorsements as prescribed and provided herein. If there are any questions regarding these insurance requirements, it is recommended that the agent/broker contact the McCall City Clerk/Treasurer directly at (208) 634-4852. If an apparent low proposer fails to comply strictly with the insurance requirements they may be disqualified. (See Attachment "A", Insurance Requirements for specifics.) City of McCall RFP Golf Professional Services Page 7 of 22 12 FIDUCIARY BOND Prior to commencement of any Agreement resulting from this Request for Proposal, successful proposer(s) shall furnish and thereafter maintain a bond satisfactory to the City of McCall in the sum of $10,000.00 to protect from loss or theft or such assets including any assets owned by the City of McCall in the pro shop. 13 BUSINESS LICENSE Successful proposer shall be required to obtain appropriate City of McCall business license, prior to commencing performance. Possession of said license(s) is not a prerequisite for bidding. 14 LIQUOR LICENSE Successful proposer shall be required to promptly apply for a liquor license, permitting the dispensing and sale of alcoholic beverages on the premises, for consumption on the premises, from the appropriate governmental authorities. 14.1 Failure to obtain said liquor license within a reasonable time shall result in cancellation of any Agreement resulting from this Request for Proposal. 15 STATUS OF SUCCESSFUL PROPOSER Successful proposer shall have the status of an "Independent Contractor", and shall not be entitled to any of the rights, privileges, benefits, and emoluments of either an officer or employee of the City of McCall. 16 PREPARATION OF PROPOSAL ONE (1) ORIGINAL AND NINE (9) COPIES OF THE PROPOSAL DOCUMENTS SHALL BE REQUIRED. The "original" shall be clearly and conspicuously marked as such. 16.1 Irregularities or lack of clarity in this Request for Proposal shall be brought to the attention of Dan Pillard c/o the City of McCall Golf Department, in writing, and not less than seven (7) days prior to the proposal receipt date, for correction and/or clarification. In the event said irregularities and ambiguities are not brought to the attention of the City of McCall Golf Department, they shall be construed in favor of the City of McCall. 16.2 All copies of the response to this Request for Proposal shall be signed by a person duly authorized to submit said proposal in the name of the responding firm, and with the authority to commit and bind the firm. 16.3 Erasures, interlineations, or other changes in the response shall be initialed, in ink, by the person signing the response. 17 PROPOSAL CRITERIA Aside from the basic objectives stated in Section 1 of this RFP, the following factors are deemed to be relevant: City of McCall RFP Golf Professional Services Page 8 of 22 17.1 Public Service: As a public facility, the golf course(s) must offer a satisfying golfing experience to the golfing public. The City of McCall is vitally interested in proposals which guarantee a high level of public services, commitment to youth and senior service, and affordable, quality recreation to the general public. 17.2 Financial Capability: It is extremely important that proposers demonstrate the financial capability to make needed investments. The availability of both investment capital and operation capital will be important factors in determining financial capability. 17.3 Operational Capability: Experience in operating a golf course is a major area of concern to the City of McCall and will be reviewed with respect to the following factors: 17.3.1 Public Relations and Promotions — As a public facility, the City of McCall is committed to maintaining excellent relationships with its patrons and the general public. Proposer must be able to provide effective course advertising and participation in course patronage and revenues. 17.3.2 Experience — References of experience in providing golf professional services. 17.4 Competitive Pro Shop Pricing: The City of McCall is committed to a pricing policy that contains a competitive and reasonable structure which will allow access to all citizens. 17.5 Personnel: The personnel to be assigned to the golf course must meet with the approval of the Director of Golf and Parks Operations Department. 17.6 Successful Proposer(s) shall receive 100% profits from of the following: Cart and Equipment Rental Driving Range Pro Shop Sales Lessons 18 MINIMUM QUALIFICATIONS Proposer(s) must have an adequate organization, facilities, financial conditions, and personnel to ensure successful operation of the restaurant/bar concession. Proposer(s) must also meet the following minimum qualifications which are designed to establish an experience criteria with which the proposer demonstrates their capability to provide the food and beverage services required by the City of McCall. 18.1 A minimum of three (3) years of experience in operating and/or managing a restaurant/bar concession. 18.2 Experience with restaurant/bar concessions based upon flat rates and/or a percentage of gross receipts. 18.3 Operating experience and reputation for quality of service and cooperation satisfactory to the City of McCall. City of McCall RFP Golf Professional Services Page 9 of 22 18.4 Financial resources which, in the opinion of the City of McCall are adequate to ensure full and proper performance of the concession. 18.5 Demonstrated ability to develop maximum gross receipts potential from similar type operations. 18.6 The ability to provide a professional level of restaurant/bar concessionaire services that is satisfactory to the City of McCall, including a certified food handler on staff. 18.7 Ability to obtain a liquor license for the restaurant/bar. 18.8 Proposer may include the following information with regard to the minimum qualifications listed above: 18.8.1 Literature, brochures, menus, etc., where applicable, describing the operations of the firm and such other material that may help determine the operating experience and reputation for quality and cooperation of the proposer and ability to provide services as described herein. 18.9 Successful Proposer(s) shall submit a proposed fixed management fee paid by the City of McCall to the contractor. 18.9 Provide a projection of proposer's anticipated gross annual receipts. 18.10 A detailed description of the type of restaurant/bar service which the successful proposer intends to provide. Include a sample menu which includes proposed food and beverage prices. Successful proposer shall address both clubhouse and mobile beverage vehicle. 18.11 Resume of proven ability of proposer's past experience providing quality food and beverage services at a comparable facility, including depth of experience and number of years. 18.12 Provide a minimum of three (3) letters of reference from individuals or organizations in which the successful proposer has provided similar services. 18.13 The most current business financial statement of the concessionaire as a business, and a current personal financial statement of all principals of the concessionaire, including credit history. 18.14 Describe aesthetic improvements, equipment and investments you intend to make, and the time frame for those improvements. 18.15 Equipment and personnel to be used; number of full-time employees and manager, number of part-time employees, and regular dress for employees. 18.16 Plans for advertising or promoting restaurant/bar activities. 18.17 Type of sales reporting system to be used to document gross sales. 19 STRUCTURE OF PROPOSAL City of McCall RFP Golf Professional Services Page 10 of 22 19.1 Cover Letter: Provide a signed one page letter of proposal transmittal including proposer's name, address, and telephone number. A statement of the legal status of the proposer (individual, partnership, or corporation); 19.2 Surety; 19.3 Table of Contents; 19.4 Proposal Summary: Provide a brief synopsis of the proposal, prepared in such a manner as to be readily and easily understood. This should be a brief statement of the salient features of the proposal, including an overall view of the benefits to the City of McCall; 19.5 Legal Status: Provide evidence that the proposer is in good standing in the State of Idaho, and in case of a corporation organized under the laws of any other state, evidence that the proposer is authorized to do business in the State of Idaho or a sworn statement that it will take all necessary action and become authorized if its proposal is accepted; 19.6 Company Profile: Name of owner or owners. If a partnership, give names of partners. If a corporation give names of principle officers and shareholders which hold a controlling interest; 19.6.1 The date the company was established and a brief history. 19.6.2 Current number of employees. 19.6.3 Qualifications such as education or experience key management personnel have in golf course operation. 19.6.4 Brief statement on management philosophy. 19.6.5 Record of major accomplishments or achievements. 19.7 Personnel: Provide a list of personnel, including their names, to be utilized at the golf course. Include resumes for all on -site management personnel. 19.7.1 Describe the regular dress/uniform to be worn by employees. 19.7.2 Provide a staffing plan which encompasses image, service, and a versatile staff to include women and minorities to meet all customers' needs. 19.8 Comparable Experience: Provide satisfactory evidence that the proposer possesses not less than five (5) years of professional golf service experience in the operations and management of public, daily fee, golf courses, in particular address the following; 19.8.1 A description and location of course(s) which are currently or previously managed by the proposer. 19.8.2 Name, address and telephone number of the current owners of these courses. 19.8.3 Total number of years of management experience at the above mentioned facilities and number of regular full-time (or part-time) employees in these facilities. 19.9 Golf Rounds and Gross Sales: Provide the number of rounds played annually, and total annual gross sales at each facility listed above. A complete statement of income and expenses is preferred; City of McCall RFP Golf Professional Services Page 11 of 22 19.10 Financial Status: A copy of the latest available financial statements of the proposer; 19.10.1 Entrepreneurs need to provide a balance sheet, income statement, and statement of cash flow for the most current year. 19.10.2 Proposers unable to provide business financial statements must provide a personal financial statement. 19.10.3 The names, addresses and phone numbers of three (3) credit references that the City of McCall may contact to obtain information on your credit standing. 19.11 Length of Agreement: In reference to Section 9, indicate whether or not the terms are acceptable. If not, indicate acceptable terms. 19.12Improvements: Describe aesthetic improvements, equipment and investments you intend to make, and the time frame for those improvements. 19.13 Revenue to the City of McCall: The City currently has two revenue bonds in place that require that a minimum of 50% of the fee paid to the contractor for management of the Course be fixed. The bond covenants further require that the compensation to the contractor not be based on net profit. 19.14 The City of McCall retains revenues from the following: Operations Revenue (see attachment F) Green Fees Season Passes Trail Fees Locker Rental Refunds and Reimbursements Other Revenue Interest Revenue Private Contributions Sales of Surplus Property Clubhouse Receipts — Food/Beverage Restaurant Sales Sales — Alcohol Beverages Clubhouse Rental Tournament Revenue (see attachment G) A Fixed Fee of $29.50 per Tournament Entry or $10.00 per Tournament Round for a Total of 8 Tournaments 19.15 Proposed Fees: Proposal should state the proposed cart fees, lesson and driving range fees, and all other charges. Note: All golf related fees, except merchandise, are subject to recommendations from the Golf Course Advisory Committee and approval by the McCall City Council. City of McCall RFP Golf Professional Services Page 12 of 22 19.15.1 All merchandise sold and services offered to customers at the premises shall be competitively priced keeping in mind that this is a public facility. 19.15.2 Fees are reviewed annually. Successful proposer(s) shall annually have the right to file a request for any increase in fees with the City of McCall. All green fees, cart fees, and other fees associated with the golf course will be presented to the Golf Course Advisory Committee and submitted to the McCall City Council for approval. 19.16 Equipment and Stock Inventory: Proposer must state plans and procedures for maintaining an inventory of equipment and stock. Proposer must state how intended equipment shall be acquired, who shall retain title, who shall repair and replace equipment when needed, and amounts and type of equipment and inventory; 18.15.1 Proposer must fairly negotiate a buy-out of inventory from the previous contractor (See Attachments "B, H, and I"), inventory to include: golf car fleet, remaining merchandise, clubhouse equipment, and fixtures. 19.17 Service and Promotion: The proposer shall provide a detailed overview of the service operation and promotion successful proposer will furnish as the contractor. Specifically, the proposer must address: 19.17.1 How to maximize and improve play and patronage at the course and clubhouse. 19.17.2 How to protect and advance proposer's business enterprise while serving a public which rightfully expects use and enjoyment of this public facility. 19.17.3 How to gain support of citizen groups, clubs, and organizations involved in the use of this golf facility. 19.17.4 How to promote youth and senior golf. How to market and fill off-peak tee times. 19.17.5 Describe your philosophy on customer service. 19.17.6 Describe new ideas proposer will use to improve gross revenues. 19.18 Proposed Hours and Days of Operation: Proposal should state the proposed hours and days of operation, assuming acceptable weather conditions. 19.19 Type of sales reporting system to be used to document sales. 19.20 A statement describing proposer's attitude towards the Rules of Golf. 20 DUTIES AND SERVICES TO BE PROVIDED BY SUCCESSFUL PROPOSER(S) Successful proposer(s) shall be responsible for the following: City of McCall RFP Golf Professional Services Page 13 of 22 20.1 Operate and manage course(s) in a safe and efficient manner in accordance with present and any future rules and regulations established by the Director of the City of McCall Golf and Parks Operations Department, hereinafter referred to as Director, or his/her designated representative. Such operation and management shall include, without limitation, the collection of fees, regulation of play, conduct of persons on course, enforcement of the rules and regulations of course, and soliciting and coordinating tournaments. 20.2 Operate, manage, and maintain a satisfactory golf shop in a professional, up-to-date manner to include, but not be limited to, sales, rental, and repair of golf equipment, clothing, and accessories. The successful proposer(s) shall stock and maintain an inventory of golf related merchandise, supplies and equipment in keeping with demand. 20.3 Provide lessons and instructions in golf by a PGA Certified Teaching Professional. Successful proposer(s) shall also provide all other services customarily provided by a golf professional in accordance with demand. 20.3.1 Successful proposer(s) shall establish fees for golf instruction and lessons and shall notify the Director or designee of the fee schedule. 20.4 Operate, manage, and supervise the use of the driving range and all putting practice greens adjoining said course and control and regulate their use in such a manner as to eliminate or prevent hazards or dangers to any person. 20.4.1 Furnish, without cost to the City of McCall, all equipment necessary for the suitable operation of the driving range, including practice golf balls for use by persons who are entitled to use the driving range. 20.4.2. Provide and maintain daily equipment, including mats, golf balls, token machines, yardage markers, for the driving range. Tee area shall be of a quality and quantity acceptable to the Director or designee. Any deficiencies will be noticed to the successful proposer(s) in writing and shall be corrected immediately or, in the case of replacement of equipment or golf balls, within thirty (30) days. 20.5. Under the direction of the Director or designee and in accordance with rules, regulations and instructions issued by the Director or designee, provide and supervise all starter and player activity functions, collect green fees and coordinate player starts, and furnish, at no cost to the City of McCall, suitable and qualified personnel in adequate number to insure efficient performance of such duties. 20.6 Advertise and promote public play at the golf courses and the sale of golf -related merchandise and services. 20.7 Furnish and maintain proper facilities, equipment and devices for the minor repair of golf equipment. 20.8 Provide and make available to the public at reasonable rental fees an adequate supply of all equipment necessary to play the game of golf including without limitation, golf clubs and hand carts, power driven golf carts and electrical power for both rental and customer - owned carts. Carts should be easily identifiable from a distance and from all sides. A sequential numbering system should be used to identify carts. City of McCall RFP Golf Professional Services Page 14 of 22 20.9 Assume full responsibility and expense for all private telephone service, electrical or gas cart service, rental lockers and routine maintenance of all cart storage areas. 20.10 Provide all portable display platforms, signs, equipment and/or devices for the purpose of advertising or demonstrating the services, merchandise and/or equipment for sale or rent in the pro shop. 20.11 Provide security of the pro shop in accordance with the rules and regulations pertaining to the operations of the course. The City of McCall presently provides a minimum level of security, which includes an alarm system for the clubhouse. Any additional necessary security beyond that provided by the City of McCall will be the responsibility of the successful proposer(s). 20.12 Maintain stocks of golf merchandise, golf supplies and equipment in keeping with the demand. 20.13 Enforce the rules and regulations prescribed by the Director for the use of carts on the course. 20.14 Subject to the approval of the Director, provide and maintain the following: 20.14.1 High quality counters, showcases, and any other moveable objects, in addition to those provided by the City of McCall for the purpose of storing, displaying, renting or selling merchandise and/or equipment in the pro shop(s). 20.14.2 Range ball token machines, as necessary. 20.15 Any fixtures or items permanently attached to the clubhouse at the course in connection with the operation of the pro shop shall become the property of the City of McCall upon the termination of Agreement. 20.16Inspect the entire golf course looking for hazards, deficits in cleanliness and maintenance, malfunctions in equipment, enforcing parking regulations, and reporting same to Director or designee. Work with Director and staff as a "management team" to assist with general maintenance of course(s) and clubhouse, act as liaison between public, golf committees and Director. 20.17 Successful proposer(s) shall be responsible for the preparation and submittal of liability/property loss reports, daily cash reports, rounds of plays, daily start reports, and other reports common to the operation of the business and/or as requested by the City of McCall. 20.18 Maintain standard level of cleanliness in the pro shop(s). If complaints are received and the successful proposer(s) has not responded within seven (7) days to the Director's satisfaction the Director may hire a cleaning service and those charges would be billed back to the successful proposer(s). 20.19 Work with volunteers, Golf Course Advisory Committee, Men's and Women's Clubs, the Jr. Golf Program, and promote youth and senior golf opportunities to enhance golf programs and customer service offerings City of McCall RFP Golf Professional Services Page 15 of 22 20.20 Promptly pay any and all taxes imposed by the local, state or federal government, utility bills, merchant invoices, and all other liabilities with respect to its operation of a golf course at a the City of McCall facility. 20.21 Comply with all applicable ordinances, laws, rules, and regulations of the county, city, state, and federal government; and of any political subdivision or agency, authority or commission thereof, which may have jurisdiction to pass laws, ordinances, or make and enforce rules or regulations with respect to the operations of the golf course, including but without limiting the generality of the foregoing, such rules and regulations of the City of McCall as are consistent with the rights herein granted to the successful proposer. 20.22 Upon termination of the resulting Agreement, surrender the City of McCall property in as good condition as when received, ordinary wear and tear excepted. 20.23 Operate and manage golf course on proposer's own credit and hold harmless the City of McCall from any and all claims, demands or liability on account thereof. The City of McCall shall not be responsible for any debts incurred by successful proposer in the performance of any resulting Agreement. 20.24 Provide and pay for gas and electricity. (Approximately $750/month, based on a 12 month utility average.) 20.25 Provide and pay for all telephone charges. 20.26Provide laundry, paper, kitchen and janitorial supplies, uniforms, and linen, associated with the kitchen, food service, and restroom areas. 20.27 Provide daily cleaning of food preparation, service, and restroom areas. Promptly pay any and all taxes imposed by the local, state or federal government with respect to its operation of a food service program at the City of McCall facility. 20.28 Provide and pay for water, sewer and garbage service. 20.29 Promptly pay all food and beverage costs to all vendors. 20.30 Promptly pay all laundry service costs to all vendors. 20.31 Comply with all applicable ordinances, laws, rules, and regulations of the county, city, state, and federal government; and of any political subdivision or agency, authority or commission thereof, which may have jurisdiction to pass laws, ordinances, or make and enforce rules or regulations with respect to the operations of the food service program, including but without limiting the generality of the foregoing, such rules and regulations of the City of McCall as are consistent with the rights herein granted to the successful proposer. 20.32 Cable hookup and service, if desired. (Note —if this service is available without charge to the City, the contractor will not be charged for the service) 20.33 Provide refuse and trash removal from food service areas and facilities at least daily to the dumpster area. City of McCall RFP Golf Professional Services Page 16 of 22 20.34 Maintain sanitary conditions in compliance with Central District Health standards. Premises shall be maintained by successful proposer at an "A" rating of the Central District Health. Failure to maintain this rating will result in the City of McCall hiring a company of their choice to restore facility to an "A" rating and charging the successful proposer for all related costs. 20.35 Upon termination of the resulting Agreement, surrender the City of McCall property in as good condition as when received, ordinary wear and tear excepted. 20.36 Provide routine cleaning of food preparation and service areas, dining room tables, chairs and floors after each meal, in accordance with current policies and practices as regulated by the Central District Health Department. Successful proposer shall maintain clean dry floors in the food preparation and service areas and shall provide cleaning of floors weekly or more often if judged by City to be needed. Successful proposer shall also clean areas around the loading dock, dumpsters, grease traps and vent hood. 20.37 Operate all food service facilities on successful proposer's own credit and shall hold harmless the City of McCall from any and all claims, demands or liability on account thereof. The City of McCall shall not be responsible for any debts incurred by successful proposer in the performance of any resulting Agreement. 19.35.1 Outside maintenance and repair of all building structures and equipment damaged due to negligence on the part of the successful proposer. 20.38 Provide scorecards, starting sheets, reservation sheets and all other items incidental to the operation of the golf course(s) and Clubhouse. 20.39 Provide all janitorial services and equipment to all areas of the clubhouse, the pro shop(s), cart storage areas, Pro's Office, driving range, and within 50 feet of the clubhouse. 20.40 Contractor shall apply for a business and liquor license within five (5) days of the effective date of this Agreement. 20.41 Contractor shall operate and maintain all concessions in a first-class manner and shall keep the premises in a safe, sanitary, clean, orderly and inviting condition at all times, in accordance with current policies and practices as regulated by the Central District Health and to the satisfaction of the City. Daily and complete housekeeping activities shall be performed by the Contractor in all areas under their control and operation. All concessions shall be operated as a convenience to the golfing public, therefore all food, beverages, confections and other items sold or kept for sale under the concession shall be of high quality, wholesome and conform in all respects to federal, state and Central District Health laws, ordinances and regulations. Service shall be prompt, clean, courteous and efficient. 20.42. A negotiable corkage fee per person may be paid to the Concessionaire, for those tournaments that provide their own food and beverages. 20.43 . Retail prices for all food, beverages, and confections shall be evident to the golfing public and general public either by a "Reader Board", a printed menu, or both. 20.44. All restaurant prepared, "sit down" meals shall be served on traditional dinnerware and flatware. City of McCall RFP Golf Professional Services Page 17 of 22 20.45 Contractor shall retain an active, qualified, competent and experienced manager at the golf course to supervise all concession operations. Said manager must be authorized to represent and act on behalf of the Contractor. 20.46 All staff shall be instructed by Contractor's management for proper: 20.46.1 Preparation methods and timing; 20.46.2 Dress (Uniform); 20.46.3 Personal habits; 20.46.4 Cleaning and sanitary procedures; 20.46.5 Responsibilities and duties; and 20.46.6 Contractor's employees shall be polite and diplomatic. 20.47 Housekeeping and sanitation programs shall meet and be maintained within the highest standards of cleanliness. 20.48 All of Contractor's employees shall be instructed in, and shall practice, proper hygiene. 20.49 All Contractor employees who have direct daily client interaction shall be uniformed. Uniforms must be approved by the City. 20.50 All employees shall be clean, courteous, efficient, and neat in appearance and must be health certified (T.B., etc...), for food handling and preparation. 20.51 Employees of Contractor, whose work or conduct in performance of this Agreement is not satisfactory to the City, shall be removed on written request from City from any work assignment in connection therewith, and shall be replaced by Contractor with another employee who is satisfactory to City. 20.52 Employees whose employment has been terminated by Contractor may not be rehired. 20.53 Maintain a record of tournament entries, to include player information, and provide a copy to the City following the completion of each tournament. 21 SERVICES AND FACILITIES TO BE PROVIDED BY THE CITY OF MCCALL The City of McCall shall be responsible for the following: 21.1 Keep and maintain the exterior and interior structure of the clubhouse(s) at course(s) in a good state of repair. Successful proposer(s) may assist in repairs or improvements of the pro shop(s) and, subject to the provisions of Section 23 "Alterations", at his own expense, may paint and/or decorate the pro shop(s) for an attractive and appealing appearance with prior written permission of the City. 21.2 Make the driving range and that portion of the clubhouse designated as the pro shop available to the successful proposer(s) for his use and control in accordance with the restrictions herein provided. The pro shop shall be used only for displaying, selling or renting golf merchandise or to provide office facilities for the successful proposer(s). City of McCall RFP Golf Professional Services Page 18 of 22 21.3 Provide a golf driving range sprinkler maintenance, for operation by the successful proposer(s). 21.4 Provide parking areas for the use of the general public including successful proposer's patrons. 21.5 Maintain all landscape and planted areas which are part of the course(s). 21.6 Provide all general maintenance and repairs to the clubhouse(s) and pro shop(s), deemed necessary by the City of McCall for the safety and convenience of the public. 21.7 Provide such signs and posters it shall deem necessary for public safety and convenience. 21.8 Maintain and pay for existing burglar alarm system with the understanding that the City of McCall accepts no responsibility for any damage or loss incurred as a result of the system's failure to function, whether a result of improper maintenance or any other reason. 21.9 Jointly with the successful proposer(s) the City of McCall will provide and maintain a cash register or point of sale system for use in recording golf and pro shop revenues, inventory and customer data bases. 21.10 Provide an annual audit and testing for compliance with resultant Agreement(s). The audit shall be conducted by a certified public accountant licensed by the Idaho State Board of Accounting, and will include testing for compliance with special or defined procedures developed by public accountants and the City of McCall. 21.11 Strive to maintain course(s) to acceptable professional turf maintenance standards, realizing quality of course(s) maintenance is very important to overall operation. 21.12 Provide, as mutually agreed, the existing space, facilities (See Attachment "D"), utilities, and City owned equipment (See Attachment "C") reasonably required by successful proposer for performance as specified hereunder, all of which shall be and remain the sole property of the City of McCall . 21.12.1The City of McCall does not guarantee an uninterrupted supply of water, or electric current; nor does the City of McCall guarantee uninterrupted service in providing any utilities. The City of McCall shall not be liable to successful proposer or to others for any loss, damage, cost or expense which may result from the interruption or failure of any utility services. 21.13 Existing security system, fire safety equipment, and their maintenance shall be provided by the City of McCall, on a semi-annual basis. 21.14 Outside maintenance and repair of all building structures and equipment not resulting from negligence of the successful proposer. 22 PROFESSIONAL STANDARDS APPLICABLE TO PROPOSERS Successful proposer(s) shall agree to maintain the status of a Professional Golf Association (PGA) certified Class A Professional during the term of resulting Agreement(s) and any renewals thereto. In addition, successful proposer(s) shall operate and manage course(s) and pro shop(s) in accordance with the Code of Ethics of the PGA. City of McCall RFP Golf Professional Services Page 19 of 22 23 GENERAL INFORMATION See the Attachments `B - D" of this Request for Proposal for the following information: 23.1 Attachment `B" — McCall Golf Course Rounds of Play from 1994 to present 23.2 Attachment "C" — McCall Golf Course Fee Schedule for 2002. 23.3 Attachment "D" — McCall Golf Course Revenue from 2000-01. 23.4 Attachment "B" — Sample Clubhouse Concessionaire Agreement. 23.5 Attachment "F" — Estimated List of Buy -Out Inventories. 23.6 Attachment "G" — Operations Revenue. 23.7 Attachment IF — Tournament Schedule. 24 ALTERATIONS Successful proposer(s) shall not make any alterations or additions to any portion of course's facilities or to any equipment belonging to the City of McCall at course(s) without prior written consent of the Director. 25 HOURS OF OPERATION — PRIORITIES Successful proposer(s) shall devote his full-time personal attention to the operations necessary to operate and manage a modern and efficient golf course. The interests of the City of McCall shall take priority over the interest of successful proposer(s) in the operation of the course(s). The pro shop(s) and driving range(s) shall be kept open whenever course is open for play. Minimum hours of operation of the course(s), including starter's services, shall be established by the Director. Successful proposer(s) shall recommend to the Director for approval an annual schedule setting forth the minimum hours during the year (weather permitting) when course(s) shall be open for play. Successful proposer(s) or his assistant shall be available at all such scheduled times to give lessons and instructions in golf and to serve the public Clubhouse hours of operation shall be, at a minimum, the same as the Pro Shop and golf course. Concessions shall be open on every day that the course(s) are open to the public. Minimum hours will be determined by the event schedule prepared by the successful Contractor, during the winter months (weather permitting), and 6:00 a.m. to dark, during the summer months. 2.2.1. Winter months are defined as October 1st through April 30th. 2.2.2. Summer months are defined as May 1st through October 31 st. City of McCall RFP Golf Professional Services Page 20 of 22 26 PROPOSAL, AGREEMENT AND DISPOSITION The contents of the proposal and any clarifications thereto submitted by the successful proposer and accepted by the City of McCall shall become part of the contractual obligation and incorporated by reference into the ensuing Agreement. The final Agreement shall incorporate the RFP, proposer's response, and any negotiated points of agreement between the parties. 26.1 All proposals shall become the property of the City of McCall and shall not be returned to the proposer. 26.2 All proposals shall become public record under the laws of the State of Idaho, and the public shall be given access thereto. 26.3 Proposers shall be responsible for any and all costs incurred by the proposer in the preparation and delivery of their proposal to the City of McCall. 27 PROPOSAL EVALUATION The evaluation of proposal responses shall be conducted by the Golf Course Advisory Committee, the City of McCall Golf and Parks Operations Department and the City Manager. 27.1 Should it become necessary, right is reserved to conduct interviews, credit and background investigations, including but not limited to, fingerprint and driving background checks. 27.2 The City of McCall reserves the right to negotiate with any of the prospective proposers prior to making a recommendation for award. 28 EVALUATION CRITERIA Selection of the best reasonable proposal will be based upon the following considerations/criteria and related scoring as indicated hereafter: 28.1 Experience and capability as a golf professional; 28.2 Financial status and ability to finance the service operations; 28.3 Operational capabilities stressing the ability to provide/manage golf professional services, including but not limited to, teaching abilities, merchandising abilities, leadership and image, tournament promotions, and commitment to customer service; 28.4 Previous experience and compliance with minimum qualifications for similar golf course service operations; 28.5 Public service and public relations ability; 28.6 Competitive pricing; and 28.7 Scheduling, training, and management of personnel. 28.8 Proposals shall be evaluated, in part, on the basis of the lowest annual management fee paid by the City of McCall; conformance to specifications; past performance in operating City of McCall RFP Golf Professional Services Page 21 of 22 restaurant/bar; quality and utility of services and their adaptability to operating a restaurant/bar concession at a public golf course; ability to obtain required business and liquor licenses; financial responsibility including financial standing and credit history; experience in operating a restaurant/bar concession, adequacy of proposed improvements, results of customer reference inquiries, including those not necessarily supplied by the bidder, ability of the proposer to complete performance of the Agreement, and exceptions. 28.9 Should it become necessary, right is reserved to conduct interviews and negotiations with any of the prospective proposers prior to making a recommendation for award. Note: These criteria will be included in an annual performance review by the Director or his/her designee. 29 ACCEPTANCE/REJECTION OF PROPOSALS The City of McCall reserves the right to accept or reject any or all proposals, or portions thereof, based solely on the value to the City of McCall. 29.1 The City of McCall reserves the right to hold proposals for a maximum ninety (90) day period from the opening date before awarding or rejecting proposals. 29.2 The City of McCall reserves the right to award this RFP to a qualified proposer who, in the opinion of the City of McCall, submits the most comprehensive and advantageous proposal. 30 COMPLIANCE WITH LAWS Successful proposer shall agree at all times to comply with all applicable laws, ordinances or regulations of governmental entities having jurisdiction over matters which are the subject of this Request for Proposal. 31 OPEN MEETING LAW Proposers shall be aware that Idaho Code provides that public business shall be conducted in open meeting. 31.1 Any resultant award shall be defended against any challenge by the office of the City Attorney. 32 WITHDRAWAL OF PROPOSALS Proposals may be withdrawn at any time up until the opening and acknowledgment upon written notice to the City of McCall Golf Department. Withdrawal requests received after the time set for opening and acknowledging shall not be considered. 33 APPEAL BY UNSUCCESSFUL PROPOSERS City of McCall RFP Golf Professional Services Page 22 of 22 An unsuccessful proposer may appeal a pending RFP award prior to award by the McCall City Council. Appellant shall submit a written appeal to the Director of Golf and Parks Operations not later than forty-eight (48) hours prior to the date of scheduled award. 34 NEGOTIATION The City of McCall reserves the right to negotiate the exact terms of a resulting agreement, before recommendation for award of this RFP, and at any time during the term of the resulting agreement or extension thereof, if the City of McCall requirements for a golf professional changes. 34.1 If the City of McCall's requirements change, and the successful proposer(s) and the City of McCall are unable to reach agreement on modifying the agreement, either party may terminate the agreement subject to the provisions of Section 34 below. 35 TERMINATION Either party to the resulting agreement may terminate the agreement without cause, upon ninety (90) days prior written notice to the other. If the successful proposer shall terminate the agreement, the City of McCall reserves the right to contract for professional golf services with another qualified individual for the duration of the terminated agreement and any allowable extensions thereof. 36 ASSIGNMENT No assignment of any agreement resulting from award of this Request for Proposal shall be allowed, including the right to receive payment, without the express written permission of the Director of Golf and Parks Operations or designee. 37. USE OF PREMISES BY CITY FOR MEETINGS The City may use a portion of the restaurant for meetings without charge. Said meetings will not be deemed to cause a disruption to the Contractor. City of McCall RFP Golf Professional Services Attachment "A" INSURANCE REQUIREMENTS 1. INDEMNIFICATION AGREEMENT: Contractor shall agree to hold harmless, indemnify, and defend the City of McCall, its officers, agents, employees, and volunteers from any loss or liability, financial or otherwise resulting from any claim, demand, suit, action, or cause of action based on bodily injury including death or property damage, including damage to Contractor's property or injury to Contractor's employees, caused by any action, either direct or passive, the omission, failure to act, or negligence on the part of the Contractor, his employees, agents, representatives, or subcontractors, or others under the direction or supervision of the Contractor, arising out of the performance of work under this Agreement by the Contractor. Should Contractor not defend the City of McCall, upon determination that the work performed by Contractor was in any manner negligent or that Contractor failed to perform any duty set forth in this Agreement, Contractor shall reimburse the City of McCall for the costs of defense including time spent by City of McCall staff in the defense of any claim, demand, action, or cause of action, at the rate charged the county by private professionals. In determining the nature of the claim against the City of McCall, the incident underlying the claim shall determine the nature of the claim, notwithstanding the form of the allegations against the City of McCall. 2. GENERAL REQUIREMENTS: Contractor shall purchase Industrial Insurance, General Liability Insurance, automobile liability insurance as described below. The cost of such insurance shall be included in Contractor's bid. 3. INDUSTRIAL INSURANCE: It is understood and agreed that there shall be no Industrial Insurance coverage provided for Contractor or any Sub -contractor by the City of McCall. Contractor agrees, as a precondition to the performance of any work under this Agreement and as a precondition to any obligation of the City of McCall to make any payment under this Agreement to provide the City of McCall with a certificate issued by an insurer in accordance with Idaho Code and with a certificate of an insurer showing coverage in compliance with same. If Contractor or Sub -contractor is unlicensed and is a sole proprietor, coverage for the sole proprietor must be purchased and evidence of coverage must appear on the Certificate of Insurance. Should Contractor be self -funded for Industrial insurance, Contractor shall so notify the City of McCall in writing prior to the signing of any agreement. The City of McCall reserves the right to approve said retentions and may request additional documentation, financial or otherwise for review prior to the signing of any agreement. 4. MINIMUM SCOPE OF LIABILITY INSURANCE: Coverage shall be at least as broad as: 4.1. Insurance Services Office Commercial General Liability Coverage "occurrence" form CG0001 1/96 or Insurance Services Office Comprehensive General City of McCall RFP Golf Professional Services Attachment "A" Liability form GL0002 Ed 01/73 with the Broad Form Comprehensive General Liability Endorsement GL0404. 4.2 Insurance Services Office Business Auto Coverage form number CA00 01 12/90 covering Automobile Liability Code 1 any "auto" with changes in Business Auto and Trucker's Coverage forms - Insured Contract Endorsement form number CA00 29 12/88. 4.3. Coverage may be excluded only with prior approval of the City of McCall Clerk/Treasurer and City Attorney. 5. MINIMUM LIMITS OF INSURANCE: Contractor shall maintain limits no less than: 5.1 General Liability: $2,000,000 combined single limit per occurrence for bodily injury, personal injury, and property damage. If Commercial General Liability Insurance or other form with a general aggregate limit is used, the general aggregate limit shall be increased to equal twice the required occurrence limit or revised to apply separately to each project or location. 5.2 Automobile Liability: $1,000,000 combined single limit per accident for bodily injury and property damage. No aggregate limits may apply. 6. DEDUCTIBLES AND SELF -INSURED RETENTIONS: Any deductibles or self - insured retentions must be declared to and approved by the City of McCall Treasurer. The City of McCall reserves the right to receive additional documentation, financial or otherwise prior to giving its approval of the deductibles and self -insured retention and prior to executing the underlying agreement. Any changes to the deductibles or self -insured retentions made during the term of this Agreement or during the term of any policy, must be approved by the City of McCall Clerk/Treasurer prior to the change taking effect. 7. OTHER INSURANCE PROVISIONS: The policies are to contain provisions similar in scope to, or be endorsed to contain, the following provisions: General Liability and Automobile Liability Coverages 7.1. The City of McCall, its officers, agents, employees and volunteers are to be included as insured's as respects damages and defense arising from: activities performed by or on beheld of the Contractor, including the insured's general supervision of the Contractor; products and completed operations of the Contractor; premises owned, occupied or hired or borrowed by the Contractor. The coverage shall contain no special limitations on the scope of protection afforded to the City of McCall, its officers, employees or volunteers. 7.2. The Contractor's insurance coverage shall be primary insurance as respects the City of McCall, its officers, employees and volunteers. Any insurance or self-insurance maintained by the City of McCall, its officers, employees or volunteers shall be excess of the Contractor's insurance and shall not contribute with it in any way. City of McCall RFP Golf Professional Services Attachment "A" 7.3. Any failure to comply with claims reporting provisions of the policies shall not affect coverage provided to the City of McCall, its officers, employees or volunteers. 7.4. The Contractor's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 8. ALL COVERAGES: Each insurance policy required by this clause shall be endorsed to state that coverage shall not be materially changed or canceled by either the Contractor or by the insurer, except after thirty (30) days' prior written notice has been given to the City of McCall. 9. ACCEPTABILITY OF INSURERS: Insurance is to be placed with insurers with a Best's rating of no less than A-: VII. The City of McCall, with the approval of the City Treasurer, may accept coverage with carriers having lower Bests' ratings upon review of financial information concerning Contractor and insurance carrier. The City of McCall reserves the right to require that the Contractor's insurer be a licensed and admitted insurer in the State of Idaho, or on the Insurance Commissioner's approved but not admitted list. 10. VERIFICATION OF COVERAGE: Contractor shall furnish the City of McCall with certificates of insurance or with original endorsements if necessary evidencing coverage required by this Agreement. The certificate(s) and endorsements for each insurance policy shall be signed by a person authorized by that insurer to bind coverage on its behalf. All certificates and endorsements are to be received and approved by the City of McCall before work commences. The City of McCall reserves the right to review all required insurance policies, at any time, at the Contractor's corporate headquarters. 11. SUBCONTRACTORS: Contractor shall include all subcontractors as insured's under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverages for subcontractors shall be subject to all of the requirements stated herein. 12. MISCELLANEOUS CONDITIONS: Contractor shall be responsible for and remedy all damage or loss to any property, including property of the City of McCall, caused in whole or in part by the Contractor, any subcontractor, or anyone employed, directed or supervised by Contractor. 12.1. Nothing herein contained shall be construed as limiting in any way the extent to which Contractor may be held responsible for payment of damages to persons or property resulting from its operations or the operations of any subcontractors under it. 12.2. In addition to any other remedies the City of McCall may have, if Contractor fails to provide or maintain any insurance policies or policy endorsements to the extent and within the time herein required, the City of McCall may, at their sole option: 12.3. Purchase such insurance to cover any risk for which the City of McCall may be liable through the operations of the Contractor under this Agreement and deduct or retain the amount of the premiums for such insurance from any sums due under said Agreement; 12.4. Order Contractor to stop work under this Agreement until Contractor demonstrates compliance with the requirements hereof; or 12.5. Terminate the Agreement. SAFETY PROGRAM: The Contractor shall be responsible for initiating, maintaining, and supervising all safety precautions and programs in connection with the work. The Contractor shall take all necessary precautions for the safety of, and shall provide all necessary protection to prevent damage, injury, or loss to: 13.1. All employees on the job and all other persons who may be affected thereby. 14. ARBITRATION: Any dispute arising out of this Agreement which is in an amount less than one hundred thousand dollars ($100,000) shall be submitted to arbitration. The parties to bear equally the cost of the arbitrator. Notice of the demand for arbitration shall be filed in writing with the other party to this Agreement. The demand shall be made within a reasonable time after the claim; dispute or other matter in question has arisen.
