AS THE CONDITIONAL REDEVELOPER OF THE ROOSEVELT A VENUE LIGHT INDUSTRIAL DISTRICT REDEVELOPMENT AREA WHEREAS, on June 3, 2004, the Borough Council (the "Borough Council") of the Borough oCCarteret, in the County of Middlesex, New Jersey (the "Borough") adopted resolution number 04-191 requesting that the Borough Planning Board (the "Planning Board") detennine whether certain real property located within the Borough constitutes an "area in need ofredevelopment" pursuant to NJ.S.A. 40A:12A-l et scq. (the "Act"); and WHEREAS a property assessment entitled "Redevelopment Area Assessment: Roosevelt Avenue Industrial Park Project Property, Carteret, New Jersey" dated July 6, 2004 ("Property Assessment"), of certain properties commonly known as Block 6.02, Lots 6,7 and 13 on the tax map of the Borough (the "Assessment Area") was prepared by Beacon Planning and Consulting Services, L.L.c. (HBPCS") and concluded that BJock 6.02, Lots 6 and 7 of the Assessment Area met the statutory requirements to be determined to be an "area in need of redevelopment" under the Act; and WHEREAS on August 25, 2004, the Planning Board adopted a resolution of findings and conclusions based upon the Property Assessment detemlining, among other things, to recommend to the Borough Council that Block 6.02, Lots 6 and 7 of the Assessment Area be designated an Harea in need of redevelopment" by the Borough; and WHEREAS, on August 26, 2004, the Borough Council, following the recommendation of the Planning Board, adopted resolution number 04-263, deternlining that Block 6.02, Lots 6 and 7 of the Assessment Area constitutes an " area in need of redevelopment" under the Act; and WHEREAS, on October 7, 2004, the Borough Council adopted a resolution number 04-317, directing the Planning Board to prepare a redevelopment plan; and WHEREAS BPCS prepared a redevelopment plan (the "Redevelopment Plan") for the Roosevelt Avenue Light Industrial Redevelopment District (the 'RALIRD"), dated December 30, 2004; and . NO. 106-/1 PAGE 2 of 3 WHEREAS, on February 23, 2005, the Planning Board adopted a resolution of findings and conclusions, determining that the Redevelopment Plan is not inconsistent with the Borough's Master Plan or the Master Plans of Woodbridge, Rahway and Linden, the Middlesex County Master Plan or the State Development and Redevelopment Plan and endorsing and recommending final adoption of the Redevelopment Plan; and \VHEREAS, on February 17, 2005, the Borough Council, pursuant 10 Section 7 of the Act (N.J.S.A. 40A:12A-7) and based on the recommendation of the Planning Board, adopted ordinance number 05-9, approving and adopting the Redevelopment Plan; and WHEREAS, on August 25, 2005, the Borough Council, acting in the capacity as a Redevelopment Entity for the Borough, adopted resolution number 05-268, tentatively designating Carteret Tomorrow as redeveloper for the RALIRD, subject to the successful negotiation of a redevelopment agreement, which negotiations are ongoing; and \VHEREAS, the tentative designation of Carteret Tomorrow as the redeveloper for the RALIRD has been periodically extended by the Borough; -and WHEREAS, on January 19, 2006, Carteret tomorrow, L.L.c. filed a Certificate of Formation with the New Jersey Department of State; and WHEREAS, Carterct Tomorrow has fOffi1ally requested that the Borough assign the designation of redeveloper to the entity now known as Carteret Tomorrow, L.L.C.; and \VHEREAS, Carteret Tomorrow executed an Interim Costs Agreement, dated as of January 23, 2006 and authorized the transfer of $50,000 it previously deposited with the Borough into a Borough account to fund the Borough's expenses. NOW, THEREFORE, BE AND IT IS HEREBY RESOLVED by the Mayor and Council of the Borough of Carteret, in the County of Middlesex and the State of New Jersey, as follows: NO. JS1kl'Í---- PAos3 of 3 1. Carterct Tomorrow, a Partnership will no longer be designated the redeveloper ofRALIRD. 2. Carteret Tomorrow, L.L.c., with offices at 2120 McCarter Highway, Newark, New Jersey 07104, is hereby conditionally designated as the redeveloper of the RALIRD and has, at the sole and exclusive discretion of the Borough, the option to enter into preliminary negotiations for a redevelopment agreement with the Borough for the designated properties located within the RALIRD. 3.
