MEMORANDUM OF UNDERSTANDING
BY & BETWEEN
NICEVILLE PUBLIC LIBRARY, FT WALTON BEACH PUBLIC LIBRARY, ROBERT L.F. SIKES PUBLIC LIBRARY
THE OKALOOSA BOARD OF COUNTY COMMISSIONERS (LIBRARY COOPERATIVE)
1. PURPOSE
This Memorandum of Understanding (MOU) sets forth procedures for payment to the Okaloosa County
Public Library Cooperative (OCPLC) by the Niceville Public Library, Ft. Walton Beach Public Library, and
Robert L.F. Sikes Public Library for one-third each of the annual invoice for the Digital Content Reserve
Content Service Plan herein known as "Overdrive."
2. AGREEMENT
The above named Libraries agree to pay the OCPLC $5,000 for one-third of the annual cost of the
Overdrive library service. The attached Agreement between Overdrive and OCPLC will be paid in equal
shares by Niceville Public Library, Ft. Walton Beach Public Library, and Robert L. F. Sikes Public Library.
The Agreement has a term of four years contingent upon sufficient funds being available each year to
each participating library. This MOU is a commitment of the current revenues only of the Libraries. Each
Library agrees that it currently intends to pay $5,000 annually for the full contract term as scheduled (4
years) if funds are appropriated for the payment in each succeeding fiscal year by its governing body.
The OCPLC will invoice each Library approximately 120 days before the beginning of each renewal term.
If the Library is unable to pay the invoice, the Library Director will immediately inform the OCPLC. Lack
of funds to pay the invoice will require OCPLC to terminate the Agreement with Overdrive; the Library
must provide notification in sufficient time for OCPLC to terminate the Agreement at least 90 days
before the beginning of the next fiscal year.
IN WITNESS WHEREOF, the parties hereto have executed the Memorandum of Understanding on the
dates indicated below.
