The motion passed unanimously. MISCELLANEOUS AGENDA ITEMS Mayor Pro Tempore Fitzwater presented the Project Homeless Connect proclamation to committee co-chairs, Karen Taylor and Melissa Lee. They announced the Project Homeless Connect event date, September 30th from 10:00 A.M. to 2:00 P.M. Volunteers are needed. More information can be found at JCMO-PHC.org/volunteers. PUBLIC HEARINGS a. Approving a PUD Plan Amendment for Property Located at 311 Bolivar St., to Change the Number and Orientation of Parking Spaces Adjacent to Wall Way i. Associated Pending Bill 2022-061 A brief Staff presentation was made by Eric Barron, City Planning Manager Property Owner Jeff Schaeperkoetter requested a longer period of time to speak in favor of the bill. The original time allotted for opening remarks by the applicant or proponent of the bill is ten minutes. Councilmember Hensley motioned to allot 30 minutes to Mr. Schaeperkeotter to speak on the bill. Councilmember Schreiber seconded the motion. The motion passed unanimously by voice-vote. Mr. Schaeperkoetter proceeded to speak in favor of the bill. Mr. Wayne Lee then spoke in favor of the bill. There being no one else to speak on the bill, Mayor Pro Tempore Fitzwater declared the evidentiary portion of the public hearing concluded . 2022-061 sponsored by Councilmember Lester 2 REGULAR COUNCIL MEETING, SEPTEMBER 19, 2022 AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI APPROVING A PUD PLAN AMENDMENT FOR PROPERTY LOCATED AT 311 BOLIVAR STREET. Bill 2022-061 was read third time by title, placed on final passage, and failed by the following roll-call vote. Aye: Fitzwater, Hensley, Kemna, Schreiber, Ward Nay: Deeken, Lester, Spencer, Spicer, Wiseman Mayor Tergin was not in attendance to break the tie; therefore, the bill did not pass. The presentation has been added to the packet. There were no City Council questions at this time. b. City Attorney Ryan Moehlman presented a Capitol Avenue Update. Mr. Moehlman anticipates a consultant presentation on the structural analysis findings of the Capitol Avenue and surrounding area properties at the October 17th City Council meeting. Based on the findings, City Council will need to decide by January 6, 2023, which properties should be demolished. City Staff is working on listing the findings on the 3 REGULAR COUNCIL MEETING, SEPTEMBER 19, 2022 City’s website in the next day or two. Parties who have expressed interest in the properties will also be notified of the findings. ANNOUNCEMENTS BY MAYOR, COUNCIL, AND STAFF City Council committee announcements: • Committee on Administration – The next meeting is October 5th, 7:30 A.M. in the Boone-Bancroft Room. • Finance Committee – There is no September meeting. The next Budget Committee meetings are September 22nd, 26th, and 29th as needed, 5:30 P.M. in City Council Chambers. • Public Safety Committee – There were no announcements at this time. • Public Works & Planning Committee –The next meeting is October 13th, 7:30 A.M. in Council Chambers. City Staff announcement: • The CAMPO Directors meeting is this Wednesday at noon, in the Boone- Bancroft Room. The meeting will also be available to attend via WebEx. MINUTES OF THE BUDGET COMMITTEE MEETING SEPTEMBER 22, 2022 CALL TO ORDER The Budget Committee Meeting of September 22, 2022 was convened at 5:31 P.M. by Councilmember Jon Hensley, Finance Committee Chair. ROLL CALL The following Council Members were present when the meeting convened: Present: Deeken, Fitzwater*, Hensley, Lester, Spencer, and Ward Absent: Kemna, Schreiber, Spicer, and Wiseman *Participated via WebEx COMMITTEE DISCUSSION OF BUDGET Chairman Hensley opened the floor for discussion. He anticipates Monday, September 26th as the last Budget Committee meeting. The meeting may run over the 1 ½ hour time allotment to finalize the budget. Chairman Hensley then made adjustments to the parking lot specifically related to the Public Safety Tax and the 2% Compression Pool. Councilmember Lester suggested allocating 15% of Public Safety employees’ holiday pay from the Public Safety tax since the only cost of the Juneteenth holiday is Public Safety holiday pay.** Councilmember Lester then proposed additional planning positions due to the increase in grant funded programs and the workload associated with those programs. Councilmember Ward asked Neighborhood Services Manager Rachel Senzee the amount of grants the department was handling. Ms. Senzee said the total amount in projects is $14.7 million with about $800,000 of City match. Councilmember Spencer is hesitant to add new positions at this time. Councilmember Fitzwater said that while he agrees with Councilmember Spencer’s hesitation, it’s important to look at the planning needs of the department with the increase in grant funded programs. **See attached updated parking lot and Councilmember’s Lester holiday pay recommendation. PUBLIC COMMENTS There were no public comments at this time. OTHER BUSINESS Director of Finance and I.T. Shiela Pearre said she will be out of town for the next Budget Committee meeting and City Council meeting, but she will be attending via WebEx. City Administrator Steve Crowell informed the Budget Committee that if the compost contract is cancelled, there is a 6 month notification of cancellation deadline. He also informed the Budget Committee of supplemental bills that will be brought to City Council to close out FY2022. ADJOURNMENT The meeting adjourned at 6:20 P.M. ROLL CALL The f ollowing Council Members were present when the meeting convened: Present: Deeken, Hensley, Kemna, Lester, Schreiber, Spencer, Spicer, and Ward Absent: Fitzwater and Wiseman COMMITTEE DISCUSSION OF BUDGET Chairman Hensley opened the floor for discussion. Councilmember Wiseman arrived to the meeting at 5:31 P.M. Chairman Hensley summarized his adjustments to the parking lot specifically related to the Public Safety Tax and the 2% Compression Pool. After reviewing Councilmember Lester’s proposal from last week, allocating 15% of Public Safety employees’ holiday pay from the Public Safety tax since the only cost of the Juneteenth holiday is Public Safety holiday pay, Councilmember Hensley agreed with the 15% allocation. Councilmember Spencer asked if there is a way to track the expenses allocated to the Public Safety tax going forward. City Administrator Steve Crowell informed Councilmembers that Shiela Pearre, Finance and I.T. Director was joining the meeting by phone. He also addressed Councilmember Spencer’s concern, reminding Councilmembers that the Public Safety Tax line items are tracked in t he budget which will be presented each year to City Council and in monthly financial reports presented to the Finance Committee. Councilmember Spencer expressed the importance of “pumping the breaks” on spending additional dollars with the Public Safety ta x other than what has been allocated in the budget process. Councilmember Deeken asked if there is a way to instruct future City Councils to not allocate additional expenses to the Public Safety tax, other than what has been approved during this current budget process. City Attorney said that can not be done without a change to the City Charter. Mr. Crowell said the intent of this City Council’s use of the Public Safety tax funds can be documented in the minutes. Councilmember Spencer asked if the City Council could define “Public Safety” as it relates to the Public Safety tax. Mr. Moehlman said that can certainly be done; however, future City Councils can also amend the definition. Councilmember Hensley motioned and Councilmember Lester seconded the motion to approve the Public Safety Tax parking lot modifications, 2% Compression Pool, and 15% Juneteenth holiday pay which includes benefits. Councilmember Hensley had proposed reducing the Mayor and City Council Salary and Postage for the Finance Department. Councilmember Lester eliminated those reductions, deferring to the Mayor’s budget for those line items. The only two new positions funded through the budget is the Police Sargent dedicated to the body camera program and the Police Department grant position. Mr. Crowell reminded City Council of several supplemental bills that will be presented at future City Council meetings including gas and parts. Councilmember Spencer requested the final reserve fund balance after the parking lot adjustments have been made and the budget presented at City Council for the final vote. Councilmember Lester motioned to approve his revisions to Councilmember Hensley’s modifications and new modifications to the parking lot. Councilmember Hensley seconded the motion. OTHER BUSINESS Councilmember Lester would like to address the following at a future Finance Committee meeting and/or City Council meeting: administrative chargeback fees study, low planning staff to manage an increase in grant funded programs, a use tax, and the City’s reserve fund balance. Councilmember Spencer would like to see a monthly MINUTES OF THE BUDGET COMMITTEE MEETING SEPTEMBER 26, 2022 financial report summary presented at one or both of the regular scheduled, monthly City Council meetings. Councilmember Spencer also asked for an update on the Evergreen Study. Human Resources Director Gail Strope said that Evergreen has provided a very rough draft. Ms. Strope replied to Evergreen with clean -up suggestions and questions. Evergreen has not been very responsive throughout the process. Councilmember Spencer requested that once the study is presentable, he would like Staff to provide it to City Council prior to City Council packet distribution and the corresponding City Council meeting. Mayor Carrie Tergin thanked City Council and City Staff for the amount of work and time dedicated to the FY2023 budget. She noted in her time as Mayor, this budget has gone through the most revisions and meetings compared to year’s past. Chairman Hensle y also thanked the Mayor, fellow Councilmembers and City Staff for their work on the City’s FY2023 budget. Councilmember Spencer appreciated the collaboration as well. He suggested in future years, there be more collaboration before the budget reaches City Council. Mayor Tergin said if that is the case, it should be outlined in writing since the Charter outlines the budget process. ADJOURNMENT The meeting adjourned at 6:02 P.M. All lots will have access to West Stadium Blvd. On the plat, there are two locations where existing driveways will be used for access to the site. Mr. Wade advised storm water drainage and sanitary sewer are already in place for the commercial portion of this subdivision. Sidewalks exist along a portion of Stadium Blvd where developments have occurred and will be required along Stadium Blvd as the lots develop. No infrastructure plans are needed at this time. A drive entrance plan was submitted for review for lots 90 & 91. Stadium Blvd is an existing arterial two-lane roadway with room for a center turn lane in the future. Stormwater quality and erosion control will need to be considered on a lot by lot basis as the remaining lots develop. Street lights and fire hydrants are already in place. Section 35-28, which outlines a use's status per each zoning district, states that veterinary clines for both large animal clinics and small animal clinics are prohibited under the C-0 Commercial Office zoning designation but permitted by right under the C-2 General Commercial zoning designation. The owner wishes to rezone a portion of the subject property from C-0 to C-2 to pe rmit development of a veterinary clinic on the property . Within the platting process the owner identified a small portion of Lot 90 which would be kept as a part of the future residential portion of the development This small portion has been requested to be rezoned from C-0 and C-2 to RA-1, which would match the zoning adjacent to and south of it. Article VI involves the ad ministrative functions of different entities such as the Planning and Zoning Commission and City Council. Within this article under Section 35-70, the Planning and Zoning Commission is recorded as being tasked with review and recommendation of zoning map amendment requests. Likewise, the Commission is tasked with review and recommendation of final plat requests in accordance with Chapter 35 and Chapter 33 of the City Code for the City of Jefferson. The City Council then makes a decision for both zoning map amendment as well as final plat requests based on text from those chapters just mentioned. Zoning History: The preliminary plat and zoning plan for the Schepker's Farm Subdivision was originally approved in 2005 and 2006. The applicant of the time aimed to accommodate an increase of commercial activity in the area, however, the development was not successful. In 2015, a revised zoning p lan and plat, including the Section One final plat for a portion of the residential development, was approved. An additional final plat involving Section Two of the subdivision, a single commercial lot at the comer of Edgewood and Stadium, was approved in 2019. The property owner intends to develop the property in a multi-family re sidential manner (likely 3-plexes or 4 -plexes). The purpose of the request is to incorporate the subject property into the city limits of the City of Jefferson with an RA-1 zo ning designation in order to accommodate the future development. Planning and Zoning Commission Review : The Planning and Zoning Commission reviewed the annexation and zoning plan at their meeting of October 08, 2022 . The motion to approve PASSED on a vote of 6 in favor, 0 against. Council 's Public Hearing : Chapter 71 .012 RSMo governs voluntary annexation procedures . The public notice advertising the date and time of the public hearing was published in the Jefferson City News Tribune in order to provide the required minimum seven day notice prior to the public hearing. The public hearing is scheduled for October 17, 2022 at 6:00 p.m. during the City Council Meeting. Public Comment Received: No public comments were received pertaining to the request. Fiscal Information: Property within Cole County and the Jefferson City School District is assessed at 6.0165 cents per $100 assessed valuation. The City of Jefferson property tax levy is 0.5561. The vacant tract, currently valued at $3,500, would pay approximately $3.70 in annual City property tax. Following completion of a future residential development, the property would be assessed at 19% of fair market value. A future development of the property would provide a few thousand dollars of funding annually to support the extension of City services (for example, a multi-family residential development valued at $1.2 million will pay approximately $1300 annually in City property taxes). Residents of a future development will be subject to payment of taxes on personal property at the City levy of 0.5561. The development will be subject to City rates, including taxes and fees on utilities. Fire District Effect: With the exception of Jefferson City, every property in Cole County is within a fire district, and is assessed a fire district fee. This property is served by Regional West Fire District, and is assessed at 0.2950 cents per $100 in assessed valuation for fire service, resulting in a 2021 tax of $1.98. Properties within Jefferson City are provided fire service as part of the City tax levy. Upon annexation, properties are no longer assessed a fire district fee, but would pay the City tax levy. Missouri Statute governs the procedure when annexing property in a fire protection district. In the absence of an agreement with the affected fire district, Section 321.322 requires the City to pay the fire district a decreasing amount annually, based on the fees collected, as follows (amounts are approximate): 2023 - $1.98 (100% of the fees collected) 2024 - $1.59 (4/5 of fees collected) 2025 - $1.19 (3/5) 2026 - $0.80 (2/5) 2027 - $0.40 (1/5) 2028 - $0 City Services: Upon annexation, all City services (police, fire, etc.) will be extended. The property is currently undeveloped, so immediate effect on city services would be negligible. If the property is developed, infrastructure improvements, including a short street extension (likely consisting of just a cul-de-sac bulb), sewer line extension, and any public stormwater infrastructure would be installed at the expense of the property owner and accepted by the city for long term maintenance. The public infrastructure design would be finalized with a future subdivision plat application. Impact on provision of other city services (police, fire, code enforcement, etc.) is dependent on the nature of the future development of the property. The property owner’s current plans envision construction of 6 triplexes, which should have a minimal financial effect on provision of city services and would be offset by collection of property taxes, fees, and utilities. RA-1 zoning would allow up to 4 units per building, multiple units could be put on the property. A preliminary plat will be submitted at a later date with further details on the dead end of Emily Lane. Consultant for property owners Mark and Julie Gerlach, Paul Samson with CMPS, presented the case. The Gerlach's purchased the property with a goal of multi-family development on the property, similar to the other properties on Emily Lane. Area resident Caroline Bartel at 4679 Tanman Ct, spoke about the request. Ms. Bartel had questions about the plans to extend Emily Lane and tree clearing in the area in relation to the back of her property. Mr. Barron advised there is a creek in the area and city code requires a riparian corridor along major creeks. Mr. Wade advised the minimum riparian area that is required to remain is 25 feet along the creek bank/ordinary high-water mark of the creek. There's also an additional 35 feet for building setback. All of this would be reviewed during the site plan. Ms. Bliss stated the staff recommends approval of the requested voluntary annexation and zoning plan. Ms. Cotton moved and Mr. Markus seconded a motion to recommend approval of the zoning plan establishing a RA-1 High Density Residential zoning designation for the property upon annexation. The Contractor further agrees that Contractor will keep an accurate record showing the names and occupations of all workmen employed in connection with the work to be erformed under the terms of this contract. The record shall show the actual wages paid to the workmen in connection with the work to be performed under the terms of this contract. A copy of the record shall be delivered to the Purchasing Agent of the Jefferson City Finance Department each week. In accordance with Section 290.250 RSMo, Contractor shall forfeit to the City One Hundred Dollars ($100.00) for each workman employed, for each calendar day or portion thereof that the workman is paid less than the stipulated rates for any work done under this contract, by the Contractor or any subcontractor under the Contractor. 5. Insurance. (a) The Contractor shall obtain and maintain during the term of the Project and this Contract the insurance coverages at least equal to the coverages set forth in this paragraph 7, and as further provided in the General Conditions, but no event less than the individual and combined sovereign immunity limits established by Section 537.610 R.S.Mo. Insurance policies providing required coverages shall be with companies licensed to do business in the State of Missouri and rated no less than AA by Best or equivalent. All costs of obtaining and maintaining insurance coverages are included in the Bid Amount and no additional payment will be made therefor by the City. (c) Builder's Risk-The Contractor shall also provide a policy of Builder's Risk Insurance in the amount of 100% of the complete insurable value of the Project, which policy shall protect the Contractor and the City, as their respective interests shall appear. (d) Owner's Protective Liability Insurance-The Contractor shall also obtain at its own expense and deliver to the City an Owner's Protective Liability Insurance Policy naming the City of Jefferson as the insured, in an amount not less than the individual and combined sovereign immunity limits established by Section 537.610 R.S.Mo. exce t for those claims overned b the rovisions of the Missouri Workmen's Compensation Law, Chapter 287, RSMo. No policy will be accepted which excludes liability for damage to underground structures or by reason of blasting, explosion or collapse. (e) Before commencing any work, the Contractor shall provide to the City certificates of insurance evidencing the issuance and maintenance in force of the coverages required by this paragraph 4. Each such certificate shall show the City, and such other governmental agencies as may be required by the City to be insured by underlying grant or contract relating to the Project, as an additional insured, and shall bear an endorsement precluding cancellation of or change in coverage without at least thirty (30) days written notice to the City. The City may waive any insurance coverages or amounts required by this paragraph 4 when the City deems such waiver to be in the interest of the public health, safety, and general welfare. (f) Subcontracts -In case any or all of this work is sublet, the Contractor shall require the Subcontractor to procure and maintain all insurance required in Subparagraphs (a), (b), and (c) hereof and in like amounts. (g) Scope of Insurance and Special Hazard. The insurance required under Sub-paragraphs (b) and (c) hereof shall provide adequate protection for the Contractor and its subcontractors, respectively, against damage claims which may arise from operations under this contract, whether such operations be by the insured or by anyone directly or indirectly employed by it, and also against any special hazards which may be encountered in the performance of this contract. NOTE: Paragraph (f) is construed to require the procurement of Contractor's protective insurance (or contingent public liability and contingent property damage policies) by a general contractor whose subcontractor has employees working on the project, unless the general public liability and property damage policy (or rider attached thereto) of the general contractor provides adequate protection against claims arising from operations by anyone directly or indirectly employed by the Contractor. 6. Contractor's Responsibility for Subcontractors. It is further agreed that Contractor shall be as fully responsible to the City for the acts and omissions of its subcontractors, and of persons either directly or indirectly employed by them, as Contractor is for the acts and omissions of persons it directly employs. Contractor shall cause appropriate provisions to be inserted in all subcontracts relating to this work, to bind all subcontractors to Contractor by all the terms herein set forth, insofar as applicable to the work of subcontractors and to give Contractor the same power regarding termination of any subcontract as the City may exercise over Contractor under any provisions of this contract. Nothing contained in this contract shall create any contractual relations between any subcontractor and the City or between any subcontractors. 7. Liquidated Damages. The Contractor agrees and acknowledges that time is of the essence of this A reement and that dela in the rosecution of the Work and the Project will inconvenience the public and increase administrative costs of the City, the costs of which the Contractor and the City are incapable of ascertaining at this time. Should the Contractor, or in the case of Contractor's default, the surety, fail to complete the Work within the time stipulated in this Agreement, or within such extension of time as may be allowed by the City in the manner set forth in the Contract Documents, the Contractor (or surety, as applicable) shall pay to the City as liquidated damages, and not as a penalty, the sum of for each calendar day that the Work remains uncompleted after the time allowed for the completion, including approved extensions. In the sole discretion of the City, the amount of the liquidated damages may be deducted from any money due the Contractor under this Agreement. Permitting the Contractor to finish the Work or any part thereof after the expiration of the time for completion or any approved extension, shall in no way operate as a waiver of the City of any of rights under this Contract. 8. Termination. The City reserves the right to terminate this contract by giving at least five (5) days prior written notice to Contractor, without prejudice to any other rights or remedies of the City should Contractor be adjudged a bankrupt, or if Contractor should make a general assignment for the benefit of its creditors, or if a receiver should be appointed for Contractor or for any of its property, or if Contractor should persistently or repeatedly refuse or fail to supply enough properly skilled workmen or proper material, or if Contractor should refuse or fail to make prompt payment to any person supplying labor or materials for the work under the contract, or persistently disregard instructions of the City or fail to observe or perform any provisions of the contract. 9. City's Right to Proceed. In the event this contract is terminated pursuant to Paragraph 8, then the City may take over the work and prosecute the same to completion, by contract or otherwise, and Contractor and its sureties shall be liable to the City for any costs over the amount of this contract thereby occasioned by the City. In any such case the City may take possession of, and utilize in completing the work, such materials, appliances and structures as may be on the work site and are necessary for completion of the work. The foregoing provisions are in addition to, and not in limitation of, the rights of the City under any other provisions of the contract, City ordinances, and state and federal laws. 10. Indemnity. To the fullest extent permitted by law, the Contractor agrees to defend with counsel selected by the City, and defend, indemnify and hold harmless the City, its officers, engineers, representatives, agents and employees from and against any and all liabilities, damages, losses, claims or suit, including costs and attorneys' fees, for or on account of any kind of injury to person, bodily or otherwise, or death, or damage to or destruction of property, or money damages, or trespass, or any other circumstances, sustained by the City or others, arising from the Contractor's breach of the Contract or out of services or products provided by the Contractor or its subcontractors under the terms of this a reement. The Contractor shall not be liable for any loss or damage attributable solely to the negligence of the City. To the extent required to enforce this provision, the Contractor agrees that this indemnification requires the Contractor to obtain insurance in amounts specified in the Contract Documents and that the Contractor has had the opportunity to recover the costs of such insurance in the compensation set forth in this Agreement. In any and all claims against the City or any of its agents or employees by any employee of the Contractor, any Subcontractor, anyone directly or indirectly employed by any one of them or anyone for whose acts any of them may be liable, this indemnification obligation shall not be limited in any way by any limitation on the amount or type of damages, compensation or benefits payable by or for the Contractor or any Subcontractor under workmen's compensation acts, disability benefit acts or other employee benefit acts. The Contractor shall reimburse to the City any costs and attorneys' fees that the City may reasonably incur in pursuit of any remedies at law or equity or enforcement of any rights established in this Contract, which may result from the Contractor's breach of the Contract, the Contractor's failure to perform any obligation or requirement contained herein, or the City's enforcement of this Contract. 11. Payment for Labor and Materials. The Contractor agrees and binds itself to pay for all labor done, and for all the materials used in the construction of the work to be completed pursuant to this contract. Contractor shall furnish to the City a bond to ensure the payment of all materials and labor used in the performance of this contract. 12. Supplies. The Contractor is hereby authorized and directed to utilize the City's sales tax exemption in the purchase of goods and materials for the project as set out in Section 144.062 RSMo 1994 as amended. Contractor shall keep and maintain records and invoices of all such purchases which shall be submitted to the City. 13. Performance and Materialman's Bonds Required. Contractor shall provide a bond to the City before work is commenced, and no later than ten (10) days after the execution of this contract, guaranteeing the Contractor's performance of the work bid for, the payment of amounts due to all suppliers of labor and materials, the payment of insurance premiums for workers compensation insurance and all other insurance called for under this contract, and the payment of the prevailing wage rate to all workmen as required by this contract, said bond to be in a form approved by the City, and to be given by such company or companies as may be acceptable to the City in its sole and absolute discretion. The amount of the bond shall be equal to the Contractor's bid. 14. Knowledge of Local Conditions. Contractor hereby warrants that it has examined the location of the proposed work and the attached specifications and has fully considered such local conditions in making its bid herein. 15. Severability. If any section, subsection, sentence, or clause of this Contract shall be adjudged illegal, invalid, or unenforceable, such illegality, invalidity, or unenforceability shall not affect the legality, validity, or enforceability of the contract as a whole, or of any section, subsection, sentence, clause, or attachment not so adjudged. 16. Governing Law. The contract shall be governed by the laws of the State of Missouri. The courts of the State of Missouri shall have jurisdiction over any dispute which arises under this contract, and each of the parties shall submit and hereby consents to such courts exercise of jurisdiction. In any successful action by the City to enforce this contract, the City shall be entitled to recover its attorney's fees and expenses incurred in such action. 17. Contract Documents. Parties agree that this document including those documents described in the section entitled "Contract Documents" represent the full and complete understanding of the parties. This contact includes only those goods and services specifically set out. This contract supersedes all prior contracts and understandings between the Contractor and the City. 19. Authorship and Enforcement. Parties agree that the production of this document was the joint effort of both parties and that the contract should not be construed as having been drafted by either party. 20. Amendments. This contract may not be modified, changed or altered by any oral promise or statement by whomsoever made; nor shall any modification of it be binding upon the City until such written modification shall have been approved in writing by an authorized officer of the City. Contractor acknowledges that the City may not be responsible for paying for changes or modifications that were not properly authorized. 21 . Waiver of Breach . Failure to Exercise Rights and Waiver: Failure to insist upon strict compliance with any of the terms covenants or conditions herein shall not be deemed a waiver of any such terms, covenants or conditions, nor shall any failure at one or more times be deemed a waiver or relinquishment at any other time or times by any right under the terms, covenants or conditions herein. 22. Assignment. Neither party may sell or assign its rights or responsibilities under the terms of this agreement without the express consent of the remaining party. 23. Nondiscrimination. Contractor agrees in the performance of this contract not to discriminate on the ground or because of race, creed, color, national origin or ancestry, sex, religion, handicap, age, or political opinion or affiliation, against any employee of Contractor or applicant for employment and shall include a similar provision in all subcontracts let or awarded hereunder. 24. Illegal Immigration. Prior to commencement of the work: A. Contractor shall, by sworn affidavit and provision of documentation, affirm its enrollment and participation in a federal work authorization program with respect to the employees working in connection with the contracted services. B. Contractor shall sign an affidavit affirming that it does not knowingly employ any person who is an unauthorized alien in connection with the contracted services Contractor agrees in the performance. C. If contractor is a sole proprietorship, partnership, or limited partnership, contractor shall provide proof of citizenship or lawful presence of the owner prior to issuance of the Notice to Proceed. 25. OSHA Training Prior to commencement of the work: A. Contractor shall provide a ten-hour Occupational Safety and Health Administration (OSHA) construction safety program for their on-site employees which includes a course in construction safety and health approved by OSHA or a similar program approved by the department which is at least as stringent as an approved OSHA program. B. All employees subject to this provision are required to complete the program within sixty days of beginning work on such construction project. C. Any employee, agent or subcontractor of the Contractor subject to this provision found on the worksite without documentation of the successful completion of the course shall be afforded twenty days to produce such documentation after which time they shall be removed from the project. D. If Contractor fails the provisions of subsection A, B, or C, the Contractor shall forfeit as a penalty two thousand five hundred dollars plus an additional one hundred dollars for each employee employed by the contractor or subcontractor, for each calendar day, or portion thereof, such employee is employed without the required training. The penalty shall not begin to accrue until the time period in subsections B or C, whichever is applicable, of this section have elapsed. E. The City shall withhold and retain from any amount due under the contract, all sums and amounts due and owing as a result of any violation of this section when making payments to the contractor under the contract. The contractor may withhold from any subcontractor, sufficient sums to cover any penalties the City has withheld from the contractor resulting from the subcontractor's failure to comply with the terms of this section. 26. Transient Employers. Every transient employer, as defined in section 285.230, RSMo, enclosed in the laws section, must post in a prominent and easily accessible place at the work site a clearly legible copy of the following: (1) The notice of registration for employer withholding issued to such transient employer by the director of revenue; (2) Proof of coverage for workers' compensation insurance or self-insurance signed by the transient employer and verified by the department of revenue through the records of the division of workers' compensation; and (3) The notice of registration for unemployment insurance issued to such transient employer by the division of employment security. Any transient employer failing to comply with these requirements shall, under section 285.234, RSMo, enclosed in the laws section, be liable for a penalty of $500 per day until the notices required by this section are posted as required by that statue. 27. Notices. WITNESSETH: NOW, THEREFORE, in consideration of the mutual covenants, promises and representations in this Agreement, the parties agree as follows: (1) PURPOSE: The United States Congress has authorized, in Fixing America’s Surface Transportation Act (FAST); 23 U.S.C. §101, §106 and §213; SAFETEA-LU §1404 funds to be used for transportation alternatives activities. The purpose of this Agreement is to grant the use of such transportation enhancement funds to the (City). (2) LOCATION: The transportation alternatives funds which are the subject of this Agreement are for the project at the following location: Construct raised pedestrian crosswalks at two locations – Wears Creek Greenway intersection with Southwest Boulevard and Layfayette Street in tersection with East Branch Greenway. The general locations of the project is shown on attachment marked "Exhibit A" and incorporated herein by reference. (3) REASONABLE PROGRESS POLICY: The project as described in this agreement is subject to the reasonable progress policy set forth in the Local Public Agency (LPA) Manual and the final deadline specified in Exhibit B attached hereto and incorporated herein by reference. In the event, the LPA Manual and the final deadline within Exhibit B conflict, the final deadline within Exhibit B controls. If the project is within DRAFT a Transportation Management Area that has a reasonable progress policy in place, the project is subject to that policy. If the project is withdrawn for not meeting reasonable progress, the City agrees to repay the Commission for any progress payments made to the City for the project and agrees that the Commission may deduct progress payments made to the City from future payments to the City. The City may not be eligible for future Transportation Alternatives Funds if the City does not meet the reasonable progress policy. (4) INDEMNIFICATION: (A) To the extent allowed or imposed by law, the City shall defend, indemnify and hold harmless the Commission, including its members and the Missouri Department of Transportation (MoDOT or Department) employees, from any claim or liability whether based on a claim for damages to real or personal property or to a person for any matter relating to or arising out of the City’s wrongful or negligent performance of its obligations under this Agreement. (B) The City will require any contractor procured by the City to work under this Agreement: 1. To obtain a no cost permit from the Commission’s district engineer prior to working on the Commission’s right-of-way, which shall be signed by an authorized contractor representative (a permit from the Commission’s district engineer will not be required for work outside of the Commission’s right-of-way); and 2. To carry commercial general liability insurance and commercial automobile liability insurance from a company authorized to issue insurance in Missouri, and to name the Commission, and MoDOT and its employees, as additional named insureds in amounts sufficient to cover the sovereign immunity limits for Missouri public entities as calculated by the Missouri Department of Insurance, Financial Institutions and Professional Registration, and published annually in the Missouri Register pursuant to Section 537.610, RSMo. The City shall cause insurer to increase the insurance amounts in accordance with those published annually in the Missouri Register pursuant to Section 537.610, RSMo. (C) In no event shall the language of this Agreement constitute or be construed as a waiver or limitation for either party’s rights or defenses with regard to each party’s applicable sovereign, governmental, or official immunities and protections as provided by federal and state constitution or law. (5) AMENDMENTS: Any change in this Agreement, whether by modification or supplementation, must be accomplished by a formal contract amendment signed and approved by the duly authorized representatives of the City and the Commission. (6) COMMISSION REPRESENTATIVE: The Commission's District Engineer is designated as the Commission's representative for the purpose of administering the provisions of this Agreement. The Commission's representative may designate by written notice other persons having the authority to act on behalf of the Commission in furtherance of the performance of this Agreement. (7) NONDISCRIMINATION ASSURANCE: With regard to work under this Agreement, the City agrees as follows: (A) Civil Rights Statutes: The City shall comply with all state and federal statutes relating to nondiscrimination, including but not limited to Title VI and Title VII of the Civil Rights Act of 1964, as amended (42 U.S.C. §2000d and §2000e, et seq.), as well as any applicable titles of the "Americans with Disabilities Act" (42 U.S.C. §12101, et seq.). In addition, if the City is providing services or operating programs on behalf of the Department or the Commission, it shall comply with all applica ble provisions of Title II of the "Americans with Disabilities Act". (B) Administrative Rules: The City shall comply with the administrative rules of the United States Department of Transportation relative to nondiscrimination in federally-assisted programs of the United States Department of Transportation (49 C.F.R. Part 21) which are herein incorporated by reference and made part of this Agreement. (C) Nondiscrimination: The City shall not discriminate on grounds of the race, color, religion, creed, sex, disability, national origin, age or ancestry of any individual in the selection and retention of subcontractors, including procurement of materials and leases of equipment. (F) Sanctions for Noncompliance: In the event the City fails to comply with the nondiscrimination provisions of this Agreement, the Commission shall impose such contract sanctions as it or the United States Department of Transportation may determine to be appropriate, including but not limited to: 1. Withholding of payments under this Agreement until the City complies; and/or 2. Cancellation, termination or suspension of this Agreement, in whole or in part, or both. (G) Incorporation of Provisions: The City shall include the provisions of paragraph (7) of this Agreement in every subcontract, including procurements of materials and leases of equipment, unless exempted by the statutes, executive order, administrative rules or instructions issued by the Commission or the United States Department of Transportation. The City will take such action with respect to any subcontract or procurement as the Commission or the United States Department of Transportation may direct as a means of enforcing such pro visions, including sanctions for noncompliance; provided that in the event the City becomes involved or is threatened with litigation with a subcontractor or supplier as a result of such direction, the City may request the United States to enter into such litigation to protect the interests of the United States. (8) ASSIGNMENT: The City shall not assign, transfer or delegate any interest in this Agreement without the prior written consent of the Commission. (9) LAW OF MISSOURI TO GOVERN: This Agreement shall be construed according to the laws of the State of Missouri. The City shall comply with all local, state and federal laws and regulations relating to the performance of this Agreement. (10) CANCELLATION: The Commission may cancel this Agreement at any time for a material breach of contractual obligations by providing the City with written notice of cancellation. Should the Commission exercise its right to cancel this Agreement for such reasons, cancellation will become effective upon the date s pecified in the notice of cancellation sent to the City. (11) ACCESS TO RECORDS: The City and its contractors must maintain all records relating to this Agreement, including but not limited to invoices, payrolls, etc. These records must be available at no charge to the Federal Highway Administration (FHWA) and the Commission and/or their designees or representatives during the period of this Agreement and any extension, and for a period of three (3) years after the date on which the City receives reimbursement of their final invoice from the Commission. (12) FEDERAL-AID PROVISIONS: Because responsibility for the performance of all functions or work contemplated as part of this project is assumed by the City, and the City may elect to construct part of the improvement contemplated by this Agreement with its own forces, a copy of Section II and Section III, as contained in the United States Department of Transportation Form Federal Highway Administration FHWA 1273 "Required Contract Provisions, Federal-Aid Construction Contracts," is attached and made a part of this Agreement as Exhibit C. Wherever the term "the contractor" or words of similar import appear in these sections, the term “the City”is to be substituted. The City agrees to abide by and carry out the condition and obligations of "the contractor" as stated in Section II, Equal Opportunity, and Section III, Nonsegregated Facilities, as set out in Form FHWA 1273. (13) ACQUISITION OF RIGHT OF WAY: With respect to the acquisition of right of way necessary for the completion of the project, City shall acquire any additional necessary right of way required for this project and in doing so agrees that it will comply with all applicable federal laws, rules and regulations, including 42 U.S.C. 4601 -4655, the Uniform Relocation Assistance and Real Property Acquisition Act, as amended and any regulations promulgated in connection with the Act. (14) MAINTENANCE OF DEVELOPMENT: The City shall maintain the herein contemplated improvements without any cost or expense to the Commission. All maintenance by the City shall be done for the safety of the general public and the esthetics of the area. In addition, if any sidewalk or bike trails are constructed on the Commission's right-of-way pursuant to this Agreement, the City shall inspect and maintain the sidewalk or bike trails constructed by this project in a condition reasonably safe to the public and, to the extent allowed by law, shall indemnify and hold the Commission harmless from any claims arising from the construction and maintenance of said sidewalk or bike trails. If the City fails to maintain the herein contemplated improvements, the Commission or its representatives, at the Commission's sole discretion shall notify the City in writing of the City’s failure to maintain the improvement. If the City continues to fail in maintaining the improvement, the Commission may remove the herein contemplated improvement whether or not the improvement is located on the Commission's right of way. Any removal by the Commission shall be at the sole cost and expense of the City. Maintenance includes but is not limited to mowing and trimming between shrubs and other plantings that are part of the improvement. (15) PLANS: The City shall prepare preliminary and final plans and specifications for the herein improvements. The plans and specifications shall be submitted to the Commission for the Commission's review and approval. The Commission has the discretion to require changes to any plans and specifications prior to any approval by the Commission. (16) REIMBURSEMENT: The cost of the contemplated improvements will be borne by the United States Government and by the City as follows: (A) Any federal funds for project activities shall only be available for reimbursement of eligible costs which have been incurred by City. Any costs incurred by City prior to authorization from FHWA and notification to proceed from the Commission are not reimbursable costs. The federal share for this project will be 80% percent not to exceed two hundred and twenty-two thousand seven hundred and forty- three dollars and 60/100 ($222,743.60). The calculated federal share for seeking federal reimbursement of participating costs for the herein improvements will be determined by dividing the total federal funds applied to the project by the total participating costs. Any costs for the herein improvements which exceed any federal reimbursement or are not eligible for federal reimbursement shall be the sole responsibility of City. The Commission shall not be responsible for any costs associated with the herein improvement unless specifically identified in this Agreement or subsequent written amendments. (17) PROGRESS PAYMENTS: The City may request progress payments be made for the herein improvements as work progresses but not more than once every two weeks. Progress payments must be subm itted monthly. The City shall repay any progress payments which involve ineligible costs. (18) PROMPT PAYMENTS: Progress invoices submitted to MoDOT for reimbursement more than thirty (30) calendar days after the date of the vendor invoice shall also include documentation that the vendor was paid in full for the work identified in the progress invoice. Examples of proof of payment may include a letter or e -mail from the vendor, lien waiver or copies of cancelled checks. Reimbursement will not be made on these submittals until proof of payment is provided. Progress invoices submitted to MoDOT for reimbursement within thirty (30) calendar days of the date on the vendor invoice will be processed for reimbursement without proof of payment to the vendor. If the City has not paid the vendor prior to receiving reimbursement, the City must pay the vendor within two (2) business days of receipt of funds from MoDOT. (19) PERMITS: The City shall secure any necessary approvals or permits from any federal or state agency as required for the completion of the herein improvements. If this improvement is on the right of way of the Commission, the City must secure a permit from the Commission prior to the start of any work on the right of way. The permits which may be required include, but are not limited to, environmental, architectural, historical or cultural requirements of federal or state law or regulation. (20) INSPECTION OF IMPROVEMENTS AND RECORDS: The City shall assure that representatives of the Commission and FHWA shall have the privilege of inspecting and reviewing the work being done by the City’s contractor and subcontractor on the herein project. The City shall also assure that its contractor, and all subcontractors, if any, maintain all books, documents, papers and other evidence pertaining to costs incurred in connection with the Transportation Enhancement Program Agreement, and make such materials available at such contractor's office at all reasonable times at no charge during this Agreement period, and for three (3) years from the date of final payment under this Agreement, for inspection by the Commission, FHWA or any authorized representatives of the Federal Go vernment and the State of Missouri, and copies shall be furnished, upon request, to authorized representatives of the Commission, State, FHWA, or other Federal agencies. (21) CREDIT FOR DONATIONS OF FUNDS, MATERIALS, OR SERVICES: A person may offer to donate funds, materials or services in connection with this project. Any donated funds, or the fair market value of any donated materials or services that are accepted and incorporated into this project shall be credited according to 23 U.S.C. §323. (22) DISADVANTAGED BUSINESS ENTERPRISES (DBE): The Commission will advise the City of any required goals for participation by disadvantaged business enterprises (DBEs) to be included in the City’s proposal for the work to be performed. The City shall submit for Commission approval a DBE goal or plan. The City shall comply with the plan or goal that is approved by the Commission and all requirements of 49 C.F.R. Part 26, as amended. (23) VENUE: It is agreed by the parties that any action at law, suit in equity, or other judicial proceeding to enforce or construe this Agreement, or regarding its alleged breach, shall be instituted only in the Circuit Court of Cole County, Missouri. (24) NOTICE TO BIDDERS: The City shall notify the prospective bidders that disadvantaged business enterprises shall be afforded full and affirmative opportunity to submit bids in response to the invitation and will not be discriminated against on grounds of race, color, sex, or national origin in consideration for an award. (25) FINAL AUDIT: The Commission may, in its sole discretion, perform a final audit of project costs. The United States Government shall reimburse the City, through the Commission, any monies due. The City shall refund any overpayments as determined by the final audit. (26) OMB AUDIT: If the City expend(s) seven hundred fifty thousand dollars ($750,000) or more in a year in federal financial assistance it is required to have an independent annual audit conducted in accordance with 2 CFR Part 200. A copy of the audit report shall be submitted to MoDOT within the earlier of thirty (30) days after receipt of the auditor's report(s), or nine (9) months after the end of the audit period. Subject to the requirements of 2 CFR Part 200, if the City expend(s) less than seven hundred fifty thousand dollars ($750,000) a year, the City may be exempt from auditing requirements for that year but records must be available for review or audit by applicable state and federal authorities. (27) FEDERAL FUNDING ACCOUNTABILITY AND TRANSPARENCY ACT OF 2006: The City shall comply with all reporting requirements of the Federal Funding Accountability and Transparency Act (FFATA) of 2006, as amended. Capitol On Saturda y evening (9/24/22), 407 E. Capitol suffered a structure fire. Fire and smoke damage to the building is extensive. Because the building is already on the City’s Dangerous Building list and has been ordered to be demolished, the City has not expended further resources to conduct further formal assessments of the building, however it appears that the back half of the building is structurall y compromised. Recent photos showing extensive fire and smoke damage are attached. For purposes of context only, if this type of fire damage had been inflicted on another building elsewhere in the City, coupled with existing deterioration, the building would be considered for summary/emergency demolition. However, because the building is part of the Capitol Avenue redevelopment area and subject to a previously-approved plan for assessment and demolition/rehabilitation of these buildings, City staff wanted to give the Cit y Council the opportunity to weigh in on whether the building should be demolished immediatel y or left standing and subjected to the “Call for Interested Parties” process. If the Cit y Council decides at its Monday Oct. 3 Council meeting that the building should be demolished, our demolition contractor is prepared to start demolition the week of Oct. 4-7. If the Cit y C ouncil decides to not demolish the building, the City will need to immediatel y undertake securing and stabilization efforts to attempt to mitigate future breaks-in and further deterioration.
