This agreement is entered into this ) 11 day of 1.64 raga 2017, by and between the City of
Crestview, Florida, a municipal corporation (the "Fire istrict") and Ten-8 Fire
Equipment, Inc., a Florida corporation (Ten-8).

Whereas, the City owns and operates certain emergency vehicles including, but not
limited to, fire engines and said operation requires regularly scheduled maintenance; and
Whereas, Ten-8 provides preventative maintenance and repair services to the Fire
District.
Now, therefore, the parties hereto agree as follows:
1. Maintenance Service: Ten-8 shall provide the Fire District with preventative
maintenance of its emergency vehicles pursuant to the PM level III schedule and cost
attached hereto as Exhibit "A" and incorporated herein by reference. Ten-8 shall
provide the Fire District with an invoice for each inspection or service detailing the
parts and labor utilized. The Fire District will be billed for each service at the time
service is completed.
2. Repair Services: Ten-8 repairs or services not included in Exhibit "A" shall constitute
repairs, and be billed separately by invoice detailing cost for parts and labor. Invoices
for repairs will be billed parts acquisition cost plus 25% and labor at $92.50 per hour.
The Fire District shall pay said invoices within thirty (30) days.
3. Insurance: Ten-8 shall maintain a Garage Keepers Insurance policy in the amount of
$90,000 per incident, $300,000 combined single limit.
4. Term: This agreement shall become effective on the date first above written and shall
continue for a term of three (3) years.
5. Termination: This contract can be cancelled by either party by giving just cause and
thirty (30) days written notice.
6. Relationship Between Parties: Nothing contained in this agreement shall be construed
to establish an employer/employee relationship, it being understood between the
parties that Ten-8 shall, at all times, be considered an independent contractor.
7. Assignment: Neither parry may assign any of its rights or obligations hereunder,
without the prior written consent of the other.
8. Governing Law: This Agreement shall be governed in all respects, including validity,
interpretation, and effect by the laws of the State of Florida.
9. Attorney's Fees: Should it become necessary for either parry to retain counsel to
protect its interests hereunder, then in that event, and as the case may be, the
prevailing parry shall be entitled to recover its reasonable attomey's fees and costs,
whether the suit be brought or not, and at trial and appellate levels.
10. Towing will be provided by White's Wrecker Service. Cost of towing will be billed
at no mark-up. •
11. As part of the annual Preventive Maintenance contract, Ten-8 will provide truck
overview training free of charge at our service center throughout the year.

PUBLIC ACCESS
Contractor shall comply with the requirements of Florida's Public Records law. In accordance with
Section 119.0701, Florida Statutes, hereby certifies that Ten-8 Fire Equipment, Inc. shall:
a. Keep and maintain public records that ordinarily and necessarily would be required by City of
Crestview in order to perform the service.
b. Upon request from the public agency's custodian of public records, provide the public agency
with a copy of the requested records or allow the records to be inspected or copied within a
reasonable time at a cost that does not exceed the cost provided under Florida's Public Law or as
otherwise provided by law.
c. Ensure that public records that are exempt or confidential and exempt from public records
disclosure requirements are not disclosed except as authorized by law for the duration of the
contract term and following completion of this contract if Contractor does not transfer the records
to the public agency: and
d. Upon completion of the contract, transfer, at no cost, to the public agency all public records in
possession of Contractor or keep and maintain public records required by the public agency to
perform the service. If Contractor transfers all public records to the public agency upon
completion of the contract, Contractor shall destroy any duplicate public records that are exempt
or confidential and exempt from public records disclosure requirements. If Contractor keeps and
maintains public agency, upon request from public agency's custodian of public records, in a
format that is compatible with the information technology systems of the City of Crestview.
e. If Contractor has questions regarding the application Chapter
119, Florida Statutes, to Contractor's duty to provide public
records relating to this Agreement, Contractor shall contact the
Custodian of Public Records at:

f. In the event the City of Crestview must initiate litigation against Contractor in order to enforce
compliance with Chapter 119, Florida Statutes, or in the event of litigation filed against the City
of Crestview because Contractor failed to provide access to public records responsive to a public
record request, the City of Crestview shall be entitled to recover all costs, including but not
limited to reasonable attorneys' fees, costs f suit, witness, fees, and expert witness fees extended
as part of said litigation and any subsequent apeals.

PM Level III: (Inspection and servicing every 3 months.)
A) Three, six, nine, and twelve month Inspection and service performed at the Ten-8
service center.
B) Inspection and service transfer case at each interval.
C) Maintenance includes service and oil and filter changes on all applicable
systems at the 6 and 12 month intervals.
D) Price includes labor, filters, fluid, lubricants, and light bulbs.
E) Annual service pump test.

Mrs. Roy,
Ten 8 is the sole source for our fleet maintenance due to the fact they are the
only ones in a 75 mile ratios that are certified to work on Fire Apparatus. In
addition Ten 8 is providing the warranty service for our 2 new apparatuses. That
was part of the contract for the new apparatuses.
