We the undersigned, being interested in a fireworks display for the date indicated above at the
City of Crestview agree to pay a price of $11,000 (Eleven Thousand Dollars) for the display
agreed upon which display will be furnished by Ashley Pyrotechnics, Inc. The undersigned,
intending to be legally bound, agree as follows:
1. Sponsor to make a deposit payment of 50% of the contract price upon signing of contract,
with the final payment due immediately following the conclusion of the show. WAIVED
In the event Sponsor shall fail to pay any sum when due under the terms of this contract,
Sponsor shall pay, in addition to such amount, interest at the rate of 1'Y2% per month on
the unpaid amount from the original due date. Sponsor does further agree that it shall pay
Ashley Pyrotechnics, Inc.'s reasonable attorney fees and court costs in the event Ashley
Pyrotechnics, Inc. shall commence suit to compel Sponsor to pay any sums due
hereunder or otherwise as a result of Sponsor's default of any of the terms and provisions
herein contained, if Ashley Pyrotechnics, Inc. prevails in such suit. The parties agree that
Florida law shall apply and that suit may be commenced in Leon County, Florida.
2. SPONSOR'S AGENT: Wayne Steele shall be designated as sponsor's agents to whom
all questions and inquiries shall be relayed. Sponsor's agents shall be the only agents of
sponsor authorized to request rescheduling of the delivery and exhibition of the fireworks
on the part of sponsor.
3. If event is on land, sponsor to furnish police and/or crowd security personnel, provide
proper parking supervision, and insure adequate patrol of the safety zone as marked and
secured by the sponsor until Ashley Pyrotechnics, Inc. advises that it is no longer
necessary.
4. If event is over water, Ashley Pyrotechnics, Inc. will be responsible for marine permit.
The Sponsor will be responsible for control of safety zone.
5. Ashley Pyrotechnics, Inc. reserves the right to stop the display in the event persons,
vehicles or animals enter the secured safety zone and security is unable or unwilling to
remove them and enforce the safety regulations.

6. Ashley Pyrotechnics, Inc. will furnish all applicable licenses, permits and a $1 Million/$2
Million Dollar liability insurance policy and pyrotechnicians for your electronically fired
display. CREDITS: As a material inducement to Ashley Pyrotechnics, Inc. agreeing to
enter into this agreement, Sponsor shall give Ashley Pyrotechnics, Inc. program credit as
sole fireworks supplier and producer in all press releases, advertising, and any other
program announcements, printed or otherwise.
7. If show is canceled after 2 p.m., sponsor is responsible for any permit, fire watch or
barge/tug fees, if applicable. Additionally, sponsor will be responsible for load in/load
out expense of $500. If show is stopped while in progress for any reason, Sponsor will
still be responsible for contract amount minus the cost of material not discharged.
8. If wind exceeds 20 miles per hour, fireworks display will be postponed to an agreed date
between sponsor and Ashley Pyrotechnics, Inc.
9. Rain date policy is as follows: Postponement time is 2 p.m. day of display.
10. If the delivery and/or exhibition of the fireworks are postponed by reason of inclement
weather prior to API's departure from Tallahassee (11:30 a.m. day of display), no
charges will be incurred by sponsor. Contact numbers: (850) 893-0091 or (850) 556-

11. IMPORTANT NOTE: Items listed in this proposal assume a firing area that conforms
to NFPA Code 1123-1995, which states that there must be at least 70 feet per inch of
shell diameter between firing site and any spectators, cars or buildings. Adjustments will
be made to the content of this program if necessary to conform to NFPA 1123-1995.
Ashley Pyrotechnics, Inc., upon acceptance of this contract in writing, agrees to fulfill the
contract in a workmanlike and professional manner.

Supplement to City of Crestview/Ashley Pyrotechnics, Inc.
Contract for Fireworks Display 2013
I. Insurance:
Ashley Pyrotechnics, Inc. shall, during the performance of the contract, maintain
Worker's Compensation Insurance sufficient to secure benefits of the Florida Workmen's
Compensation Law for all employees and any of the work sublet to any vendor or subcontractor,
Comprehensive General Liability Insurance in the minimum amount of $1,000,000, Auto
Liability Insurance in the minimum amount of $1,000,000, all with companies and in the form
and amounts acceptable to the Sponsor. Said certificates of insurance of Ashley Pyrotechnics,
Inc. are attached hereto and made a part hereof by reference. If any part of the work is sublet,
similar insurance shall be provided by and in behalf of any subcontractors.
2 . Indemnification:
Ashley Pyrotechnics, Inc. shall indemnity, defend, save, and hold Sponsor, its agents and
employees, harmless of and from any losses, fines, penalties, costs, damages, claims, demands,
suits, and liabilities of any nature, including attorney's fees (including regulatory and appellate
fees), arising out of, because of or due to any accidents arising in any manner on account of the
exercise or attempted exercise of Ashley Pyrotechnics, Inc.'s rights hereunder whether the same
regards person or property of any nature whatsoever, regardless of the apportionment of
negligence, unless due to the sole negligence of the Sponsor.
3. Disclosure:
Ashley Pyrotechnics, Inc. warrants that it has not employed or retained any company or
person, other than a bona fide employee working solely for Ashley Pyrotechnics, Inc. to solicit or
secure this Contract and that it has not paid or agreed to pay any person, company, corporation,
individual, or firm, other than a bona fide employee working solely for the Ashley Pyrotechnics,
Inc., any fee, commission, percentage, gift, or other consideration contingent upon or resulting
from the award or making of this Contract.
4 . Governing Law:
The parties intend that this Contract and the relationship of the parties shall be governed
by the laws of the State of Florida. Venue for any action arising out of this contract shall be
exclusively in Okaloosa County, Florida and no where else.
5 . Sovereign Immunity:
Nothing contained herein is intended to nor shall be construed to waive the Sponsor's
rights and immunities under the Florida constitution, common law or Florida Statues 768.28 as
amended from time to time.
6. Construction:
The Parties have participated jointly in the negotiation and drafting for the Contract. In
the event an ambiguity or question of intent or interpretation arises, this Contract shall be construed
as if drafted jointly by the Parties and no presumption or burden of proof shall arise favoring or
disfavoring any Party by virtue of the authorship of any of the provision of this contract.
7. Attorney's Fees:
In any dispute relating to their contract each party shall be responsible for their respective
attorney's fees and costs.
8. Additional Contract Documents:
The Sponsor request for proposals and the Ashley Pyrotechnics Inc. bid documents,
attached hereto and made a part hereof by reference, are a part of the contract.
