The Town of Watertown, MA is requesting bids from qualified contractors for a project to
replace the laminate classroom floors in the Watertown Middle school. Bids must be
provided in a sealed envelope and marked "WMS Classroom Floors" no later than
Thursday,June 6, 2019 at 11:00 a.m.
Bids must be received at the Office of Purchasing Agent, 149 Main Street,Watertown,
MA, 02472, on or before Thursday,June 6, 2019, at which time they will be opened and
read aloud. A 5% Bid deposit must accompany the bid submittal. No responsibility shall be
attached to any person for the premature opening of bids not properly marked. No bid will
be accepted at any other location after time and date specified. Specifications and bid forms
may be obtained at the Office of the Purchasing Agent during regular business hours,
Monday—Friday 8:30 AM until 5:00 PM, or through email at purchasing@
watertown-ma.gov beginning,Wednesday,May 22, 2019. Specifications are free of
charge by request.
Each general bid must be accompanied with a copy of a Certificate of Eligibility issued by
DCAMM showing capacity and classification as being certified in Floor Covering
Contracting for up to $200,000. Each bid must be accompanied by a DCAMM Contractor
Qualification Statement Update. Any bid submitted without the appropriate Certificate of
Eligibility and Contractor Qualification Statement Update shall be invalid.
The successful bidder must furnish a certificate of insurance as detailed in bid documents.
No bidder may withdraw his/her bid for a period of forty-five days, excluding Saturdays,
Sundays and Holidays, after the actual date of the bid opening. An award will be made 45
days of prevailing time. Funding for this project is pending appropriations. The Town of
Watertown has the authority to reject any and all bids if in the best interest of the Town to
do so.
Attention is directed to the minimum wage rates to be paid as determined by the
Commissioner of Labor and Workforce Development and the weekly payroll record
submittal requirements under the provisions of Massachusetts General Laws, Chapter 149,
Section 26 through 27D inclusive.

SPECIFICATIONS FOR
Replace Laminate Classroom Floors
L General Purpose
1. The Town of Watertown, through its Department of Public Buildings ("DPB"), is issuing
this Invitation for Bids (IFB) from qualified Contractors to replace the laminate classroom
floors on the 2nd floor(top floor) of the old section, Side `B" of the Watertown Middle
School.
2. The services in this project are subject to M.G.L. Chapter 149, as well as other applicable
statutes. The Town reserves the right to solicit other proposals for work that is not a part of
this proposal.
II. Scope of Work
Provide all labor, materials, equipment, tools, and supervision necessary to replace the
laminate floor in the classrooms of the second floor(top floor) of the Watertown Middle
School, side `B" as directed by the Director of Public Buildings, Watertown School
Department, in accordance with the existing conditions and requirements.
1. General Requirements
A. Contractor shall furnish all labor, materials, equipment, staging, and trucking as
required for work in the Watertown Middle School in accordance with all
specifications
B. Contractor shall obtain all permits, inspections, licenses, and certificates required for
work under this section. All work shall be performed in strict conformity and full
compliance with all Federal, State and Local Laws and Regulations including OSHA
requirements and Prevailing Wages Laws.
C. All technicians shall have a copy of all required certifications and licenses on file.
All persons operating a motor vehicle on town or school property must have a copy
of the required motor vehicle license on file.
D. All work or change orders shall be authorized by the Director of Public Buildings or
her designee. Work will not be accomplished until authorized by the Director of
Public Buildings.
E. All parts installed and/or materials used are to be exact duplicate, or an approved
substitute of the original used and/or specified by the manufacturer of the equipment,
and in every case, guaranteed as per manufacturer's specification(s). All materials
and equipment supplied by the contractor must be free of any lien, claim, or
encumbrance.
F. Hourly rates shall include all travel and mileage costs. No separate travel, truck, or
equipment charges will be accepted. No other method or items of compensation
shall be paid other than the basis specified herein.
G. Invoices must indicate separate charges for labor and materials and material charges
must be itemized. The Watertown School Department reserves the right to audit
vouchers for material to determine proper pricing.
H. Purchases made by the Watertown School Department are exempt from state sales
tax and federal excise taxes and material prices must exclude such taxes. Tax
exemption certificates will be furnished upon request.
L All workmanship by the successful bidder shall be guaranteed against failure or
defects during normal use for a period of one (1) year from the date of completion of
the work. All materials and parts supplied by the successful bidder will have the
standard manufacturers' warranties. Any defective materials or parts supplied by the
contractor shall be replaced at no cost to the Watertown School Department or the
Town of Watertown.
J. The contractor shall, without expense to the Town, maintain during the term of the
agreement the following insurance coverage's with the specified limits:
1) Bodily injury liability insurance, including accidental death, with limits of not
less than $500,000 for each occurrence and $1,000,000 aggregate.
2) Property damage liability insurance with a limit of not less than $500,000 per
occurrence and $1,000,000 aggregate.
3) If automotive equipment is used in the operation, automotive bodily injury and
property damage combined insurance of not less than $500,000 for each
occurrence.
4) Workers Compensation and Employer's Liability Insurance as required by
Massachusetts General Laws. Ch 152 and 25C, including both statutory lines and
Coverage B.
The Town of Watertown shall be named as an additional insured on the entire policy
with respect to liability. The Insurance Certificate must be written in the name of the
Town of Watertown as an additional insured. The certificate must have the
endorsement of the insurance agency. The policy must contain a notation that the
insurer will give 10 days' notice to the Town of Watertown prior to cancellation,
change, or non-renewal of the policy. Notice of occurrence is to be given to the
Purchasing Department. All carriers must have an A.M. Best rating of A or better.
The Town reserves the right, at its sole discretion, to amend the insurance
requirements as set forth above.
K. The contractor will sign in at the front office of the Middle School and notify the
building custodian each day prior to accomplishing work during work hours. After
hours the contractor will be given directions from the Director of Public Buildings
on building procedures.
L. Contractors shall keep all exterior doors locked when the buildings are unoccupied.
M. The prevailing wage rates, as determined by the Massachusetts Department of Labor
and Workforce Development and any amendments are applicable to any work
performed by the successful bidder.
N. AHERA Policy: All work should comply with the Asbestos Hazard Emergency
Remediation Act (AHERA) in schools. This federal program regulates disturbance
to Asbestos Containing Materials (ACM) in school buildings. The Town has
provided Asbestos Management Plans to every school building within the district.
These are located in the main office. The Contractor must ensure not to disturb ACM
in schools without the proper procedures in place. Contractors will be asked to
initial in sign in log acknowledging they are aware of the AHERA policies and
potential ACM in the buildings.
O. Subcontracting Policy: Prior approval of Town is required for any subcontracted
service. In the event the Town authorizes the use of subcontractors, the Contractor is
responsible for the satisfactory performance and adequate oversight of its sub-tier
contractors. A Contractor company shall possess all mandatory licenses via named
company employees for a specific trade in order to be eligible in that trade. The
Town reserves the right to disapprove any requested subcontractor for any reason.
All provisions of this agreement will bind all subcontractors approved under this
agreement. Subcontractors must abide by policies, including security policies,
directed in this contract for the prime contractor.
P. It shall be the responsibility of the Contractor to establish a sequence of his work to
ascertain that all the labor, materials and equipment progress smoothly and on
schedule. This may involve coordinating with occupant schedules, school calendar,
other work in the building, etc.
Q. The contractor shall give personal supervision to the work and shall employ a
competent staff during the progress of the work. The contractor shall employ an
efficient number of competent workmen who are experienced thoroughly in this type
of work.
R. The Contractor shall be responsible for all damage resulting from improperly
installed equipment, stored materials or equipment, improper sampling techniques,
etc. Contractor is responsible for reporting any damage caused by themselves, their
agents, employee, or sub-contractors, to the Public Buildings Director or her
designee within forty-eight(48)hours upon finding. Contractor will be responsible
for all damage to property or injury to the person arising out of the acts or omissions
or strict liability of the Contractor, its agents, employees, or subcontractors, at no
cost to the Town. . The contractor shall prohibit his employees from smoking, and
they will be held responsible for any damage caused by smoking by any of his
employees.
S. In the event the Town becomes dissatisfied with the performance of any Contractor
or personnel assigned to perform the services under this agreement, the Contractor
agrees,upon written request of the Town, to assign substitute personnel with the
above-listed qualifications.
T. The Contractor shall be responsible for the security of all materials, tools, and
equipment delivered to the site. All materials and equipment must be secured during
and at the end of each workday so that building occupants, employees and the public
may not injure themselves. The Town does not provide security or storage areas.
U. All tools and equipment and waste must be removed from the job site at the end of
each workday unless the Department approves otherwise. Contractor shall not leave
any work areas unprotected and shall take all necessary measures to keep these areas
in a safe manner.
V. Department of Public Buildings, Watertown, CORI Policy: All Vendor(and sub-
contractors of Vendor)management and employees are required to have an approved
CORI check prior to entering any school. Awarded contract must submit CORI form
for all workers that will be upon submission of Finalized Contract. Each contract
employee will need to physically verify person and ID with the Town prior to work
beginning.
2. Detailed Specifications
A. Replace the second floor(top floor) classrooms floors in the old part(Side B) of the
building. This includes 12 classrooms, I bathroom, 1 electrical closet and 1 custodial
closet. (Replace all floors that currently have wooden looking laminate). See
Attachment 1.
B. Contractor is to demolish and dispose of the existing laminate flooring, the vinyl tile
floor underneath, the underlayment/sub-floor and the vinyl/cove base. Dumpsters
will be allowed on site at contractor's expense.
C. Contractor will construct new underlayment/sub-floor. Subfloor will be 5-ply, 1/4
inch birch underlayment
D. One to two skim coats of Ardex Feather Finish will be added to fix imperfections of
the underlayment/sub-floor.
E. Mannington Luxury Vinyl Tile Structural Alumina PE139 will be used to match the
hallway. Area is approximately 10,300 square feet.
F. Gray vinyl/cove base will be included; approximately 1,700 Linear Feet
G. Vinyl transitions will be included were required
H. Classroom univents/radiators/vents need to be covered during work to prevent dust
from entering.
I. Contractor will clean classrooms and hallway of dust and debris upon work
completion. Classrooms should be clean enough for students to enter rooms upon
work completion.
J. Furniture will be removed from classrooms by the Town.
K. All work is to be accomplished during the hours of 6:30a.m. and 10:30p.m., Monday
through Friday). The Director of Public Buildings or his/her designee may authorize
work outside normal working hours or days. Students will occupy the building
during work hours but will not be allowed on the floor during the construction
period.
L. Contractors will provide a recommended schedule and procedures of preventative
maintenance for all flooring installed upon work completion.
M. The contractor must supply all applicable MSDS forms. Pursuant to MGL Chapter
I I IF, Sections 8-10, any vendor who receives a contract resulting from this
invitation agrees to submit a Material Safety Data Sheet for each toxic or hazardous
substance or mixture containing such substance when deliveries are made. The
contractor agrees to comply with all requirements set forth in the pertinent laws.
III. Award and Contract Term
1. The Town expects to award a contract to the responsible and responsive Contractor that
offers the best price. The best price is the lowest price for the total amount of the
services rendered. The Contractor must complete and submit their pricing on the Bid
Pricing Form, attached as Exhibit A. Please do not alter the forms. Award of a contract
will be dependent upon funding for this work.
2. All bidders must sign and submit the attached certificates as to corporate bidder, non-
collusion, and tax compliance. Bidders are also required to complete and submit the
Qualification and Reference Forms provided in this bid package. By submitting a bid,
Contractor is accepting they will be bound to the terms and conditions.
3. Contractor will be regularly and wholly engaged in the installation of the floor.
Contractor will provide copies of all licenses/certifications of the company and all
employee names that will be working on the project, as well as their license numbers or
photocopies of any licenses that may apply. These must be included in the Vendor's
response to this IFB.
4. In order to be responsive to this IFB, each bidder's company must have:
a. Five (5) or more years in the industry and must hold a required licenses from the
Commonwealth of Massachusetts
b. Three (3)municipal references indicating the bidder's service quality, response
time,personnel qualifications,business and billing office competence,
equipment and part locating and pricing ability.
c. Any certifications and/or licenses of personnel to be utilized during the term of
this contract must be attached to each bid.
d. All Bidders must be DCAMM certified in Floor Covering to be considered for
Contract award. Bidders will submit DCAMM Certificate of Eligibility with bid
submission.
5. Prevailing time and day will be on Thursday, June 6, 2019, at 11:00 am at the Town Hall
Lower Hearing Room, 149 Main Street, Watertown, MA, 02472, the Purchasing
Department will open and publicly read aloud, every bid received within the time set for
receiving bids, irrespective of any irregularities therein. Bidders and other persons
properly interested may be present, in person or by representative. No bid received after
the closing time and date established in this IFB for the receipt of bids will be
considered regardless of the cause for delay.
6. In case of any ambiguity, inconsistency, error or omission in any of the bid documents,
or a conflict between the provisions in a bid regulation, the bidder is required to draw
such matters to the attention of the Purchasing Department. They will, in turn, clarify
the situation as to the true interpretation thereof, and notify each and every person who
has received the bid documents through the issuance of an Addendum. The Department
will not be held responsible for any oral instructions. If the bidder fails to draw such
matters to the attention of the Department, as outlined herein, then his bid conclusively
will be presumed to have been based upon the interpretation which may be given
subsequently by the Department or, if such conflict is with a law or regulation, the bid
conclusively is presumed to be predicated upon full compliance therewith.
7. Failure to comply with the above requirements or any attached specifications will be
justification to reject any bids as incomplete.
IV. Bonds
8. A Bid Bond, Certified or Cashier's Check in the amount of 5% of bid price made
payable to the Town of Watertown must accompany each bid. Unsuccessful bidders'
bonds will be returned immediately following the award to the successful bidder.
9. The bid proposal must be filled out on the form prescribed and enclosed in a sealed
envelope which shall be endorsed on the outside, "BIDS" and shall indicate the title of
the proposal "WMS Classroom Floors" as well as the name and address of the bidder.
V. Bid Submission Information
1. Site Visit:
A site visit of the WMS classrooms prior to bid submission is scheduled for Thursday, May
30, 2019 at 3:30 p.m. Please meet at the Watertown Middle School front office, 68 Waverly
Ave in order that each bidder may acquaint themselves with the circumstances and
conditions of this project as it exist. Please call the Department of Public Buildings, 617-
926-7791 for directions and information. By submitting a bid, the contractor agrees and is
aware of conditions on the premises, and has reviewed the specifications.

B. All inquiries related to the requirements should prominently refer to "WMS
Classroom Floors" and the bid opening date. In order to be considered, questions
must be made in writing and received by the Office of Procurement no later than
Thursday, May 30th at 5:00 P.M. Responses to inquiries will be in the form of a
numbered addendum to the specifications issued by the Office of Procurement and
sent to all parties listed in the bid file as Bidders(s) holding the bid documents.
Bidders should base responses only on the specifications including any addenda.
C. PLEASE NOTE that all addenda must be acknowledged. Failure to
acknowledge any addendum may cause rejection of a bid response as required by
Massachusetts General Laws.
3. Required Forms
A. The Contractor understands that the following documents included in this bid must
be included in the Contractor's response to this bid. If the Contractor fails to provide
all documents requested below, the bid may be rejected by the Town.
B. Required Documents are documents that must be completed and submitted in your
bid response package and received at Procurement before the time set for a receipt.
Review your bid response carefully to be sure all requirements are included.
C. Unnecessary samples, attachments or other documents not specifically asked for
should not be submitted. Please enter the firm price in the space provided on your
Cost Sheet. Required Documents are documents that must be completed and
submitted in your bid response package and received at Procurement at or before the
time set for a receipt.

4. Submission Format
A. Submission of Bids. Bidders are required to submit one (1) original Bid
Response. Any Bids must be submitted in sealed envelopes each of which shall be
clearly identified on the outside as; package"WMS Classroom Floors". The Bid
envelope shall be placed inside a single container(box, envelope, etc.) clearly
identified on the outside as Contractor's name; "WMS Classroom Floors" with bid
number and opening date. The proposal shall be delivered to the address below:

B. Bidder forms shall be completed in ink, computer or by typewriter. Bids by
corporations shall be executed in the corporate name by the president or other
corporate officer accompanied by evidence of authority to sign and attested by the
secretary or an assistant secretary, the corporate address and state of incorporation
shall appear below the signature. Bids by partnerships shall be executed in the
partnerships name and signed by a partner, whose title shall appear under the
signature. The official address of the partnership shall be shown below the signature.
Bids by joint ventures shall be similarly executed by all joint venture partners. All
names shall be typed or printed below the signatures.
C. Each bid submitted shall contain an acknowledgment of receipt of all addenda(the
numbers of which shall be filled in on the form). The address to which
communications regarding the proposal are to be directed shall be shown.
D. A Bidder may correct, modify or withdraw its proposal by written notice received by
the Town and the address specified above prior to the time and date specified for
receipt of bids. After such time, a Bidder may not change its proposal in a manner
prejudicial to Town or fair competition. All submitted Bid pricing will be held firm
by the Town for a period of not less than Ninety(90) days.
E. The Town shall notify the selected Proposer within the time for acceptance specified
above. The selected Bidder will be required to sign a contract with the Town,
consistent with this bid proposal, within ninety(90) days of receipt of notice of
award. Inclusion of any conditions in a proposal response to this bid proposal, which
deviate from this bid proposal, shall be cause for rejection of the proposer's response
to this bid proposal.
F. Bid responses must be received by 11:00 am EST on Thursday,June 6, 2019. Bid
responses received after the bid opening time will not be accepted. Bids delivered to
any other office or location will be rejected as non-responsive. If at the time of the
scheduled IFB opening, Town Hall or the Office of Procurement is closed due to
uncontrolled events such as fire or building evacuation, the IFB opening will be
postponed until 11:00 am on the next normal business day. IFB's will be accepted
until that date and time.
G. The contractor shall indemnify and hold harmless the Town of Watertown and the
Watertown School Department, and all of its officers, agents and employees against
all suits, claims, and liabilities of every name and nature for any injuries to persons
or damage to property arising out of or relating to any acts of, or failure to act by, the
Contractor, his/her employees, agents, or subcontractors, in the performance of the
work of this contract or failure to comply with the terms and conditions of the
contract.
H. The Town may cancel this contract at any time without cause upon thirty days prior
notice. The Town may cancel this contract at any time for just cause upon 24-hours
written notice. Upon termination, the Contractor is only entitled to be paid for work
performed and completed and not for lost profits and/or any indirect overhead costs.

the worksite will have successfully completed a course in construction safety and health approved by
the United States Occupational Safety and Health Administration("OSHA")that is at least 10
hours in duration at the time the employee begins work and who shall furnish documentation of
successful completion of said course with the first certified payroll report for each employee; and
(3)that all employees to be employed in the work subject to this bid have successfully completed
a course in construction safety and health approved by the United States OSHA that is at least 10
hours in duration. The undersigned understands that any employee found on a worksite subject to
this section without documentation of successful completion of a course in construction safety
and health approved by the United States Occupational Safety and Health Administration that is
at least 10 hours in duration shall be subject to immediate removal.
The undersigned further certifies under the penalties of perjury that this bid is in all respects bona
fide,fair and made without collusion or fraud with any other person.As used in this subsection the
word"person" shall mean any natural person,joint venture,partnership,corporation or other business
or legal entity. The undersigned further certifies under penalty of perjury that the said undersigned is
not presently debarred from doing public construction work in the Commonwealth under the

AGREEMENT FOR
PAINTING SECTIONS OF WATERTOWN MIDDLE SCHOOL 2ND FLOOR
THIS AGREEMENT made this day of July, 2019 by and between the Town of
Watertown, a municipal corporation duly organized under the laws of Massachusetts and
having a usual place of business at 149 Main Street Watertown, MA. 02472, acting by and
through its Town Manager, hereinafter referred to as the"Town", and
a Massachusetts Corporation having a usual place of business at
, hereinafter referred to as the "Contractor".
WITNESSETH:
Whereas, the Town invited the submission of a proposal for Painting Sections of
Watertown Middle School, 211 Floor"the Project"; and
WHEREAS, the Contractor submitted a bid in response to said invitation, and the Town has
awarded the contract therefor to the Contractor.
NOW, THEREFORE, the Town and the Contractor agree as follows:
1. Contract Documents. The Contract Documents consist of this Agreement, the purchase
description, the Invitation for Bids, Instructions to Bidders, Scope of Services or
Specification, and bid submitted by the Contractor, including negotiated modifications
to the Plan of Services, if any. The Contract Documents constitute the entire Agreement
between the parties concerning the work, and all are as fully a part of this Agreement as
if attached hereto. In the event of a conflict between any of the Contract Documents, the
document most favorable to the Town, in its sole determination, shall prevail.
2. The Work. The Work consists of Painting Sections of Watertown Middle School, 2nd
Floor, as more fully described in the Contract Documents as defined above.
3. Term of Contract. This Agreement shall be in effect from July, 2019 and shall expire on
August, 2019,unless terminated earlier pursuant to the terms hereof.
3. Compensation. A. The Town shall pay, as full compensation for items and/or services
furnished and delivered in carrying out this Agreement.
B. The acceptance by the Contractor of final payment for items and/or services
provided shall be deemed a release of the Town from any and all claims and
liabilities under this Agreement.
C. Neither the Town's review, approval or acceptance of, nor payment for any of the
items and/or services provided shall be construed to operate as a waiver of any rights
of the Town under the Agreement or any cause of action arising out of the
performance of the Agreement.
5. Pavment of Compensation. The Town shall make payments as follows: Payments will
be made within 30 days of invoice received.
6. Waae Rates
Prevailing Wage Rates as determined by the Commissioner of the Department of Labor
and Industries under the provisions of Massachusetts General Laws, Chapter 149,
Section 26 to 27G, as amended, apply to this project. It is the responsibility of the
Contractor to provide the Town with certified payrolls and to comply with all
requirements of the above-cited statutes. The schedules of prevailing wage rates are
included in the Contract Documents.
6. Liability of the Town. The Town's liability hereunder shall be to make all payments
when they shall become due, and the Town shall be under no further obligation or
liability. Nothing in this Agreement shall be construed to render the Town or any
elected or appointed official or employee of the Town, or their successors in office,
personally liable for any obligation under this Agreement.
7. Independent Contractor. The Contractor acknowledges and agrees that it is acting as an
independent contractor for all work and services rendered pursuant to this Agreement,
and neither the Contractor, nor its employees, agents, servants nor any person for whose
conduct the Contractor is responsible shall be considered an employee or agent of the
Town for any purpose.
8. Indemnification. The Contractor shall indemnify, defend, and hold the Town harmless
from and against any and all claims, demands, liabilities, actions, causes of actions, costs
and expenses, including attorney's fees, arising out of the Contractor's breach of this
Agreement or the negligence or willful misconduct of the Contractor, or the Contractor's
agents or employees.
9. Insurance. A. The Contractor shall obtain and maintain during the term of this
Agreement the insurance coverage in companies licensed to do business in the
Commonwealth of Massachusetts, and acceptable to the Town, as set out in the
Invitation for Bids.
B. All policies shall identify the Town as an additional insured(except Workers'
Compensation) and shall provide that the Town shall receive written notification at least
30 days prior to the effective date of any amendment or cancellation. Certificates
evidencing all such coverages shall be provided to the Town upon the execution of this
Agreement, and at least ten(10) days prior to the renewal of any such coverage. Each
such certificate shall specifically refer to this Agreement and shall state that such
insurance is as required by this Agreement. Failure to provide or to continue in force
such insurance shall be deemed a material breach of this Agreement and shall be
grounds for immediate termination.
10. Assignment. The Contractor shall not assign, sublet or otherwise transfer this
Agreement, in whole or in part, without the prior written consent of the Town, and shall
not assign any of the moneys payable under this Agreement, except by and with the
written consent of the Town.
11. Termination. A. Termination for Cause. If at any time during the term of this
Agreement the Town determines that the Contractor has breached the terms of this
Agreement by negligently or incompetently performing the work, or any part thereof, or
by failing to perform the work in a timely fashion, or by failing to perform the work to
the satisfaction of the Town, or by not complying with the direction of the Town or its
agents, or by otherwise failing to perform this Agreement in accordance with all of its
terms and provisions, the Town shall notify the Contractor in writing stating therein the
nature of the alleged breach and directing the Contractor to cure such breach within ten
(10) days. The Contractor specifically agrees that it shall indemnify and hold the Town
harmless from any loss, damage, cost, charge, expense or claim arising out of our
resulting from such breach regardless of its knowledge or authorization of the actions
resulting in the breach. If the Contractor fails to cure said breach within ten (10) days,
the Town may, at its election at any time after the expiration of said ten (10) days,
terminate this Agreement by giving written notice thereof to the Contractor specifying
the effective date of the termination. Upon receipt of said notice, the Contractor shall
cease to incur additional expenses in connection with this Agreement. Upon the date
specified in said notice, this Agreement shall terminate. Such termination shall not
prejudice or waive any rights or action which the Town may have against the Contractor
up to the date of such termination, and the Contractor shall be liable to the Town for any
amount which it may be required to pay in excess of the compensation provided herein
in order to complete the work specified herein in a timely manner. Upon such
termination, the Contractor shall be entitled to compensation for all satisfactory work
completed prior to the termination date, as determined by the Town.
B. Termination for Convenience. The Town may terminate this Agreement at any time
for convenience by providing the Contractor written notice specifying therein the
termination date which shall not be sooner than ten days from the issuance of said
notice. Upon receipt of said notice, the Contractor shall cease to incur additional
expenses in connection with this Agreement. Upon such termination, the Contractor
shall be entitled to compensation for all satisfactory work completed prior to the
termination date, as determined by the Town, such payment not to exceed the fair value
of the services provided hereunder.
12. Insnection and Reports. The Town shall have the right at any time to inspect the work of
the Contractor, including the right to enter upon any property owned or occupied by
Contractor, whether situated within or beyond the limits of the Town. Whenever
requested, Contractor shall immediately furnish to the Town full and complete written
reports of its operation under this Agreement in such detail and with such information as
the Town may request.
13. Rovalties and Patents: The Contractor shall pay all applicable royalties and license
fees. In addition, the Contractor hereby represents that it is duly authorized to use any
process or other intellectual property rights held by third parties in the performance of
this Agreement, it shall defend all suits or claims for infringement of any patent or other
intellectual property rights and shall indemnify and hold the Town harmless from loss
on account thereof.
14. Successor and Assigns. This Agreement is binding upon the parties hereto, their
successors, assigns and legal representatives. Neither the Town nor the Contractor shall
assign or transfer any interest in the Agreement without the written consent of the other.
Notwithstanding the approval of any assignment by the Town pursuant to this
paragraph, the Contractor shall remain liable for the full performance of the terms of this
Contract.
15. Compliance with Laws. The Contractor shall comply with all Federal, State and local
laws, rules, regulations and orders applicable to the work provided pursuant to this
Agreement, such provisions being incorporated herein by reference, and shall be
responsible for obtaining all necessary licenses, permits, and approvals required for the
performance of such work. The Contractor shall indemnify and hold the Town harmless
for and against any and all fines, penalties or monetary liabilities incurred by the Town
as a result of the failure of the Contractor to comply with the previous sentence.
16. Notice. Any and all notices, or other communications required or permitted under this
Agreement, shall be in writing and delivered by hand or mailed postage prepaid, return
receipt requested, by registered or certified mail or by other reputable delivery service,
to the parties at the addresses set forth on Page 1 or furnished from time to time in
writing hereafter by one party to the other party. Any such notice or correspondence
shall be deemed given when so delivered by hand, if so mailed, when deposited with the
U.S. Postal Service or, if sent by private overnight or other delivery service, when
deposited with such delivery service.
17. Severability. If any term or condition of this Agreement or any application thereof shall
to any extent be held invalid, illegal or unenforceable by the court of competent
jurisdiction, the validity, legality, and enforceability of the remaining terms and
conditions of this Agreement shall not be deemed affected thereby unless one or both
parties would be substantially or materially prejudiced.
18. Governing Law. This Agreement shall be governed by, construed and enforced in
accordance with the laws of the Commonwealth of Massachusetts and the Contractor
submits to the jurisdiction of any of its appropriate courts for the adjudication of
disputes arising out of this Agreement.
19. Entire Agreement. This Agreement, including all documents incorporated herein by
reference, constitutes the entire integrated agreement between the parties with respect to
the matters described. This Agreement supersedes all prior agreements, negotiations
and representations, either written or oral, and it shall not be modified or amended
except by a written document executed by the parties hereto.

• This wage schedule applies only to the specific project referenced at the top of this page and uniquely identified by the
"Wage Request Number"on all pages of this schedule.
• An Awarding Authority must request an updated wage schedule from the Department of Labor Standards("DLS")if it has
not opened bids or selected a contractor within 90 days of the date of issuance of the wage schedule. For CM AT RISK
projects(bid pursuant to G.L.c.149A),the earlier of. (a)the execution date of the GMP Amendment,or(b)the bid for the first
construction scope of work must be within 90-days of the wage schedule issuance date.
• The wage schedule shall be incorporated in any advertisement or call for bids for the project as required by M.G.L.c. 149,
§27. The wage schedule shall be made a part of the contract awarded for the project. The wage schedule must be posted in a
conspicuous place at the work site for the life of the project in accordance with M.G.L.c. 149§27. The wages listed on the
wage schedule must be paid to employees performing construction work on the project whether they are employed by the prime
contractor,a filed sub-bidder,or any sub-contractor.
• All apprentices working on the project are required to be registered with the Massachusetts Department of Labor
Standards,Division of Apprentice Standards(DLS/DAS). Apprentice must keep his/her apprentice identification card on
his/her person during all work hours on the project. An apprentice registered with DAS may be paid the lower apprentice
wage rate at the applicable step as provided on the prevailing wage schedule. Any apprentice not registered with DLS/DAS
regardless of whether or not they are registered with any other federal,state,local,or private agency must be paid the
journeyworker's rate for the trade.
• The wage rates will remain in effect for the duration of the project,except in the case of multi-year public construction
projects. For construction projects lasting longer than one year,awarding authorities must request an updated wage schedule.
Awarding authorities are required to request these updates no later than two weeks before the anniversary of the date the
contract was executed by the awarding authority and the general contractor.For multi-year CM AT RISK projects,awarding
authority must request an annual update no later than two weeks before the anniversary date,determined as the earlier of. (a)
the execution date of the GMP Amendment,or(b)the execution date of the first amendment to permit procurement of
construction services.Contractors are required to obtain the wage schedules from awarding authorities,and to pay no less than
these rates to covered workers. The annual update requirement is not applicable to 27F"rental of equipment"contracts.
• Every contractor or subcontractor which performs construction work on the project is required to submit weekly payroll
reports and a Statement of Compliance directly to the awarding authority by mail or email and keep them on file for three years.
Each weekly payroll report must contain: the employee's name,address,occupational classification,hours worked,and wages
paid. Do not submit weekly payroll reports to DLS. A sample of a payroll reporting form may be obtained at
http://www.mass.gov/dols/Pw.
• Contractors with questions about the wage rates or classifications included on the wage schedule have an affirmative
obligation to inquire with DLS at(617)626-6953.
• Employees not receiving the prevailing wage rate set forth on the wage schedule may report the violation to the Fair Labor

Minimum wage rates for apprentices employed on public works projects are listed above as a percentage of the pre-determined hourly wage rate established by the
Commissioner under the provisions of the M.G.L.c.149,ss.26-27D. Apprentice ratios are established by the Division of Apprenticeship Training pursuant to M.G.L.
c.23,ss.I I&I IL.
All apprentices must be registered with the Division of Apprenticeship Training in accordance with M.G.L.c.23,ss.I IE-I IL.
All steps are six months(1000 hours.)
Ratios are expressed in allowable number of apprentices to journeymen or fraction thereof,unless otherwise specified.
