AGREEMENT BETWEEN
CITY OF McCALL & PAYETTE LAKES WATER & SEWER DISTRICT
THIS AGREEMENT is made between the City of McCall, an Idaho municipal
corporation (CITY), and the Payette Lakes Water and Sewer District (PLWSD), a governmental
entity of the State of Idaho, to be effective November 1, 1998, and
WHEREAS, each of the parties hereto is a "public agency" as defined by Idaho Code
Section 67-2327, and is therefore authorized to enter into an Inter -agency Cooperative
Agreement under Idaho Code Section 67-2332, and
WHEREAS, each party is charged with the maintenance and operation of a sewer
collection system, including pump stations, and a wastewater treatment facility within their
respective jurisdictions and enjoys power, privilege and authority to do under the laws of the
State of Idaho, and believes it would be in the best interests of their respective patrons and the
general public to contract with one another to do so in a joint manner.
WHEREAS, the City and PLWSD have extended a prior Agreement through October 31,
1998 and now wish to contract for services for an additional three (3) months, namely, through
January 31, 1999.
NOW THEREFORE, in consideration of the foregoing the PLWSD agrees to provide to
the city operational, maintenance, and managerial services for the City owned Sewer Collection
system, including pump stations, and Wastewater Treatment Plant, and City agrees to accept
same, as set forth in the terms and conditions which follow
1. Services and obligations of both parties shall be on like terms as those set
forth in their prior agreement, known as the "Seventh Amendment to Inter -
Agency Cooperative Agreement between City of McCall & Payette Lakes
Water & Sewer District" save for term and amount of consideration.
2. Term shall be for three (3) months ending January 31, 1999.
3. Consideration shall be based on a pro-rata share of the current City Budget
amount, namely, $302,897.00 per annum. It will be payable monthly in
advance as 1/12 the annual sum, or $25,241.42. $38,970.00 of the annual
figure is a repair limit element subject to rebate if not used; the monthly
equivalent is $3,247.50 and is included in the $25,241.41 figure.

4. Save and except as inconsistent with the foregoing and excepting the
renewal provisions thereof, the remaining terms of the earlier agreement
are adopted by reference.
