Box 986 McCall, Idaho 83638 Re: Requested One Month Extension on Contract between the City of McCall and the Payette Lakes Water and Sewer District (7th Amendment) Dear Brian: The board addressed the City's request for a one month extension of the subject contract. They were agreeable to that subject to the following conditions: 1. The ratable fee for one month is $27,000.00. That sum must be paid in advance on or before October 1, 1998. 2. To avoid any possible misunderstanding or ambiguity in the event the contract between the parties is not renewed at the end of the one month extension the City must agree to absorb any demobilization/transition costs associated with such a final termination. At the present time those demobilization costs will include at a minimum potential unemployment claims against the sewer district by the workers that stand to be laid off by the termination of the contract by the City. This condition requires the City to agree now to reimburse the District for any such claims that are made. 3. Demobilization/transition costs will also undoubtedly include responding to inquiries from either the City or a Third party with respect to the transfer by the Sewer District staff; and potentially direct and indirect labor costs associated with removing the City's lift stations from the existing integrated alarm network. The exact figures are not possible to predict since to some extent it depends on who winds up with the responsibility and their prior knowledge and experience in this Brian Olson Page Two September 21, 1998 area. In any event all costs incurred by the District arising from the demobili7ation/transition from and after the date of termination shall be reimbursable by the City. If the foregoing is acceptable then the Sewer District Board is willing to grant the requested one - month extension. Obviously if we have not received the funds and have written confirmation of the foregoing by the 1st of October we can only presume that they have declined. Please advise.
