Attached herewith are copies of the above referenced agree—
ments for your information and files.

Will you be responsible to see that the Purchase Orders
are issued to pay costs in a timely way for both agreements.
Also, I ask that you prepare a letter and a list of persons
who will be required to hook—up to the Dienhard Lane Line
to me as soon as possible.

Please be certain that these bills get paid promptly. These

Dear Bud:
As per our conversation the Deinhard Lane Sewer Line agreement has been
examined and amended with regard to the recent installation of the diver-
sion structure on the Payette Lakes Water & Sewer District sewer line
located near Mission Road along Deinhard Lane.
It is the Payette Lakes Water & Sewer District's understanding that the
structure is operational and has been accepted by the City's Engineer.
At my request, Mr. Bill Killen has recalculated the buy -in figure using
the same criteria as was used in the original agreement but with less
line to be utilized. Please find the enclosed copy of correspondence.
The new figure to be paid to the Payette Lakes Water & Sewer District
by the City of McCall is $558.61 per month which is revised down from
$1,000.93 which was the previous amount.
If you have any questions concerning this amended agreement, please
contact our office.

I pulled my file at your request and reviewed the effect of
the Mission Street diversion on the lease costs to the city
for the use of that line. As set forth in Exhibit B to the
Deinhard Lane Sewer Allocation Agreement the diversion at
Mission Street produces an adjusted buy -in figure of
$65,643.00. (That 5 was a typo.)
Assuming payments have been made from May of 1987 through
October of 1988, namely a total of 18 payments against that
schedule, the amount of those payments applicable to
principal reduction would be $5,680.45. Further, the amount
of that principal reduction allocable from Mission west,
namely, 43% based upon our earlier estimates, would be
$2,442.59, leaving a credit to be applied to the buy -in
figure of $3,237.86, or a net buy -in of $62,405.14.
That figure amortized over the remaining 222 months of the
term at prime, less a point and one-half, namely,
8-1/2%,produces a new monthly figure of $558.61 to be paid
commencing November of 1988.
Let me know if you need any further information or
explanation with respect to the above. I note that the post
diversion operating and maintenance formula changes slightly

Dear Ted:
Attorney Killen's letter of November 14, 1988 was reviewed by the
city staff and by the City Council on November 21, 1988. This letter
is to confirm that the October 1988, installed a diversion device as
anticipated by the "Deinhard Lane Sewer Line Allocation Agreement"
dated March 21,1987, between the City and the District. Plans for
the project were submitted to and approved by the District prior to
constriction as the agreement required.
In his letter, your attorney has identified the relevant costs
for the diversion and this letter acknowledges those as the relevant
costs, namely a monthly payments beginning November 1988 of $558.61
and a net buy -in of $62,405.14.
I trust this letter will confirm the execution in full of the
diversion portions of our agreement. We truly appreciate your help
and cooperation in this project.
