BOND ORDINANCE PROVIDING FOR VARIOUS IMP OVEMENTS
WITHIN THE SPECIAL IMPROVEMENT DISTRICT I
AND BY
THE BOROUGH OF CARTERET, IN THE COUNTY OF M DDLESEX,
NEW JERSEY,
APPROPRIATING $300,000 THER FOR AND
AUTHORIZING THE ISSUANCE OF $300,000 BONDS OR NOTES
OF THE BOROUGH TO FINANCE PART OF THE COST HEREOF.
BE IT ORDAINED BY THE BOROUGH COUNCIL OF 'HE BOROUGH OF
CARTERET, IN THE COUNTY OF MIDDLESEX, NEW JER EY (not less
than
two-thirds
of
all
members
thereof
affirmatively
concurring) AS FOLLOWS:
Section 1_The improvement described in Section 3 of this
bond ordinance is hereby authorized to be unde taken by the
Borough of Carteret, New Jersey as a general imp ovement. For
the improvement or purpose described in Sectio
3, there is
hereby appropriated the sum of $300,000.
No down payment is
required pursuant to N.J.S.A.
40A, 2-11 Ie) ,s

described in N.J.S.A. 40A:2-7(d).
Section 2.In order to finance the cost of t e improvement
or purpose, negotiable bonds are hereby auth rized to be
issued in the principal amount of $300,000 pu suant to the
Local Bond Law.
In anticipation of the issuance of the bonds,
negotiable bond anticipation notes are hereby au horized to be
issued pursuant to and within the limitations prescribed by
the Local Bond Law.
Section 3. (a)
The improvement hereby autho ized and the
purpose for the financing of which the bonds arE to be issued
is any and all capital improvements within
he Borough's
special improvement district, including but n t limited to
improvements to and/or installation of curb
sidewalks,

decorative street lighting, shade trees, pav rs and road
improvements within the Lower Roosevelt Avenue Redevelopment
Area, and the following roads: Roosevelt Avenue from
Washington Avenue/Holmes Street to Industrial R ad, Roosevelt
Avenue from Blair Road to Post Boulevard and Ro sevelt Avenue
from Edwin Street to Industrial Road, including all work and
materials necessary therefor and incidental ther to.
(b) The estimated maximum amount of bonds r notes to be
issued for the improvement or purpose is as sta ed in Section
2 hereof.
(c) The estimated cost of the improvement or purpose is
equal to the amount of the appropriation herein ade therefor.
Section 4.AII bond anticipation notes iss ed hereunder
shall mature at such times as may be determined by the chief
financial officer; provided that no note shall mature later
than one year from its date. The notes shall be r interest at
such rate or rates and be in such form as may be determined by
the chief financial officer. The chief fina cial officer
shall determine all matters in connection with notes issued
pursuant to this ordinance, and the chief finan ial officer's
signature upon the notes shall be conclusive e idence as to
all such determinations. All notes issued her under may be
renewed from time to time subj ect to the prov sions of the
Local Bond Law. The chief financial offic r is hereby
authorized to sell part or all of the notes fro time to time
at public or private sale and to deliver them to the
purchasers thereof upon receipt of payment of the purchase
price plus accrued interest from their dates t the date of
delivery thereof. The chief financial officer's directed to
report in writing to the governing body at the meeting next
succeeding the date when any sale or deli very of the notes
pursuant to this ordinance is made. Such report must include
the amount, the description, the interest ate and the

maturity schedule of the notes sold, the price obtained and
the name of the purchaser.
Section 5.The Borough hereby certifies hat it has
adopted a capi tal budget or a temporary capi të 1 budget, as
applicable. The capi tal or temporary capi tal b dget of the
Borough is heréby amended to conform with the rovisions of
this ordinance to the extent of any inconsiste cy herewith.
To the extent that the purposes authorized herein are
inconsistent with the adopted capi tal or temp rary capi tal
budget, a revised capital or temporary capital bu get has beeD
filed with the Division of Local Government Servi es.
Section 6.The following additional matter are hereby
determined, declared, recited and stated:

The improvement or purpose described in Section 3 of
ordinance is not a current expense. It is an
improvement or purpose that the Borough may lawfu ly undertake
as a general improvement, and no part of the cos thereof has
been or shall be specially assessed on prope ty specially
benefitted thereby.
(b) The period of usefulness of the im rovement or
purpose within the limitations of the Loca Bond Law,
according to the reasonable life thereof compu ed from the
date of the bonds authorized by this ordinance, i 15 years.
(c) The Supplemental Debt Statement requ·red by the
Local Bond Law has been duly prepared and filed n the office
of the Clerk, and a complete executed duplicate thereof has
been filed in the office of the Director of the Division of
Local Government Services in the Department f Community
Affairs of the State of New Jersey. Such stateme t shows that
the gross debt of the Borough as defined in the L cal Bond Law
is increased by the authorization of the bon( s and notes
provided in this bond ordinance by $300,000, and the

obligations
authorized herein will
be with'n all
debt
limitations prescribed by that Law.
(d) An aggregate amount not exceeding $60,000 for items
of expense listed in and permitted under N.J.S. 40A:2-20 is
included in the estimated cost indicated he ein for the
purpose or improvement.
Section 7.Any grant moneys received for the purpose
described in Section 3 hereof shall be app1' ed either to
direct payment of the cost of the improvement or to payment of
the obligations issued pursuant to this ordinallc The amount
of obligations authorized but not issued hereu der shall be
reduced to the extent that such funds are so use
Section 8.
The

financial

Borough is hereby authorized to prepare and t
update from
time to time as necessary a financial disclosu e document to
be distributed in connection with the sale of bligations of
the Borough and to execute such disclosure docu ent on behalf
of the Borough.
The chief financial office
is further
authorized to enter into the appropriate u dertaking to
provide secondary market disclosure on behalf
f the Borough
pursuant to Rule 15c2-12 of the Securities and Exchange
Commission
Ithe "Rule")
for the benefit of holders and
beneficial owners of obligations of the Borough and to amend
such undertaking from time to time in connec ion wi th any
change in law,
or interpretation thereof,
rovided such
undertaking is and continues to be, in the opinion of a
nationally recognized bond counsel,
consist nt with the
requirements of the Rule.
In the event tha
the Borough
fails to comply with its undertaking, the Bora gh shall not
be liable for any monetary damages, and the re edy shall be
limited to specific performance of the undertaki g.

Section 9 .The full faith and credit of the Borough are
hereby pledged to the punctual payment of the principal of and
the interest on the obligations authorize by this bond
ordinance.
The obligations
shall be direct,
unlimited
obligations of the Borough, and the Borough s all be obligated
to levy ad valorem taxes upon all the taxab e real property
within the Borough for the payment of the abl'gations and the
interest thereon without limitation of rate 0 amount.
Section 10.
This bond ordinance shall take effect 20
days after the first publication thereof afte final adoption,
as provided by the Local Bond Law.

BOND ORDINANCE STATEMENT
AND SUMMARY
The bond ordinßnce, the summary terms of which
are Included herein, has been finafly adopte_d by the
Borough of Carteret, In the county of Middlesex,
State of New Jersey on August 24, 2006, and the
20 day period of limitation within which a SUIt, ac-
tion or proceeding questioning the validity of such
ordinance can be commenced, as provided in the
Local Bond Law, has begun to run from the date of
the first publication of this statement. Copies of the

WHEREAS, the officials of the Borough of Carteret, in the County of Middlesex, have
requested the Local Finance Board to consider approval of a bond ordinance without a down
payment provided that an exception to N.J.S.A. 40A:2 -11 may be determined by the Local
Finance Board as permitted under N.J.S.A. 40A:2 -7(d); and
WHEREAS, the Municipal Clerk has certified that the governing body passed on first reading
the following Bond Ordinance:
BOND ORDINANCE PROVIDING FOR VARIOUS
IMPROVEMENTS WITHIN THE SPECIAL IMPROVEMENT
DISTRICT IN AND BY THE BOROUGH OF CARTERET, IN
THE COUNTY OF MIDDLESEX, NEW JERSEY,
APPROPRIATING $300,000 THEREFOR AND AUTHORIZING
THE ISSUANCE OF $300,000 BONDS OR NOTES OF THE
BOROUGH TO FINANCE PART OF THE COST THEREOF.
WHEREAS, the Local Finance Board has reviewed and considered on September 13, 2006,
the application made pursuant to N.J.S.A. 40A:2 -7(d) and found the subject ordinance to be in
the public interest and for the health, welfare, convenience or betterment of the inhabitants of
such local unit; and
WHEREAS, the Local Finance Board has found that the amounts to be expended or financed
are not unreasonable or exorbitant and that the issuance of such obligations will not materially
impair the credit of such local unit or substantially reduce its ability to pay punctually the
principal of and interest on its debt and to supply other essential public improvements;
NOW, THEREFORE, BE IT RESOLVED by the Local Finance Board that said Board does
hereby give consent to the adoption of such Bond Ordinance without the inclusion of a down
payment; and

BE IT FURTHER RESOLVED that the Executive Secretary of the Local Finance Board is
hereby authorized and directed to certify or endorse such documents or instruments as may be
necessary, convenient or desirable in order to carry out the purpose and provisions of the Law
and this Resolution; and
BE IT FURTHER RESOLVED that the Borough of Carteret shall, within 30 days of the
closing date of the financing that is the subject of this resolution, file with the Executive
Secretary of the Local Finance Board a statement setting forth a complete accounting of the
actual issuance costs incurred by the Borough of Carteret in undertaking the financing which
statement shall include the following: the name of Borough of Carteret; the closing date of
the financing; the total amount of the financing; the name of the professionals or others who
provided services to the Borough of Carteret in undertaking the financing; the estimated
dollar amount for each type of issuance cost as set forth in the application submitted by the
Borough of Carteret to the Local Finance Board with regard to the financing; and the actual
dollar amount for each type of issuance cost incurred by the Borough of Carteret in
undertaking the financing; and
BE IT FURTHER RESOLVED that this Resolution shall take effect inunediately.
