HomeMy Public PortalAboutPayette River Byway Cor MgmtPAYETTE RIVER SCENIC BYWAY CORRIDOR MANAGEMENT PLAN IMPLEMENTATION MEMORANDUM OF AGREEMENT (MOA) between Payette River Scenic Byway Advisory Council and SAGE COMMUNITY RESOURCES (formerly IDA-ORE PLANNING AND DEVELOPMENT ASSOCIATION, INC.) and IDAHO TRANSPORTATION DEPARTMENT I. PARTIES ELIGIBLE TO PARTICIPATE IN THIS MOA AND THE ASSOCIATED Scenic Byway Advisory Council: • County Government Entity members: Ada County, Adams County, Boise County, and Valley County. • City Government Entity members: City of Cascade, City of Donnelly, City of Eagle, City of Horseshoe Bend, City of McCall, and City of New Meadows • Other Government Entity members: Boise National Forest, Bureau of Land Management, Bureau of Reclamation, Idaho State Department of Lands, and Payette National Forest. • Ex-officio (non -voting) members: Sage Community Resources and Idaho Transportation Department (ITD). • All entities hereinafter called Advisory Council Members: II. PURPOSE: • The purpose of this agreement is to assist in the accomplishment of the Payette River Scenic Byway Corridor Management Plan's implementation, maintenance, and operations. "The Mission of the Payette River Scenic Byway Corridor Management Plan is to enhance the cultural, archeological, historical, recreation, scenic, and natural experiences of residents and travelers as they live and travel along the Payette River Scenic Byway." III. STATEMENT OF MUTUAL BENEFITS AND INTERESTS: • It is of mutual benefit and interest for all parties associated with the Payette River Scenic Byway Corridor to cooperate in the implementation, maintenance, and operations of its Management Plan and the identified developments. The Payette River Scenic Byway Corridor Management Plan implementation, maintenance, and operations will improve the economic potential in the area, by inviting visitors to travel and enjoy the Scenic Byway's many opportunities. The implementation, maintenance, and operations will also enhance the resident's local experiences and knowledge opportunities and will enhance the corridor's long-term traffic safety. The extent of economic potential will be based on the quality and marketing of the Scenic Byway and the ability of various entities to supply goods and services to those that use the Scenic Byway. IV. THE GOVERNMENT ENTITIES' RESPONSIBILI I'IES: • Designate a representative to the Advisory Council and support their participation in the implementation, maintenance and operations of the Payette River Scenic Byway Corridor Management Plan; • Adopt and support the Payette River Scenic Byway Management Plan & subsequent amendments, consistent with local and Entity policies and priorities; • Approve & sponsor projects in your Entity's area of responsibility consistent with the plan and local priorities; • Participate in the development, maintenance and operations of approved projects in your Entity's area of responsibility as supported by annual maintenance and operations budgets; • • Give written and testimonial support for approved projects in another government entity's area of responsibility, when requested and consistent with the plan and local spending priorities; and • Assist in the search for grants and other funding for development, maintenance, and operations of the Board of Directors and the implementation and maintenance of the Management Plan. V. THE ADVISORY COUNCIL MEMBERS' RESPONSIBILITIES: • Participate, as a team member, to oversee the implementation, maintenance, and operations of the Payette River Scenic Byway Corridor Management Plan; • Keep the governing body of the Entity that they represent aware of the Advisory Council's actions and the status of the Management Plan's implementation; " Keep interested groups and individuals within their government Entity's area of responsibility aware of the Advisory Council's actions and the status of the Management Plan's implementation; " Work with their government Entity's personnel and others to prepare project proposals and grant requests, as necessary as supported by local policy and resources; " Continue, as a team member, to review and update the Management Plan (projects, priorities, etc.) annually or as needed; " Work as a team member to maintain implementation and development balance throughout the Payette River Scenic Byway Corridor; " Continue as a team member to monitor the Management Plan's implementation, maintenance and operations; and " Prepare and deliver an annual report to all of the participating government Entities as to the status of the Management Plan, the amount and quality of the Management Plan's implementation (facility development, etc.), the quality of existing facility maintenance, and the operation status of the Advisory Council. VI. SAGE COMMUNITY RESOURCES' RESPONSIBILITIES: " Designate a representative to act as the Advisory Council coordinator / administrative staff and to act as an ex-officio team member of the Advisory Council; " Designate other personnel necessary to perform the day-to-day operations of the Advisory Council; " Receive funding from the administrative portion of grants and from the dues given to Sage Community Resources' members associated with this Scenic Byway. VII. IDAHO TRANSPORTATION DEPARTMENT'S RESPONSIBILITIES: " Designate an ITD representative to participate as an liaison person that will act as an ex- officio team member of the Advisory Council and lend technical support related to Scenic Byway matters (funding sources, programs, policies, dates, priorities, processes, related ITD projects, etc.); " Provide assistance and guidance to the Advisory Council in completing grant program applications; and " Review and process, in a timely manner, projects recommended for grant consideration by the Advisory Council. VIII. IT IS MUTUALLY AGREED AND UNDERSTOOD BY AND BETWEEN THE PARTIES THAT: " Cost/Resource Sharing: It shall be the responsibility of Sage Community Resources' Staff to prepare an annual budget and cost / resource allocation plan for the Scenic Byway Advisory Council. Said budget shall be prepared each year for the Advisory Council's Annual Meeting to be held in the month of June each year and incorporated into the dues structure and budget of Sage Community Resources' organization. Each stakeholder will be notified by Sage Community Resources of their cost / resource sharing responsibility by mail not later than July. " Accountability: Sage Community Resources will, through its accounting and audit process, annually provide periodic financial reports and audited financial statements to the Advisory Council. Sage Community Resources' Staff will be accountable to the Advisory Council. Any issues concerning Staff performance or discipline will be carried out in accordance with Sage Community Resources' Personnel Policy. The Executive Director serves as the Association's chief personnel officer and all compliments and complaints should be brought to the attention of the Executive Director. It is the responsibility of the Advisory Council's Membership to advocate on behalf of the Scenic Byway Advisory Council to local, state and federal governmental stakeholders for support and resources for the Advisory Council. " Disputes: All disputes should be resolved through collaborative process and consultation of the Advisory Council as a matter of priority. Disputes of any nature should be dealt with immediately in the context of the meeting and published agenda. In the case of complex disputes, the Chair shall call a special meeting to address such disputes. " Limitations: Nothing in this MOA shall be construed as limiting or expanding the statutory of regulatory responsibilities of the participating parties in performing functions granted to them by law; or as requiring either to expend any sum in excess of its respective appropriation; or expanding the liability of either party. In the event of a liability claim, each party shall defend their own interest. No party shall be required to provide indemnification of the other party. Each and every provision of this agreement is subject to the laws and regulations of the State of Idaho and of the United States of America; " Effective Date: This MOA shall become effective upon signature of ninety present (90%) of the county and city government Entities and Sage Community Resources Ex-officio Entity. The term of this MOA is good until amended or termination; " Method of Termination: This MOA shall remain in force until formally terminated by forty present (40%) of the county and city government Entities giving thirty (30) days' written notice to the other parties. Reasons for termination may be (a) non-compliance, (b) lack of service, or (c) lack of performance. Termination of this MOA will also terminate the Payette River Scenic Byway Corridor Management Plan and the Advisory Council; " Amendments: Amendments to this MOA shall become effective upon mutual agreement and written approval by the Advisory Council and a super majority (67%) of the participating government Entities.
