PRESENT
Board: Mayor Philip Vandernail; Mayor Pro-Tern; Eileen Waldow, Trustees; Katie
Soles, Andy Miller, Parnell Quinn and Herb Meyring
Staff: Town Manager, Jeff Durbin, Town Planner, Catherine Trotter, Finance

Mayor Vandernail called the meeting to order at 6:00 p.m.
1. Regular Meeting: Roll Call
2. Executive Session: For a conference with the Town's Attorney for the purpose of
receiving legal advice on specific legal questions under, C.R.S. Section 24-6-402(4) (b)
and for the purpose of determining positions relative to;matters that may be subject to
negotiations, developing strategy for negotiations, and/or instructing negotiators, under
C.R.S. Section 24-6-402(4)(e) regarding the Fraser US Hwy 40 Improvement Project
and to include TA McGowan and TM Durbin.
Trustee Quinn moved, and Trustee Soles seconded the motion to enter executive
session. Motion carried: 6-0.

Exit: 6:21 p.m.
Attorney's Opinion Required by C.R.S. 24-6-402(2)(d.5)(II)(B).
As the attorney representing the Town of Fraser, I am of the opinion that the entire
Executive Session, which was not recorded, constituted a privileged attorney-client
communication.

Trustee Quinn moved, and Trustee Soles seconded the motion to exit executive
session. Motion carried: 6-0.

3. Workshop: 2017 Budget Items j
Munn Architects presented a concept plan for a remodelI of the Town Board Room.
4. Approval of Agenda:
Trustee Waldow moved, and Trustee Soles seconded the motion to approve the
Agenda. Motion carried: 6-0.
5. Consent Agenda:
a) Minutes —October 19, 2016—change 5b vote to 4-1.
Trustee Meyring moved, and Trustee Soles seconded the motion to approve the
consent agenda with the minutes amended. Motion carried: 6-0.
6. Discussion and Possible Action Regarding:
a) Ordinance 437 Establishing an Arts in Public Places Program
TM Durbin briefed the Board on the proposed Art in Public Places Program as
recommended by the Public Arts Committee.
Trustee Soles moved, and Trustee Quinn seconded the motion to approve Ordinance
437 Establishing an Arts in Public Places Program. Motion carried: 6-0.
b) Intergovernmental Agreement with Grand County regarding
Winter Operations and Road Maintenance
TM Durbin briefed the Board on the proposed Intergovernmental Agreement with Grand
County that would establish a mutually beneficial relationship whereby the Town would
provide nighttime snow management in some areas of Winter Park Ranch to facilitate
late nigh bus service and the County would provide materials resulting in cost savings
for the Town. The Board directed TM Durbin to proceed with finalizing the agreement
including Town Attorney recommendations.
c) Appointment of an Interim Town Clerk
TM Durbin recommended that the Town Board appoint1Utility Administrator Beth
Williams as Interim Clerk until such time as the Town Clerk position is filled.
Trustee Soles moved, and Trustee Miller seconded the', motion to appoint Williams as
Interim Clerk. Motion carried: 6-0.
7. Public Hearing: 2017 Town of Fraser Budget
Trustee Soles moved, and Trustee Waldow seconded the motion,to open the Public
Hearing. Motion carried 6-0
TM Durbin and FM Havens reviewed the proposed 2017 Budget.

There was no public comment.
Trustee Soles moved, and Trustee Meyring seconded the motion to continue the Public
Hearing to November 16, 2016. Motion carried 6-0.

TM Durbin thanked Chief Trainor and our Police Department for hosting another
successful Trick or Treat with a Cop Halloween Program.
Trustee Miller moved, and Trustee Quinn seconded the motion to adjourn. Motion
carried: 6-0. Meeting adjourned at 8:59 p.m.
