Home My Public Portal About2018 AgreementPROTI SSIONAL SERVICES AGRLEMENI BE I WECN 1 IIE VII I AGL 01 K1 Y BISCAYNL AND AI I S I AR EVEN1 S INC CV THIS AGRLLMLN I (this Agteement ) is made effective as of the I day of Novembei 2018 (the Etfectn e Date ) by and between the VILI AGL Of IQ Y ISCAYNE FLORIDA a Floirda municipal coipoiation whose pi ncipal address is 88 West McIntyre Street Key Biscayne Florida 33149 (hereinafter the Village ) and All Star Events Inc a Floirda limited liability company whose address is 14475 NW 60th Avenue Bldg #ii Miami Lakes Floirda 33014 (hereinafter the Consultant ) WHEREAS the Consultant will piovide enteitamment foi the Village s Winteifest event as fuithei set forth in the proposal attached hereto as Exhibit A (the Seivices ) and WHERLAS the Consultant and Village thiough mutual negotiation have agreed upon a fee foi the Services and WHLRLAS the Village desires to engage the Consultant to peifoim the Seivices and provide the deliverables as specified below NOW IIILRLI ORL in consideration of the mutual covenants and conditions contained herein the Consultant and the Village agree as follows Scope of Sei s ices 1 1 Consultant shall provide the Seivices set fotth in the proposal attached heieto as Exhibit A and incorporated heiein by reference 12 Consultant shall tutnrsh all iepoits documents information obtained pursuant to this Agreement and iecommendations duting the teirn of this Agreement (heiemattei Deliverables ) 2 Term/Commencement D Ile 2 I lhis Agieement shall become effective upon the Etfectne Date and shall remain in effect until Consultant completes the Services described herein which Seivices are scheduled to be completed in accoidance with the schedule set toith in Exhibit A but not to exceed ten (10) calendai days from the date of a Notice to Pioceed issued by the Village unless earlier teinunated in accordance v\ith Paragraph 8 2 2 Consultant agrees that time is of the essence and Consultant shall complete the Services within the term of this Agieement unless extended by the Village Munger 1 J Compensation and Pq)ment 3 1 Compensation foi Services provided by Consultant shall be in accordance with the proposal attached hereto as Exhibit A Compensation pursuant to this Agieement foi the Seivices shall not exceed $15 657 60 3 2 Consultant shall delivet 1n Invoice to Village no mote often than once pet month detailing Services completed and the amount due to Consultant undei this Agreement Fees shall be paid in arrears etch month puisuant to Consultant s invoice which shall be based upon the percentage of work completed foi each task invoiced The Vilhige shall piv the Consultant in accordance with thc. Florida Prompt Patment Act after appioval and acceptance of the Seivices b) the Village Manage' 4 Subconsultants 4 1 The Consultant shall he iesponsible for ill payments to any subconsultants and shall maintain responsibility foi all voile related to the Sen ices 4 2 Consultant may only utilize the seivices of a patticuly subconsultant with the pilot written approval of the Village Manager which approval shall be in Village Manager s sole and absolute discretion 5 Vill tge s Responsibilities 5 1 Village shall make available viy maps plans existing studies reports staff and repiesentatives and other data pertinent to the Seivices and in possession of the Village and provide etiteua requested by Consultant to assist Consultant In perfonning the Sei ices 5 2 Upon Consultant s request Village shall seasonably cooperate In atrangine access to public intounation that may be iequued for Consultant to peifoim the Sen ices 6 Consultant s Responsibilities 6 1 The Consultant shall exercise the same degree of care skill and diligence In the performance ot the Seivices its is oidinauly provided by 1 consultant under similar circumstances It at an) time doting the teen of this Agieement oi within two (2) years rim the completion of this Agreement it is determined that the Consultant s Deli\ ei ables or Services are incorrect not proper l) iendeied tic.fective oi fail to conform to Village requests the Consultant shall at Consultant s sole expense immediatel) collect its Deliverables ot Services 6 2 lhe Consultant hereby warrants and icpiesents that at all times during the tetra of this Agreement it shall maintain in good standing all iequued licenses certifications and permits iequued under Federal State and local laws applicable to and necessary to peiform the Services for Village as an independent contiactoi of the Village 7 Conflict of Intel est 7 1 To avoid any conflict of inteiest 01 and appearance theieot Consultant shall not foi the term of this Agieement pion ide any consulting services to any private sectoi entitles (developeis coipoiations teal estate in estois etc ) with any current 01 foieseeable adveisatial issues in the Village 8 Tel mm upon 8 1 The Village Man'tget without cause nn teiminate this Agieement upon five (5) calendar days written notice to the Consultant 01 immediately with cause 82 Upon receipt of the Villages wiitten notice of teimmation Consultant shall immediately stop wotl on the project unless duetted otheiwise by the Village Manager 8 In the event of' teimmation by the Village the Consultant shall be paid foi all work accepted by the Village Manages up to the date of teimmation provided that the Consultant has first complied with the povisions of Pal abiaph 8 4 84 The Consultant shall uanstei al] books iecoids iepoits woiking drafts documents maps and data pei taming to the Seri tccs and the project to the Village in a hard copy and electionic founat within fourteen (14) days fiom the date of the written notice of termination 01 the date of expiation of this A..teement 9 Insaiance 9I Consultant shall secure and maintain thioughout the duration of this agreement msutance of such types and in such amounts not less than those specified below as satisfactory to Village naming the Village as an Additional Inswed undeiwiitten by a film iated A X of better by A M Best and qualified to do business in the State of Flouda The msutance coverage shall be primacy insurance v,tth respect to the Village its officials employees agents and volunteers naming the Village as additional insuied Any inswance maintained by the Village shrill be in excess of the Consultant s mswanee and shall not contubute to the Consultant s tnsutance The insurance coverages shall include at a minimum the amounts set forth in this section and ma) be meieased by the Vtllagc as it deems necessary or prudent a Commercial General Liability covelae,e with limits of liability of not less than a $1 000 000 pet Occutience combined single limit for Bodily Injury and Property Damage This Liability insurance shall also include Completed Opeiations and Pioduct Liability coverages and eliminate the exclusion with iespect to property under the case custody and contiol of Consultant The Genei-il Aggieeate Liability limit and the Products/Completed Opeiations Liabilit) Abgiegate Iunit shall be in the amount of $2 000 000 each b Woikeis Compensation and Employei s Liability insurance to apply foi all employees foi statutory limits as iequired by applicable State and Fedeial laws The policy(tes) must include Employei s Liability with minimum limits of S1 000 000 00 each accident No employee subcontractor of agent of the Consultant shall be allowed to piovide Set vices pursuant to this RFP v\ho is not execution of this Agreement by Village and pnoi to commencing Setvtces Each ceitificate shall include no less than (A) thuty day advance written notice to Village pilot to cancellation termination of material alteiation of said policies or insuiance The Consultant shall be responsible foi assuring that the insuiance certificates iequued by this Section iemvn in full force and effect foi the PARTY HEREBY KNOWINGLY IRREVOCABLY VOLUNTARILY AND INTENTIONALLY WAIVES ITS RIGHT TO TRIAL BY JURY 12 Indemnification 12 I Consult nit shall indemnity and hold harmless the Villaee its officers agents the Village (whethei duiing or aftei the term of this Agieement) to establish and eolith such ownership (including 7 without limitation assignments powers of attorney and other Irish uments) 16 2 Consultant - rees to keep rind m'untai n public iecoids in Consultant s possession oi control in connection with Consultant s petfoimance under this Agieement Consultant additionally agrees to comply specifically with the provisions of Section 119 0701 Flouda Statutes Consultant shall ensure that public iecotds that 'ue exempt 01 confidential and exempt fiom public iecotds disclosuie iequnements are not disclosed except as authorized by law foi the duration of the Agieement rind following completion of the Agieement until the Iecoids 'ue tiansfened to the Village 16 3 Upon tequest fiom the Vllage s custodian of public iecords Consultant shall piovide the Village with a cop\ of the requested iecoids 01 allow the iecoids to be inspected oi copicd within a rcason'tble time -it a cost that does not exceed the cost pio\ided b) Chlptei 119 Florida Statutes 01 as otherwise piovrded by law 16 4 Unless otheiwise piovided by law any and all iecotds including but not limited to reports sui'.eys and other data and documents provided or created in connection vtrth this Agieement are and shall remain the property of the Village 165 Upon completion of this Agieement o1 in the exent of teimmatron by either party any and all public tecoids 'elating to the Agieement in the possession of the Consultant shall be delivered b) the Consultant to the V'llace Manager -it no cost to the Vrlhte within seven (7) days All such iecoids stored elect!onically by Consultant shall be deliveied to the Village in a foimat that is compatible with the Village s information technology systems Once the public iecotds have been delivered upon completion oi teuninition of this Agreement the Consultant shall destroy any and all duplicate public iecotds tilt are exempt 01 confidential and exempt from public iecoids disclosuie iequnements 16 6 Any compensation due to Consultant shill be withheld until all iecords ate received as piovrded herein 16 7 Consultant s failure 01 refusal to of either patty to this Agieement to object to or to take affirmative rictton with respect to any conduct of the othei which is in violation of the teims of this Agreement shall not be construed as a waivei of the violation of breach of ot any thane violation breach ot wrongful conduct 22 Survival of Provisions 22 1 Any terms 01 conditions of either this Agieement tint requite nets beyond the date
