APPROVING A CONTRACT WITH PREMIER RETAIL 1\ ETWORK
WHEREAS, the Borough of Carteret is in need of certain SpE cialized video
production, advertising and marketing services for the p oduction and
display of video advertisements to promote the Borough in elected retail
establishments; and
WHEREAS, Premier Retail Networks, 122 East 42nd Stree , Suite 2018,
, New York, New York, 10168, possesses the requis te expertise,
i knowledge and technical capability to provide said services; nd

WHEREAS, the Borough is desirous in entering into a contract with
Premier Retail Networks; and I
,
WHEREAS, the Borough's Chief Financial Officer has certi ed that funds
are or will be available for the payment of said services.
NOW, THEREFORE BE IT RESOLVED by the Mayor and Cþunci! of the
Borough of Carteret, County of Middlesex, State of New JersßY, as
follows:
1. A contract with Premier Retail Netwo ks, 122 East
42nd Street, Suite 2018, New York, New York, 10168, for vid 0 production,
advertising and marketing services for the production and di5play of video
advertisements to promote the Borough in selected retail elstablishments
is hereby approved, in accordance with the terms of roject based
contracts to be entered into between the Borough and F remier Retail
Networks.
2. That the appropriate Borough officials arß hereby
authorized to execute said contract.
3. This contract is awarded as an extraordi ary,
unspecified service pursuant to N.J.S.A. 40A:11-5(1 )(a).

This Advertising Commitment Letter ("Lener"), executed by Advertiser listed above a d Premier Retail Networks,
Inc, ("PRN"), commits certain advertising positions for Advertiser in the category, ne ark and systems listed
above, and during the programming fIight(s) listed below, This Letter will become bi ding upon Advertiser's
receipt and acceptance of the Order Confirmation and associated terms and condition which will be forwarded to
Advertiser within 30 business days following PRN's receipt of a fully signed copy of is Letter. Advertiser may
indicate its acceptance by (i) returning the signed Order Confirmation forwarded by P , or (ii) remitting payment
for any invoice issued in connection with this Letter. If Advertiser does not provide P with written notice within
10 days of receipt of the Order Confirmation which notice specifies that the foregoing and associated terms and
conditions are inaccurate or unacceptable, then such Order Confirmation and associat d terms and conditions will be
deemed accepted by both parties. All terms herein are subject to the availability of P N commercial inventory, as
determined by PRN, upon receipt of an executed copy of this Letter from Advertiser.

Advertiser's advertisements will be featured on System(s) as follows:
