SUMMARY STATEMENT:
In 2013, the City purchased Novotx's ELEMENTS XS asset management software. This original purchase
agreement stipulated that the City, after the first year, would pay for future software upgrades, technical
support and maintenance service through an annual fee. Accordingly, the City has been paying this
maintenance fee ($6,000/year) and benefitting from the technical support provided by Novotx staff and the
software upgrades that have been provided (3 major upgrades).
A file review by current staff identified that the Novotx's formal Software License Agreement had not
previously been signed by the City. Therefore, attached is a copy of the Agreement that has been reviewed
by legal counsel. Approval of this service agreement will assure the City's rights and protections granted
by the agreement and guarantee all software and technical support services offered by the maintenance
program will be provided.
RECOMMENDED ACTION:
Approve the Novotx LLC Software License Agreement and authorize the Mayor to sign all necessary
documents.
