HomeMy Public PortalAbout2024_01_09_R007 Right of Way License Agreement with FiberLight, LLCThe Town of Leesburg, Virginia RESOLUTION NO. 2024-007 PRESENTED: January 9, 2024 ADOPTED: January 9, 2024 A RESOLUTION: AUTHORIZING A LICENSE AGREEMENT WITH FIBERLIGHT, LLC FOR TELECOMMUNICATIONS FACILITIES WITHIN THE TOWN'S RIGHTS -OF -WAY WHEREAS, a license agreement is necessary to allow the operation and maintenance of telecommunications facilities within the Town's rights -of -way; and WHEREAS, the Town Attorney's Office has negotiated the terms of a License Agreement for Telecommunications Facilities Passing through the Town of Leesburg, Virginia with FiberLight, LLC ("FiberLight"); and WHEREAS, the License Agreement includes an acknowledgement by FiberLight that the primary use of the Town's rights -of -way is for street purposes, and that the construction and operation of telecommunications facilities shall not adversely affect such property's primary use for street purposes; and WHEREAS, a license agreement will protect the Town's interests by requiring safe practices, insurance, and indemnification by FiberLight; and WHEREAS, prior to installation of any telecommunications facilities, FiberLight must obtain a right of way permit upon submission of engineering plans acceptable to and approved by the Town; and WHEREAS, the term of the License Agreement will be five (5) years. THEREFORE, RESOLVED, by the Council of the Town of Leesburg in Virginia as follows: 1. That the Town Manager is hereby authorized to execute the proposed License Agreement for Telecommunications Facilities Passing Through the Town of Leesburg, Virginia with FiberLight, LLC in a form approved by the Town Attorney. Town of Leesburg -2- A RESOLUTION: AUTHORIZING A LICENSE AGREEMENT WITH FIBERLIGHT, LLC FOR TELECOMMUNICATIONS FACILITIES WITHIN THE TOWN'S RIGHTS -OF -WAY 2. The Town Manager is hereby authorized to take such further actions, and to execute such further documents in a form approved by the Town Attorney, including but not limited to a right of use agreement, as are necessary to implement this resolution and the License Agreement.
