Mariposa Avenue, El Segundo, Califomia 90245 ("Provider") and City of McCall, a corporation with its principal office located at 216 E Park St., McCall, ID. 83638 ("Customer"). When mutually signed (executed), this SOW becomes contractually binding on Provider and Customer under the terms and conditions herein. Any information, whether protected by patent or copyright, including, but not limited to, programs, files, specifications, plans, business information, technical information, or other data either written or otherwise (hereinafter "Information"), which has been fumished or disclosed by Customer to Provider (or Provider delivery partners), or by Provider to Customer, its employees, or agents shall remain property of the originating party and shall be considered proprietary Information by the receiving party, its employees, or agents. Information shall not be reproduced, published, or disclosed to any third party (except as noted Provider delivery partners) without prior consent of the originating party. All copies of any and all Information furnished or disclosed (except for 'Deliverables' listed by this SOW) shall be retumed to the -originating party immediately upon written notice. Subject to any specific limitations under applicable law each party hereby agrees to indemnify and hold the other party harmless from and against any and all claims, demands, actions, losses, liabilities, costs and expenses (including reasonable attomey's fees) arising out of or resulting from a breach of this SOW by the indemnifying party. The representations made here shall survive for one (1) year from the termination of this SOW and all claims for indemnification must be made within that one (1) year period. Provider's liability is based on a deliverable site basis, and will not exceed the total amount (fixed cost or cost estimate) of this SOW. Provider shall not be liable to Customer for any delay or failure by Provider to fulfill its obligations under this SOW or otherwise if such delay or failure arises from any cause or causes due to Force Majeure. Provider makes no warranties as to any software and /or hardware manufactured by a third party which it uses to provide services pursuant to the terms of this SOW. In no case will Provider be liable for any loss of business.data, use or interruption. If Customer does not pay the amount due hereunder or breaches any of the terms of this SOW, Provider may, in addition to any other legal remedies it may have, either suspend or refuse to continue to service the equipment. Customer also agrees to pay Provider's cost and expenses of collection, including the maximum attomey's fee permitted by law. DEFINITIONS Deliverable: For the purposes of this SOW, the term 'deliverable' refers to one specific work product that is the outcome of the engagement. Collectively, deliverables are the product for which the price of this SOW is exchanged. Services or activities (work) will be performed as a part of this SOW in order to produce the deliverables (work product). Documentation: The terms 'document' and 'documentation' as they relate to this SOW are intended to mean any notes, charts, graphs, diagrams, report outputs, network addresses, passwords, configuration logs, or any other discretionary information deemed by Provider to be, relevant to this effort. Documentation is not intended to be, or considered to be, complete, comprehensive, or exhaustive as it relates to the overall customer network or information systems environment. Any documentation provided as a part of the execution of this SOW will be limited to systems, items, or topics specifically referenced in this SOW. Knowledge Transfer: The term 'knowledge transfer, as it relates to this SOW, is intended to mean conversational discussions about various technical aspects of this effort. Knowledge transfer is not intended to be, expected to be, or considered to be complete, comprehensive, or exhaustive as it relates to the overall customer network or information systems environment Additionally, knowledge transfer is not intended to replace the need for formal instruction or vendor -supplied training in the operation of any systems installed or configured as part of this SOW. Training: Unless otherwise specifically stated in this SOW, Provider supplied training is not intended to convey any formal certification or credential and is provided on a 'best effort' basis as a courtesy to the customer. Best Effort: The term 'best effort' as it relates to this SOW is intended to mean services provided by Provider to the customer with no express warrantee or guarantee implied. A particular outcome of best effort service is not guaranteed, but every effort will be made to ensure the best result possible within the time allowed and with the resources available. IN SCOPE: The work described in the Activities section of this document, and effort toward the fulfillment and delivery of items described in the Deliverables section of this document are considered to be 'IN SCOPE' as they relate to this effort. The contents of the Assumptions sections of this document provide specific clarification of the scope. OUT OF SCOPE: Any items, components, materials, efforts, objectives, tasks, or services not described in either the Activities or Deliverables section of this document are considered 'OUT OF SCOPE as they relate to this effort OUT OF SCOPE work will not be performed without written authorization by the customer via the project change control process described herein. Testing, Validation, Verification: The terms 'testing', 'validation' and 'verification' refer to the process of comparing measurements and observations of specific information systems to customer provided expectations or criteria. The customer is responsible to confirm that tests, validation, or verification is successful. ("PCMG") and City of McCall ("City of McCall") in support of Office 365 Migration - Project ("Services") to. be provided by PCMG.? The purpose of this SOW is to document the services to be delivered, the price of the requested services to be delivered as well as the responsibilities of the various parties responsible for their delivery. Upon acceptance of this SOW PCMG Sales, Inc. and City of McCall agree that any changes or modifications to the SOW must be submitted via the Change Request Form attached to this document. All approved changes will.become attachments to this document, which will then form the new baseline upon which future changes will be measured. Client Environment The current environmentrat City of McCall consists of the following: • Windows Active Directory 2008R2 running in 2008R2 Domain and Forest functional level • -100 users . • —100 mailboxes totaling 1.2TB data . PROJECT SCOPE Client Goals City of McCall currently faces the following challenges within their computing environment: • Migrate to Office 365 to Support Exchange Online • Migrate and Deploy Skype for Business Phone System • Migrate and Deploy Skype for Business Conferencing City of McCall has requested the professional services of PCMG to assist with implementation of a Office 365 Migration solution to address these challenges. Key features of the solution to be implemented are outlined by this statement of work. The overall effort will consist of planning and migration of the necessary Exchange 2010 components to provide seamless deployment and a successful migration from Exchange. The project will conclude and be considered complete once the new Exchange Online deployment, and Skype for Business Phone System and Conferencing and the included. in. Scope Items are complete and the migration of up to 100 mailboxes are complete. PCMG Sales, Inc. recommends configuring Microsoft ,Exchange 2010 Hybrid. in parallel to the current Office environment. Exact details will be defined in Phase II — Planning and Design of this project. Any costs beyond the scope of this proposal to complete the project must be pre -approved in writing by City of McCall and PCMG. Estimated Project Start Date The start date for this project has not been determined. DEUVERED' Project/ Engagement Preparation & Planning Project Kickoff The purpose of this activity is to identify the project team members, and facilitate a common understanding of the project objectives, roles and responsibilities within the scope of the Services covered by this SOW. PCMG Sales, Inc. will conduct a kick off meeting to: • ' Review and validate the project objectives and scope • Discuss project activities and milestones • Create a contact list of parties and members involved in the project • Discuss and prepare remote connectivity requirements and needs Project Plan Preparation and Review PCMG Sales, Inc. will assign a Project Manager who will provide the following: NOTE: Project Management (PM) is required on all PCMG Sales, Inc. engagements in excess of 40 hours. PCMG Sales, Inc. will conduct a discovery session with City of McCall stakeholders to determine the readiness of Active Directory and Exchange in preparation for the Exchange 2010 environment, and discuss any remediation steps that may be necessary to improve system optimization based on Microsoft and industry best practices. Should thesprovided information be inadequate, PCMG Sales, Inc. will require an onsite audit to investigate and document the necessary components. An onsite audit is beyond the scope of this proposal and excluded from PCMG Sales, Inc.'s effort and fee estimates quoted herein. Discussion with City of McCall that all Office Clients and Desktop / Operating Systems and Exchange Servers are patched to the most current versions. PCMG Sales, Inc. will notify City of McCall of any items that are uncovered during this phase which could cause project issues or delays. Phase II — Planning and Design PCMG Sales, Inc. will work with the appropriate project team members and stakeholders from your company in a series of informal workshops and discussions regarding the current and end -state design of your infrastructure. Active participation and presence from key members of your staff is imperative during this time to ensure requirements are clearly defined and validated and that the design is based upon those requirements. PCMG Sales, Inc. will leverage industry leading practices and our extensive experience to develop a comprehensive, scalable, robust, and secure end state design. This planning session will identify timelines and ownership of tasks. Develop a Design based on the requirements gathered in Phase I that will meet the expectations of City of McCall. The solution will be built around Microsoft Best Practices. The Strategy for the migration in this SOW is assuming that a standard Migration approach will work. If after completion of the Phase 1 — Discovery and Analysis Phase another migration strategy is required PCMG Sales, Inc. will stop the project to work with City of McCall to identify if any changes to this SOW are required before proceeding. Any Mailboxes over 50GB or Mail items over 150Mb may require special treatment and additional project time to migrate. Additional time can be added via the change order/change request process. It will be the responsibility of Customer to provide quotes or pricing for any of the identified resources if those resources are to be provided by a third -party other than PCMG. At the conclusion of this phase the Customer will have a clear understanding of the costs that will be incurred to implement the solution as well as a timeline for the complete deployment. • Milestones & timeline • Resource Allocation Effort and Duration Estimates • Dependencies • Bill of Materials PCMG Sales, Inc. will provide a Project Plan for this project. The Project Plan may be updated after the completion of each Phase of this project. Phase III — System Implementation During implementation, PCMG Sales, Inc. will provide, on a regular basis, a written progress report in accordance with PCMG Sales, Inc. standards, detailed work undertaken to date, progress against plan, future work for the next reporting period, and any issues or problems encountered. PCMG Sales, Inc. can assist with remediation of the existing Active Directory and/or Exchange 2013 systems. If this effort is required, then additional project time can be allocated by leveraging the Change Request Form. Validate and configure the Exchange 2010 environment. This will be determined by planning session referenced in Phase II Planning and Design. Three email domains will be transferred to Office 365. Additional domains will require additional project time that can be allocated by leveraging the Change Request Form. City of McCall will be responsible to ensure that their environment is ready for this update. Troubleshooting any issues after this update is performed is not part of this SOW. A typical Skype for business deployment will consist of: Use of approved and supported hardware Use of approved and supported software Use of approved and supported networking devices Use of approved and supported private and public certificates Use of approved and supported end -user devices Validate and configure the Skype for Business environment. This will be determined by planning session referenced in Phase II Planning and Design. Change Description: Due to lack of documentation available with Microsoft in regards to government tenants, the following Statement of Work (SOW) deliverables are being removed from this deployment: ❑Requirements Omission ['Technical Issue ['Design Omission ['Other Deploy Enterprise Voice (PSTN Calling) Functionality PCM SME will work with City of McCall engineers for supported VOIP scenarios for City of McCall organization. PCM SME will execute Skype Operations Framework to determine the correct outcome PCM SME will require documentation of current DIDs to User Accounts PCM SME will identify the compatibility and supportability with already deployed IP PBX. PBX Replacement - PCMG will design and plan a migration strategy that will initiate a cutover from client's PBX system to a Skype for Business in Office 365. Based on project requirements PCMG's SME's will: Configure a PSTN Calling features in Office 365. Locations will be assigned to allow for E911 Configure a City of McCall Global/Site/User level Voice Dial Plan for users as required by organization. Configure a City of McCall Global Voice Route. Configure City of McCall Global/Site/User level Voice Policy. PCMG SME will configure test response group and verify the functionality. PCMG SME will configure advance voice features Unassigned number (If required). Assist in the configuration of the City of McCall users Active Directory Phone attributes for use with enterprise voice. City of McCall engineers will perform the actual work. PCMG SME's will configure all users Perform testing and monitoring of skype for business server 2015 infrastructure for functionality and basic call functionality.
