THIS ADDENDUM, (Number 2 to Contract No. 53-2013) is made and entered into this
day of `1C)i74GI! ` Y , 201.5- , by and between Richmond, Indiana, a municipal
corporation acting through itts Board of Public Works and Safety with its office at 50 North 51h
Street, Richmond, Indiana, 47374 (hereinafter referred to as "City"), and Phil Engle, d/b/a
Specialized Mechanical LLC, 1528 NW 51h Street, Suite 019, Richmond, Indiana, 47374
(hereinafter referred to as "Contractor").
WHEREAS, City and Contractor entered into Contract No. 53-2013 on March 21, 2013, and
Addendum No. 1 to said Agreement on November 14, 2013; and
WHEREAS, City wishes to continue to retain Contractor to continue to provide services in
connection with the maintenance of the heating and air conditioning (HVAC)
systems located at Richmond Fire Stations 1, 2, 3, 4, 5, and 6 for the Richmond
Fire Department as set forth within the scope of Contract No. 53-2013.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained,
including the above stated recitals, City and Contractor hereby agree as follows:
1. The City and Contractor executed and entered into Contract No. 53-2013, on
March 21, 2013. Pursuant to Contract No. 53-2013, Section IV Term of
Agreement, the City has an option to renew the Agreement for a third calendar
year, which option is exercised pursuant to this Addendum. Contractor shall
continue to provide services in connection with the maintenance of the hearing
and air conditioning (HVAC) systems located at Richmond Fire Stations 1, 2, 3,
4, 5, and 6 for the Richmond Fire Department as identified within Contract No.
53-2013 for the 2015 calendar year. Such services shall be performed in a
manner consistent with Contract No. 53-2013, which is hereby incorporated by
reference and made a part hereof, at the same cost not to exceed Three Thousand
Four Hundred Fifty-four Dollars and Twenty-four Cents ($3,454.24) during
the 2015 calendar year.
2. City and Contractor expressly agree that all other terms, conditions, and
covenants contained in Contract No. 53-2013, shall be applicable to the work
performed pursuant to this Addendum, unless such term, condition or covenant
conflicts with this Addendum Number 2, in which case this Addendum Number 2
shall be controlling.
3. Both parties hereby agree that with the exception of the extension of the contract
date of termination pursuant to the exercise of the option to renew the contract for
a third year, Contract No. 53-2013 shall remain intact and unchanged and in full
force and effect.

4. Both parties agree that any person executing this Contract in a representative
capacity hereby warrants that he or she has been duly authorized by his or her
principal to execute this Addendum.
IN WITNESS WHEREOF, this Addendum s executed and approved by the undersigned

effective in accordance with its terms as of January 1, 2015.
