HomeMy Public PortalAbout05c2 Transit IGA TermsFrom:Drew Nelson To:Jeff Durbin Cc:Michael Koch Subject:Transit IGA Terms Date:Tuesday, May 09, 2017 11:49:00 PM Jeff – I wanted to throw out some terms for us to discuss related to the transit IGA following Mayor Vandernaill’s comments at the TAC meeting a few weeks ago: · Fraser will pay for its attributable share of the monthly transit service contract cost based on either the proportion of time that routes serve Fraser, the proportion of stops on regional routes that serve Fraser, or the proportion of miles served within the jurisdictional boundaries of Fraser, whichever is deemed appropriate by the TAC as part of its annual budget and service delivery processes. The current cost allocation shall be used as a basis for establishing future allocations. Should routes increase or decrease service in either Fraser or Winter Park, respectively, the attributable share shall be modified as agreeable by the parties and approved by the TAC and the respective elected boards of Fraser and Winter Park. Changes that have budgetary impacts shall not be implemented without funding approval by the respective affected elected boards of Fraser and Winter Park. Fraser shall further contribute a 7% management fee of the monthly transit service contract for administration of the system by Winter Park. Winter Park shall bill Fraser on a monthly basis for service provided. · Fraser shall pay a one-time fee of $71,452.80 for materials and work provided by Winter Park prior to the establishment of the IGA, which includes the following: transit consultant services for 2015, 2016, and 2017; transit marketing services in 2016 and 2017; new signage provided in 2016; RideHop application deployment in 2016; and administration of the transit service transition plan, transit service agreement, and service and funding agreement for 2015, 2016, and 2017. This payment equates to 20% of the soft costs for these work products, which is slightly less than the amount of hours of service provided to Fraser (23.43% of total hours). This payment may be spread over up to 12 payments at the discretion of Fraser. However, deployment of individual fleet units shall be solely the discretion of Winter Park. Vehicles identified for acquisition shall be approved by the TAC and the Winter Park Town Council. · Fraser and Winter Park shall be solely responsible for bus stop improvements within their respective jurisdictional boundaries; however, the parties may mutually agree to cost share bus stop improvements that serve facilities that are regional in nature (i.e. community recreation centers, schools, libraries, etc.). This cost-share shall be approved by the TAC and the respective elected boards of Fraser and Winter Park. · Any changes in levels of service, hours of operation, or other matters that have budgetary impacts must be approved by the TAC and the respective elected boards of Fraser and Winter Park that are affected by the changes. Changes solely affecting Fraser shall only be at the determination of Fraser, and changes solely affecting Winter Park shall only be at the determination of Winter Park. · The Transit Manager shall at all times be an employee of Winter Park. · Fraser will not be required to contribute to the construction costs of a maintenance facility used to serve the transit system, should it occur. However, any new maintenance facility shall be solely the property of Winter Park and used solely at Winter Park’s discretion. Costs associated with maintaining the transit maintenance facility shall be included in the monthly transit service contract cost allocation (as they are currently). · Fraser shall pay a proportional share of any future transit consultant services, transit marketing services, new transit signage, digital materials and applications, legal review, and any other matters as determined by the TAC and approved by the respective elected boards of Fraser and Winter Park. The proportional share shall be determined prior to expenditures being approved by either Fraser or Winter Park as part of either an annual budget process or budget amendment as necessary. Should either party determine that the services or materials are of material importance to them, the individual party may proceed with services or materials at their sole discretion; however, work products, services, or materials shall be the sole property of the determining party. · The parties agree to provide transit services in a collaborative and regional nature. However, should either party terminate this agreement as permitted, access to facilities, bus stops, capital rolling stock and real property shall be allowed only by the express permission of the jurisdiction in which the facility, bus stops, capital rolling stock and real property are either physically located or under the ownership of. As noted prior, these are just terms to begin discussions for an IGA. It is my attempt to fairly allocate costs based on levels of service; however, there may be other ways to split costs that would be more amenable to Fraser and more simple to allocate to the respective parties.
