If ten or more VISA cards are issued to corporation under this Agreement for use by its officers, employees, and agents, it shall assume all liability for any and all indebtedness incurred by the unauthorized use of such cards. 2. It shall assume all liability for any and all indebtedness incurred by its officers', employees', and agents' authorized use. 3. Each officer, employee, or agent whose name is embossed on a card issued under this Agreement is an "authorized user" of such card. 4. It will provide Bank a current financial statement on an annual basis, the first such statement to be submitted one (1) year from the date of this Agreement. 5. If any of its corporate assets or stock are sold or transferred other than in its ordinary course of business, or if such sale or transfer occurs in an isolated transaction, then it shall notify Bank in writing of such sale or transfer. 6. If there is any change in officers designated by Corporation, Corporation shall notify Bank within thirty (30) days after said change. 7. Bank may issue VISA credit cards to any officers, employees, or agents of Corporation as designated in a written request by any authorized agent of Corporation. If Bank is not notified in writing within five (5) days after issuing such credit cards that Corporation does not want such cards issued, then Corporation agrees that such issuance is authorized. 8. From time to time Bank may adjust the maximum credit limit for each card issued under this Agreement. If Bank is not notified in writing within five (5) days after adjusting said credit limit, then Corporation agrees that such adjustment is authorized. 9. This Agreement may be terminated upon written notice by Bank or by Corporation, but Corporation shall remain liable for indebtedness incurred under this Agreement up to date of termination. 10. It will comply with all terms and conditions of the Cardholder agreement and Disclosure Statement to be delivered to the Corporation with each VISA card issued hereunder. 11. If any provision of this Agreement is determined to be unenforceable, Corporation shall be bound by all other provi- sions. Corporation agrees to pay upon demand any and all costs incurred by Bank in the enforcement of this Agreement, in- cluding reasonable attorney's fees, court costs and costs on appeal. BANK AGREES THAT: 1. The list of officers, employees, and agents listed below is an initial list and that said list may be updated, in writing, by Corporation. 2. It will confirm, in writing, any additional cards requested by Corporation and issued to its agents and employees. 3. It will confirm, in writing, any adjustment in the credit limit for cards issued under this Agreement. 4. The VISA Card Holder Agreement and Disclosure Statement, periodic billing statements and other notices in connec- tion with VISA cards issued hereunder will be delivered to Corporation by letter addressed to a designated employee or agent at the business address of Corporation.
