LE ITER OF AGREEMENT
This Agreement is entered into on the / /day of y) ti[ 2017, by the Village of Key
Biscayne (the Client) and Colleen M. Castliie, Inc. ( "Beech Management Project Consultant
referred to as Consultant") in which Client agrees to retain the Consultant to provide advice and
consulting services to plan, implement, seek funding and permitting for a comprehensive beach
nourishment strategy for the eastern shoreline of Key Biscayne, Florida.
Consultant will assist Council, Manager and staff in Identifying ateam of professionals
to develop a feasibility, design, construction and monitoring plan for the Village of Key
Biscayne Beach Management Project. Consultant will also lead with the assistance of Client,
the full consulting team In accomplishing the phased obiectives outlined in Consultant proposal
dated May 8, 2017.
Consultant will be the lead consultant working in partnership with identified partners to
achieve the deliverables on behalf of the Client.
1. Scope of deliverables.
Develop a team of professionals to develop a plan for nourishment for a project
which meets eligibility requirements for state and federal funding and assist
Village Manager in accomplishing the goals outline in the Proposal.
Advise and Recommend a coastal engineering firm and work cooperatively with
that firm to develop in a [imp sensitive rn inner the required, feasibility, design,
construction and monitoring documents and applications for funding for approval
by state and federal beach nourishment program staff.
Represent the Client before local, state and federal agencies responsible for
review and approval of a comprehensive beach nourishment project review and

permitting. I hese include, but are not limited to Miami Dade Country/ DERM,
Florida Department of Environmental Protection, Florida Fish and Wildlife
Conservation Commission, U.S Army Corps of Engineers, and the U.S. Fish and
Wildlife Conservation Commission.

for the State of Florida Beach Management Assistance Funding Program.
Professional Fees and Terms. Consultant agrees to provide advice, research and
representation services to Client with respect to the Transaction. Client agrees to pay

Agreement will automatically expire upon conclusion the task required or two years from the
date of authorization. The agreement may be extended with mutual agreement of the parties.
3 Confidentiality. Consultant acknowledges that it or its employees may, in the course of
performing their responsibilities under this Agreement, be exposed to or acquire confidential or
proprietary information concerning the Property and agree not to disclose that information
without the written consent of the Client. This provision shall survive termination of this
Agreement.
4.
Compliance with Applicable Laws and Other Obligations. Consultant represents that it
will conduct itself in accordance with all applicable laws, regulations and the highest ethical
standards.
5.
Governing Law. This Agreement shall be governed by and construed in accordance with
the laws of the state of Florida, without regard to conflicts of raw principles.
6. Prohibition on Payments to Third Parties. Consultant agrees that it will not make any
payments to third parties or consultants in furtherance of carrying out anyofitstsresponsibilities
under this Agreement without prior written approval from the Village of K Bi

7.
Termination. Either party may cancel this contract with 30 days written notice
8. Entire Agreement. The Consultant Proposal is included es an attachment s7uidlnd the
'deliverables. The parties agree that this Agreement and any attachments hereto (a) are the
complete and exclusive statement between the parties with respect to the subject matter hereof,
(b) supersede all related discussions, understandings, prior agreements and other
communications between the parties with respect to the subject matter hereof, and (c) may not be
modified, amended or rescinded unless set forth in writing and signed by both parties.
