THIS AGREEMENT FOR SERVICES is between the CITY OF McCALL, IDAHO
(hereinafter "McCall") and the WEST CENTRAL MOUNTAINS ECONOMIC
DEVELOPMENT COUNCIL (hereinafter "WCMEDC").
WHEREAS, McCall's comprehensive plan calls for a robust effort to expand workforce
development resources that will help employers succeed; and
WHEREAS, WCMEDC focuses on workforce development, including registered
apprenticeships and career and technical education training at the high school and community
levels; and
WHEREAS, WCMEDC compares actual performance with potential or desired
performance and can provide a professional analysis, known as a Gap Analysis, to aid with the
production and performance of desired results.
NOW, THEREFORE, McCall hereby contracts with WCMEDC in a collaborative project
to achieve better industry alignment with existing tools for workforce development and more
connectivity between industry and academia upon the following terms and conditions, to -wit:
1. RECITALS: The above recitals are hereby incorporated into and made a part of
this agreement.
2. TERM: This Agreement will commence upon its effective date and continue
through the conclusion of the 2018 Apprenticeship Fair conducted by WCMEDC as set out below.
3. RESPONSIBILITIES OF WCMEDC: It is understood and agreed that WCMEDC
will provide to McCall the following:
a. A Gap Analysis report identifying the separation between what high
school students would like to achieve in their careers and what
industry needs in McCall and throughout the region, and identifying
any disparities between what skills students are learning in school
and what skills are required for industry in McCall and throughout
the region. This Gap Analysis will be presented to McCall on or
before June 30, 2018. Upon receipt of the Gap Analysis, McCall
shall pay to WCMEDC the sum of $4,500.00; and
b. An Apprenticeship Fair that will bring together parents, McCall -
Donnelly School District officials, administrators, counselors,

policy makers, students, industry, labor, and representatives of the
Youth Advisory Council, St. Luke's in McCall, labor, WCMEDC,
Meadows Valley and Cascade school districts, and McCall Area,
Donnelly, and Cascade Chambers of Commerce aimed at helping
young people identify the long term career opportunities and
training opportunities that exist in the area, and the resources that
will help them achieve their goals, and helping industry tap into the
human resources available locally. This Apprenticeship Fair will be
held within the City of McCall by September 30, 2018. At its
conclusion, McCall shall pay to WCMEDC the additional sum of
$4,500.00.
4. LOCATION OF APPRENTICESHIP FAIR: If WCMEDC requests to hold the
Apprenticeship Fair on or within public property owned by McCall, McCall shall provide
WCMEDC the requested space, provided it is adequate for the purposes of an Apprenticeship Fair,
at no charge. If WCMEDC determines to hold the Apprenticeship Fair in another venue, then
WCMEDC shall be responsible for the acquisition of and payment for that venue and for all other
particulars associated with the renting of a facility, and McCall shall have no responsibility
therefor.
5. ENTIRE AGREEMENT: The parties agree that this Agreement constitutes the
entire agreement between the parties hereto.
6. SEVERABILITY: In the event any of the provisions of this Agreement shall be
deemed illegal or unenforceable, such determination shall not operate to invalidate any of the
remaining provisions of this Agreement.
7. ATTORNEY FEES: In the event an action is brought to enforce any of the terms
or provisions of this Agreement, or enforce forfeiture thereof for default thereof by either of the
parties hereto, the successful party to such action or collection shall be entitled to recover from the
losing party a reasonable attorney fee, together with such other costs as may be authorized by law.
8. HEADINGS: The paragraph headings are for convenience only and are not a part
of this Agreement and shall not be used in interpreting or construing this Agreement.
9. SITUS: This Agreement is established under the laws of the State of Idaho, and all
questions concerning its validity and construction shall be determined under such laws.
10. BINDING EFFECT: The provisions and stipulations of this Agreement shall inure
to and bind the heirs, personal representatives, assigns and successors in interest of the parties
hereto.
11. EFFECTIVE DATE: The effective date of this agreement is March 8, 2018.
