OF KANSAS,DB/A CIVICPLUS, TO PROVIDE WEBSITE DESIGN SERVICES TO THE CITY OF OPA-LOCKA, FLORIDA, IN A CONTRACT FORM ACCEPTABLE TO THE CITY ATTORNEY WHEREAS,the City Commission of the City Opa-locka("City Commission")is interested in the design of a website that will offer more services and information to persons utilizing the City of Opa-locka ("City")website; and WHEREAS,the current website structure and design was developed years ago and requires significant redesign to take advantage of new design elements and the growing demand for online services; and WHEREAS, the City Commission adopted Resolution 09-7440, authorizing the City Manager to issue a Request for Proposals (RFP) for Website Design Services; and WHEREAS,RFP No. 09-0327 requested proposals from qualified firms to provide website design services to the City; and WHEREAS, the RFP review committee evaluated the proposals submitted to the City in response to RFP No. 09-0327 and selected Icon Enterprises Inc. of Kansas, d/b/a CivicPlus ("CivicPlus") as the most responsive proposal for website design services; and WHEREAS, the City Manager is recommending that the City Commission accept the proposal from CivicPlus., and further authorize the City Manager to enter into and execute an Resolution No. 0 9-7 91 0 agreement with CivicPlus for providing website design services to the City,in a form acceptable to the City Attorney. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF OPA-LOCKA, FLORIDA: Section 1. The recitals to the preamble herein are incorporated by reference. Section 2. The City Commission of the City of Opa-locka hereby accepts the proposal submitted by Icon Enterprises Inc. of Kansas, d/b/a CivicPlus, in response to RFP No. 09-0327 for city Website Design Services. Section 3. The City Commission of the City of Opa-locka hereby authorizes the City Manager to enter into and execute an agreement with CivicPlus, for the provision of website design services to the City, in a contract form acceptable to the City Attorney. Section 4. The City Manager is further authorized to take all necessary and expedient action to effectuate the intent of this Resolution. Section 5. This Agreement is not a sale of the CivicPlus Content Management System(CMS)and its associated applications and modules(the Proprietary System). Upon full and complete payment of submitted invoices for the development of graphic designs,web content,page designs and banners("Customer Content"),client will own the Customer Content that is incorporated into the Proprietary System in the course of using the Proprietary System. 29.
