ORDINANCE NO. l 40o
AN ORDINANCE OF THE CITY OF JEFFERSON, MISSOURI, AUTHORIZING THE MAYOR
AND CITY CLERK TO EXECUTE AN AGREEMENT AND DEEDS WITH COLE COUNTY,
MISSOURI, AND SSM REGIONAL HEALTH SERVICES.
BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS
FOLLOWS:
Section 1. The Mayor and City Clerk are hereby authorized and directed to execute an
amendment to the December 21, 2009, agreement with Cole County, Missouri, and SSM
Regional Health Services.
Section 2. The Mayor and City Clerk are hereby authorized and directed to
execute a Special Warranty Deed with Cole County, Missouri and SSM Regional Health
Services and a Quit Claim Deed with SSM Regional Health Services.
Section 3. The Mayor and City Clerk are hereby authorized and directed to
execute a Storm Sewer Easement Vacation and Storm Sewer Easement Agreement.
Section 4. The agreement shall be substantially the same in form and content as the
agreement attached hereto as Exhibit 1.
Section S. The deeds shall be substantially the same in form and content as
attached hereto as Exhibit 2 and Exhibit 3.
Section 6. The Easement and Agreement shall be substantially the same in form
and content as attached hereto as Exhibit 4.
Section 7. This Ordinance shall be in full force and effect from and after the date of its

address of John G. Christy Municipal Building, 320 E. McCarty, Jefferson City, Missouri 65 101
("Grantor'% and SSM REGIONAL HEALTH SERVICES, a Missouri nonprofit corporation,
with a mailing address of 477 N. Lindbergh Blvd., St. Louis, Missouri 63141 ("Grantee").
WITNE SSETH, that the said Grantor, for and in consideration of the surn of Ten Dollars
($10.00) and other good and valuable consideration paid by the said Grantee, the receipt and
adequacy of which are hereby acknowledged and agreed, does by these presents REMISE,
RELEASE AND FOREVER QUIT CLAIM unto Grantee, the real estate situated in Cole County
and State of Missouri, as more particularly described on Exhibit A attached hereto and
incorporated herein by this reference.
TO HAVE AND TO HOLD, the same, together with all rights and appurtenances to the
same belonging unto Grantee, and to the successors and assigns of Grantee forever. So that
neither Grantor nor the successors or assigns of Grantor, nor any other person or persons for
Grantor or in Grantor's name or behalf, shall or will hereafter claim or demand any right or title

AND STORM SEWER EASEMENT AGREEMENT
THIS STORM SEWER EASEMENT VACATION AND STORM SEWER
EASEMENT AGREEMENT ("Agreement's, made this day of
IANvu 4y� 2011; by and between SSM REGIONAL HEALTH SERVICES, a
Missouri nonprofit corporation, with a mailing address of 477 N. Lindbergh Blvd., St. Louis,
Missouri 63141 ("SSM' , and the CITY OF JEFFERSON, MISSOURI, a municipal
corporation, of Cole County, Missouri, with a mailing address of John G. Christy Municipal
Building, 320 E. McCarty, Jefferson City, Missouri 65101 ("City's.
RECITALS:
A. SSM granted to City an easement for storm sewer purposes pursuant to that certain
Easement Agreement recorded in Book 604, Page 477 of the records of the Recorder of Deeds of
Cole County, Missouri ("Prior Easement").
B. SSM and City desire to vacate and release from the Prior Easement, certain real
property identified therein, and as depicted on that certain Tract Division Survey (Mission Drive
Roundabout) dated September 8, 2011 and prepared by Central Missouri Professional Services,
Inc., attached hereto as Exhibit A and made a part hereof by this reference ("Survey"), and being
more particularly described in Exhibit B, attached hereto and made a part hereof by this
reference ("Released EaseinentArea'�.
C. City desires to receive and accept from SSM, and SSM desires to convey to City, an
easement for storm sewer purposes over certain real property located in Cole County, Missouri,
as depicted on the Survey, and being more particularly described in Exhibit C, attached hereto
and made a part hereof by this reference ("Replacement Easen:entArea").

NOW, THEREFORE, in consideration of Ten and 00/100 Dollars ($10.00) and other
good and valuable consideration, the receipt and sufficiency whereof are hereby acknowledged,
the parties hereto hereby covenant and agree as follows:
1. Release of Released Easement Area. City does hereby VACATE,
REMISE, RELEASE, CONVEY AND FOREVER QUITCLAIM unto SSM all of City's right,
title and interest in the Released Easement Area, so that neither City nor its successors or assigns,
shall or will hereafter claim or demand any right or title to the Released Easement Area, or any
part thereof.
2. Grant of Easement over Replacement Easement Area. SSM does hereby GRANT,
CONVEY AND TRANSFER unto City, an easement for it, its agents employees and contractors,
in, under and through the Replacement Easement Area together with the right of reasonable
ingress and egress over the immediately adjacent lands of SSM, its successors and assigns, for
storm sewer purposes, and for no other purpose.
City may from time to time enter upon said Replacement Easement Area to construct,
reconstruct, maintain, or repair the aforesaid; provided, however, that all such work (a) shall be
performed at reasonable hours and times, unless otherwise necessitated in order to prevent
further damage or deterioration to the property, or to prevent undue increase in the cost of such
work, (b) shall be performed so that it does not interfere with any business being conducted on
SSM's other property, and (c) shall not block SSM's access to any of its property.
SSM expressly reserves the right to grant other easements to, upon, across and through
the Replacement Easement Area to such other utilities or third parties as SSM in its sole
discretion determines, provided that, no such easement may be granted the purpose or effect of
which unreasonably interferes with City's ability to use and enjoy the easement granted herein
for the purposes intended by this grant of easement. SSM further reserves and retains all uses,
rights and privileges as may be exercised and enjoyed without undue interference with the
easement granted herein. This easement shall be subordinate to all existing easements,
mortgages or other instr unents of record.
Once any work is commenced on the Replacement Easement Area, City shall diligently
and continually pursue such work and complete within a reasonable time, and shall supervise and
direct the work utilizing reasonable good faith efforts and reasonable care. All such work shall
be performed by reputable, licensed contractors who carry the insurance pursuant to contracts
which contain such warranties and guaranties and insurance and indemnification provisions as
may be reasonable and consistent with then standard construction practice in Jefferson City,
Missouri. All cost and expense for building and maintaining the easement and improvements
described herein in good repair during the term of this grant will be borne by City. All
maintenance and repair performed by City or its authorized agent shall be performed in a good
and workmanlike manner and shall be performed in a manner that minimizes damage to the
surrounding property. City shall promptly repair any damage to the property at its sole expense.
Any work performed under this Agreement shall be performed free of liens for labor and
materials and City shall not allow any liens to attach to SSM's property on account of such work.

City agrees to be responsible for any penalties, claims, costs, demands, damages, losses,
expenses (including reasonable attorneys' fees), suits or liabilities of whatsoever nature brought
by third parties against SSM and that arise from City's use and occupancy of the Replacement
Easement Area or from any other activity, work or thing done by City in or about the
Replacement Easement Area, unless due to the willful or negligent act or omission of SSM. If
any such proceeding is filed by a third party against SSM, City shall defend SSM in such
proceeding at City's sole cost by legal counsel reasonably satisfactory to SSM.
Nothing herein contained shall be deemed to be a grant or dedication of any portion of
SSM's property to or for the general public or for any public purposes whatsoever, it being the
intention of SSM that the easements granted herein shall be strictly limited to and for the
purposes herein expressed.
In the event of any controversy, claim or dispute relating to this Agreement, the
prevailing party in a non-appealable judicial resolution of such controversy, claim or dispute
shall be entitled to recover from the losing party reasonable expenses, attorneys' fees and costs.
This Agreement shall be governed by and construed in accordance with the laws of the State of
Missouri.
TO HAVE AND HOLD with all the rights, immunities, privileges and appurtenances
necessary to City in exercising its right of easement herein obtained, so that neither SSM nor its
grantees, assigns, or successors, nor any person or persons for them or in their name or behalf,
shall thereafter make any use of the above described premises in a manner that is inconsistent
with, or in any way interferes with the use by City of the easement herein deeded, conveyed and
transferred to City.
