JOURNAL OF THE (1648th) MEETING OF THE BOARD OF TRUSTEES
THE METROPOLITAN ST. LOUIS SEWER DISTRICT
August 12, 2021
The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the
meeting were:

Also present were:
Trustee Evans called the open session to order at 5:00 p.m. Roll call was made. Trustees Evans, Wilson,
Nicozisin, Watson were present, Trustee Fehr was virtual and Trustee Wahby was absent.
Trustee Evans asked for the approval of the July 8, 2021 (1647th) Board Journal. The motion was made by
Trustee Nicozisin and seconded by Trustee Watson.

Report of Board Committees:
AUDIT COMMITTEE
Trustee Watson reported that The Audit Committee meeting started at approximately 7:30 AM on Tuesday,
August 3, 2021. In attendance were Trustees Watson, Evans, Fehr, Nicozisin, Wahby, and Wilson. The Chairman
had no introductory comments. The Committee approved the minutes from the June 29th meeting.
Next, the external auditor CliftonLarsonAllen presented, for the year ended December 31, 2020, the results of the
audits of the financial statements for the Employees’ Pension, the Deferred Compensation, and the Defined
Contribution plans, stating that the plans were audited in accordance with Generally Accepted Auditing Standards
and that “clean” opinions were issued for each plan.
The audit engagements were performed according to the planned scope and the schedule communicated
previously. No difficulties or disagreements with Management were encountered when performing the audits. No
findings were identified, and no management letters were issued. There were no corrected or uncorrected
misstatements identified.
Next, Internal Audit made a combined presentation of reports for two separate I.T.-related engagements. Both
engagements were related to network systems security.
The first engagement consisted of a social engineering assessment that involved phishing testing. The scope
included the email addresses of all 985 District employees. Real-world spoofing tactics were used to test the
employees’ behavior when subjected to phishing attacks. The results of the testing were very positive. The
engagement received a Satisfactory or “clean” opinion. No recommendations were issued.
The second engagement involved the performance of attack and penetration testing of all District-managed
network systems, which include internal networks, external networks, and external websites. All systems facing
the internet were included in the engagement scope. The attacks were designed to simulate the techniques of
real-world cyber attackers.

The engagement received two separate opinions: Satisfactory for the External Penetration testing and Generally
Satisfactory for the Internal Penetration Testing. The report contained four (4) Opportunities for Improvement,
which were presented to and discussed with the Committee.
For the last agenda item, I.T. personnel presented the semi-annual Information Security Update. The update
focused on three main areas: current cyber-security trends, the development and maturity of the District’s cyber
security program, and the District’s overall security rating when compared to similar entities.
During the various presentations, questions were discussed and addressed as they were received from the
Committee.
The meeting adjourned at approximately 8:45 am. The next meeting is tentatively scheduled for Tuesday, August
31, 2021. This concludes the Audit Committee Report.

PROGRAM MANAGEMENT COMMITTEE
Trustee Nicozisin reported that The Program Management Committee met on August 3, 2021 at 8:52 a.m. The
meeting was attended by trustees Nicozisin, Evans, Wilson, Fehr, Watson, and Wahby. The minutes of the June
29, 2021 meeting were approved.
The agenda items to be introduced tonight were presented and discussed, including a detailed discussion
regarding the following items:
Ord. No.’s 15726 and 15727 – Coldwater Creek OMCI and Deer Creek OMCI Reimbursement Program – Staff
requested authorization to enter into intergovernmental agreements with the City of Florissant and the City of
Frontenac within the Coldwater Creek and Deer Creek OMCI taxing districts. The agreements will allow MSD to
reimburse the municipalities for storm sewer projects as part of the District’s OMCI Grant Program. The initial
funding and appropriation for the program was approved by ordinance in January of this year. Staff answered
questions from the committee regarding allowable projects for the program.
Ord. No. 15729 – Deer Creek Sanitary Relief Phase III and Phase IV – Staff discussed this planned supplemental
appropriation to an existing project being constructed by J. H. Berra Construction Co. Staff is requesting the final
appropriation of $17,500,000 to fully fund the project. This project is a critical project required by the Consent
Decree. The project is currently on schedule.
Ord. No. 15731 – Infrastructure Repairs for Facilities and Pump Stations – This annual appropriation will fund the
repair and replacement of assets at the District wastewater treatment facilities and pumping stations that are in
disrepair or reached their useful life. The projects are prioritized by the Operations and Engineering staff. Staff
provided the names and types of projects completed with this annual funding over the last year.
Ord. No. 15732 – St. Jacques Sanitary Relief – Staff provided bid and appropriation details for this construction
project and answered questions from the committee on the recent contract performance by the awarded
contractor Gershenson Construction.
Ord. No. 15734 – Easement Condemnation Request – Staff gave an update on the status of the easement
acquisition on one parcel of ground for Kingsland Sanitary Storage Facility project on tonight’s agenda. The
current property owner has been unresponsive to District staff. Staff will continue to coordinate with the property
owner but is seeking approval to move forward with condemnation efforts to keep this project on schedule. The
easement is needed to operate and maintain a monitoring manhole critical to the operations of the new storage
facility.
Ord. No. 15735 – Emergency Repair #067 – Staff provided details on the Emergency Repair sewer project
located on Koeln Avenue in the City of St. Louis. The Executive Director declared the emergency and notified the
Board on July 17, 2021. Staff is requesting introduction and adoption of this ordinance at tonight’s meeting.

Ord. No.’s 15740-15743 – Staff presented and reviewed details of four (4) planned appropriations and contract
authorizations for engineering support services vendors on tonight’s agenda. The services support both the
Engineering and Operations departments in the completion of work required by the Consent Decree.
The next Committee meeting is tentatively scheduled for August 31, 2021.

FINANCE COMMITTEE
Trustee Fehr reported that the Finance Committee met on August 3, 2021 with Trustees Fehr, Wilson, Evans,
Watson, Nicozisin, and Wahby in attendance. The minutes from the June 29, 2021 meeting were approved.
The first item on the agenda was a report by staff on the District's Operating Fund Portfolio as of July 30, 2021.
Staff stated that the portfolio complies with the District’s Investment Policy.
Next on the agenda was a resolution authorizing the staff to update the list of Approved Depository Banks, adding
CIBC Bank USA as an approved depository bank of the District. This will be Resolution #3694 on tonight’s
agenda.
The next item discussed on the agenda was a resolution that authorizes the staff to modify the Approved
Securities Dealers-Contracts, by adding Alamo Capital as an approved Securities Dealer of the District and
updating the District’s list of Primary Government Securities Dealers. This action will allow staff to purchase
investments from additional providers, within the parameters of the District’s Investment Policy, thereby increasing
competition and potentially reducing cost. This is Resolution #3693 on tonight’s agenda.
Next on the agenda was a discussion of an ordinance for Introduction and Adoption of parameters relating to the
issuance of Wastewater System Refunding Bonds. This ordinance gives staff the authority to execute the
necessary documents on or before June 30, 2022. It also provides parameters relating to authorization period,
maturity, costs, savings, and relevant terms of the issuance to allow staff to quickly complete a bond issuance
when market conditions are favorable. The ordinance will provide the District the authorization to enter into a
forward direct purchase agreement or a Bond Purchase Agreement (BPA) for a bond refunding with any bank
currently in the District’s Underwriter’s Pool as long as the terms fall within the approved parameters. This is
Ordinance #15746 on tonight's agenda.
The last item on the agenda consisted of a staff report on the current unaudited financial condition of the District
as of June 2021. Staff stated that the District continues to be financially stable.
Director of Finance, Marion Gee, expressed thanks to all employees who contributed to the District receiving the
Government Financial Officers Association’s Triple Crown Award. The District received the Distinguished Budget
Presentation Award, Comprehensive Annual Financial Report Award and the Popular Annual Financial Report
Award.
The meeting adjourned at approximately 10:10 a.m. The next tentatively scheduled meeting is Tuesday, August 31,
2021. This concludes the Finance Committee Report.
~ ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS COMMITTEE
Trustee Wilson reported that The Stakeholder Relations Committee met at District Headquarters on Tuesday,
August 3, 2021 at approximately 10:10 a.m. Those present at the meeting included Chairperson Wilson, Trustees
Evans, Fehr, Nicozisin, Wahby and Watson, as well as District Directors and staff.
Chairperson Wilson called roll and had no further comments. By motion of all Trustees, the minutes of the June
1st Stakeholder Relations Committee Meeting were approved.
The first agenda item was a discussion by Todd Aschbacher regarding the District's Conflict of Interest Policy.
The Missouri Ethics Commission requires political subdivisions with an operating budget greater than one million
dollars per year to re-adopt an Ordinance at least once every two years at an open meeting by September 15th.
Introduction of this Ordinance containing the policy prohibiting conflicts of interest for MSD trustees, officers, and
employees is No. 15744 on tonight's Agenda.

The next agenda item was a discussion by Tracey Coleman regarding an Ordinance for the District's
Classification Plan. This Ordinance will update classifications to reflect the addition of a new position, retitle
existing positions and is No. 15745 on tonight's Agenda.
The meeting was adjourned by Trustee Wilson at approximately 10:15 a.m. The next meeting date is tentatively
scheduled for Tuesday, August 31, 2021.

Introduction of Proposed Ordinance 15741, Appropriating Two Million Five Hundred Thousand Dollars
($2,500,000.00) from the General Fund for flow meter and monitoring in Flow Metering and Monitoring (2022)
(12801) in various locations throughout the District and authorizing the Executive Director and the Secretary-
Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 22069 with ADS
Environmental Services for the aforesaid flow meter and monitoring.
Proposed Ord. No. 15741 was presented and read. This ordinance authorizes the District to enter into
Contract #22069 with ADS Environmental Services. The purpose of this contract is to provide District staff with
flow and level information in separate sanitary, combined, and storm sewer systems during dry and wet weather
conditions at approximately 300 locations annually for durations ranging from three (3) months to twelve (12)
months. This data is a diagnostic tool that will be used to meet Consent Decree requirements, refine hydraulic
models, determine project effectiveness, and support inflow/infiltration (I/I) investigations. The data from these
meters will also be used to support the District’s ongoing programs such as the CMOM, Asset Management,
Sewer Prioritization, Stormwater Control Programs, the SSO Control Plan, the CSO Control Plan, and the
Infiltration & Inflow Reduction Program. This contract for flow metering and monitoring is $2,500,000.
Approximately 15% of the metering locations will be installed specifically to provide data at regulatory and billing
sites.

Introduction of Proposed Ordinance 15742, Making a supplemental appropriation of Four Hundred Eighty-Nine
Thousand Dollars ($489,000.00) from the General Fund to be used for stream flow monitoring in Stream Flow
Gauge Operation and Maintenance (USGS) (10766) Districtwide; and authorizing the Executive Director and
Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 10422 with
U. S. Geological Survey for stream flow monitoring.

Proposed Ord. No. 15742 was presented and read. The work to be done under Contract #10422 is to
continue to collect stream gauging information in 25 watersheds. For FY2022, the USGS will continue the
operation and maintenance of the existing network of 40 stream gauging stations in 25 watersheds within the
District’s area. Stream stage (water surface) and rainfall amounts will be collected with stream discharges (flow
rates) determined for each gauging station. Stream stage will be measured and recorded at 5-minute intervals
and transmitted via satellite to the USGS and automatically downloaded into a database. Stage and discharge
values will be displayed in a real-time fashion on the USGS public web page. In addition, data reports or
evaluations are provided by the USGS as an extension of staff, as requested for use by the District. The data will
be used to provide reliable flood peak and stage estimates for use in hydrologic and hydraulic models or
calculations at project locations within a drainage basin.

Introduction of Proposed Ordinance 15743, Making a supplemental appropriation of Two Hundred Sixty-Seven
Thousand One Hundred Sixty-Nine Dollars ($267,169.00) from the General Fund to be used for water quality
sampling in Stream Flow Water Quality Sampling (2020) (12004) Districtwide; and authorizing the Executive
Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to amend Contract No.
21859 with Geosyntec Consultants, Inc. for water quality sampling.
Proposed Ord. No. 15743 was presented and read. This ordinance authorizes the District to amend
Contract #21859 with Geosyntec Consultants, Inc., and appropriates funds for this amendment. The purpose of
this work is to perform water quality sampling to comply with the Post-Construction Monitoring Program as required
in the Federal Consent Decree. Samples will be collected from six sites in the Mississippi River on a bi-weekly
basis. Samples will also be collected from three sites on the Missouri River once every four weeks to help establish
upstream background concentrations and water quality impacts from the St. Louis area. Field water quality
analysis and stream observations will be performed as required by the Federal Consent Decree.

Introduction of Proposed Ordinance 15744, Repealing Ordinance No. 15282 as adopted September 12, 2019,
and enacting a new ordinance in lieu thereof, establishing a Conflict of Interest Policy for District trustees, officers,
and employees.
Proposed Ord. No. 15744 was presented and read. The MSD Charter and State Law prohibit MSD
trustees, officers, and employees from engaging in conduct which could be perceived as a conflict of interest.
The District enacted its own Conflict of Interest Policy which is updated as needed and maintained on the District
website.

authorization period, maturity, costs, savings and relevant terms of the issuance to reduce the need for further
approval of terms. The Ordinance provides The District the authorization to execute a Bond Purchase Agreement
(BPA) for a Bond Refunding with any Bank currently in The District’s Underwriter’s Pool as long as the terms fall
within the parameters. Refunding’s are market rate driven and it is important to execute a BPA when optimal
savings can be achieved.
