LOUIS SEWER DISTRICT September 9, 2021 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members M. Evans, Chair B.L. Hoelscher, Executive Director A. Fehr, Vice Chair T. Snoke, Secretary-Treasurer B. Wahby S. Myers, General Counsel G. Nicozisin M. M. Gee, Director of Finance R. Wilson R. Unverferth, Director of Engineering B. Watson Also present were: Trustee Evans called the closed session to order at 4:03 p.m. to discuss legal, confidential, or privileged matters under § 610.021(1), and to discuss the lease, purchase, or sale of real estate under §610.021(2); RSMO 1988 SUPP. Roll call was made. All were present. Motion to go into closed session was made by Trustee Wahby and seconded by Trustee Fehr. Trustee Evans called the open session to order at 5:07 p.m. Motion to go into open session was made by Trustee Wahby seconded by Trustee Nicozisin. Trustee Evans asked for the approval of the August 12, 2021 (1648th) Board Journal. The motion was made by Trustee Fehr and seconded by Trustee Nicozisin. Comments by Board Chair – None ~ ~ ~ ~ ~ Report of Board Committees: PROGRAM MANAGEMENT COMMITTEE Trustee Nicozisin reported that the Program Management Committee met on August 31, 2021 at 7:30 a.m. The meeting was attended by trustees Nicozisin, Evans, Wilson, Fehr, Watson, and Wahby. The minutes of the August 3, 2021 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ord. Nos. 15747-15751 – Staff provided details of five Green Infrastructure Grants being authorized to development partners in MSD’s effort to reduce Combined Sewer Overflows to the Mississippi River and River Des Peres in compliance with the District’s Consent Decree. Staff provided details of the grants being requested for Gladiator Homes LLC, Expo at Forest Park LLC, Delmar Divine Master Landlord Residential LLC, Missouri Botanical Garden, and Vista Partners LLC for the construction of various volume reducing improvements on their properties. Ord. No. 15753 – Coldwater Creek Sanitary Sewer Rehabilitation – Staff provided bid and appropriation details for this construction project and discussed discrepancies in the engineers estimate, the budget for the project, and actual bids received. There were discussions regarding the reasons for the discrepancies as well as responsibilities. Staff answered questions on the overall District Fiscal Year 2022 CIRP budget. No. 15757 – Watkins Creek Pump Station Replacement – Staff discussed this planned supplemental appropriation to an existing project being constructed by Plocher Construction Company. Staff is requesting the final appropriation of $2,900,000 to fully fund the project. This project replaces and relocates an existing pumping station that was subject to flooding from the Mississippi River. Ord. No. 15760 – Easement Condemnation Request. Staff gave an update on the status of the easement acquisition on three parcels of ground for the MC-02 Watson to Edgar Road Sanitary Relief project on tonight’s agenda. Staff is coordinating with the three property owners along the route of this project. Staff anticipates reaching resolution with two of the three and continues to negotiate. Staff is recommending moving forward with condemnation to allow the project to remain on schedule. The project removes an existing SSO required by the District’s Consent Decree. Other Business – Staff gave a brief presentation on the Market Street entrance improvements and timeline. This project will provide for green infrastructure CSO volume reduction required by the Consent Decree, education and outreach at MSD Headquarters, and other added benefits to the District. The next Committee meeting is tentatively scheduled for October 5, 2021. The meeting was adjourned at 8:17 a.m. ~ ~ ~ ~ ~ FINANCE COMMITTEE Trustee Fehr reported that the Finance Committee met on August 31, 2021 with Trustees Fehr, Wilson, Evans, Watson, Nicozisin, and Wahby in attendance. The minutes from the August 3, 2021 meeting were approved. The first item on the agenda was a report by staff on the District's Operating Fund Portfolio as of August 30, 2021. Staff stated that the portfolio complies with the District’s Investment Policy. Next on the agenda, AON Hewitt Investment Consulting, Inc. (AON) discussed market conditions and presented the second quarter performance related to the Pension Plan. Plan assets returned 5.0% in the second quarter, which outperformed the policy benchmark of 4.4%. AON representatives also discussed the second quarter performance of the Defined Contribution and Deferred Compensation Plans. The next item discussed on the agenda consisted of a staff request to exercise the third one-year renewal option of the contract with AON Hewitt Investment Consulting, Inc. The Board and staff discussed Aon’s recommendation of the Allianz GI Structured Alpha Global Equity 350 fund in early 2020. The District did not invest in the fund before its collapse in March 2020 during a severe market contraction. Tim Snoke answered questions from the Trustees and explained the basis of staff support for the resolution. AON will provide investment monitoring and consulting services for the District’s Defined Benefit, Deferred Compensation and Defined Contribution Plans. This will be Resolution #3701 on tonight’s agenda. Staff then presented the Adjustment Review Committee report as required by ordinance. The next item on the agenda consisted of a request by staff for authorization of a resolution to approve a budget transfer of $10.4 million of unencumbered appropriated balances between multiple funds. This will be Resolution #3699 on tonight’s agenda. The last item on the agenda was a staff request to transfer $12,000 from Debt Service Fund 2830 (2019B Wastewater Principle and Interest Fund) to Debt Service Fund 2826 (2017A Wastewater Principle and Interest Fund). These types of transfers are conducted on an annual basis to adjust for differences in actual and budgeted debt payments that occur due to the timing of the issuance of senior and subordinate bonds. This will be Resolution #3700 on tonight’s agenda. The meeting adjourned at approximately 9:15 a.m. The next tentatively scheduled meeting is Tuesday, October 5, 2021. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ ~ Rev / Edited 10/6/21 Pg. 3 STAKEHOLDER RELATIONS COMMITTEE Trustee Wilson reported that the Stakeholder Relations Committee met at District Headquarters on Tuesday, August 3, 2021 at approximately 9:15 a.m. Those present at the meeting included Chairperson Wilson, Trustees Evans, Fehr, Nicozisin, Wahby and Watson, as well as District Directors and staff. Chairperson Wilson called roll and had no further comments. By motion of all Trustees, the minutes of the August 3rd Stakeholder Relations Committee Meeting were approved. The first agenda item was a presentation by Bret Berthold regarding the Operations Department Semi-Annual Regulatory Compliance Report. Bret's presentation included a summary of various compliance reporting measures including Plant Compliance, Customer Service, Maintenance Overflow and Backup tracking and metrics related to the Collection System. The Operations Department continues to work diligently to meet and exceed metric standards. There is no Board action required at this time. At 9:30 a.m. the Trustees called roll and voted to move the meeting into Closed Session to discuss Personnel Actions under §610.021(3), RSMo. 1988 Supp. Closed Session ended at approximately 11:01 a.m. and the meeting was then adjourned by Chairperson Wilson. The next meeting date is tentatively scheduled for Tuesday, October 5, 2021. Email received 9/9/2021 @ 9:16 a.m. from: Tom Sullivan Mr. Chairman, At this week's meeting of the St. Louis County Council, I made the following remarks: There have been recent stories about streets all over the area being flooded. Sewer district officials said the system’s capacity was exceeded. Of course, it is as MSD has failed to address stormwater and runoff problems for more than 50 years. County Executive Page appointed Amy Fehr to the MSD board in 2019. She has now been on the board two years. She has been nothing but a rubber stamp. Stormwater problems don’t seem to concern her. The same can be said of Sam Page. Thank you for listening to my comments. Proposed Ord. No. 15747 was presented and read. This ordinance authorizes the District to enter into an agreement with Gladiator Homes, LLC to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the Mississippi River per the Long-Term Control Plan. This project will reduce runoff volume with the installation of permeable pavement and amended soils. Total cost of the project is estimated at $45,300 and Gladiator Homes, LLC is requesting approximately $45,300 reimbursement for the cost of green infrastructure. This ordinance authorizes the District to enter into an agreement with Expo at Forest Park, LLC to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the River Des Peres per the Long Term Control Plan. This project will reduce runoff volume with the installation of a green roof. Total cost of the project is estimated at $144,271 and Expo at Forest Park, LLC is requesting approximately $32,400 reimbursement for the cost of green infrastructure. Proposed Ord. No. 15749 was presented and read. This ordinance authorizes the District to enter into an agreement with Delmar Divine Master Landlord Residential, LLC to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the River Des Peres per the Long Term Control Plan. This project will reduce runoff volume with the installation of three bioretention basins. Total cost of the project is estimated at $603,375 and Delmar Divine Master Landlord Residential; LLC is requesting approximately $576,000 reimbursement for the cost of green infrastructure. Proposed Ord. No. 15750 was presented and read. This ordinance authorizes the District to enter into an agreement with Missouri Botanical Gardens to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the River Des Peres per the Long Term Control Plan. This project will reduce runoff volume with the installation of two underground cisterns. Total cost of the project is estimated at $794,951 and Missouri Botanical Gardens is requesting approximately $185,400 reimbursement for the cost of green infrastructure.
