LOUIS SEWER DISTRICT January 13, 2022 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members M. Evans, Chair B.L. Hoelscher, Executive Director A. Fehr, Vice Chair T. Snoke, Secretary-Treasurer B. Wahby S. Myers, General Counsel G. Nicozisin(online) M. M. Gee, Director of Finance R. Wilson R. Unverferth, Director of Engineering B. Watson(online) Also present were: Trustee Evans called the open session to order at 5:00 p.m. Roll call was made. All were present. Trustee Evans asked for the approval of the December 9, 2021 (1653rd) Board Journal. The motion was made by Trustee Fehr and seconded by Trustee Nicozisin. Comments by Board Chair – None ~ ~ ~ ~ ~ Report of Board Committees: PROGRAM MANAGEMENT COMMITTEE Trustee Nicozisin reported that the Program Management Committee met on January 4, 2022 at 7:33 a.m. The meeting was attended by Trustees Evans, Wilson, and Fehr; with Nicozisin, Wahby, and Watson online. Chairperson Nicozisin called roll and had no further comments. The minutes of the November 30, 2021 Program Management meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance Nos. 15845-15846 – CSO Volume Green Infrastructure – Staff provided details of two CSO Volume Reduction Green Infrastructure Grants being awarded to reduce combined sewer overflows to the Mississippi River and the River Des Peres per the Consent Decree. Staff provided details of the grants being awarded to City of St. Louis and Mechanical Solutions, Inc. for various volume reducing improvements. Ordinance Nos. 15847-15848 – Deer Creek OMCI Reimbursements – Staff requested authorization to enter into intergovernmental agreements with the City of Brentwood and the City of Richmond Heights within the Deer Creek OMCI taxing districts. The agreements will allow MSD to reimburse the municipalities for storm sewer projects as part of the District’s OMCI Grant Program. Staff provided a brief description of the proposed projects to the committee. The funding and appropriation for the program was previously approved by ordinance. Ordinance No. 15855 – Eatherton Centaur and MBL Futures Annexation – Staff discussed the request from two properties for annexation into the District Boundaries. Ordinance No. 15856 – Emergency Repair #068 – Staff provided details on the emergency combined sewer repair project on the O’Fallon Street Outfall in the City of St. Louis. The Executive Director declared the emergency and notified the Board on December 22, 2021. Staff is requesting introduction and adoption of this ordinance at tonight’s meeting. The meeting was adjourned at 7:55 a.m. This concludes the Program Management Board Comments Report. ~ ~ ~ ~ ~ FINANCE COMMITTEE Trustee Fehr reported that the Finance Committee met on January 4, 2022 at 8:00 a.m. The meeting was attended by Trustees Fehr, Wilson, Evans, with Trustees Watson, Wahby and Nicozisin online. Chairperson Fehr called roll and had no further comments. The minutes of the November 30, 2021 Finance Committee meeting were approved. The following agenda item to be introduced tonight was presented and discussed: Resolution No. 3725 – US Bancorp Investment Management Services: This action is necessary to authorize the approval of option year one of a previously approved contract with US Bancorp to provide investment management services to the District which includes managing the investment and cash flow of the District’s bond project fund, bond reserve fund, and SRF Operating Fund. In addition, US Bancorp will provide market insight, commentary, and general investment advisory assistance to the staff of the Secretary-Treasurer’s Office. US Bancorp will subcontract with Bingham Arbitrage Rebate Services, Inc. to provide arbitrage rebate calculation reports on the funds it manages. Staff presented a report regarding the District’s Operating Fund Portfolio as of December 31, 2021. Staff stated that the portfolio complies with the District’s Investment Policy. Staff presented an update regarding a proposed borrowing to fund three MSD projects by utilizing the Water Infrastructure Finance and Innovation Act. The District expects to borrow 49% of the estimated $568 million cost of the projects from WIFIA. The WIFIA program provides long-term, low-cost, supplemental credit assistance under customized terms to creditworthy water and wastewater projects of national and regional significance. Assistant Secretary-Treasurer John Strahlman discussed the benefits of using the WIFIA program to fund the projects in lieu of borrowing funds by issuing bonds. The next Committee meeting is tentatively scheduled for Tuesday, February 1, 2022. The meeting was adjourned at 8:13 a.m. This concludes the Finance Committee Board Comments Report. ~ ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS COMMITTEE Trustee Wilson reported that the Stakeholder Relations Committee met on January 4, 2022 at 8:15 a.m. The meeting was attended by Trustees Evans, Fehr, Wilson and via Teams, Trustees Nicozisin, Wahby and Watson. Chairperson Wilson called roll and had no further comments. The minutes of the November 30, 2021 Stakeholder Relations Committee Meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a discussion regarding the following items: Resolution No. 3723, Website Maintenance Services, was presented by Sean Stone, Senior Public Affairs Specialist. This Resolution will authorize the District to exercise the third and final option year and enter into a one-year contract with Dovetail. This contract will provide the District with website redevelopment and support services. Resolution No. 3724, Public Engagement Services, was presented by Sean Stone, Senior Public Affairs Specialist. This Resolution will authorize the District to exercise the third and final option year and enter into a one-year contract with StandPoint. This contract will provide the District with public engagement services. The meeting was adjourned at 8:20 a.m. The next Committee meeting is tentatively scheduled for Tuesday, February 1, 2022. COMMENTS FROM TOM SULLIVAN - JANUARY 13, 2022 Regarding Resolution No. 3723, $300,000 for public relations services, I have a few things to mention. First, it's hard to understand why the District's own communications department is unable to provide these services. If additional help is needed, a full-time person could be hired for a third of the cost. Also, it should be remembered it is unlawful for public tax dollars to be used to promote a ballot measure. MSD has run into trouble with this in the past. The District may be headed to the ballot this year so it raises questions. Thanks you for listening to my comments. Watson – aye UNFINISHED BUSINESS ORDINANCES None RESOLUTIONS None NEW BUSINESS ORDINANCES Introduction of Proposed Ordinance 15845, authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with the City of St. Louis, for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Louisiana Avenue Calm Street (13545) in the City of St. Louis, Missouri. Proposed Ord. No. 15845 was presented and read. This ordinance requests additional funds and authorizes the District to enter into an agreement with the City of St. Louis to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the Mississippi River per the Long-Term Control Plan. This project will reduce runoff volume with the installation of eight (8) bioretention basins. Total revised cost of the project is estimated at $340,000. On March 11, 2021, Ordinance No. 15617 encumbered $240,000. The City of St. Louis is requesting an additional $100,000 reimbursement for the cost of green infrastructure. This ordinance authorizes the District to enter into an agreement with Mechanical Solutions, Inc. to provide financial assistance through a Green Infrastructure Grant Program for construction of green infrastructure. The purpose of this project is to reduce combined sewer overflows into the River Des Peres per the Long Term Control Plan. This project will reduce runoff volume with the installation of a bioretention basin. Total cost of the project is estimated at $46,350 and Mechanical Solutions, Inc. is requesting approximately $46,350 reimbursement for the cost of green infrastructure. Proposed Ord. No. 15847 was presented and read. This ordinance authorizes the District to enter into an intergovernmental agreement with the City of Brentwood for eligible stormwater expenditures where revenue is collected by the Deer Creek OMCI subdistrict in St. Louis County, Missouri. Eligible stormwater expenditures include the following: storm sewer and inlet construction; drainage improvements; streambank stabilization and erosion control projects; clearing under bridges or cleaning detention basins; stormwater planning or engineering costs; and other stormwater related expenses as determined appropriate by the District. Proposed Ord. No. 15848 was presented and read. This ordinance authorizes the District to enter into an intergovernmental agreement with the City of Richmond Heights for eligible stormwater expenditures where revenue is collected by the Deer Creek OMCI subdistrict in St. Louis County, Missouri. Eligible stormwater expenditures include the following: storm sewer and inlet construction; drainage improvements; streambank stabilization and erosion control projects; clearing under bridges or cleaning detention basins; stormwater planning or engineering costs; and other stormwater related expenses as determined appropriate by the District. Watson – aye Introduction of Proposed Ordinance 15849, making an appropriation of Four Million Dollars ($4,000,000.00) from the Sanitary Replacement Fund to be used for combined and storm sewer construction in Baden Cityshed Mitigation Basins (Calvary, Frederick, Partridge, and Tille) – Separation Sewers (12847) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 22134 with Unnerstall Contracting Company, LLC for combined and storm sewer construction. Proposed Ord. No. 15849 was presented and read. The work to be done under Contract #22134 consists of the construction of approximately 10,893 lineal feet of 12-inch to 48-inch diameter storm sewers and appurtenances, and the rehabilitation of approximately 900 lineal feet of combined sewers varying in size from 12-inches to 30-inches in diameter using cured-in-place pipe (CIPP) methods. The purpose of this project is to reduce basement backups and to alleviate wet weather surcharging and overland flooding of the combined sewer system. The property owners have requested annexation into the District’s boundaries so that sanitary service may be provided for their properties, and the consequence that at least some of the properties may be developed. The properties are contiguous with current District boundaries. All of the property owners have signed the petition for annexation. Pursuant to MSD Charter Article 2, MSD has publicly published the costs and conditions for this annexation. Engineering staff in Planning and Development Review will continue to monitor the existing sanitary system capacity for the possible need for future upgrades as future developments and connections are proposed.
