LOUIS SEWER DISTRICT October 14, 2021 The Trustees of the District met in Room 109 at 2350 Market on the above date. Present at the meeting were: Board of Trustees Staff Members M. Evans, Chair B.L. Hoelscher, Executive Director A. Fehr, Vice Chair T. Snoke, Secretary-Treasurer B. Wahby S. Myers, General Counsel G. Nicozisin M. M. Gee, Director of Finance R. Wilson R. Unverferth, Director of Engineering B. Watson Also present were: Trustee Evans called the open session to order at 5:07 p.m. Roll call was made. All were present. Trustee Evans asked for the approval of the September 9, 2021 (1649th) Board Journal and the September 27, 2021 (1650th) Special Board Mtg Journal. The motion was made by Trustee Watson and seconded by Trustee Wahby. Comments by Board Chair – None ~ ~ ~ ~ ~ Report of Board Committees: AUDIT COMMITTEE Trustee Watson reported that the Audit Committee meeting started at approximately 7:37 AM on Tuesday, October 5, 2021. In attendance were Trustees Watson, Evans, Fehr, Nicozisin, Wahby, and Wilson. The Committee Chairman had no introductory comments. The Committee approved the minutes from the August 3 meeting. Next, Internal Audit presented a report for an audit engagement that consisted of a review of the District’s Revenue and Billing Cycle. Specifically, the engagement involved a review of the District’s procedures used to perform and manage the customer billing process. The scope period for billing data and transactions was the period of July 1, 2019 through December 31, 2020. The engagement received a “Satisfactory” or “clean” opinion. One (1) Opportunity for Improvement was presented and discussed with the Committee. The item focused on an opportunity to improve the process for Special Discharge billings. During the presentation, questions were addressed by Internal Audit as they were received from the Committee. The meeting adjourned at approximately 7:55 am. The next meeting is tentatively scheduled for Tuesday, November 2, 2021. This concludes the Audit Committee Report. Tamara Clinton MSD Bret Berthold MSD Jon Sprague MSD Tracey Coleman MSD Rev / Edited 2/15/22 Pg. 2 PROGRAM MANAGEMENT COMMITTEE Trustee Nicozisin reported that the Program Management Committee met on October 5, 2021 at 7:57 a.m. The meeting was attended by trustees Nicozisin, Evans, Wilson, Fehr, and Watson; and Wahby online. The minutes of the August 31, 2021 meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance Nos. 15769-15772 – Staff discussed unplanned supplemental funding appropriations on four (4) on-going construction projects. Two of the projects require funds due to additional rock excavation beyond what was identified during the design and the bidding process. Two of the projects require additional funding for work to upgrade water service lines and facilities required by Missouri American Water. Staff is requesting Introduction and Adoption of the Kayser Ave. – Waller Avenue Storm and the Woods Mill Sanitary Relief Ordinances at tonight’s meeting. This will allow for the expedited completion and restoration of homeowner’s properties on these two projects. Ordinance No. 15773 – Staff discussed a Green Infrastructure Grant being authorized to reduce Combined Sewer Overflows to the River Des Peres in compliance with the MSD’s Consent Decree. Staff provided details of the Grant for Maplewood-Richmond Heights School District for the construction of permeable pavers as part of improvements to the District’s property. Ordinance Nos. 15780-15781 – Staff requested authorization to enter into intergovernmental agreements with the City of Florissant and the City of Olivette within the Coldwater Creek and University City OMCI taxing districts. The agreements will allow MSD to reimburse the municipalities for storm sewer projects as part of the District’s OMCI Grant Program. The initial funding and appropriation for the program was approved by ordinance in January of this year. Ordinance Nos. 15784-15786 – Staff presented details of three (3) Property Appraisal services contracts. Staff requested supplemental appropriations and renewal of existing contracts with Real Estate Analysts Limited, Mueller & Neff Real Estate Appraisers & Consultants, and Volkert Inc. This will be the first of two option year renewals provided for in the original contracts based on performance. Ordinance Nos. 15787-15793 – Staff presented and reviewed details of seven (7) planned appropriations and contract authorizations for engineering design services on tonight’s agenda. The services will provide engineering design for sanitary and combined sewer relief projects and pump station upgrade projects required by the Consent Decree. These projects are planned for construction over the next two fiscal years. The next Committee meeting is tentatively scheduled for November 2, 2021. The meeting was adjourned at 8:34 a.m. ~ ~ ~ ~ ~ FINANCE COMMITTEE Trustee Fehr reported that The Finance Committee met on October 5, 2021 with Trustees Fehr, Wilson, Evans, Watson, Nicozisin, and Wahby in attendance. The minutes from the August 31, 2021 meeting were approved. The first item on the agenda was a report by staff on the District's Operating Fund Portfolio as of September 30, 2021. Staff stated that the portfolio complies with the District’s Investment Policy. Rev / Edited 2/15/22 Pg. 3 Next, staff updated the Committee on the direct placement of the 2026A Wastewater System Refunding Bonds. Staff indicated that negotiations with the bank are completed and the final terms are expected to fall within the approved parameters. The next item on the agenda pertained to a staff request to exercise the first of four option years with three law firms: Gusdorf Law Firm, John G. Heimos Law Firm, and Kramer & Frank. They will provide the District’s Billings and Collections Division with continued support pertaining to collection litigation services involving delinquent user charge revenue. These will be Resolution numbers 3706, 3707 and 3708 on tonight’s agenda. Staff then presented the Adjustment Review Committee report for the fourth quarter FY 2021 as required by ordinance. The meeting adjourned at approximately 8:45 a.m. The next tentatively scheduled meeting is Tuesday, November 2, 2021. This concludes the Finance Committee Report. ~ ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS COMMITTEE Trustee Wilson reported that the Stakeholder Relations Committee met at District Headquarters on Tuesday, October 5, 2021 at approximately 8:47 a.m. Those present at the meeting included Chairperson Wilson, Trustees Evans, Fehr, Nicozisin, and Watson, as well as District Directors and staff. Trustee Wahby was present via Team’s meeting. Chairperson Wilson called roll and had no further comments. By motion of all Trustees, the minutes of the August 31st Stakeholder Relations Committee Meeting were approved. The first Agenda item was a discussion by Tracey Coleman regarding three Ordinances for the District's Group Dental, Group Life and Accidental Death & Dismemberment, and Group Long-Term Disability Plans. These are Ordinance Nos. 15794, 15796 and 15797 on tonight's Agenda. The next Agenda item was a discussion by Tracey Coleman regarding an Ordinance for a contract for FMLA Consulting Services. This is Ordinance No. 15795 on tonight's Agenda. At the request of Chairperson Wilson, Tracey concluded by providing information on the District's upcoming onsite COVID vaccination event sponsored by BJC, including how to register and who is eligible. The next agenda item was a presentation of the Diversity Annual Report by Shonnah Paredes. Shonnah’ s presentation summarized the CIRP Construction and MWBE Commitments and Payments, Workforce Goals and Utilization and Small Contractor Program metrics. Updates were also provided regarding the Community Benefits Agreement, including results of meetings and future agenda items. Shonnah then provided updates on the Disparity Study, including a timeline of previous meetings and schedule of future meetings. There is no Board action required at this time. The last item was a discussion by Bret Berthold regarding MSD's Mandatory Coronavirus (COVID-19) Testing Policy. Bret provided an overview of the Policy including dates of implementation, testing procedures and who is required to provide a weekly test as it relates to MSD employees and non- employees. There is no Board action required at this time. At approximately 9:20 a.m. Chairperson Wilson called roll and requested a motion to move the meeting into Closed Session to discuss Personnel Actions under §610.021(3), RSMo. 1988 Supp. Rev / Edited 2/15/22 Pg. 4 Closed Session concluded at approximately 10:19 a.m. and the meeting was then adjourned by Chairperson Wilson. The next meeting date is tentatively scheduled for Tuesday, November 2, 2021. This concludes the Stakeholder Relations Committee Meeting Board Comments Report ~~~~~ Comments by the Executive Director: YES THANK YOU, MR. CHAIRMAN. I WANT TO TAKE THIS TIME TO BRING THE BOARD OF TRUSTEES UP TO DATE ON THE STATUS OF THE COVID SAFETY PROCEDURES MSD HAS IN PLACE. SINCE THE PANDEMIC STARTED IN THE SPRING 2020, MSD HAS PUT MEASURES IN PLACE THAT HAVE PROVEN EFFECTIVE IN LIMITING THE IMPACT OF THE PANDEMIC ON THE HEALTH OF OUR EMPLOYEES. THESE MEASURES INCLUDE: • REMOTE WORK LOCATIONS, • SEVERAL PROVISIONS TO DECREASE THE DENSITY OF THE WORKPLACE, • MASK MANDATES IN OFFICE SETTINGS, • CONTACT TRACING/ISOLATION/QUARANTINE AND TESTING AS NEEDED WHEN A POSSIBLE EXPOSURE TO THE CORONAVIRUS HAS BEEN IDENTIFIED, • USING VIRTUAL TOOLS TO CONDUCT MEETINGS WITH STAFF AND OUTSIDE INDIVIDUALS WHENEVER POSSIBLE AND, • LIMITING BUSINESS TRAVEL AND EXPOSURE. • MSD ALSO INCREASED BENEFIT LEVELS FOR EMPLOYEES TO ASSIST WITH REQUIRED ABSENCES FROM THE OFFICE. • WE HAVE BEEN TRANSPARENT WITH OUR EMPLOYEES BY IMPLEMENTING WEEKLY COMMUNICATIONS THAT GO OUT EVERY FRIDAY. • IN ADDITION, I HAVE BEEN DOING QUARTERLY UPDATES, THAT I RECORD FOR EMPLOYEES TO WATCH WHEN IT IS CONVENIENT • I ALSO MAKE MONTHLY TRIPS TO OUR SATTELITE LOCATIONS TO CHECK ON THE MORALE OF OUR EMPLOYEES. THESE EFFORTS ARE A WAY OF KEEPING OUR EMPLOYEES INFORMED, NOT JUST AT MSD, BUT IN THE COMMUNITY, WE SERVE WITH REGARDS TO THE CORONAVIRUS. MSD HAS SEEN TWO INFECTION SURGES WITHIN ITS WORKFORCE. THE FIRST WAS FROM AUGUST 2020 THRU MARCH 2021. WE ARE CURRENTLY IN A SECOND SMALLER SURGE WHICH STARTED THIS PAST JULY. OVERALL, 147 MSD EMPLOYEES HAVE TESTED POSITIVE FOR THE CORONAVIRUS SINCE THE BEGINNING OF THE PANDEMIC. THAT IS APPROXIMATELY 15% OF THE WORKFORCE AND IS DUE PARTIALLY TO THE SUCCESS OF OUR SAFETY MEASURES. JUST IN THE PAST FEW WEEKS, WE HAVE IDENTIFIED OUR FIRST INFECTION THAT MAY HAVE BEEN TRANSMITTED AT THE WORKPLACE. TO THIS DAY, MSD HAS NOT LOST ANY EMPLOYEES DUE TO INFECTION. AT THE LAST BOARD OF TRUSTEES MEETING ON SEPTEMBER 9th, YOU PASSED RESOLUTION 3702 REGARDING A MANDATORY COVID TESTING PROGRAM TO FURTHER ENHANCE THE SAFETY OF MSD’S EMPLOYEES AND THE COMMUNITY. THAT SAME MONTH, MSD STAFF DEVELOPED AND DISTRIBUTED NEW POLICIES TO IMPLEMENT THE PROVISIONS OF THE BOARD OF TRUSTEE’S RESOLUTION. Rev / Edited 2/15/22 Pg. 5 IN SHORT, THE POLICY REQUIRES MSD EMPLOYEES AND CONTRACTORS TO BE EITHER VACCINATED OR TESTED WEEKLY FOR THE CORONAVIRUS. THE FIRST DATE OF ENFORCEMENT FOR OUR 953 CURRENT EMPLOYEES WAS TODAY. HERE ARE THE RESULTS- 1. THE TOTAL NUMBER OF MSD EMPLOYEES WHO HAVE PRIVATELY REPORTED TO OUR HUMAN RESOURCES DEPARTMWENT AS FULLY VACCINATED OR AS HAVING STARTED THE VACCINATION PROCESS IS 769, OR APPROXIMATELY 80% OF THE EMPLOYEES. 2. THE TOTAL NUMBER OF MSD EMPLOYEES WHO HAVE SUBMITTED THEIR FIRST REQUIRED WEEKLY NEGATIVE TEST RESULT IS 149, OR APPROXIMATELY 16% OF THE EMPLOYEES. 3. THE REMAINING 39 EMPLOYEES, OR APPROXIMATELY 4% OF THE EMPLOYEES, HAVE NOT COMPLIED WITH THE PROVISIONS OF THE BOARD RESOLUTION OR STAFF POLICY. THESE EMPLOYEES ARE BEING REQUIRED TO TAKE PAID VACATION LEAVE UNTIL THEY EITHER MEET THE VACCINATION OR THE TESTING REQUIREMENTS. THEY ARE ALSO BEING COUNSELED ON THEIR CONTINUED NON-COMPLIANCE WITH THE MANDATORY TESTING PROGRAM WHICH COULD LEAD TO DISCIPLINE UP TO AND INCLUDING DISMISSAL. THERE ARE ADDITIONAL REQUIREMENTS IN THE RESOLUTION AND POLICY THAT IMPACT OTHER INDIVIDUALS WHO ARE NOT MSD EMPLOYEES. THE STATUS OF THOSE PROVISIONS ARE- 1. ALL NEW EMPLOYEES STARTING AT MSD ON OR AFTER OCTOBER 4th MUST BE FULLY VACCINATED. TO DATE, MSD HAS MADE 20 EMPLOYMENT OFFERS RESULTING IN 5 HIRES, 2 DECLINATIONS, AND 13 OFFERS PENDING. THE NEW PROVISIONS HAVE NOT KEPT US FROM FILLING ANY POSITIONS WITH QUALIFIED INDIVIDUALS. 2. ALL CONTRACT EMPLOYEES WORKING AT MSD FACILITIES IN CLOSE OFFICE TYPE SETTINGS ARE REQUIRED TO BE VACCINATED OR TESTED. THESE INDIVIDUALS GENERALLY FALL INTO TWO CATEGORIES, a. THOSE PROVIDING DIRECT SERVICE TO MSD SUCH AS GUARDS AND REPAIR PERSONNEL, AND b. CONTRACT EMPLOYEES ON MSD CAPITAL PROJECTS. PROVISIONS FOR CHANGE ORDERS TO THESE CONTRACTS IS PROCEEDING WITH THE GOAL OF HAVING ALL PROVISIONS IN PLACE BY THE END OF THIS MONTH. I WANT TO EXPRESS MY THANKS TO ALL OF THE EMPLOYEES, LABOR LEADERS, OUTSIDE CONTRACTORS AND SERVICE PROVIDERS WHO HAVE COOPERATED WITH US IN PUTTING THIS PROGRAM INTO PLACE. I ALSO WANT TO EXPRESS MY THANKS TO THE SENIOR STAFF WHO PUT THIS POLICY TOGETHER WHILE MY FAMILY AND I WERE DRIVING AROUND THE SOUTHWEST UNITED STATES FOR TWO WEEKS. MR. Email received 10/14/2021 @ 7:08 a.m. from: Michael Murphy Email received 10/14/2021 @ 11:52 a.m. from: Tom Sullivan Comments by Tom Sullivan, 751 Syracuse, 63130 It is interesting that the District is having town hall meetings to discuss stormwater issues, that have mostly been ignored for decades. The whole idea of having a metropolitan sewer district was to address sewer and stormwater problems on a regional basis. But that hasn't happened. In 1977, voters in the annexed area voted to be part of the District. But MSD officials said they would have nothing to do with stormwater issues in that area. It took a state audit, more than 10 years later, to tell the District it needed to do so. But the District has done little since. In 1994, the St. Louis County Council had hearings about stormwater problems in the county. Numerous residents showed up to tell of their problems -- some quite serious. District official said there was nothing they could do to help. The problems still exist. A little over 10 years ago, two senior citizens died in University City as the result of a flash flood of a branch of the River des Peres. Residents were furious at MSD. About five years ago there was a meeting in University City of residents who were having problems with the River des Peres. Not our problem, they were told by Brian Hoelscher. The mayor of University City and city officials once attended an MSD board meeting seeking help for all the flooding and erosion problems in their city. The date of the board meeting? June 21,1966. Given your past history of indifference and incompetence, MSD is in an uphill climb trying to get approval of any increase to address stormwater problems. Bohm and the firm of Danna McKitrick, PC , John H. Goffstein, LLC we are acting as co-counsel for Hankin Environmental Services, Inc. ( hereinafter “Hankin”) – and respectfully call to the attention of the MSD Board the decision finding that Hankin is not qualified to move forward as an ISS for MSD’s Lemay and Bissell Point FBI projects. MSD at present has made a single source non - competitive selection for this project thru Black and Veatch, the owner’s representative in coordination with a fluid bed incinerator supplier known as Suez. Please open the attached pdf and have it read to the Board for public comments at tonight’s meeting along with this email cover statement and also kindly notify us of the November meeting as well for our attendance. Some initial details as to our client’s position include but are not limited to the clear qualification of Hankin to start and complete this project with professional competence. By its very nature, the bid completion at the very least to include Hankin, should act as a savings to the District in the many millions of dollars and not only to MSD but to its funding governmental partners as well.
