W H E RE A S , the Village of Key Biscayne (the "Village") currently provides a local mobility program through the provision of locally operated on-demand public transportation services; and WHEREAS, pursuant to Section 212.055(l)(d), Florida Statutes, transportation system surtax proceeds may be used for on-demand services where a trip is not greater than five miles in distance; and WHEREAS, Section 29-124 of the Miami-Dade County ("County") Code of Ordinances ("Code") further allows eligible municipalities to use of their municipal share of the Citizens Independent Transportation Trust ("CITT") surtax proceeds for the provision of on-demand transportation services; and WHEREAS, the Village desires to enter into an interlocal agreement with the County, in substantially the form attached hereto as Exhibit "A," relating to the operation of the Village's on­ demand transportation service for residents and visitors of the Village (the "Interlocal Agreement"); and WHEREAS, the Village Council finds that this Resolution is in the best interest and welfare of the residents of the Village. NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE COUNCIL OF THE VILLAGE OF KEY BISCAYNE, FLORIDA, AS FOLLOWS: Section 1. Recitals. That each of the above-stated recitals are hereby adopted, confirmed, and incorporated herein. Section 2. Approval. That the Village Council approves the lnterlocal Agreement with the County in substantially the form attached hereto as Exhibit "A." Section 3. Authorization. That the Village Manager is hereby authorized to execute the Interlocal Agreement, in substantially the form attached hereto as Exhibit "A," with the County, subject to approval by the Village Attorney as to form, content, and legal sufficiency. VILLAGE ATTORNEY Page 2 of2 MIAM••··. t;,w:n, lnterlocal Agreement Between Miami-Dade County and the Village of Key Biscayne For the Provision of On-Demand Services This lnterlocal Agreement made and entered into by and between Miami-Dade County, a political subdivision of the State of Florida, hereinafter referred to as "the County" and The Village of Key Biscayne, a municipal corporation of the State of Florida, hereinafter referred to as "the Municipality". WITNESSETH: WHEREAS, the Municipality wishes to enhance local mobility through the provision of locally operated On-demand public transportation services; and WHEREAS, these services provide the Municipality with an opportunity to match the local travel needs of the residents while improving first and last mile connectivity; and WHEREAS, the provision of these services can help minimize the need for specialized transportation services by the County; and WHEREAS, the proposed fixed-route service will complement the existing Miami-Dade Department of Transportation and Public Works (D.T.P.W.) bus routes and help increase the use of these regional services; and WHEREAS, the Municipality has sponsored and is willing to provide an alternative form of supplemental public transportation throughout the Municipality and has secured and obligated the necessary funds to provide same; NOW THEREFORE, IN CONSIDERATION of the mutual terms, conditions, promises, covenants, and payments hereinafter set forth, the County and the Municipality agree as follows: pg.1 A R T IC L E 1 S E C T IO N 1.1 D E F IN IT IO N S "A.D.A." shall mean the Americans with Disabilities Act of 1990, (and related Acts) or Miami-Dade County Resolution No. R-385-95. "Contractor" shall mean any entity, public or private fixed-route public transportation services as described in this Agreement under contract to the Municipality. "On-demand" shall mean flexible routing with dynamic vehicle dispatching where the trip is no longer than five (5) miles in distance. "The County" shall include Miami-Dade County, the Miami-Dade Department of Transportation and Public Works Miami-Dade. Consumer Services Department, and authorized representatives thereof. "The Municipality" shall mean the Village of Key Biscayne and authorized representatives thereof. "F.D.0.T." shall mean the Florida Department of Transportation and authorized. "D.T.P.W." shall mean the Miami-Dade Department of Transportation and Public Works and authorized representatives thereof. "U.S. D.0.T." shall refer to the U.S. Department of Transportation, its rules and regulations and representatives thereof. "F.T.A." shall mean the Federal Transit Administration, its rules and regulations, and representatives thereof. "P.T.R.D." shall refer to the Passenger Transportation Regulatory Division of D.T.P.W. "Federal Reporting Requirements" shall mean those requirements referenced in 49 CFR Section 5335(a), as may be amended from time to time, and found in the National Transit Database Reporting Manual published by the F.T.A. "Fares" for the on-demand service shall mean individual transportation fees paid by public transit passengers other than those services provided by Miami-Dade County for the Special Transportation Service. pg. 2 "S .T .S .", Special Transportation Service, is the component of the conventional transit system designed to provide comparable On-demand service to disabled individuals as mandated in the ADA. ARTICLE 2 GENERAL REQUIREMENTS 2.1 Compliance with Applicable Laws and Regulations. The Municipality and its contractors, if any, shall comply with all existing and future laws, statutes, ordinances, codes, rules, regulations and procedural requirements, whether federal, state, or local, which are applicable to or in any manner affect, the provision of the On-demand service. The Municipality shall be responsible for requiring compliance of its employees, contractors, and agents with all applicable county, state and federal requirements, including, but not limited to, all safety, mechanical, and vehicular standards mandated by DTPW/PTRD. The Municipality shall be responsible for obtaining copies of the appropriate laws, regulations, ordinances, and documents and complying therewith. 2.2 The County Regulatory Requirements. Prior to the commencement of the On­ demand service under this Agreement, the Municipality and/or its contractors, if any, shall have current and valid certificates of transportation, permits, and chauffeur registrations as required by Chapter 31 of the County Code. The Municipality and its contractors shall maintain such certificates, registrations and permits current during the Period of this Agreement. In no event shall the Municipality or any of its contractors provide any transportation services contemplated by this Agreement until any and all County regulatory requirements are satisfied. 2.3 Vehicle Licensing. All vehicles utilized to provide On-demand service shall at all times be properly licensed and permitted in accordance with applicable federal, state and county requirements. Vehicle operators shall comply with all safety, mechanical and vehicular standards mandated by any applicable county, state and federal requirements including, but not limited to, all safety, mechanical and vehicular standards mandated by DTPW/PTRD. 2.4 Vehicle Standards. Vehicles shall comply with all of the Requirements contained in Chapter 30 and 31 of the Code of Miami-Dade County, pertinent state statutes and other directives as may be prescribed and required by DTPW/PTRD. All vehicles utilized to provide transportation services authorized by this Agreement shall at all times display a current and valid county permit and shall comply with safety, mechanical and vehicular requirements mandated by applicable county, state or federal requirements, including ADA. 2.5 Chauffeur Requirements. B e fo re a n y m a jo r s e rv ic e c h a n g e , in c lu d in g th e d e v e lo p m e n t o f n e w s e r v ic e a re a s c h a n g e s g re a te r th a n 2 0 %, th e M u n ic ip a lity s h a ll p e rf o r m a te c h n ic a l a n a ly s is o f p ro p o s e d s e rv ic e a re a a lig n m e n ts a n d s c h e d u le s o f o p e ra t io n fo r th e O n -d e m a n d s e rv ic e . T h e p ro p o s e d s e rv ic e s h a ll n o t b e g in o p e r a t io n w ith o u t fi r s t o b ta in in g s u c c e s s fu l re v ie w a n d a p p ro v a l o f D T P W , S e rv ic e P la n n in g a n d S c h e d u lin g D iv is io n . T h e M u n ic ip a lity s h a ll fo llo w D T P W 's P r o c e d u r e s fo r E s ta b lis h in g M u n ic ip a l O n -d e m a n d S e rv ic e . 3 .8 U s e o f L o g o . T h e M u n ic ip a lity m a y w is h to d e s ig n a lo g o u n iq u e ly id e n tify in g its O n -d e m a n d s e rv ic e . If th e y d o s o , s u c h lo g o s h a ll a t a ll tim e s b e d is p la y e d o n th e e x te r io r o f a ll v e h ic le 's o p e r a tio n p u r s u a n t to th is A g re e m e n t. If re q u e s te d , th e C o u n ty s h a ll a ll o w th e d is p la y o f th e O n -d e m a n d lo g o o n th e C o u n ty 's b u s s to p pg.6 signs at all stops com m on to the M unici pality and the C ounty bus ro utes does not interfere w ith previously placed signage and is done in coordination w ith DT PW staff . T he M unicipality shall be responsible fo r placing the logo on the pertinent signs. A ll vehicles funded by the half penny transport ation surtax from the C itizens' Independent Transportation T rust shall display the ½ Penny at w ork logo. 3.9 O n Dem and Stop S igns and S ignposts. The M unicipality m ay provide, install, and m aintain bus stop signs and signposts at stops along the M unicipality's O n­ dem and ro utes. If the M unicipality, its contractor, licensee, perm ittee, or assignee installs sign facilities that can accom m odate M etro bus bus stop info rm ation, the C ounty m ay elect to utilize the M unicipality's sign facility to display M etro bus bus stop info rm ation. If such election is m ade, D .T.P .W . m ay pro vide to the M unicipality the m aterials to be displayed on the bus stop sign facility, in the size and fo rm at to be specified by the M unicipality and the M unicipality w ill rem ove the C ounty's signs and return the signs to the C ounty. T he M unicipality shall be responsible fo r installing the M etro bus stop info rm ation in/on the bus stop sign facility. 3.1 O ADA Stops. The Municipality agrees that it will be the responsibility of the Municipality to comply with all ADA standards and regulations with regards to accessibility. 3.11 Bus Stops and Bus Bays or Pull-outs. The Municipality shall, at its sole option, provide, install, and maintain bus stop sites, including bus bays or pull-outs at bus stops along the Municipality's On-demand service area, provided that any proposed bus bays or pull-outs shall be first reviewed and approved by the County or State, as appropriate. Notwithstanding the forgoing, the Municipality shall be responsible for identifying Municipality owned right-of-way for the layover or parking of vehicles to be used in its On-demand service provided it does not interfere with the County's Transit Service needs. Should the Municipality decide to operate its On-demand service with vehicles that require the deployment of exterior lifts, the County may require the Municipality to designate and build bus bays in order to minimize impact to vehicular traffic. 3.12 Non-Interference and Non-Disturbance. The County and the Municipality hereby mutually agree not to interfere with or unreasonably impede the free flow of pedestrian movement or of each other's public transit vehicular traffic or passengers accessing or egressing County Metrobus or Municipality On-demand in-service vehicles. 3.13 Miscellaneous. The Municipality or Municipality's Contractor shall provide adequate customer service training to its employees. Drivers, dispatchers and supervisors shall be subject to a training program inclusive of the recommended practices established by the American Public Transportation Association (APTA) in documents BTS-BO-RP-001-07 and BTS-BO-RP 0002-07. pg. 7 A R T IC LE 4 R E C O R D S A N D R E P O R T S 4.1 Reporting Requirem ents. A dditionally, the M unici pality shall com ply w ith any Federal, State, and C .I.T.T. reporting requirem ents applicable to the subject serv ice. Q uart erly reports shall incl ude the info rm ation listed above in an aggregated fo rm at, including trends noticed. M onthly- report s shall be subm itted to the County no later than the 15th day of the following month. The Municipality shall meet or exceed DTPW's adopted service standards for On­ demand transportation services. 4.2 Real Time Data. T h e c e rt ifi c a te m u s t s ta te th e b id n u m b e r a n d title . $ 10,000.00 ARTICLE 6 INDEMNIFICATION 6.1 The Municipality shall, to the extent permitted by law at all-time hereafter, indemnify and hold harmless the County, and its officers, agents, employees and instrumentalities from any and all liability, claims, losses and causes of action, including attorneys' fees and costs of defense which the County or its officers, employees, agents or instrumentalities may incur as a result of claims, demands suits, causes of actions or proceedings of any kinds or nature arising out of, or relating to or resulting from the negligence of the Municipality and/or its officers, employees, agents or instrumentalities, during the term of this Agreement. The Municipality shall resolve all claims and losses in connection therewith, and shall investigate and defend all claims, suits or actions of any kind or nature in the name of the County, where applicable, including appellate proceedings, and shall pay all costs, judgments and reasonable attorneys' fees which may issue thereon. The Municipality expressly understands and agrees that any insurance protection required by this Agreement or otherwise provided by the Municipality shall in no way limit the responsibility to indemnify, keep and save harmless and defend the County or its officers, employees, agents or instrumentalities as herein provided. Nothing herein shall be deemed to indemnify the County from any liability or claim arising out of the negligent performance or failure of performance of the County, its officers, employees, agents or instrumentalities or any other related third party. The M unicipality, and its C ontractors, shall not discrim inate against any person because of race, sex, religious backgro und, ancestry , national origin or disability in the perf orm ance of the A greem ent. The M unicipality and its contractors agree to com ply w ith all part s of the A D A Title II applicable to the operation of this ro ute. Furt herm ore, the M unicipality, prior to putting into place and operating this route, shall pro vide the fo llow ing evidence to the C ounty of com pliance w ith Titt le II of the A D A as m andated by the C ode of Federal R egulations Title 49 Part s 27.13 and 27.15: 1. The nam e and contact info rm ation of the M unicipality's A D A C oordinator. 2. Evidence of A D A notice posted in an accessible fo rm at on the M unici pality's w ebsite. 3. The A D A notice shall be com prised of the fo llow ing: a. N otice of nondiscrim ination on the basis of disability (see A ppendix X fo r sam ple), b. A D A grievance pro cedure. c. A n online contact fo rm if applicable. d. A ccessible contact info rm ation of the designated A D A C oordinator, including phone num ber and em ail address. 8.7 Term ination fo r C ause. T his A greem ent m ay be term inated fo r cause by either part y upon no less than thirty (30) days w ritten notice to the other part y, except w hen O n-dem and serv ice operations are in violation of health and/or safety-related pro visions of state statutes or the C ounty C ode, in w hich case term ination shall be determ ined by the C ounty M ayor or designee. Said notice shall be delivered by verified facsim ile transm ission or cert ified m ail, return receipt requested. The noticed party shall have the opport unity to cure any stated cause fo r term ination w ithin a reasonable notice period, in w hich case the term ination party m ay cancel the term ination notice using the sam e m eans by w hich the notice of term ination w as delivered. 8.8 T erm ination w ithout C ause. The C ounty or the M unicipality m ay term inate this A greem ent w ithout cause upon no less than sixty (60) days w ritten notice to the other part y.
