FOR DIGITAL CONTOURING. BE IT ENACTED BY THE COUNCIL OF THE CITY OF JEFFERSON, MISSOURI, AS FOLLOWS: Section 1. The Mayor and City Clerk are hereby authorized and directed to execute an agreement to amend the 2010 Aerial orthophotography contract with SANBORN Map Company Inc. for digital contouring. Section 2. The agreement shall be substantially the same in form and content as that agreement attached hereto as Exhibit A. Section 3. This Ordinance shall be in full force and effect from and after the date of its passage and approval. (hereafter "Sanborn') and the City of Jefferson, Missouri (hereafter"City„), executed on January 17, 2010. Parties hereby agree to ainend the aforesaid agreement as follows: 1. Sanborn shall perform all of the obligations required by the original contract in regards to the 2011 over flight as originally provided, except as amended herein. 2. Sanborn shall produce Class I, hydro reinforced break line contours at the 2 foot interval over defined areas of Cole and Callaway Counties. The price will be $47.33 per square mile for any project area greater than 400 square miles. The cost will be$73.91 per square mile for any project area less than 400 square miles and containing a minimum of 115 contiguous square miles. This project, if executed in its entirety over both Counties and the 1,246.60 square miles they contain shall not exceed $59,000 in cost. 3. • These contours will be produced to meet ASPRS Class 1 accuracy standard. 4. Contours will be delivered in a digital format, compatible with ArcMap an GSRI product. 5. Timeline for processing and delivery of all contoured areas shall be no later than S months from the date of the City's notice to precede letter, which will also define all areas to be contoured. 6. Sanborn will submit a final invoice after the completion and acceptance of the deliverable by the City of Jefferson. 7. Late fees shall be assessed against the Contractor for every calendar day a delivery date is not met. These late fees are for the contouring mission only. The late fees shall be assessed as follows: Late fees or liquidated damages shall not exceed $50.00 per day or a sum not to exceed $59,000 in total fees or damages. After eighty(80) days, the Contractor shall be in default, at which time the City of Jefferson may terminate the contouring mission authorized under this Second Amendment, and seek damages as set forth in this Paragraph 7. This provision shall survive any termination of this agreement. S. All remaining terms of the contract, except as expressly amended herein, shall remain in full force and effect. RECITALS WHEREAS, City will be entering into an agreement to obtain certain technical and professional services for the production of digital orthophotography; WHEREAS, County can obtain these services less expensively through the City contract than they could on their own; WITNESSETH: AGREEMENT In consideration for the mutual covenants, promises and representations in this Agreement the Parties hereto agree as follows: 1. The City intends to enter into an Agreement with the Sanborn Map Company Inc., to provide the digital contouring as set forth in paragraph 1 of the Agreement, a copy of which is attached hereto and is incorporated herein by reference. 2. The City agrees to extend the service to area marked as "Callaway" as provided in attachment A. 3. Pursuant to this agreement, the County will pay City the not to exceed sum of$39,279.83 for said services.
