RESOLUTION OF THE BOROUGH OF CARTERET, IN THE COUNTY OF
l'illDDLESEX DESIGNATING THE CARTERET REDEVELOPMENT AGENCY AS
THE REDEVELOPMENT ENTITY TO IMPLEMENT REDEVELOPMENT PLAN FOR
THE COOKE AVENUE SCATTERED SITES REDEVELOPMENT AREA
'WHEREAS, the governing body of the Borough of Carteret (the "Borough") is authorized,
under the New Jersey Local Redevelopment and Housing Law, N.J.S.A. 40A:12A~1 et seq.
(the "Redevelopment Law"), to determine whether certain properties located within the
Borough are in need ofredevelopmentj and
\YHEREAS, on January 24, 2008, the Borough Council of the Borough (the "Borough
Council") adopted Resolution No. 08-52 designating the properties known as Block 192,
Lots 1, 2 and 3 and Block 202, Lots 10, 11 and 12 on the Borough's tax map as an area in
need of redevelopment (hereinafter the "Cooke Avenue Scattered Sites Redevelopment
Area"); and
\VHEREAS, on June 19, 2008, the Borough Council adopted Resolution No. 08-154
designating the section of the Romanowski Avenue right-of~way located between Cooke
Avenue and High Street (the "Romanowski RO\V") as an area in need of redevelopment
and amending the Cooke Avenue Scattered Sites Redevelopment Area to include the
Romanowsld RO\V therein; and
\VHEREAS, on August 21, 2008, the Borough Council, pursuant to Section 7 of the
Redevelopment Law (N.J.B.A. 40A:12A-7), adopted ordinance number 08~27, approving
and adopting a redevelopment plan for the Cooke Avenue Scattered Sites Redevelopment
Area (the "Cooke Avenue Scattered Sites Redevelopment Plan"); and
\VHEREAS, on August 21, 2008, the Borough Council adopted Resolution No. 08~208
designating Cool{e Avenue Developers, LLC ("Cooke Avenue Developers") as the
redeveloper for the portion of the Cooke Avenue Scattered Sites Redevelopment Area
known as Block 192, Lots 1,2 and 3, on which Cooke Avenue Developers will construct, or
oversee the construction of, a Community Health and \Yellness Center (the "\-Vellness
Center Project"); and
\VHEREAS, on September 16, 2008, the Borough and Cooke Avenue Developers executed
a redevelopment agreement (the "Cooke Avenue Developers Redevelopment Agreement"),
which set forth the terms and conditions under which the Borough and Cooke Avenue
Developers will carry out their respective obligations with respect to the construction of the'
\Yellness Center Project; and
\VHEREAS, the Carteret Redevelopment Agency ("CARA") was created and exists for the
purpose of furthering redevelopment goals and policies of the Borough; and
\VHEREAS, pursuant to their respective powers under the Redevelopment Law, the
Borough desires to designate CARA as the redevelopment entity to implement the Cooke
Avenue Scattered Sites Redevelopment Plan throughout the Cooke Avenue Scattered Sites

Redevelopment Area, including by administering and carrying out the Cooke Avenue
Developers Redevelopment Agreement and by identifying and selecting a redeveloper(s) to
redevelop the remaining portions of the Cooke Avenue Scattered Sites Redevelopment
Area.
NOW, THEREFORE, BE AND IT IS HEREBY RESOLVED by tbe Mayor and Connell of
Borough ofCarteret, in the County of Middlesex and the State of New Jersey, as follows:

The aforementioned recitals are incorporated herein as though fully set forth
Section 2. The Borough Council hereby designates CARA as the redevelopment entity
to implement and carry out the Cooke Avenue Scattered Sites Redevelopment Plan,
including by administering and carrying out the Cooke Avenue Developers Redevelopment
Agreement and by identifying and selecting a redeveloper(s) to redevelop the remaining
portions of the Cooke Avenue Scattered Sites Redevelopment Area.
Section 3. If any part of this Resolution shall be deemed invalid, such parts shall be
severed and the invalidity thereof shall not affect the remaining parts of this Resolution.
Section 4. A copy oftbis Resolution sball be available for public inspection at the offices
of the Borough Clerk.
Section 5~
This Resolution shall take effect immediately.
Section 6. Upon the adoption hereof, the Borough Clerk is directed to forward a
celiified copy of this resolution to the Executive Director of the Carteret Redevelopment
Agency, 61..Cooke Avenue, Carteret, New Jersey 07008 and the Borough's Redevelopment
