AUTHOlliZING A PROFESSIONAL SERVICES CONTRACT
WITH JOHN S. TRURAN CONSUL TlNG ENGINEERS, INC.
FOR PROFESSIONAL LAND SURVEYING SERVICES
WHEREAS, the Borough of Carteret is in need of professional land surveying services
for a boundary survey oflot I in block 242 within the Borough of Carteret; and
WHEREAS, the Borough Engineer, John P. DuPont, P.E., has recommended the firm of
John S. Truhan Consulting Engineers, Inc. to perform the needed services and John S.
Truhan Consulting Engineers, Inc. has submitted a proposal to perform said professional
land surveying services at a cost not to exceed $2,900.00; and
WHEREAS, the Governing Body has reviewed said proposal and the Chief Financial
Officer has certified that the funds are, or will be, available to perform said services.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Council oftlie Borough
of Carteret, County of Middlesex, State of New Jersey, as follows:
1. That the proposal from John S. Truhan Consulting Engineers, Inc. is hereby
authorized perform a boundary survey of lot I in block 242 within the
Borough ofCarteret at a total cost not to exceed $2,900.00.
2. That this action is approved as an award of a professional services contract
pursuant to NJ.S.A. 40A:I1-5(I)(a) iu accordance with the Borough's Fair
and Open Process as authorized by law.
3. That a copy of this Resolution be forwarded to the Borough Engineer, the
Borough's Purchasing Agent and John S. Tmhan Consulting Engineers.

Introduction:
This office is pleased to submit this Proposal for Professional I.\t\gineering ,,"d Surveying
services required for the preparation of boundary survey of Lot 1 in B1uck 242 $iturrte in the
Botough ofCarteret, Middtosex Cuunty, New Jersey.
Scope of Work:
;1. BOlJndary Sllrvey:
The clieIlt shall supply all Title Reports, deeds and mapS and any other title
inform.tion perl.ining to this project, in Borough's possession.
This Hrm will perform a Held survey of the subject properly based upon the client's
Title Report and deed and map research in order to vedfy the accuracy of the
documentation and deeded boundary. This fic1d survey will include detailed locations
of existing buildings, miscellaneous out structures, driveways, fences and any pert11\ent
information affecting the limits of the subject property. A survey plan shall be
prepared, showing conditions on the ground as of the date of the field survey. This
contract does Ilot include any "extertsive" back title deed reseatch by the firm.
If we discover or suspect .ny problem existing with the boundary, work on the s\llvey
will cea.e, pending n meeting wirh the Client to resolve the problem at which time an
amendment to the contract may be required. Additionally, this HIle item do~s nOl.llow
for the location of any wetlands work, and if so required, shall be consideted under a

Payment Terms:
lnvoices fot s"rvices rendered and work in pwgreos will be submi1ted monthly based on a
percent completed b.sis, in .ccord.nee with the COst of services as outlined in this Propos.l.
Any comments or discrepancies relative to said invoices shall be submitted in writing within
fourteen (14) days or the account will be considered correct. Deliveries, blueprint and
reproduction costs will be added to each monthly invoice and are part of the Client's
responsibility, PaymeIlt is due within thirty (30) days of invoice date. Any account over sixty
(60) days old will necessitate a work stoppage on the project and H 1-1/2 percent per month
service charge on unpaid balance.
In addition, attornq's fees will be charged if legal action is required to secure payment.
Limits of Liability:
Owner hereby agrees that to the fullest extent permitted by law, design profes<ional's total
liability to owne< for any and all injuries, claims, losses, expenses or damages whatsoever
arising out of or in any way rdoted to the project or this agreement from any cause .or causes
including but not limited to design. professional's negligence, enors, omissioIlS, strict' liability,
breach of contract OI breach of warranty, shall not exceed the total compensation received by
design professional under tlus agreement.
Additional Considerations:
A copy of our Standard Terms and Conditions (Exhibit I) is attached and hereby made part of
this Proposal.
The proposed fces set forth in this Agteement shall be open for acceptance for sixty (60) days
from the above date. If thc Agreement is signed after that date, the proposed fees lPay be
adjusted prior to commencement of services, subject to agreement by the ClieIlt and John S.
Truhan Consulting Engineers, Inc.
The hourly rates charged for John S. Truhan Consulting Engineers, Inc. employees are
adjusted in January to AdJect changcs in thc vadous clements that comprise such hourly rates.
All adjustments will be in accordance with generally accepted accounting practices as appJkd
on a, consistent basis and consistent with John S. l'ruhan's oveIall compeIlsation practices and
procedures; ,
When Lump Sum Contracts arc signed, and the services provided by John S. Truhan
Consulting Engineers, Inc. extends beyond twelve months (12) after the date of the executioIl
.of this Agreem?nt; the' quoted price~ shall be subject to all increase in accordance y;ith the
NY:/NJ Consu,lnCl' I'dce Index, using the date 9f this Agreemell! as a base. In the event that a'
Lump Sum Contract item is partially completed at such time that the lu';llp sum ,price is to be
adjusted, the balance of the lump sum fee still to be billed as of the aIlniversary datc shall be,

The standard of care for services perfotmed Ot furnish cd by Truh"n undel' this Agrcement will
be the care and skill ordinarily uscd by mcmbcts of the same p'tofcssion ptacticing under
similar conditions at the same time and in the same locality b..ed on facts and information
available at the time services are provided.
If the Scope of Setvices for this Agreement includes construction ob$ervation services, rhen
the following provisions shall apply:
A. Duting the project construction phase, Truhan shall consult with and advise Clicnt alld
act as Client's representative as provided in the Scope of Services, The cxtcnt and
limitations of thc dutics, ~esponsibilities and authority of TI\lhan as outlined in the
Scope of Services shall not be modified, except as Truhan and Client may otherwise
agree in writing.
B.
Truhan's services during the Construction phase are intended to provide Client a
gteater degree of confidence tilat the Completed work of Contractor will conform in
general to the approved plans and related documents and to provide a general opinion
of value of wo~k-in-place based on published references typically utilized in the
industry. Truhan shall nor, during visits to the project site or as a result of observation
of Contractors work in progress, supervise direct or have control over Contractor's
wo'tk nor shall Truhan have authority over or responsibility for the means, lnethods,
techniques, sequences or procedures of construction selected by Contractor, for safety
precautions and programs incident to the wo~k of Contractor or for any failure of
Contractor t'o comply WIth laWS, rules, regulations, ordinances, codes or orders
applicable to Contractors furnishing and perfomdng the work. Accordingly, Truhan
neither guarantees the performance of any Contractor nor assumes responsibility for
any Contractors 'failute to furnish and perform its work in accordance with the
C;'ontract Docurnents,

It is intended by the p~ttks to this Agreement that Truhan's sel'Vices in connection with the
project shall not subject Truhan's individ\l.l employees, officers or directt)t$ to .ny personal
legal <:xposure for the risks associated with this projecr. Therefore, the Client agrees rhat as
the Client's sole ,.nd exdusive remedy, any claim, demand or suit shall be directed and or
asserted only against Truhan, a New Jersey corporation, and not agairtst any of Truban's
employees, officers or directors.
Reprod\lction services required for this Cont);act will be cOl1.sidc);cd .n additional service and
will be billed on a monthly basis.

STANDARD TERMS AND CONDITIONS
1. It is understood that J<'lhn $. Truhan Consulting Engineers, Inc. (hereinafter
"Consultant") is acting as " consultant for the CLIENT to provide advice and
consultation on the proposed projec[; and that the CLIENT is the applicant for
development approval(s). and therefore responsible fo1' rhe outcome of said
applications.
2. Billings will be on a monthly basis for the percentage of completion, due within thirty
(30) days.
3. Any graphics and reproduction costs other than specified in the Agreement will be
additional based on actual cost.
4.
In th~ ~vent of tennination of the Consulting cont;;act, for any reason, or in th~ ~\l'ent
of cessation of the ptoject, for any reason, the Consultant shall be paid in full for all
work completed to date, based upon standard hourly billing rates.
5.
Either party has the right to terminate this contract, for any teason, upon seven (7)
days notic~ in writing, Termination without further obligation by the client under tlus
provision is eondition~d upon payment in full to the Consultant for all completed
work, at the rates set forrh herein, and for ail work in progress, based on standard
hourly billing rates (Exhibit II).
6. Additionlll SC1'\l'icC8:
The following additionlll seNices will be billed on a time and material bllsis using
standard hourly billing rates:
a) Soils imrestiglltions other than those specified in this proposal.
b) Application, filling and permit fees.
c) Design of ancillary structures such as offset storm drainage, pump stations, and
treatment plants (if required).
d) Bidding, field inspections and construction administration by prindp"ls, and/or
Landscape' A1'chitects or Planners.
e) 'Meetings and reviews with governing agencies oth~r than those specified herein.

Change ill the Scope of Work: The CLIENT and Consultant ag~ee in accordance with
the terms ~nd conditions of this agreement, that if the SCOPE of the Work is changed
materially, or if the~e is on)' s\lbstaIJtial delay (four [4] months) in the continuation of
the project, all fees for uncompleted work shall be subject to re-negotiation.
