HomeMy Public PortalAbout15929 Bond Counsel Ordinance 2022ORDINANCE NO. 15929 WHEREAS, the adoption of Ordinance No 15929 authorizes the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into a contract with Gilmore & Bell, P.C., whereby Gilmore & Bell, P.C. will serve as Bond Counsel for the District. WHEREAS, Gilmore & Bell, P.C. has selected White Coleman & Associates, LLC. to serve as Co-Bond Counsel on this engagement, and WHEREAS, the District will require Counsel in relation to the issuance of $500,000,000 in bonds (Both Senior and Subordinate SRF District Wastewater System Revenue Bonds) through the duration of the contract period. It is anticipated that approximately $445,000,000 in subordinate SRF Bonds will be issued in multiple series, with the balance of authorized debt issued as Senior Bonds, through a combination of negotiated and competitive bond sales primarily as fixed rate bonds. NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF TRUSTEES OF THE METROPOLITAN ST. LOUIS SEWER DISTRICT: Section One. The Executive Director and Secretary-Treasurer are hereby authorized on behalf of The Metropolitan St. Louis Sewer District to enter into a contract agreement with Gilmore & Bell, P.C., whereby Gilmore & Bell, P.C. will serve as Bond Counsel for the District. The term of this contract is to be limited to the lesser of either the next Bond authorization as approved by the electorate, or a period of five (5) years. Section Two. The contracts authorized in Section One of this ordinance shall provide for a fee not to exceed the amount proposed in Request for Proposals (RFP) 10853. The foregoing Ordinance was adopted on June 9, 2022
