WHEREAS, the adoption of Ordinance No 15930 authorizes the Executive
Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter
into a contract with Armstrong Teasdale, LLC, whereby Armstrong Teasdale, LLC, will serve as
Bond Disclosure Counsel for the District.
WHEREAS, the District will require Disclosure Counsel in relation to the issuance
of $500,000,000 in bonds (Both Senior and Subordinate SRF District Wastewater System Revenue
Bonds) through the duration of the contract period. It is anticipated that approximately
$445,000,000 in subordinate SRF Bonds will be issued in multiple series, with the balance of
authorized debt issued as Senior Bonds, through a combination of negotiated and competitive bond
sales primarily as fixed rate bonds.
NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF TRUSTEES OF
THE METROPOLITAN ST. LOUIS SEWER DISTRICT:
Section One. The Executive Director and Secretary-Treasurer are hereby
authorized on behalf of The Metropolitan St. Louis Sewer District to enter into a contract
agreement with Armstrong Teasdale, LLC, whereby Armstrong Teasdale, LLC., will serve as
Bond Disclosure Counsel for the District. The term of this contract is to be limited to the lesser of
either the next Bond authorization as approved by the electorate, or a period of five (5) years.
Section Two The contracts authorized in Section One of this ordinance shall
provide for a fee not to exceed the amount proposed in Request for Proposals (RFP) 10853.
