Trustee Evans called the meeting to order at approximately 5:00 p.m. Roll call was taken, and all Trustees were present as
noted.
Trustee Evans asked for the approval of the May 12, 2022 (1658th) Board Meeting Journal. Motion was made by Trustee
Fehr and seconded by Trustee Wilson.

Report of The Board Committees:
AUDIT COMMITTEE REPORT
The Audit Committee met on May 31 at 7:32 am. The meeting was attended by Trustees Watson, Evans, Nicozisin,
Wahby, and Wilson. Chairperson Watson called roll and had no introductory comments. The minutes of the May 3 Audit
Committee meeting were approved.
Next, Internal Audit presented the Risk Assessment and Internal Audit Plan for FY ‘23. The presentation included
overviews of the risk assessment process, the overall internal audit cycle, and the various engagements to be performed as
part of the FY ’23 audit plan. The presentation also included a discussion of the roles of the different audit teams that
participate in the District’s overall audit program.
During the presentation, questions were addressed by Internal Audit as they were received from the Committee.
The next Audit Committee meeting is tentatively scheduled for Tuesday, July 5, 2022.
The meeting was adjourned at approximately 7:49 am.

PROGRAM MANAGEMENT COMMITTEE REPORT
The Program Management Committee met on May 31, 2022 at 7:50 a.m. The meeting was attended by Trustees Nicozisin,
Evans, Wilson, Wahby, and Watson.
Chairperson Nicozisin called roll and had no further comments.
The minutes of the May 3, 2022 Program Management meeting were approved.
The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the
following items:

Ordinance Nos. 15932-15934 – Staff provided details of three CSO Volume Reduction Green Infrastructure Grants being
awarded to reduce combined sewer overflows to the Mississippi River per the Consent Decree. Staff provided details
of the grants being awarded to St. Louis University, U.I.C. Homes LLC, and Steelcote Gratiot LLC for various volume
reducing improvements.
Ordinance No. 15935 – Staff discussed this unplanned supplemental funding appropriation for the Stanwood Drive and
Belwood Drive Storm Sewer project currently under construction. Additional funding is due to unanticipated rock
excavation and associated site restoration encountered by the contractor and is necessary to complete the project.
Ordinance No. 15936 – Staff provided bid and appropriation details for the Fenton Creek Pump Station Improvements
project. Staff explained specifics on the low bid received and construction impacts causing the project to be above the
original budget.
Ordinance No. 15937 – Staff discussed this planned supplemental appropriation for the Harlem Baden combined sewer
relief project being constructed in cooperation with the U.S. Army Corps of Engineers. Staff explained the funding for
the project. Staff then answered questions from Trustee Wahby regarding the overall purpose of the project and details
of the combined sewer system.
Ordinance No. 15938 – Staff gave an update on the status of easement acquisition on three parcels of ground for the
Florissant/Dunn Sanitary Relief project. Staff continues to negotiate with the property owners but has been unable to
make contact or reach an agreement with the owners. Staff is requesting authorization from the Board to move forward
with condemnation efforts to allow the project to remain on schedule.
The next Committee meeting is tentatively scheduled for July 5, 2022. The meeting was adjourned at 8:09 a.m.

FINANCE COMMITTEE REPORT
The Finance Committee met on May 31, 2022, at 8:11 a.m. The meeting was attended by Trustees Wilson, Evans, Watson,
Nicozisin and Wahby.
Chairperson Evans called roll and had no further comments.
The minutes of the May 3, 2022, Finance Committee meeting were approved.
The first item on the agenda was the Quarterly Pension Review presented by Peter Lemek and Mike Comstock of AON.
Peter Lemek provided a performance update of the District’s Defined Benefit, Deferred Compensation and Defined
Contribution Plans for the first quarter of 2022 and year-to-date 2022.The Defined Benefit Plan assets returned -5.1% in the
first quarter, below the policy benchmark of -4.1%. Over the last 12 months, the Plan returned 2.6% versus a policy
benchmark return of 3.7%. Aon stated that it believes the current policy allocation remains appropriate.
The second item on the agenda was a review of the District’s Operating Fund Portfolio as of May 25, 2022, by Secretary-
Treasurer Tim Snoke. Tim indicated that the portfolio is in compliance with the District’s Investment Policy.
The last item on the agenda was an update regarding the 2022B Revenue Bond Issue by Tim Snoke. Tim stated that the
results of the bond issue fell within the parameters that were authorized by the Board of Trustees.
The next Committee meeting is tentatively scheduled for Tuesday, July 5, 2022. The meeting was adjourned at 8:45 a.m.

STAKEHOLDER RELATIONS COMMITTEE REPORT
The Stakeholder Relations Committee met on May 31, 2022 at 8:49 a.m. The meeting was attended by Chairperson Wilson,
Trustees Evans, Nicozisin, Wahby and Watson.
Chairperson Wilson called roll and had no further comments.

RESOLUTION NO. 3757 - LEGISLATIVE LOBBYING SERVICES - This Resolution authorizes a renewal of the contract with
Cardinal Point Partners LLC for Federal Legislative Services for the 3rd of 4 option years.
RESOLUTION NO. 3753 - GENERAL LEGAL SERVICES - This Resolution authorizes a renewal of the contract with
Armstrong Teasdale LLP for General Legal Services for the 3rd of 4 option years.
RESOLUTION NO. 3754 - GENERAL LEGAL SERVICES - This Resolution authorizes a renewal of the contract with
Rynearson, Suess, Schnurbusch & Champion, LLC for General Legal Services for the 3rd of 4 option years.
RESOLUTION NO. 3755 - GENERAL LEGAL SERVICES - This Resolution authorizes a renewal of the contract with
Thompson Coburn LLP for General Legal Services for the 3rd of 4 option years.
RESOLUTION NO. 3756 - GENERAL LEGAL SERVICES - This Resolution authorizes a renewal of the contract with White
Coleman & Associates LLC for General Legal Services for the 2nd of 3 option years.
RATE COMMISSION SELECTION PROCESS DISCUSSION - The next Rate Proposal, including both a Wastewater and
Stormwater proposal, is scheduled to be submitted to the Rate Commission by staff in February 2023. Brian Hoelscher
gave a brief update to the Trustees regarding the status of the current Rate Commission members, their service terms,
MSD's process for selecting new Members, and the Guidelines outlined in the District's Charter as to the Board's
participation requirements.
Brian closed his discussion by advising the Board of forthcoming notices to updating and refreshing of Committee and Board
meeting appointments on their calendars.
There is no Board Action required at this time.
The next Committee meeting is tentatively scheduled for July 5, 2022. The meeting was adjourned at 9:02 a.m.

Report of the Executive Director: None
Comments by the Public: As noted by Secretary-Treasurer Tim Snoke, there was one comment received from the Public.
A letter submitted June 2, 2022 from a Ratepayer, Dennis Liebman:
“Explain to me how a program get approved to put a bill to zero but then when the next bill came in it is over
900.00 can u explain to me or do i have to take action
Dennis liebman”
Marion Gee, the Director of Finance, reported that several attempts to contact Mr. Liebman via phone and email were made,
but no one has been able to speak with him about his billing issue. Mr. Liebman assumed that his prior billings would be
reduced to $0.00 upon approval for participation in MSD’s Customer Assistance Program. The program provides a 50%
reduction in such billings. Mr. Gee stated that additional attempts to contact Mr. Liebman would be made.
Submission of Public Hearing Report: A Report from the “Finding of Fact” Committee was read.
At the Budget, User Charge, Capital Improvement and Replacement and Tax Rate Public Hearing held on May 12, 2022, a
Finding of Fact Committee consisting of Trustees Wilson, Fehr, and me were appointed to determine that the proposed
taxes should be levied, assessed and collected as recommended by staff. The committee members have reviewed the
proposed tax rates and concluded that these taxes are necessary to be levied, assessed and collected in the amounts
requested to meet the District’s operating and capital requirements of both the District and of the various sub-districts.
The Secretary-Treasurer addressed the Board: The Secretary-Treasurer asked the Trustees if they would like to pull any
items for a separate vote within the Consent Agenda. Hearing None, Mr. Snoke then moved forward with the voting for

A supplemental appropriation of Two Million Dollars ($2,000,000.00) from the Sanitary Replacement Fund to be used for

Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of

Adoption of Proposed Ordinance No. 15905 - FY2023 Budget Appropriations
Repealing and superseding Ordinance No. 15671, adopted June 10, 2021, and making appropriations for the current
expenses of the District in the General Fund, the Water Backup Insurance and Reimbursement Fund, the General
Insurance Fund, the Sanitary Replacement Fund, the Improvement Fund, the Stormwater Operations, Maintenance and
Construction Improvement Funds, the Emergency Funds, and the Debt Service Funds for the fiscal year beginning July
1, 2022 and ending June 30, 2023, amounting in the aggregate to Four Hundred and Four Million, Three-Hundred Thirty-
One Thousand Sixteen dollars ($404,331,016) to pay interest falling due on bonds issued, the costs of support, operation,
and maintenance of the District and its various subdistricts, and emergencies, and shall adopt a five-year strategic
operating plan as required by Charter which states the District’s objectives for the succeeding five years and includes
objective targets by which to measure the district’s performance in meeting these objectives in accordance with the
requirements of this Proposed Ordinance were introduced May 12, 2022.
Adoption of Proposed Ordinance No. 15906 - 2022 Tax Levy for the Metropolitan St. Louis Sewer District and its
various Sub Districts
Repealing Ordinance No. 15768, adopted September 27, 2021, and enacting a new Ordinance in lieu thereof, adjusting
the previously fixed taxes by determining the amount of taxes which shall be levied, assessed, and collected in the year
2022 on all taxable tangible property in the District within the corporate limits of the City of St. Louis and St. Louis County,
respectively, and in Subdistricts within the corporate limits of St. Louis County as follows: Coldwater Creek Trunk
Subdistrict, Gravois Creek Trunk Subdistrict, Maline Creek Trunk Subdistrict, Watkins Creek Trunk Subdistrict, Subdistrict
No. 89 (Loretta-Joplin), Subdistrict No. 342 (Clayton-Central), Subdistrict No. 366 (University City Branch of River Des
Peres Stormwater Subdistrict), Subdistrict No. 367 (Deer Creek Stormwater Subdistrict), Subdistrict No. 369 (Sugar
Creek), Subdistrict No. 448 (Missouri River - Bonfils), Subdistrict No. 449 (Meramec River Basin - M.S.D. Southwest),
Subdistrict No. 454 (Seminary Branch of River Des Peres), Subdistrict No. 455 (Black Creek), Subdistrict No. 1 of the
River Des Peres Watershed (Creve Coeur-Frontenac Area) and Subdistrict No. 7 of the River Des Peres Watershed
(Wellston Area); and the Board of Trustees, in accordance with Charter Section 7.310 authorizes the Director of Finance
to certify as to the amount of taxes which shall be levied, assessed and collected within the corporate limits of the City of
St. Louis and St. Louis County and for the aforementioned Subdistricts.
Adoption of Proposed Ordinance No. 15908 - Rate Commission Consulting Services & Debt Feasibility Study
Preparation
Authorizing the Executive Director and Secretary- Treasurer on behalf of The Metropolitan St. Louis Sewer District to
enter into a contract with Raftelis Financial Consultants, Inc., whereby Raftelis Financial Consultants Inc. will provide rate
modeling support services; rate proposal preparation and expert testimony for anticipated future rate commission
proceedings, and preparation of financial feasibility studies as needed for the issuance of District bonds.

Adoption of Proposed Ordinance No. 15926 - National Flood Insurance Program (NFIP)
Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to
execute all documents necessary in order to procure flood insurance from the National Flood Insurance Program
(Selective Insurance Company) (Charles L. Crane Agency, agent) during the period July 1, 2022 to June 30, 2023 for the
building and contents at certain specified District locations.
