Comello, Executive Assistant, Scribe MEMBERS OF THE PUBLIC Andrew Schafer, Ellendale Neighborhood Trustee Evans called the meeting to order at approximately 5:02 p.m. Roll call was taken, Trustees Evans, Fehr, Wilson, Nicozisin, and Wahby were present; Trustee Watson was absent. Trustee Evans asked for the approval of the preceding meeting journal: October 13, 2022 (1664th) Board Meeting. Motion was made by Trustee Wahby and seconded by Trustee Nicozisin; all present Trustees approved the motion. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of The Board Committees: AUDIT COMMITTEE REPORT The Audit Committee met on November 1 at 7:30 am. The meeting was attended by Trustees Watson, Evans, Nicozisin, and Wilson with Trustees Wahby and Fehr attending online. Chairperson Watson called roll and had no introductory comments. The minutes of the August 2 Audit Committee meeting were approved. Next, the District’s external auditor, CliftonLarsonAllen, presented an overview of the results of the annual independent audit package for the year ended June 30, 2022. An unmodified or “clean” opinion was issued for the District’s financial statements. No material uncorrected or corrected misstatements were identified. No fraud or illegal acts were identified. In working with Management and performing the engagement, no difficulties or disagreements were encountered by the auditors. The new GASB 87 lease standard was adopted during the fiscal year. No material weaknesses or significant deficiencies in internal control were identified during the audit process. A Management Letter was not issued, as no items were identified that met the threshold for formal communication. During the presentation, questions were addressed as they were received from the Committee. The next Audit Committee meeting is tentatively scheduled for Tuesday, November 29, 2022. The meeting was adjourned at approximately 7:40 am. This concludes the Audit Committee Report. ~ ~ ~ ~ ~ PROGRAM MANAGEMENT COMMITTEE REPORT The Program Management Committee met on November 1, 2022 at 7:45 a.m. The meeting was attended by 2 Last Revised: 12/23/22 Trustees Nicozisin, Evans, Wilson, and Watson; with Wahby and Fehr online. Chairperson Nicozisin called roll and had no further comments. The minutes of the October 4, 2022 Program Management meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance No. 16017 – South County Sanitary Relief – Staff discussed this unplanned supplemental appropriation of $100,000 to an existing project being constructed by Kolb Grading. This supplemental funding request is needed to complete the construction due to additional costs for unforeseen utility relocations and associated restoration costs. Ordinance No. 16018 – Staff discussed this unplanned supplemental appropriation of $100,000 to an existing contract with L. Keeley Construction Company. This supplemental request is required to complete the re- construction and rehabilitation of the Spirit 2 Pump Station. The funds are needed due to additional repairs to the structure wet well, and delays to the project caused by FAA Airport permitting. Ordinance No. 16019 – Staff discussed this unplanned supplemental appropriation of $2,200,000 to an existing contract with KCI Construction. This supplemental request is required to complete the construction of the Deer Creek Tunnel Pump Station. The additional funds are needed to repair and replace damages to installed equipment caused by the July flash flood event. MSD is seeking FEMA reimbursement for these damages. Staff provided details and scheduling for this critical Consent Decree project. Ordinance Nos. 16020-16021– Staff provided details of two CSO Volume Reduction Green Infrastructure Grants being awarded to reduce combined sewer overflows to the Mississippi River per the CSO Long Term Control Plan and Consent Decree. Staff provided details of the grants being awarded to Greenprint Retrofits (Lutheran North High School) and Preservation Square for various volume reducing improvements. Ordinance Nos. 16023–16024 – Staff reviewed the details of two projects currently in easement acquisition. Staff is making progress but has been unable to obtain these property rights through on-going negotiations. Staff is requesting authorization from the Board to move forward with condemnation efforts to allow the projects to remain on schedule. Both project schedules are critical to ensure compliance with the District’s Consent Decree. Ordinance Nos. 16027-16029 – Staff presented the planned supplemental appropriation for three (3) multi-year construction management services contracts with Shannon & Wilson Inc., Black & Veatch Corporation, and KAI 360 Construction Services LLC. The appropriations for all three contracts were below the planned budgets due to project scheduling and funding needs. Ordinance Nos. 16030-16034 – Staff presented and reviewed details of five (5) planned appropriations and contract authorizations for engineering design services on tonight’s agenda. The services will provide engineering design for various sanitary sewer, storm sewer, and bank stabilization projects. These projects are planned for construction over the next two fiscal years. The next Committee meeting is tentatively scheduled for November 29, 2022. The meeting was adjourned at 8:24 a.m. This concludes the Program Management Board Comments Report. ~ ~ ~ ~ ~ FINANCE COMMITTEE REPORT The Finance Committee met on November 1, 2022, at 8:23 a.m. The meeting was attended by Trustees Wilson, Evans, Watson, Nicozisin with Wahby & Fehr online. Chairperson Fehr called roll and had no further comments. The minutes of the October 4, 2022, Finance Committee meeting were approved. The following agenda items to be introduced tonight were presented and discussed: Adoption Of Resolution No. 3799 – Banking Procedure Resolution: Under provisions of Ordinance No. 14294, Section Three, adopted on December 10, 2015, the list of Approved Commercial Paper Issuers may be modified from time to time by resolution of the Board of Trustees of the District. This resolution requests that US Bank be added to the list. With the addition of US Bank, the District can take advantage of a liquid commercial paper investment vehicle to allow excess cash to earn a competitive return while maintaining optimal liquidity. 3 Last Revised: 12/23/22 Other items discussed during the Committee meeting included the following: Secretary- Treasurer Tim Snoke reviewed the District’s Operating Fund Portfolio as of October 27, 2022. Tim indicated that the portfolio is in compliance with the District’s Investment Policy. Director of Finance Marion Gee presented the Adjustment Review Committee report as required by ordinance The next Committee meeting is tentatively scheduled for Tuesday, November 29, 2022. The meeting was adjourned at 8:30 a.m. This concludes the Finance Committee Board Comments Report ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS COMMITTEE REPORT The Stakeholder Relations Committee met on November 1, 2022 at 8:32 a.m. The meeting was attended by Chairperson Wilson, Trustees, Evans, Nicozisin and Watson with Trustees Fehr and Wahby participating via Teams. Chairperson Wilson called roll and had no further comments. The minutes of the October 4, 2022 Stakeholder Relations Committee Meeting were approved. The Agenda and Discussion items were as follows: RESOLUTION NO. 3800 - The first agenda item was a discussion by Tim Snoke regarding a Resolution for Missouri Sunshine Law Fees for Public Records. This Resolution will update the fees charged for copying and furnishing public records, to align with RSMo Section 610.026 of the Missouri Sunshine Law and is Item No. 54 on tonight's Agenda. RESOLUTION NO. 3797 - The next item was a discussion by Dino Kiveric regarding a Resolution for Medical Services for District Staff. This Resolution authorizes the District to enter a one-year contract renewal with BJC Corporate Health Services d/b/a BarnesCare from January 1 through December 2023, exercising the second option year and is Item No. 51 on tonight's Agenda. RESOLUTION NO. 3796 - The next item was a discussion by Susan Myers regarding a Resolution for a contract renewal with Beck Dickhaus & Associates, L.P. This Resolution authorizes the District to enter a one-year contract renewal for the collection of excess proceeds from properties sold at St. Louis City and St. Louis County tax sale auctions. It is Item No. 50 on tonight's Agenda. LEGISLATIVE PRIORITIES FOR 2023 - The next Agenda item was a discussion by Susan Myers regarding MSD's Federal and State Legislative Priorities for 2023. Susan provided a summation of the priorities noting that one new Federal priority was added to identify legislation to address Environmental Justice issues and one new State priority was added to educate local legislators on funding that will become available from the Federal government. All other priorities remained the same as last year. There is no Board action required at this time. CLOSED SESSION - At approximately 8:48a.m., Chairperson Wilson requested a motion and vote was taken and approved to move into Closed Session pursuant to RSMo Section 610.021(3), to discuss Personnel Actions. At approximately 9:53 a.m., Chairperson Wilson requested a motion to end Closed Session and return to Open Session and all Trustees concurred. The meeting was then adjourned at 9:54 a.m. The next Committee meeting is tentatively scheduled for November 29, 2022. This concludes the Stakeholder Relations Committee Board Comments Report. ~ ~ ~ ~ ~ Report of the Executive Director: The Executive Director and CEO, Brian Hoelscher, reported to the Board: Brian Hoelscher addressed the Board to bring them up to date with the Ellendale Neighborhood concerns from the previous meeting. On November 9th, he and Sean Hadley met with approximately 30 residents of the Ellendale Neighborhood for about three hours and gave a presentation that covered much of the concerns the residents were having. They covered topics from the neighborhood placement in the watershed, how their system works, changes to their system over the years, what MSD knows about this summer’s flooding, and how to move forward. The residents asked many questions and expressed concerns and frustrations. There was no one from the City Administration there, but there was a local City Alderman in attendance. We have been working with the Board of Aldermen and the Public Safety Committee to keep them apprised of the work with 4 Last Revised: 12/23/22 the neighborhood. The central message MSD is giving is the flooding issues aren’t a sewer system issue, they are a flooding issue and MSD and the City need to work together. A couple of residents who live in a different part of the subdivision gave more information to confirm the extent of the flooding. Two main things came out of the meeting: there were many questions about the backup insurance and questions about the scheduling for the FEMA funding. MSD committed to get back to their spokesman so he could distribute that information. In addition, there is one home that is critical to purchase for family health reasons. The home happens to be in the area where MSD is going to do buy outs for a tunnel shaft wastewater project anyway The City has been asked to see what could be done to accelerate the purchase of the property. If this cannot be completed soon, staff may come to the board for that particular property to get it bought out. Everything learned has been passed along to the City, the City should be getting back to the residents with regards to the schedule on the FEMA monies for other buyouts that become available to them. Comments by the Public: Chairman Evans announced there was a member of the public present from the Ellendale neighborhood Association, Andrew Schafer. Mr. Schafer expressed his thanks to the Board and MSD for meeting with the residents of the recently flooded Ellendale Neighborhood, explaining the situation in greater detail and suggested remedies. He had been tough on MSD and thought the residents were being abandoned but sees the efforts of MSD to work though the problems and advocate for the residents. Submission of Public Hearing Report: None. The Secretary-Treasurer addressed the Board: The Assistant Secretary-Treasurer asked the Trustees if they would like to pull any items for a separate vote within the Consent Agenda. Hearing None, Mr. Strahlman then moved forward with the voting for Adoption of Agenda Item Numbers 10 through 23. CONSENT AGENDA Adoption of Proposed Ordinance No. 15991 - Louisa and Arsenal Pump Stations (P-112 and P-113) Upgrades (12489) A supplemental appropriation of Two Hundred Fifty Thousand Dollars ($250,000.00) from the Sanitary Replacement Fund to be used for pump station improvements in Louisa and Arsenal Pump Stations (P-112 and P- 113) Upgrades (12489) in the City of St. Louis, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 21989 with Tarlton Corporation for pump station improvements. Adoption of Proposed Ordinance No. 15993 - CSO Volume Reduction Green Infrastructure – Wash U Baseball Field Upgrades (13855) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with Washington University, for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Wash U Baseball Field Upgrades (13855) in the City of St. Louis, Missouri. Adoption of Proposed Ordinance No. 15994 - Caulks Creek A Pump Station (P-750) Improvements (12248) A supplemental appropriation of Three Million Two Hundred Thousand Dollars ($3,200,000.00) from the Sanitary Replacement Fund to be used for pump station improvements in Caulks Creek A Pump Station (P-750) Improvements (12248) in the City of Chesterfield, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 22076 with Plocher Construction Company, Inc. for pump station improvements. Adoption of Proposed Ordinance No. 15995 - Hathaway Drive Sanitary Relief (13432) An appropriation of One Million Dollars ($1,000,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in Hathaway Drive Sanitary Relief (13432) in the City of Jennings, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 22207 with Gershenson Construction Co., Inc. for sanitary sewer construction. Adoption of Proposed Ordinance No. 15996 - Infrastructure Repairs (Rehabilitation) (2023) Contract A (13018) An appropriation of Two Million Nine Hundred Thousand Dollars ($2,900,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer rehabilitation in Infrastructure Repairs (Rehabilitation) (2023) Contract A (13018) in the City of St. Louis, various municipalities in St. Louis County, and Unincorporated St. Louis County, Missouri; 5 Last Revised: 12/23/22 and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 22189 with SAK Construction LLC for sanitary sewer rehabilitation. Adoption of Proposed Ordinance No. 15997- Lemay WWTF Repairs and Improvements (2023) (Grit Tanks and Secondary Clarifier Duct Bank) (13153) An appropriation of Four Million Dollars ($4,000,000.00) from the Improvement Fund to be used for wastewater treatment plant construction in Lemay WWTF Repairs and Improvements (2023) (Grit Tanks and Secondary Clarifier Duct Bank) (13153) in Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 22192 with Goodwin Brothers Construction Co. for wastewater treatment plant construction. Adoption of Proposed Ordinance No. 15998- Lindsay – St. Albert Private I/I Reduction (12330) An appropriation of Six Hundred Fifty Thousand Dollars ($650,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction and private I/I removal in Lindsay – St. Albert Private I/I Reduction (12330) in the City of Florissant, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 22204 with Unnerstall Contracting Company, LLC for sanitary sewer construction and private I/I removal. Adoption of Proposed Ordinance No. 16007 - General Services Agreement – Facility & Sewer Design (2022) Contract A (13098) A supplemental appropriation of Four Hundred Seventy-Five Thousand Dollars ($475,000.00) from the Sanitary Replacement Fund to be used for general engineering services in General Services Agreement – Facility & Sewer Design (2022) Contract A (13098) at various locations within the District; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 2 to Contract No. 22119 with Donohue & Associates, Inc. for general engineering services. Adoption of Proposed Ordinance No. 16008 - General Services Agreement – Facility & Sewer Design (2022) Contract B (13099) A supplemental appropriation of Four Hundred Fifty Thousand Dollars ($450,000.00) from the Sanitary Replacement Fund to be used for general engineering services in General Services Agreement – Facility & Sewer Design (2022) Contract B (13099) at various locations within the District; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Amendment No. 1 to Contract No. 22107 with GHD, Inc. for general engineering services. Adoption of Proposed Ordinance No. 16009 - Stream Flow Water Quality Sampling (2023) (12806) An appropriation of Two Hundred Fifty-Four Thousand Six Hundred Forty Dollars ($254,640.00) from the General Fund to be used for water quality sampling in Stream Flow Water Quality Sampling (2023) (12806) Districtwide; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 22214 with Geosyntec Consultants, Inc. for water quality sampling. Adoption of Proposed Ordinance No. 16010 - BC-01 Phase III and BC-02 Phase II Sanitary Relief (I-170 to Heatherwood Dr) (12090) An appropriation of One Million Five Hundred Forty-Five Thousand Dollars ($1,545,000.00) from the Sanitary Replacement Fund to be used for design of sanitary sewers in BC-01 Phase III and BC-02 Phase II Sanitary Relief (I-170 to Heatherwood Dr) (12090) in the Cities of Ladue and Olivette, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into Contract No. 22215 with Lochmueller Group, Inc. for design of sanitary sewers.
