Comello, Executive Assistant, Scribe MEMBERS OF THE PUBLIC Tom Sullivan Trustee Evans called the meeting to order at approximately 4:00 p.m. Roll call was taken, Trustees Evans, Fehr, Wilson, Nicozisin, and Watson were present; Trustee Wahby was absent. Trustee Evans called for a motion to go into closed session at 4:01 p.m. Trustee Nicozisin motioned, and Trustee Fehr seconded the motion; all Trustees approved the motion via roll call vote. The Board of Trustees returned from Closed Session and Trustee Evans called for a motion to go into open session at 5:00 p.m. Trustee Nicozisin motioned, and Trustee Watson seconded the motion; all Trustees approved the motion. Trustee Evans asked for the approval of the preceding meeting journal: November 10, 2022 (1665th) Board Meeting. Motion was made by Trustee Watson and seconded by Trustee Nicozisin; all present Trustees approved the motion. Comments by Board Chair: None ~ ~ ~ ~ ~ Report of The Board Committees: AUDIT COMMITTEE REPORT The Audit Committee met on November 29 at 7:39 am. The meeting was attended by Trustees Watson, Evans, Nicozisin, Wahby, and Wilson with Trustee Fehr attending online. Chairperson Watson called roll and had no introductory comments. The minutes of the November 1 Audit Committee meeting were approved. Next, Internal Audit presented a report for an audit engagement that consisted of a review of the District’s Safety program. Specifically, the engagement focused on overall safety policies, procedures, and training. The engagement also included a review of performance data and related workers compensation costs and metrics. The engagement received a “Generally Satisfactory” opinion. Four (4) Opportunities for Improvement were presented and discussed with the Committee. The recommendations focused on improving the structure of the safety program by adequately staffing the coordinator team and making improvements to safety training efforts. During the presentation, questions were addressed by Internal Audit and District Staff as they were received from the Committee. The next Audit Committee meeting is tentatively scheduled for Tuesday, January 3, 2023. The meeting was adjourned at approximately 8:11 am. This concludes the Audit Committee Report. 2 Last Revised: 12/15/22 ~ ~ ~ ~ ~ PROGRAM MANAGEMENT COMMITTEE REPORT The Program Management Committee met on November 29, 2022 at 8:13 a.m. The meeting was attended by Trustees Nicozisin, Evans, Wilson, Wahby and Watson; with Trustee Fehr online. Chairperson Nicozisin called roll and had no further comments. The minutes of the November 1, 2022 Program Management meeting were approved. The agenda items to be introduced tonight were presented and discussed, including a detailed discussion regarding the following items: Ordinance Nos. 16037 & 16038 – CSO Volume Reduction Green Infrastructure Supplemental Appropriations - Staff provided details on the Rainscaping (Green Infrastructure) Program and the purpose of these two annual funding Requests. Staff gave update on expenditures to date and progress to Consent Decree Compliance. Ordinance No 16039 - Staff provided bid and appropriation details for the Newport Landing Pump Station Elimination project. Staff answered questions from Trustee Wahby on the bid and engineers estimate on the project. Ordinance Nos. 16040-16045 – Stormwater OMCI Reimbursements. Staff gave a brief history of the OMCI Sub-Districts and their purpose. Staff is requesting appropriation for the continued funding of a municipal stormwater grant program within six (6) OMCI Taxing sub-Districts. Staff additionally requested continued authorization to administer the grants below $50,000 without future approval of the Board. Staff also indicated that one additional OMCI (Gravois Creek OMCI) was added this Fiscal Year. Ordinance No. 16046 – Emergency Repair #071 - Staff provided additional details on this on-going emergency sewer repair project located on Forsyth Blvd. in the City of Clayton. The project is being constructed by Bates Utility Company. Staff is requesting a supplemental appropriation of $800,000 to complete the work. The additional cost is due to special shoring required to protect an adjacent building and adjacent utilities. Staff is requesting introduction and adoption at tonight’s meeting. The next Committee meeting is tentatively scheduled for January 3, 2023. The meeting was adjourned at 8:37am. This concludes the Program Management Board Comments Report. ~ ~ ~ ~ ~ FINANCE COMMITTEE REPORT The Finance Committee met on November 29, 2022, at 8:39 a.m. The meeting was attended by Trustees Wilson, Evans, Watson, Nicozisin, Wahby with Fehr online. Chairperson Fehr called roll and had no further comments. The minutes of the November 1, 2022, Finance Committee meeting were approved. The following agenda items to be introduced tonight were presented and discussed: Adoption Of Resolution No. 3802– Investment Management Services: This action allows the District to exercise the second of four option years of the contract previously authorized by Ordinance No. 15567, adopted December 10, 2020 with US Bancorp to provide investment management services to the District. Other items discussed during the Committee meeting included the following: The Quarterly Pension Review was presented by Mike Comstock of AON. Mr. Comstock provided a performance update of the District’s Defined Benefit, Deferred Compensation and Defined Contribution Plans for the third quarter of 2022 and year-to- date 2022. All major asset classes in the portfolio, other than Real Estate, are down double digits for the year. The DB Plan returned -19.2% for the year and -4.8% for the quarter ended 9/30/2022. The Policy Benchmark returns over the same period were -16.8% and -4.4%. Secretary- Treasurer Tim Snoke reviewed the District’s Operating Fund Portfolio as of November 18, 2022. Tim indicated that the portfolio is in compliance with the District’s Investment Policy. Director of Finance Marion Gee presented the Financial Status Report Update as of September 30, 2022. The District forecasts that both costs and revenue will be slightly favorable to Budget in FY23. 3 Last Revised: 12/15/22 The next Committee meeting is tentatively scheduled for Tuesday, January 3, 2022. The meeting was adjourned at 9:08 a.m. This concludes the Finance Committee Board Comments Report. ~ ~ ~ ~ ~ STAKEHOLDER RELATIONS COMMITTEE REPORT The Stakeholder Relations Committee met on November 29, 2022 at 9:10 a.m. The meeting was attended by Chairperson Wilson, Trustees Evans, Nicozisin, Wahby and Watson with Trustee Fehr participating via Teams. Chairperson Wilson called roll and had no further comments. The minutes of the November 1, 2022 Stakeholder Relations Committee Meeting were approved. The Agenda and Discussion items were as follows: RESOLUTION NO. 3801 - The first agenda item was a discussion by Susan Myers regarding a Resolution for State Legislative Lobbying Services. This Resolution authorizes the District to enter into the third (3rd) one-year contract renewal term with Kyna Iman LLC and is Resolution No. 3801 on tonight's Agenda. ORDINANCE NO. 16050 - The next item was a discussion by Brian Hoelscher regarding an Ordinance for the appointment of Rate Commission Representative Organizations. The 15th and final organization was identified and designated requiring their appointment. This will be an Ordinance for Introduction and Adoption on tonight’s agenda. CLOSED SESSION - At approximately 9:14 a.m., Chairperson Wilson requested a motion and vote was taken and approved to move into Closed Session to discuss Leasing, Purchase or Sale of Real Estate under Section 610.021(2), and Confidential or Privileged Communications between a Public Governmental Body and its Auditor, including all Auditor Work Product Under Section 610.021(17). At approximately 9:34 a.m., Chairperson Wilson requested a motion to end Closed Session and return to Open Session and all Trustees concurred. The meeting was then adjourned at 9:35 a.m. The next Committee meeting is tentatively scheduled for January 3, 2023. This concludes the Stakeholder Relations Committee Board Comments Report. ~ ~ ~ ~ ~ Report of the Executive Director: None Comments by the Public: Chairman Evans announced there was a member of the public present to speak, Tom Sullivan. Chairman, Members of the Board, as you know this area experienced unprecedented flooding this summer, created some extreme hardships. People woke up in the middle of the night with up to six feet of water in their home. Furniture and belongings were destroyed. So were water heaters, furnaces, washers and dryers. Over 300 homes in University City were condemned. People were no longer allowed to live in these homes. They also lost their vehicles when they became submerged. In just one night people had their lives turned upside down. All because River des Peres ran over its banks and was out of control. After the water finally subsided, they had to drag all their destroyed things out to the curb for pickup. It took up the entire front yard for some homeowners, and some had to wait nearly two months for a dump truck to arrive. I never saw anyone from MSD helping. A Post-Dispatch story in August asked the question - Who is responsible for the areas stormwater? It's no mystery. The answer can be found in the first sentence of the MSD charter: ‘…provide adequate sewer and drainage facilities within the boundaries herein defined… there is hereby established a metropolitan sewer district...’ MSD has been ducking and dodging its responsibilities for a long time. It took a lawsuit for federal and state authorities to begin to meet clean water standards. It's no different with stormwater matters, that the District is firmly committed to the Army Corps of Engineers taking care of flooding problems. As I've been pointing out the mayor of University City, four City Council members and other city officials attended a meeting of the MSD board to plead for help with the overflowing River des Peres. The year: 1966. All these years later the situation is not only not approved, it just got worse. Record rains in July, notwithstanding. Five or six years ago there was flooding again in University City and again homeowners were upset and wanted action from MSD; they would be disappointed. Brian Hoelscher spoke to the residents at a meeting. Not only did he say MSD would do nothing, he said it was a residents problem to deal with. Imagine the fire department operating like the Sewer District. What, your house is on fire? That's your problem, not ours. Good luck. In 2023, I think the Sewer District needs to get a lot more serious about addressing stormwater flooding issues. That is what the people in this area want and what they will be demanding. But I don't think they are ready to approve any 4 Last Revised: 12/15/22 stormwater charges just yet. You got quite a way to go in rebuilding trust. Thank you for listening my comments. The Secretary-Treasurer addressed the Board: The Secretary-Treasurer asked the Trustees if they would like to pull any items for a separate vote within the Consent Agenda. Ordinance 16017 was requested for separate vote. Mr. Snoke then moved forward with the voting for Adoption of Agenda Item Numbers 10 and 11 through 27. CONSENT AGENDA Adoption of Ordinance No.16017 - South County Sanitary Relief (P-419 to Cripple Creek Dr) (12205) A supplemental appropriation of One Hundred Thousand Dollars ($100,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in South County Sanitary Relief (P-419 to Cripple Creek Dr) (12205) in the Unincorporated St. Louis County, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 21849 with Kolb Grading, LLC for sanitary sewer construction. Adoption of Ordinance No.16018 - Spirit of St. Louis 2 Pump Station (P-736) Replacement (12207) A supplemental appropriation of One Hundred Thousand Dollars ($100,000.00) from the Sanitary Replacement Fund to be used for pump station improvements in Spirit of St. Louis 2 Pump Station (P-736) Replacement (12207) in the City of Chesterfield, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 21944 with L. Keeley Construction Company for pump station improvements. Adoption of Ordinance No.16019 - Deer Creek Sanitary Tunnel (Clayton Rd to RDP) – Pump Station (12615) A supplemental appropriation of Two Million Two Hundred Thousand Dollars ($2,200,000.00) from the Sanitary Replacement Fund to be used for sanitary sewer construction in Deer Creek Sanitary Tunnel (Clayton Rd to RDP) – Pump Station (12615) in the City of Shrewsbury, Missouri; and authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to appropriate additional funds to Contract No. 21899 with KCI Construction Company for sanitary sewer construction. Adoption of Ordinance No.16020 - CSO Volume Reduction Green Infrastructure – Lutheran North (13850) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with Greenprint Retrofits LLC, for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Lutheran North (13850) in the City of St. Louis, Missouri. Adoption of Ordinance No.16021 - CSO Volume Reduction Green Infrastructure – Preservation Square Ph II (12865) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an agreement with Preservation Square 123 Landlord LLC, for cost sharing for green infrastructure construction in CSO Volume Reduction Green Infrastructure – Preservation Square Ph II (12865) in the City of St. Louis, Missouri. Adoption of Ordinance No. 16022 - Deer Creek OMCI Reimbursements Program (City of Glendale Agreement) (13487) Authorizing the Executive Director and Secretary-Treasurer on behalf of The Metropolitan St. Louis Sewer District to enter into an intergovernmental agreement with the City of Glendale, Missouri, for cost share for municipal stormwater expenditures in Deer Creek OMCI Reimbursements Program (City of Glendale Agreement) (13487) in St. Louis County, Missouri. Adoption of Ordinance No.16023 - Harlem Baden Relief Phase IV (Hebert) – Hamilton to Darver Trunk Sewer (11796) Declaring the necessity for the acquisition of easements and temporary easements in certain real property within The Metropolitan St. Louis Sewer District for the purpose of construction of sewers and related appurtenances in the project known as Harlem Baden Relief Phase IV (Hebert) – Hamilton to Darver Trunk Sewer (11796) in the City of St. Louis and the Village of Hillsdale, Missouri to serve the needs of residents of the area, and authorizing staff to proceed with further condemnation efforts related to the project, including but not limited to the purchase and/or the filing of all necessary court pleadings or documents to commence and prosecute formal legal proceedings for the acquisition of said easements and temporary construction easements. 5 Last Revised: 12/15/22 Adoption of Ordinance No.16024 - Valley Sanitary Relief Phase III (13444) Declaring the necessity for the acquisition of easements and temporary easements in certain real property within The Metropolitan St. Louis Sewer District for the purpose of construction of sewers and related appurtenances in the project known as Valley Sanitary Relief Phase III (13444) in Cities of Ballwin and Clarkson Valley, Missouri to serve the needs of residents of the area, and authorizing staff to proceed with further condemnation efforts related to the project, including but not limited to the purchase and/or the filing of all necessary court pleadings or documents to commence and prosecute formal legal proceedings for the acquisition of said easements and temporary construction easements.
